UCC COLLATERAL EXHIBIT "A" DESCRIPTION
Ail accounts receivable, and all rights of the Debtor in and to
the termination payment and other economic interests as defined
in the Allstate R3001 Exclusive Agency Agreement; all of
Debtor's equipment, furniture, fixtures, inventory, accounts,
contract rights, general intangibles, chattel paper, choses in
action, instruments, and documents, and any and all accessions,
parts, accessories, attachments and appurtenances of or for any
of the foregoing property, and any and all substitutions for,
renewals of, improvements, replacements and additions to, and
the products and proceeds (cash and non-cash) of, any and all of
the foregoing property, rights and interests, and any and all
insurance policies relating thereto.
