COMPLAINT
The Plaintiff, LOUD TECHNOLOGIES, INC., by its attorneys, KODAK & IMBLUM,
P.C., brings this action of Assumpsit against the Defendant to recover the sum of
FOURTEEN THOUSAND EIGHT HUNDRED FIFTEEN DOLLARSAND TWENTY-EIGHT
CENTS ($14,815.28), along with interest thereon at the statutory rate from April 25, 2007,
upon a cause of action of which the following is a statement:
1. The Plaintiff, LOUD TECHNOLOGIES, INC., is a corporation organized and existing
under the laws of the State of Washington, having its principal office and place of
business at 16220 Wood-Red Road NE, Woodinville, WA 98072.
2. The Defendant, TRIPLE R GUITAR, LTD d/b/a Triple R Guitar, is a corporation
having its principal office and place of business at 300 Market Street, Lemoyne,
Cumberland County, Pennsylvania 17043.
3. Defendant, Triple R Guitar LTD d/b/a Triple R Guitar, is a corporation organized

and existing under the laws of the Commonwealth of Pennsylvania as more fully set
forth on the Pennsylvania Department of State Corporation Bureau print out
attached hereto, marked Exhibit "A" and made a part hereof.
4. On the dates, in the amounts, and for the prices set forth in a true and correct copy
of the Plaintiff's Statement of Account hereto attached, marked Exhibit "B" and
made a part hereof, Plaintiff, at the special instance request of the Defendant, sold
and delivered goods, wares and merchandise of the kind and description set forth
on said Exhibit to the total amount of Sixteen Thousand Eight Hundred Fifteen
Dollars and Twenty-Eight Cents ($16,815.28).
5. The prices charged for said goods, wares and merchandise were just and
reasonable, were the legal and market prices therefor and were the prices which the
Defendant promised and agreed to pay to Plaintiff.
6. Defendant became entitled to certain credits against the charges aforementioned
to the total amount of Two Thousand Dollars ($2,000.00).
7. The balance due and owing by Defendant to Plaintiff is the sum of Fourteen
Thousand Eight Hundred Fifteen Dollars and Twenty-Eight Cents ($14,815.28), as
appears by Exhibit "B" hereto.

8. Plaintiffs Invoices are not attached to this pleading due to the voluminous nature
of same and have previously been provided to Defendant.
9. Plaintiff frequently demanded payment from Defendant of said amount due and
owing as aforesaid, but Defendant refused and neglected and still refuses and
neglects to pay said amount or any part thereof.
WHEREFORE, Plaintiff brings this suit to recover from Defendant the sum of
FOURTEEN THOUSAND EIGHT HUNDRED FIFTEEN DOLLARS AND TWENTY-EIGHT
CENTS ($14,815.28), together with interest as set forth herein.

STIPULATION OF SETTLEMENT
AND NOW, this ~~ ` day of April, 2010, comes Plaintiff, Loud
Inc., by and through its attorneys, Robert D. Kodak, Esquire, Kodak & Imblum, P.C.,
and
Defendant, Triple R Guitar, LTD. d/b/a Triple R Guitar, by and through its attorneys, Ian~J.
Blynn, Esquire, Lightman, Welby, Stoltenberg & Caputo,
and
The above-captioned matter having been amicably settled between the Plaintiff
Defendant, it is hereby stipulated and agreed as follows:
1. Loud Technologies, Inc. (hereinafter the "Plaintiff') did file a Complaint in the Court
of Common Pleas of Cumberland County, Pennsylvania, to the above term and number on December
9, 2009.
2. Said Complaint was properly served by the Sheriff of Cumberland County on
December 11, 2009.
3. Defendant, Triple R Guitar, Ltd. d/b/a Triple R Guitar (hereinafter the
has retained Counsel and in the course of settlement negotiations, Defendant acknowledges
admits there is due and owing from Defendant the sum as set forth in Plaintiff's Complaint, incl
of attorney's fees, Court costs and collection costs (hereinafter the "Claim").
4. In settlement of this legal action, Defendant shall pay to Plaintiff the sum
$7,200.00 (hereinafter the "Settlement Amount").
5. The Settlement Amount shall be paid as follows:
A. The total amount of $7,200.00 shall be paid at the rate of $200.00 per
beginning simultaneously with the signing of this Stipulation of

however, no later than May 1, 2010, and continuing every thirty (30) days
thereafter until the Settlement Amount is paid in full.
6. Said payments will be made payable to Plaintiff and delivered on or before their due
dates to Plaintiff at Kodak & Imblum, P.C., Post Office Box 11848, Harrisburg, PA 17108-1848, to
the attention of Robert D. Kodak, Esquire. Each payment shall reflect the file number of 34870.
7. In the event any payment as set forth in the preceding Paragraphs is not paid w
due, then the same shall constitute a default under this Stipulation of Settlement. Upon
expiration of ten (10) days from said default, Plaintiff s Counsel shall notify Defendant's
in writing of said default and Defendant shall have fifteen (15) days from the date of the notice
cure said default.
8. Tn the event the default is not cured as set forth hereinabove, Plaintiff shall have
right to make an application to the Court ex parte for a Judgment against Defendant for
Settlement Amount, less any amounts paid by Defendant under this Stipulation of Settlement.
9. After the payments as set forth above are made in full by the Defendant,
Plaintiff's Counsel will execute and file a Discontinuance with prejudice as to the Defendant
the Prothonotary of Cumberland County and provide proof thereof to Defendant's Counsel.

10. The parties agree that Cumberland County shall retain jurisdiction of this matter for
the purposes set forth in this Stipulation of Settlement until the Defendant's payment in full of all
sums due hereunder.
11. The undersigned hereby consent to the form and terms of the within Stipulation of
Settlement.
12. By executing this Stipulation of Settlement, the attorneys for the parties affirm to
Honorable Court that they have the- respective authority of their clients to do so.
