HomeMy WebLinkAbout09-8539. p vs I-J,-N-s 1 MECHANIC'S LIEN WAIVER AGREEMENT WHEREAS, TOA PA VII, L.P., 201 King of Prussia Road, Suite 370, Radnor PA 19087 ("Owner") is an owner in fee of a parcel of land having a parcel number (See attached list) located in Silver Spring Township, Cumberland County, Pennsylvania as more particularly described on Exhibit " 1 " attached hereto (collectively, the "Property"). WHEREAS, Owner entered into a contract (hereinafter "Contract") with TOA Construction Corp., One Saucon View Drive, Bethlehem PA 18015 (hereinafter, "Contractor") to construct single family residences on the Property (hereinafter "Project"). WHEREAS, the Contractor agrees that no mechanic's liens or claims would be filed by it or its subcontractors or materialmen for any work, labor or materials supplied in the performance of the Contract or under a supplemental contract, including extra work, necessary and incidental to the Project. NOW THEREFORE, in consideration of the covenants and promises herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, and intending to be legally bound hereby, it is stipulated and agreed that neither the undersigned Contractor, any of its subcontractor or materialman, nor any other person furnishing labor or materials to Contractor shall file a lien, commonly called a mechanic's lien, for labor supplied or materials furnished to the Project, its said building, buildings, or lot of ground of cartilage appurtenant thereto. Contractor expressly waives and relinquishes its and its subcontractor's and materialmen's right to file or maintain a mechanic's lien or claim for labor supplied or materials furnished to the Project. This stipulation and agreement waiving the right of lien shall be an independent covenant and shall also operate and be effective with respect to work done and materials furnished under any supplemental contract or arrangement for extra work in the erection, construction and completion of such Project, its building, buildings or improvements. In the event any mechanic's lien or claim is filed by the Contractor, its subcontractors or materialmen, Contractor hereby irrevocably waives any right to a jury trial in any action to strike or discharge the lien. If the Contractor or its subcontractors or materialmen file a mechanic's lien, notwithstanding this waiver, the Owner of the premises or the Owner's representatives, shall have the right to discharge or satisfy the lien or claim by appropriate legal proceedings and to retain out of any payment then due or thereafter to become due to the Contractor, an amount sufficient to completely reimburse and indemnify the Owner against expenses and losses resulting from such lien or claim. Such expenses and losses shall include any attorneys' fees, surety bond premiums and other costs incurred in attempting to discharge or satisfy such lien or claim, and any damages or other losses resulting from such lien or claim, all of which the Contractor agrees to pay. If any payment then due to the Contractor by the Owner is not sufficient to reimburse and indemnify the Owner by way of off-set as aforesaid, the Contractor agrees to pay the amount of said difference to the Owner upon demand. Contractor, for itself and all such aforesaid subcontractor or materialmen remise, release and quitclaim all rights and all manner of error and errors, defects and imperfections whatsoever, in entering such satisfaction, and relieves such attorney from any liability whatsoever in filing that satisfaction. The undersigned hereby warrants and represents that at the time of execution of this agreement, no work of any kind has been done and no material or supplies of any kind have been furnished in the performance of the aforesaid Contract or any supplemental contract for extra work in the erection, construction and completion of the Project or otherwise.
