McCALEB LAST WILL AND TESTAMENT I, RAYMOND W. WHITE, of the Borough of Mechanicsburg, County of Cumberland and Commonwealth of Pennsylvania, being of sound and disposing mind, memory and understanding, do make, publish and declare this as and for my Last Will and Testament, hereby revoking and making void all former wills and codicils by me at any time heretofore made. FIRST. I order and direct that all my just debts and funeral expenses be paid by my Executrix or Executors, as the case may be, hereinafter named, as soon as conveniently may be done after my decease. SECOND. I give and bequeath my automobiles and personal effects and such household goods, furniture and furnishings as may be my individual property and not the property of my wife, or owned jointly by me with her, and other tangible personalty of like nature (not including cash or securities), together with any existing insurance thereon, unto my wife, DOROTHY M. WHITE, if she survives me for a period of thirty (30) days. Provided, however, that if my said wife predeceases me or fails to survive me for a period of thirty (30) days, then I give and bequeath such tangible personalty and insurance thereon unto my sons, RAYMOND W. WHITE, JR., and JOHN E. WHITE, or unto the survivor of them if either is not then living, the same to be divided between them by my Executors, hereinafter named, with due regard for their personal preferences in as nearly equal shares as possible. THIRD. If my wife, DOROTHY M. WHITE, survives me for a period of thirty LAW OFFICES MARLIN R. McCALEB (30) days, then and in that event: A. I give, devise and bequeath those assets of my estate, real, personal or mixed, the total value of which is equal to the largest amount that can pass free of federal estate tax by reason of the unified credit in effect at the time of my death (it being my intent to take maximum advantage of said unified credit) and any other credits available for federal estate tax purposes (except the state death tax credit to the extent that the use thereof would require an increase in the amount of state death taxes paid) unto my Trustees, hereinafter named, IN TRUST NEVERTHELESS, to hold, manage, invest and reinvest the same for and during the natural life of my wife, DOROTHY M. WHITE, and during the term thereof: (1) My Trustees shall pay to her or apply for her benefit the net income thereof in quarterly or other convenient installments. (2) My Trustees may from time to time pay to her or apply for her benefit such portions of the principal as my Trustees, in the exercise of their sole and absolute discretion, may deem necessary or appropriate for her health, maintenance, comfortable support and welfare, taking into account the other resources available to her. (3) In addition to the foregoing provisions, my wife shall have the power to direct the Trustees to pay to her or apply out of the principal each calendar year, including the year of my death, an amount not to exceed the greater of Five Thousand and No/100 ($5,000.00) Dollars or five (5%) per centum of the LAW OFFICES MARLIN R. McCALEB aggregate value of the principal of the Trust as of December 1 of each year. This power is noncumulative and can be exercised only by an instrument in writing signed by my wife and delivered to my Trustees. Upon the death of my wife, then and in that event this Trust shall terminate and my Trustees shall pay over and distribute the remaining balance of principal and undistributed income, if any, accordance with the provisions of Item FOURTH, below, as if she had predeceased me. My Trustees shall hold all income and principal from the Trust herein free from all claims, attachments, judgments, executions and liens of every kind and nature by creditors of any beneficiary and no beneficiary shall have any power to anticipate, assign, alienate, pledge, charge or encumber the income or principal of the Trust herein. B. I give, devise and bequeath all the rest, residue and remainder of my estate, real, personal and mixed, whatsoever and wheresoever situate, unto my wife, DOROTHY M. WHITE, absolutely and in fee simple. FOURTH. If my wife, DOROTHY M. WHITE, shall predecease me or fail to survive me for a period of thirty (30) days, then and in that event I give, devise and bequeath all the rest, residue and remainder of my estate, real, personal and mixed, whatsoever and wheresoever situate, as follows: A. I give and bequeath a total amount equal to twenty (20%) per centum of my said estate to be distributed as follows to my grandchildren and -3- LAW OFFICES MARLIN R. McCALEB great-grandchildren: (1) g~ve and bequeath an amount equal to fifteen (15%) per centum of this share unto my grandchild, DOUGLAS WHITE, absolutely; (2) g~ve and bequeath an amount equal to ten (10%) per centum of this share unto my granddaughter, LISA WHITE, absolutely; (3) g~ve and bequeath an amount equal to ten (10%) per centum of this share unto my granddaughter, RACHEL MILBRAND, absolutely; (4) g~ve and bequeath an amount equal to ten (10%) per centum of this share unto my grandson, KEVIN WHITE, absolutely; (5) g~ve and bequeath an amount equal to ten (10%) per centum of this share unto my granddaughter, REBECCA WHITE, absolutely; (6) g~ve and bequeath an amount equal to fifteen (15%) per centum of this share unto my great-granddaughter, ALEXANDRA NICOLE MILBRAND, subject to the provisions of sub-subparagraph (10), below; (7) I give and bequeath an amount equal to fifteen (15%) per centum of this share unto my great-granddaughter, MOLLY ELIZABETH WHITE, subject to the provisions of sub-subparagraph (10), below; (8) I give and bequeath an amount equal to fifteen (15%) per centum of this share unto my great-grandson, DALTON SKYE KEENER, subject to the provisions of sub-subparagraph (10), below; (9) If any of my said grandchildren or great-grandchildren shall -4- LAW OFFICES MARLIN R. McCALEB not be living at the time of distribution of my estate but have lawful issue then living, then I order and direct that the share provided above for such grandchild or great-grandchild shall be paid over and distributed unto his or her said lawful issue, per stirpes and not per capita. (10) If any beneficiary under this sub-paragraph shall not have attained the age of twenty-one (21) years by the time of distribution of my estate, then I order and direct that the share provided above for such beneficiary shall be paid over and distributed unto his or her parent or parents, the same to be held by said parent or parents for the beneficiary as custodian or custodians under the Pennsylvania Uniform Transfers to Minors Act. B. I order and direct that all the rest, residue and remainder of my estate, real, personal and mixed, whatsoever and wheresoever situate, shall be divided into two (2) equal shares and: (1) I give, devise and bequeath one such equal share unto my son, JOHN E. WHITE, absolutely and in fee simple, but if my said son shall predecease me leaving lawful issue to survive me, then I order and direct that the share which he would have received had he survived me shall be paid over and distributed unto his lawful issue per stirpes, said issue to take the ancestor's share by representation and not per capita. (2) I give, devise and bequeath the other such equal share unto my Trustee, hereinafter named, IN TRUST, NEVERTHELESS, to hold, manage, -5- LAW OFFICES MARLIN R. McCALEB invest and reinvest the same for and during the joint natural lives of my son, RAYMOND W. WHITE, JR., and BEVERLY A. WHITE, his wife, and the natural life of the survivor of them, and during the term thereof: (a) My Trustee shall pay to them or either of them, or apply for their benefit, the net income thereof in quarterly or other convenient installments. (b) My Trustee may from time to time pay to them or either of them, or apply for their benefit, such portions of the principal as my Trustee, in the exercise of its sole and absolute discretion, may deem necessary or appropriate for their health, maintenance, comfortable support and welfare, taking into account the other resources available to them. Upon the death of the survivor of my said son and his wife, this Trust shall terminate and the Trustee shall pay over and distribute the balance of the principal and undistributed income, if any, thereof unto their then-living issue, per stirpes, said issue to take the ancestor's share by representation and not per capita. If, during the term of this Trust, my said son and his wife are divorced or separated pursuant to a court decree or formal separation agreement, under the laws of any jurisdiction inside or outside the United States of America, or if the said BEVERLY A. WHITE survives my son but then remarries, then for the purposes of this Trust such divorce, separation or remarriage shall be the -6;- LAW OFFICES MARLIN R. McCALEB equivalent of her death and all of her powers and interests in this Trust shall cease and all subsequent beneficial interests of others shall accelerate and take effect in possession and enjoyment according to the provisions hereof as if she were then deceased. During my lifetime, my wife and I have loaned various sums of money to our sons. To the extent that any such loans shall remain unpaid at my death, then I direct that the amount thereof, including interest accruing to the date of distribution, shall be taken and considered by my Executors, hereinafter named, as part of the share provided above for the son owing the same and shall be accounted for accordingly. My Trustee shall hold all income and principal from the Trust herein free from all claims, attachments, judgments, executions and liens of every kind and nature by creditors of any beneficiary and no beneficiary shall have any power to anticipate, assign, alienate, pledge, charge or encumber the income or principal of the Trust herein. FIFTH. I nominate, constitute and appoint my sons, RAYMOND W. WHITE, JR. and JOHN E. WHITE, Trustees of the Trust created in Item THIRD, above, but if for any reason either of them shall fail to qualify as such Trustee or shall cease so to serve, then I order and direct that the other shall serve with full power and authority herein as the sole Trustee thereof. My Trustees shall serve without bond in this or any other jurisdiction. -7- LAW OFFICES MARLIN R. McCALEB SIXTH. I nominate, constitue and appoint MELLON BANK, of Harrisburg, Pennsylvania, Trustee of the Trust created in Item FOURTH B (2), to serve without bond in this or any other jurisdiction. SEVENTH. In addition to any other powers conferred by law, all of my Trustees are hereby expressly authorized and empowered at all times, in their sole and absolute discretion: A. To purchase, invest in or otherwise acquire and to retain, whether originally a part of the trust estate or subsequently acquired, any and all stocks, bonds, notes mutual funds or other securities, or any variety of real or personal property, including stocks or interests in investment trusts and common trust funds maintained by any bank, or interest-bearing accounts in or certificates issued by any bank, as they may deem advisable without being limited by any statute or rule of law prescribing or relating to legal investments by Trustees; and to hold or retain cash or readily marketable securities of little or no yield for such periods as they may deem advisable. The investments need not be diversified and may be made or retained with a view to a possible increase in value. B. To sell at public or private sale, pledge, mortgage, lease, transfer, exchange, convert or otherwise dispose of, or grant options with respect to, any and all property at any time forming a part of the trust estate, in such manner, at such time or times, for such purposes, for such prices and upon such terms, -8- LAW OFFICES MARLIN R. McCALEB credits and conditions as they may deem advisable, including the right to lease such property for periods of time which may extend beyond the termination of this Trust. C. To borrow money for any purpose connected with the administration, protection, preservation or improvement of the trust estate whenever in there judgment advisable, to execute promissory notes or other obligations for amounts so borrowed, as security for the amounts so borrowed, to mortgage or pledge any real or personal property forming a part of the trust estate upon such terms and conditions as they may deem advisable. D. To vote in person or by general or limited proxy with respect to any shares of stock or other securities held by them; to consent, directly or through a committee or other agent, to the reorganization, consolidation, merger, dissolution or liquidation of any corporation in which the Trust may have any interest, or to the sale, lease, pledge or mortgage of any property by or to any such corporation; and to make any payments and to take any steps which they may deem necessary or proper to enable them to obtain the benefit of any such transaction. E. To hold investments in the name of a nominee. F. To pay, compromise, compound, adjust, submit to arbitration, sell or release any claims or demands of the Trust against others or of others against the Trust on such terms as they may deem advisable, including the acceptance -9- LAW OFFICE5 MARLIN R. McCALEB of deeds of real property in satisfaction of bonds and mortgages, and to make payments in connection therewith which they may deem advisable. G. To decide all questions as to what constitutes income or principal to apportion, allocate, charge or credit as between income or principal all receipts, discounts, premiums and expenditures. H. To make distribution of the principal of the Trust estate in kind, including undivided fractional shares or interests in any property constituting a portion of said principal, or partly in kind and partly in cash, and to determine the value of any property so distributed. I. To execute and deliver any and all instruments in writing which they may deem advisable to carry out any of the foregoing powers. No party to any such instrument in writing signed by the Trustees shall be obliged to inquire into its validity, or be bound to see to the application by the Trustees of any money or other property paid or delivered to them by such party pursuant to the terms of any such instrument. J. To purchase assets from my estate at fair market value; to lend money to my estate with or without security; and to advance money to my estate, without reimbursement, for the payment of costs of administration and taxes incurred or accruing by reason of my death, except that any property or proceeds received by my Trustees that is exempt from federal or state inheritance taxes shall not be used or applied for the payment of such costs of administration or -10- LAW OFFICES MARLIN R. McCALEB taxes. K. To repair, alter or improve any property of the trust estate. L. To add to the principal of any trust created hereunder any property received from any person by deed, will or in any other manner. M. To pay premiums of any life insurance, annuity or endowment policies which may have been retained or purchased herein and to exercise any right, option or privilege existing thereunder. N. In dividing the trust estate into shares or trusts, to allot undivided interests in any property to the several shares or trusts, and also to make investments in common for any or all such shares or trusts. O. In the exercise of their discretion with respect to the use of principal or income for any beneficiary, to take into account other property and income available to such beneficiary; in so doing, my Trustees may conclusively rely on written representations made to them by the beneficiary, and the judgment of the Trustees as to the amount of principal or income so used and the extent to which other resources are considered shall be conclusive as to all parties in interest. EIGHTH. All federal, state and other death taxes payable because of my death, with respect to the property forming my gross Estate for tax purposes, whether or not passing under this Will, including any interest or penalty imposed in connection with such tax, together with any debts and administration expenses -Il- LAW OFFICES MARLIN R. McCALEB that are not deductible for federal estate tax purposes, shall be considered a part of the expense of the administration of my Estate and if my wife, DOROTHY M. WHITE, survives me for a period of thirty (30) days the same shall be paid out of the property allocated to the Trust in Item THIRD A., above, but if she does not survive me for a period of thirty (30) days then the same shall be paid out of the residue of my Estate, all without apportionment or right of reimbursement. LASTLY. I nominate, constitute and appoint my wife, DOROTHY M. WHITE, Executrix of this, my Last Will and Testament, but if for any reason she shall fail to qualify as such Executrix or cease so to serve, then I nominate, constitute and appoint my children, RAYMOND W. WHITE, JR., and JOHN E. WHITE, as Executors, to serve in her place and stead, but if for any reason either of them shall fail to qualify as such Executor or cease so to serve, then my other child shall serve with full power and authority herein as sole Executor. (10) If any beneficiary under this sub-paragraph shall not have attained the age of twenty-one (21) years by the time of distribution of my estate, then I order and direct that the share provided above for such beneficiary shall be paid over and distributed unto his or her parent or parents, the same to be held by said parent or parents for the beneficiary as custodian or custodians under the Pennsylvania Uniform Transfers to Minors Act. B. I order and direct that all the rest, residue and remainder of my estate, real, personal and mixed, whatsoever and wheresoever situate, shall be divided into two (2) equal shares and: (1) I give, devise and bequeath one such equal share unto my son, JOHN E. WHITE, absolutely and in fee simple, but if my said son shall predecease me leaving lawful issue to survive me, then I order and direct that the share which he would have received had he survived me shall be paid over and distributed unto his lawful issue per stirpes, said issue to take the ancestor's share by representation and not per capita. Upon the death of the survivor of my said son and his wife, this Trust shall terminate and the Trustee shall pay over and distribute the balance of the principal and undistributed income, if any, thereof unto their then-living issue, per stirpes, said issue to take the ancestor's share by representation and not per capita. If, during the term of this Trust, my said son and his wife are divorced or separated pursuant to a court decree or formal separation agreement, under the laws of any jurisdiction inside or outside the United States of America, or if the said BEVERLY A. To the extent that any such loans shall remain unpaid at my death, then I direct that the amount thereof, including interest accruing to the date of distribution, shall be taken and considered by my Executors, hereinafter named, as part of the share provided above for the son owing the same and shall be accounted for accordingly. White, an adult individual who lives and resides at 601 South Frederick Street, Borough of Mechanicsburg, Cumberland County, Pennsylvania. 2. Raymond W. White ("Decedent") died on January 2, 2004, a resident of the Borough of Mechanicsburg, Cumberland County, Pennsylvania, having first made his Last Will and Testament dated July 17, 1998, a true copy of which is attached hereto and made a part hereof, marked Exhibit "A". 3. Letters Testamentary were issued by the Register of Wills of Cumberland County, Pennsylvania, to Petitioner on January 22, 2004, and said Letters remain in full force and effect. 4. In Item THIRD of his Will, the Decedent provided for LAW OFFICES MARLIN R. McCALEB a portion of his estate to be held in a credit shelter Trust for the benefit of his wife, Dorothy M. White, during her lifetime. ~i 5. The Decedent further provided in Item THIRD of his will that upon the death of the said Dorothy M. White, her Trust would terminate and the balance thereof would be distributed as follows: A. An amount equal to twenty (200) percent thereof to various grandchildren and great-grandchildren; and B. An amount equal to forty (40%) percent thereof unto his son, John E. White; and C. An amount equal to forty (400) percent thereof to be held in trust for his son, Raymond W. White, Jr., and his wife, Beverly A. White, during their lifetimes, with Mellon Bank to serve as Trustee. 6. The said Dorothy M. White survived the Decedent and died on April 21, 2009. 7. The balance of the Dorothy M. White Trust consists of an investment account at Merrill-Lynch, having a balance of $517,899.24 as of November 30, 2009, and a commercial property at 500 East Main Street, Borough of Mechanicsburg, Cumberland County, Pennsylvania, that is listed for sale at $219,000.00. 8. It is reasonably estimated that the share of the Dorothy M. White Trust to be held in trust for Raymond W. White, Jr., and his wife, Beverly A. White, as described in Paragraph 6(C), above, is approximately $287,000.00. 9. In 2001, Mellon Bank transferred its banking operations to Citizens Financial Group ("Citizens Bank") and in LA~1- (~f fl(:FS MARLIN R. McCALEB -2- 2007, it merged with Bank of New York and transferred its fiduciary operations (trust and estate administration) to a subsidiary, BNY Mellon Wealth Management. 10. BNY Mellon Wealth Management has declined to serve as Trustee of the Trust for Raymond W. White, Jr., and Beverly A. White, his wife, as described in Paragraph 6(C), above, because its minimum balance for Trust management is $1,500,000.00. See its Renunciation attached hereto and made a part hereof, marked Exhibit "B". 11. Orrstown Bank is willing to serve as substituted Trustee for Mellon Bank and accepts appointment as Trustee of the Trust created under Item FOURTH.B(2) of Decedent's Last will and Testament dated July 17, 1998. Upon the death of the survivor of my said son and his wife, this Trust shall terminate and the Trustee shall pay over and distribute the balance of the principal and undistributed income, if any, thereof unto their then-living issue, per stirpes, said issue to take the ancestor's share by representation and not per capita. If, during the term of this Trust, my said son and his wife are LAW OFFICES MARLIN R. MICALEB divorced or separated pursuant to a court decree or formal separation agreement, under the laws of any jurisdiction inside or outside the United States of America, or if the said BEVERLY A. WHITE survives my son but then remarries, then for the purposes of this. Trust such divorce, separation or remarriage shall be the -6- equivalent of her death and all of her powers and interests in this Trust shall cease '~ ~a :~ and all subsequent beneficial interests of others shall accelerate and take effect in possession and enjoyment according to the provisions hereof as if she were then deceased. During my lifetime, my wife and I have loaned various sums of money to our sons. WHITE, his wife, and the natural life of the survivor of them, and during the term thereof: (a) My Trustee shall pay to them or either of them, or apply for their benefit, the net income thereof in quarterly or other convenient installments. (b) My Trustee may from time to time pay to them or either of them, or apply for their benefit, such portions of the principal as my Trustee, in the exercise of its sole and absolute discretion, may deem necessary or appropriate for their health, maintenance, comfortable support and welfare, taking into account the other resources available to them. Upon the death of the survivor of my said son and his wife, this Trust shall terminate and the Trustee shall pay over and distribute the balance of the principal and undistributed income, if any, thereof unto their then-living issue, per stirpes, said issue to take the ancestor's share by representation and not per capita. If, during the term of this Trust, my said son and his wife are divorced or separated pursuant to a court decree or formal separation agreement, under the laws of any jurisdiction inside or outside the United States of America, or if the said BEVERLY A.
