LAST WILL AND TESTAMENT
OF
ESTELLE R. MILLEMAN
I, ESTELLE R. MILLEMAN, of Cumberland County, Pennsylvania do
make, publish and declare this as my Last Will and Testament, hereby revoking all my
prior Wills and Codicils.
FIRST: I have or intend to prepare a schedule listing various items of
my tangible personal property and the persons to whom I wish those items to be
distributed. I direct my Executrices to distribute the items of tangible personal property
listed on said schedule in accordance therewith. The schedule may be found with my
copy of this Will or with my attorney. I give my tangible personal property not distributed
in accordance with the said schedule or all of said property if the schedule is not found,
together with any policies of insurance thereon, to those of my children, PATRICIA J.
YOUNG and CYNTHIA ANN REDDINGTON, who survive me, to be divided between
them as they may agree.
SECOND: I give the sum of Five Hundred Dollars ($500.00) to each of
my surviving grandchildren and great grandchildren. If any beneficiary is a minor, his or

her share shall be distributed to a Uniform Gifts to Minors Act account (UGMA) with a
Custodian appointed by my Executrices, who may be appointed as the Custodian.
THIRD: All the rest, residue and remainder of my property and
estate, I give, devise and bequeath in equal shares to my daughters, PATRICIA J.
YOUNG and CYNTHIA ANN REDDINGTON. If either of my said daughters is not then
living, her share of my estate shall be distributed to her issue, per stirpes, and if there
be none, her share shall be distributed to my issue, per stirpes.
FOURTH: My Executrices shall have, in addition to and not in limitation
of any authority given to them by law, and without the necessity of obtaining the consent
of any court, the following powers:
A. to retain for distribution any assets which I own at my ddath;
B. to accept assets which are a part of my estate in distribution
of my estate and to retain those assets;
C. to invest and reinvest in any kind of property, reel or
personal, or part interest therein, without being restricted to "legal investments";
D. to give options for sales, leases and exchanges;
E. to borrow money;

F. to sell, pledge, exchange or mortgage any real or personal
property;
G. to compromise claims;
H. to lease real or personal property for any terms, even'~,those
not authorized by law;
I. to join in or oppose the merger, consolidation, reorganisation
or readjustment of the financial structure of any firm or corporation;
J. to carry securities or other property in the name I of a
nominee;
K. to distribute the estate or trust estate either in cash for in
kind, in non-pro rata shares and without regard to income tax basis; and
L. to exercise stock options and to borrow funds necessary to
do so.
FIFTH: I direct that all estate, inheritance and other taxes irk the
nature thereof, together with any interest and penalties thereon, becoming payable
because of my death with respect to the property constituting my gross estate for cireath
tax purposes, whether or not such property passes under this Will, shall be paid ~rom
my residuary estate. No legatee or devisee or any person having a beneficial inter~'st in
any such property, whether under this Will or otherwise, shall at any time be requir~d to

refund any part of such taxes. At any time prior to the vesting of a future interest in
possession and enjoyment, my Executrices shall have the discretion to elect to prepay
all or any part of the death taxes and such election shall be binding upon all parkies in
interest.
SIXTH: I authorize my Executrices to claim any expenses of
administration of my estate as income tax deductions upon an income tax rettum or
returns whenever in their judgment such action will achieve an overall reduction in the
total income and death taxes. No compensating adjustments between income and
principal shall be made as a result of such action. I also authorize my Executrces to
join with my husband or his personal representative in the filing of a joint income tax
return for any period for which such a return may be permitted, without requiring my
husband or his estate to indemnify my estate against liability for the tax attributable to
his income, and to consent for federal gift tax purposes, to having gifts made by my
husband during my lifetime treated as having been made half by me.
SEVENTH: I appoint my daughters, PATRICIA J. YOUNG and CYNtHIA
ANN REDDINGTON, Executrices of this, my Last Will and Testament.
EIGHTH: All powers, authorities and discretions conferred upon and
granted to the fiduciaries named herein shall extend to and be exercisable by 1:heir
successor or successors, either appointed herein or by a court of proper jurisdiction.',
