I, WILMA D. GIANCOLI, of Carlisle, West Pennsboro Township, Cumberland
County, Pennsylvania, being of sound mind, memory and understanding, do make,
publish and declare this as and for my Last Will and Testament, hereby revoking all
former V~ri!ls and Codicils at any time heretofore made by me.
FIRST. I direct all my debts and funeral expenses, including all inheritance taxes
that may be assessed against my estate, be fully paid and satisfied out of my estate by
my personal representative, hereinafter named, as soon as practicable.
SECOND. I direct that my funeral and service be held at Ewing Brothers Funeral
Home. There is to be no public viewing. However, I direct that there be a private family
viewing before the Catholic service is held at the funeral home. Burial shall be in the
cemetery plot I own in St. Patrick's Cemetery, North Middleton Township.
TttlRD. I give and bequeath all my rights, title and interest in my cabin located
on State Forest land, known as Forest Camp Lease 1-C-451 located in Cooke Township,
at 30 Leper Farm Road, Gardners, Pennsylvania, to my sons, JOSEPH F. GIANCOLI, JR.,
and MICHAEL GIANCOLI, and my grandchildren, MICHAEL J. GLANCOLI and
KATHERYN G. YAUKEY.
FOURTH. I give, devise and bequeath all the rest, residue and remainder of my
estate, real and personal, and my property of every kind and description, wherever
situate and in whatever form my personal representative has placed same, to my

children, JOSEPH F. GIANCOLI, JR, MICHAEL GIANCOLI, DIANE G. WANNER and
KATHRYN GOSSAGE, equally, then to their issue then living, per stirpes.
In the event that my children shall be unable to agree on the distribution of my
property, I direct that any item which cannot be agreed upon for distribution shall be
sold at public or private sale and the proceeds thereof be divided among them.
FIFTH. I authorize and direct that my personal representative, hereinafter named,
may convert all or any part of my estate into cash at either public or private sale or sales
at the best price or prices obtainable in his discretion, and make distribution in kind,
in cash, or partly in kind and partly in cash.
SIXTH. I hereby nominate, constitute and appoint my son, JOSEPH F. GIANCOLI,
JR., Executor, of this, my Last Will and Testament. In the event the said JOSEPH F.
GIANCOLI, JR. should predecease me, resign, renounce, refuse or be unable to serve
for any reason or should die before my estate is fully administered, then in any of those
events, I nominate, constitute and appoint my daughter, DIANE G. WANNER, as
Alternate Executrix, of this my Last Will and Testament. I direct that my personal
representatives shall serve in this or any other jurisdiction without furnishing bond or
surety.

If any tax due is paid within three (5) calendar months after the decedent's death, a five percent (51) discount of
the tax paid is allowed.
The 151 tax amnesty nan-participation penalty is computed on the total of the tax and interest assessed, and not
paid before January 18, 1996, the first day after the end of the tax amnesty period. This non-participation
psnaIty is appealable in the same manner and in the the same time period as you wouZd appeal the tax and interest
that has been assessed as indicated on this notice.
Interest is charged beginning with first day of delinquency, or nine (9) months and Dna (l) day from the date of
death, to the date of payment. Taxes which became delinquent before January 1, 1981 bear interest at the rate of
six E6Z) percent per annum calculated at a daily rate of .000164. All taxes which became delinquent on and after
January 1, 1982 will bear interest at a rate which will vary from calendar year to calendar year with that rate
announced by the PA Department of Revenue. The applicable interest rates for 1981 through Z004 are:

KNOW ALL MEN BY THESE PRESENTS, that
WHEREAS, WILMA D. GIANCOLI, late of Carlisle, Cumberland County,
Pennsylvania, deceased, died testate on January 23, 2004, having first made her Last Will and
Testament, which was duly executed on March 23, 2000, and duly recorded at the Register of
Wills in Cumberland County, Pennsylvania.
WHEREAS, the said Wilma D. Giancoli, by the aforesaid Last Will and Testament
named Joseph F. Giancoli, Jr., as EXecutor of said Last Will and Testament;
WHEREAS, letters testamentary on the estate of the said decedent were duly issued by
the Register of Wills of Cumberland County, Pennsylvania, to the said Executor hereinafter
called personal representative;
WHEREAS, the said personal representative has gathered the assets of the estate of the
said decedent and the assets consist of personal property to a total value of $124,548.18 as set
forth in Exhibit A, which is a statement of account of the said personal representative, and which
is attached hereto and made a part hereof and marked Exhibit A;
WHEREAS, the debts and deductions, including the payment of inheritance tax of the
said estate, amount to $27,569.17 leaving the sum of $96,979.01 for distribution, also as set forth
in the statement of the said personal representative, which is attached hereto and marked Exhibit
A;

NOW, THEREFORE, KNOW YE, that we, Joseph F. Giancoli, Jr., Michael Giancoli,
Diane E. Wanner and Kathryn Gossage, the heirs under the Last Will and Testament of the said
decedent and being those persons entitled to inherit under said Last Will and Testament, and in
order to avoid the expense and time involved in the filing of a formal account and schedule of
distribution, agree that no account is necessary and do hereby agree and consent to distribution
being made without the filing of an account and schedule of distribution, the same to be with the
same force and effect as if they had been filed and confirmed by the Orphans' Court Division of
the Court of Common Pleas, Cumberland County.
THEREFORE, We do hereby remise, release, quitclaim and forever discharge the said
personal representative, JOSEPH F. GIANCOLI, JR., his heirs, executors, administrators, and
assigns of and from the said estate and from all actions, suits, payments, accounts, reckonings,
claims, and demand whatsoever for or by reason thereof, or for any other use, matter, cause or
thing whatsoever, touching upon the estate of the said decedent, and we do further hereby
covenant and agree that should any liability come due to the estate of the said decedent after the
signing of this agreement, do hereby covenant and agree that we will contribute our prorata share
of the estate to satisfy any and all claims, demands, suits, or causes of action which may be
successfully prosecuted against the said estate or the aforesaid personal representative after the
signing, sealing and delivery of this family settlement agreement and final release.

I, WILMA D. GIANCOLI, of Carlisle, West Pennsboro Township, Cumberland
County, Pennsylvania, being of sound mind, memory and understanding, do make,
publish and declare this as and for my Last Will and Testament, hereby revoking all
former Wills and Codicils at any time heretofore made by me.
FIRST. I direct all my debts and funeral expenses, including all inheritance taxes
that may be assessed against my estate, be fully paid and satisfied out of my estate by
my personal representative, hereinafter named, as soon as practicable.
SECOND. I direct that my funeral and service be held at Ewing Brothers Funeral
Home. There is to be no public viewing. However, I direct that there be a private family
viewing before the Catholic service is held at the funeral home. Burial shall be in the
cemetery plot I own in St. Patrick's Cemetery, Nor[h Middleton Township.
TIqlRD. I give and bequeath all my rights, title and interest in my cabin located
on State Forest land, known as Forest Camp Lease 1-C-451 located in Cooke Township,
at 30 Leper Farm Road, Gardners, Pennsylvania, to my sons, JOSEPH F. GIANCOLI, JR.,
and MICHAEL GIANCOLI, and my grandchildren, MICHAEL J. GIANCOLI and
KATHERYN G. YAUKEY.
FOURTH. I give, deVise and bequeath all the rest, residue and remainder of my
estate, real and personal, and my property of every kind and description, wherever
situate and in whatever form my personal representative has placed same, to my

children, JOSEPH F. GIANCOLI, JR, MICHAEL GIANCOLI, DIANE G. WANNER and
KATHRYN GOSSAGE, equally, then to their issue then living, per stirpes.
In the event that my children shall be unable to agree on the distribution of my
property, I direct that any item which cannot be agreed upon for distribution shall be
sold at public or private sale and the proceeds thereof be divided among them.
FIRTH. I authorize and direct that my personal representative, hereinafter named,
may convert all or any part of my estate into cash at either public or private sale or sales
at the best price or prices obtainable in his discretion, and make distribution in kind,
in cash, or partly in kind and partly in cash.
SIXTH. I hereby nominate, constitute and appoint my son, JOSEPH F. GIANCOLI,
JR., Executor, of this, my Last Will and Testament. In the event the said JOSEPH F.
GIANCOLI, JR. should predecease me, resign, renounce, refuse or be unable to serve
for any reason or should die before my estate is fully administered, then in any of those
events, I nominate, constitute and appoint my daughter, DIANE G. WANNER, as
Alternate Executrix, of this my Last Will and Testament. I direct that my personal
representatives shall serve in this or any other jurisdiction without furnishing bond or
surety.
