COMPLAINT
Plaintiff Rite Aid Hdqtrs. Corp. ("Rite Aid"), by its undersigned attorneys, files
this Complaint alleging as follows:
PARTIES
1. Rite Aid is a Delaware corporation with its principal place of business at
30 Hunter Lane, Camp Hill, Pennsylvania 17011.
2. On information and belief, defendant Be. Products Co., LLC ("Be.") is a
Massachusetts limited liability corporation with a principal place of business at 377 J. Elliot
Street, Newton, Massachusetts, 02464.
JURISDICTION AND VENUE
3. This court has jurisdiction pursuant to 42 Pa.C.S. §93l(a).
4. Venue in this Court is proper because the cause of action arose in
Cumberland County and a transaction or occurrence took place out of which the cause of action
arose in Cumberland County.
RELEVANT FACTS
5. Rite Aid is a national drug store chain with its principal office in
Cumberland County, Pennsylvania.
6. At all times relevant to this Complaint, Be. was involved in the
manufacture, sale and distribution of skin care products (collectively "Products").
7. Rite Aid and Be. entered into several agreements regarding the sale of Be.
candy in Rite Aid's retail drug stores.
8. On August 28, 2007, Rite Aid and Be. entered into a Guaranteed Sales
Agreement ("GSA") in which Be. "guarantee[d] the sale of [Be.'s] product to Rite Aid at both
Customer Service Centers (i.e. distribution centers) and retail locations." A true and correct
copy of the GSA, a valid and enforceable written contract, is attached to this Complaint as
Exhibit A.
9. Under the GSA, Rite Aid had the right to return all unsold product to Be.
for a cash refund.
10. Specifically, the GSA provided:
If at any time Rite Aid determines in its sole discretion that
Vendor's product(s) performance continues to be unacceptable,
Rite Aid will have the right to return at Vendor's expense all
unsold product(s) to Vendor's facility in return for Vendor's cash
payment to Rite Aid for any products for which Rite Aid has paid,
but have not been sold.
See Exhibit A.
11. On August 27, 2007, Rite Aid and Be. also entered into a Rite Aid Returns
Agreement ("Returns Agreement") that provided the manner in which Be.'s products could be
returned to Be.. A true and correct copy of the Returns Agreement, a valid and enforceable
written contract, is attached to this Complaint as Exhibit B.
12. The Returns Agreement permitted Be. to direct how Rite Aid should
handle damaged, defective, outdated and discontinued goods ("unsaleable product"). See Exhibit
B.

13. Be. decided that the unsaleable product should be scanned and donated,
and Be. agreed to pay a fee for this particular method of disposition. See Exhibit B.
14. Be. also agreed to pay the following processing fees for damaged,
defective, outdated, and discontinued goods: Direct Product Cost - $0.085; Post Damage -
$0.111, Ops through Scan - $0.101, all totaling $0.297. See Exhibit B.
15. Be. also entered into Promotional Funding Agreements with Rite Aid
whereby it agreed to fund the marketing and advertising of Be. Products. True and correct
copies of the Promotional Funding Agreements, valid and enforceable written contracts, are
attached to this Complaint as Exhibit C.
16. Pursuant to the Promotional Funding Agreements, Be. agreed to deduct
the marketing costs from the amounts owing by Rite Aid. See Exhibit C.
17. On May 5, 2009, following Be.'s failure to satisfy its obligations under the
Promotional Funding Agreements, Rite Aid agreed to cancel the Promotional Funding
Agreement for Fiscal Year 2010, on a forward-looking basis, so as to prevent future damages. A
true and correct copy of the canceled Promotional Funding Agreement is attached to this
Complaint as Exhibit D.
18. Be. also signed Rite Aid Incremental Investment Agreements whereby it
agreed to fund retail store markdowns, scandowns, fixture displays and manufacturer coupons.
True and correct copies of the Incremental Investment Agreements, valid and enforceable written
contracts, are attached to this Complaint as Exhibit E.
19. Due to the fees and expenses charged pursuant to the agreements listed in
paragraphs 7 through 18 above ("Fees"), as of January 22, 2010, Be.'s account with Rite Aid has

a $568,256.35 negative balance, which is expected to grow after all returns are processed and
other account charge backs are applied.
20. On information and belief, the amount due and owing to Rite Aid will
continue to increase.
21. As of the date of the filing of this Complaint, Be. is in breach of the GSA,
Returns Agreement, Promotional Funding Agreement, Incremental Investment Agreements and
other related account contracts and agreements because it refuses to pay Rite Aid the negative
balance on its account.
COUNTI
BREACH OF CONTRACT
22. Rite Aid incorporates the averments in paragraphs 1 through 21 above as
if fully set forth herein.
23. As noted in paragraphs 7- 18 above, Rite Aid and Be. entered into various
valid and enforceable written agreements under which Be. agreed to pay certain Fees.
24. To date, Be. owes Rite Aid $568,256.35 in Fees. A statement of the
account of the negative balances and summary sheets reflecting this amount is attached as
Exhibit F.
25. Despite repeated requests, Be. refuses to pay the negative account balance
of $568,256.35 to Rite Aid.
26. Rite Aid has performed all conditions precedent under the GSA, Returns
Agreement, Promotional Funding Agreement, Incremental Investment Agreements and all
related agreements under the account.

27. Be. is in breach of the GSA, Returns Agreement, Promotional Funding
Agreement, Incremental Investment Agreements and all related agreements because it has failed
to pay the negative balance on its account.
28. As of January 25, 2010, Rite Aid has suffered damages in excess of
$568,256.35, an amount that will increase as additional returns and other Fees are processed, due
to the breaches of Be..
WHEREFORE, Rite Aid requests judgment in an amount in excess of
$568,256.35, plus interest, costs and all other amounts deemed appropriate by the Court.
COUNT II
UNJUST ENRICHMENT
29. Rite Aid incorporates the averments in paragraphs 1 through 28 above as
if fully set forth herein.
30. In the event Be. contends no contractual relationship exists, Rite Aid is
entitled to recover the outstanding amounts to prevent Be. from being unjustly enriched.
31. As is customary in the industry, Be. was to pay for certain Fees associated
with the sale of its product.
32. Be. owes Rite Aid $568,256.35 in Fees.
33. Rite Aid has a reasonable expectation to receive the Fees incurred.
34. Be. reasonably should have expected to pay the Fees as such Fees are
custom in the industry.
35. It would be inequitable for Be. to receive the benefit of the $568,256.35
still owed to Rite Aid.
36. In the event the contracts are deemed to be unenforceable, Rite Aid has no
adequate remedy at law.

37. Rite Aid is entitled to collect the outstanding balance, plus interest, from
Be. under the doctrine of unjust enrichment.
WHEREFORE,, Rite Aid requests that judgment be entered against Be. in the
amount of $568,256.35 plus interest, costs and all other amounts deemed appropriate by the
Court.

RITE AID CORPORATION
GUARANTEED SALES AGREEMENT
Rite Aid will consider Vendor's product(s) for distribution and sale under the terms and
conditions set forth in this Agreement. In consideration of Rite Aid's agreement to review a new
entry into its mix, as well as in consideration of the mutual premises contained herein, the parties
agree as follows:
l . Vendor will guarantee the sale of Vendor's product(s) to Rite Aid at both Customer
Service Centers (i.e. distribution centers) and retail locations. + . .
2. During the ftrst one hundred twenty (120) days, or such other period as Rite Aid may
determine in its sole discretion (it being understood by Vendor that Rite Aid-may
terminate this Agreement in its sole discretion at any time, for any reason whatsoever)
following the date if the Vendor's first delivery of product(s) to Rite Aid (the "Review
Period"), Vendor's account will be on a review status to permit Rite Aid to assess the
performance of the product(s). During the Review Period, Rite Aid will pay only for
those product(s) that are actually sold, and Rite Aid's payment will be reduced by any and
all cash discounts or other debit amounts (including, but not limited to, advertising,
displays, markdowns and price protection) due to Rite Aid. If at the end of the Review
Period, Rite Aid determines, in its sole discretion, that the Vendor's product(s) is not
selling at an acceptable rate, then kite Aid will have the right to (a) require Vendor to
review and modify Vendor's marketing plan to ensure future success and (b) extend the
due date of the original invoice submitted by
require a cash payment, as described in paragraph (3) below. The foregoing rights are not
exclusive. At the end of the Review Period, Rite Aid may terminate this Agreement, place
the Vendor on Rite Aid's customary payment terms, or extend the Review Period as Rite
Aid, in its sole discretion, so desires.
3. If at any time Rite Aid determines in its sole discretion that Vendor's product(s)
performance continues to be unacceptable, Rite Aid will have the right to return at
Vendor's expense all unsold product(s) to Vendor's facility in return for Vendor's cash
payment to Rite Aid for any products for which Rite Aid has paid, but have not been sold.
Vendor's payment to Rite Aid shall be made (a) by wire transfer of immediately available
funds or certified check, and (b) no later than fifteen (15) days after Rite Aid has returned
the product(s). Vendor acknowledges and agrees that in the event that any of Vendor's
allowances are funded with "free product" from Vendor, that "free product" will be
treated identically to product purchased from Vendor by Rite Aid. This includes,but is
not limited to, returns of this product Vendor.
4. Upon settlement of Vendor's account, all outstanding invoices will be paid promptly, less
any and all cash discounts or other debit amounts due to Rite Aid.

5. The terms and conditions of this Agreement are in addition to, and in no way limit, Rite
Aid's rights and remedies under Rite Aid's Vendor Profile, standard terms and conditions
or purchase orders. In the event of inconsistency between the terms and conditions of the
Agreement and any of the foregoing documents, this Agreement will govern.
6. The parties agree that Pennsylvania law governs this Agreement not withstanding its
conflicts of law provisions. Any lawsuit brought with regard to this Guaranteed Sales
Agreement will be venued in the Court of Common Pleas, Cumberland County,
Pennsylvania.
7. The parties specifically agree that 13 Pa. C.S.A. §2326 & 2327(b) are inapplicable and
that Vendor will accept returned goods in their "as-is" condition.
8. All returns are 'at risk of vendor.
9. Vendor can not assign any product covered by this Agreement to any third parry without
the express written consent of a Vice President of Category Management.
Rite Aid is enthusiastic about the opportunity to distribute product(s) into the marketplace. Rite
Aid wishes you every success in your endeavor to provide a product that is unique. Please allow
Rite Aid to assist you in your distribution needs by arranging for a duly authorized officer to sign
and date this Agreement on behalf of your company, and return the executed letter to Rite Aid's
Merchandising Department.

in Rite Aid stores. The Promotional Funding Is in addition to and not in substitution for or dirrilnutlon
of any negotiated pricing, payment terms. volume incentives, rebates, other contract purchase
incentives, funding for retah markdowns, off-shall' displays, Single Check Robs* fulfillment, new
items, new store allowances, Health Resource Rke Advice participation, Trade Show participation,
Rite Aid Health and 8esuty Expos, Rite Aid Foundation Charity Golf Classic, or other programs now
existing or that may be developed from tirre to time.
The Suppliers Minimum Promotional Funding Cormitment is firm and ran-cancelable. Proof of
performance will not be provided. Invoicing (for deduction from amounts owing by Rite Aid to
Supplier) of Minimum Promotlorial Funding Co nt will occur in 12 equal installments on or
about the 1st day of each calendar month beginning 311109.
The Promotional Funding is based on actual fiscal year 2010, (March 1, 2009 - Feb. 27, 20M
gross purchases. I actual gross purchases exceed the Forecasted Grass Purchases set forth
below, the additional funding will be billed and deducted in the final invoicing on or about 212&10.

Plaintiff Rite Aid Hdgtrs. Corp. ("Rite Aid"), by its undersigned counsel, hereby
moves this Honorable Court, pursuant to 42 Pa.C.S. §5325 and Pa. R.C.P. 4015, to issue a
commission authorizing the issuance of a subpoena duces tecum and the taking of a deposition
outside the Commonwealth of ~n individual identified herein, on the following grounds:
1. Rite Aid commenced this action on February 23, 2010, to recover
damages sustained as a result of Defendant Be. Products Co., LLC's ("Be") breach of various
agreements.
2. On May 5, 2010, Rite Aid filed a Praecipe to Reinstate Complaint.
3. Rite Aid as attempted to serve the complaint upon Be at several
locations, all of which attempts ave been unsuccessful.

4. On Apri128, 2010. a process server attempted to serve the complaint at an
address in Piscataway, New Jersey believed to be associated with Be.
5. Upon arrival at that location, the process server was informed by Michael
Barbanel of Hanan Enterprise Sales, Inc. ("Hanan") that Be no longer operated at that location,
and that Hanan had purchased siome of Be's assets.
6. -Rite Aid has been unable to independently verify Mr. Bazbanel's claims,
and attempts to locate and speak with Mr. Bazbanel's attorney have been unsuccessful.
7. A New Jersey Business Entity Status Report identifies Mr. Barbanel as the
Chief Executive Officer of Hann, and lists its office address as 10 Beena Way, Manalapan, New
Jersey, 07726. A true and correct copy of that Business Entity Status Report is attached hereto
as Exhibit A.
8. Plaintiff wishes to obtain both testimony and documents from Mr,
Bazbanel and Hanan, who, on ihformation and belief, is not employed by any party to this action
or a parent or subsidiary of any party to this action, and is believed to have personal knowledge
of facts relevant to the matters ~t issue in the action.
9. Plaintiff wishes to obtain both testimony and documents from Mr.
Barbanel and Hanan for the maun purpose of locating the Defendant so as to properly effectuate
service of the Complaint in this action.
10. Plaintiff wwishes to obtain both testimony and documents from Mr.
Barbanel and Hanan for discovery purposes and for possible use at trial insofaz as Mr. Bazbanel
resides outside the subpoena power of this Court.
11. In order t obtain discovery from Mr. Barbanel and Hanan, a commission
should be issued, approving the issuance of a subpoena duces tecum directed to the respective

witness identified hereinabove.
12. A copy of the proposed commission is attached hereto as Exhibit B.
13. A copy of the proposed subpoena duces tecum (currently unsigned and
with date and location to be detiermined) is attached hereto as Exhibit C.
14. Under the laws of the State of New Jersey, the courts of that jurisdiction
may issue process requiring the attendance of witnesses for deposition and production of
documents ancillary to civil prpceedings in other states, pursuant to an ex pane petition filed
by a party such as Rite Aid. Sep N.J. Court Rules, R. 4:11-4, a copy of which is attached hereto
as Exhibit D.
15. The interests of justice will be served if this Honorable Court will cause
a commission in the form attaclhed hereto to be issued, whereupon Plaintiff's counsel will cause
such commission to be presented to the appropriate judicial authority by ex parse petition, as
described above.
16. The officer to be used by Plaintiff, and before whom the deposition is to
be taken, will be a notary public, court reporter or other competent authority authorized to
administer oaths by the laws of the United States or of the Commonwealth of Pennsylvania, or of
the place where the deposition is to be held, and will be competent and qualified to execute a
commission for taking and supervising the oral deposition of Mr. Barbanel.
17. The oral deposition of Mr. Barbanel will not be taken before an officer
who is a relative, employee or attorney of any of the parties to this action or who is a relative or
employee of such attorney, or v~ho is financially interested in this action, and will not otherwise
be disqualified under Pennsyly is Rule of Civil Procedure 4015(c).
18. As set fo h in the attached certificate, Plaintiff has been unable to seek

19. Discovery is not necessary to resolve this motion.
20. Oral azgument is not requested.
WHEREFORE, Plaintiff requests that this Honorable Court issue a commission,
authorizing the issuance of a subpoena duces tecum, and authorizing any notary public, court
reporter or other competent autliority authorized to administer oaths and take testimony pursuant
to Pennsylvania Rule of Civil Procedure 4015 and 42 Pa. C.S.A. §5325, to take the out of state
deposition of Michael Bazbanel as Chief Executive Officer of Hanan Enterprise Sales, Inc., in
accordance with the Pennsylvania and other applicable Rules of Civil Procedure and statutes.

COMPLAINT
Plaintiff Rite Aid Hdqtrs. Corp. ("Rite Aid"), by its undersigned attorneys, files
this Complaint alleging as follows:
PARTIES
I . Rite Aid is a Delaware corporation with its principal place of business at
30 Hunter Lane, Camp Hill, Pennsylvania 17011.
2. On information and belief, defendant Be. Products Co., LLC (`Be.") is a
Massachusetts limited liability corporation with a principal place of business at 377 J. Elliot
Street, Newton, Massachusetts, 02464.
JURISDICTION AND VENUE
3. This court has jurisdiction pursuant to 42 Pa.C.S. §931(a).
4. Venue in this Court is proper because the cause of action arose in
Cumberland County and a transaction or occurrence took place out of which the cause of action
arose in Cumberland County.
RELEVANT FACTS
5. Rite Aid is a national drug store chain with its principal office in
Cumberland County, Pennsylvania.
6. At all times relevant to this Complaint, Be. was involved in the
manufacture, sale and distribution of skin care products (collectively "Products").
7. Rite Aid and Be. entered into several agreements regarding the sale of Be.
candy in Rite Aid's retail drug stores.
On August 28, 2007, Rite Aid and Be. entered into a Guaranteed Sales
Agreement ("GSA") in which Be. "guarantee[d] the sale of [Be.'s] product to Rite Aid at both
Customer Service Centers (i.e. distribution centers) and retail locations." A true and correct
copy of the GSA, a valid and enforceable written contract, is attached to this Complaint as
Exhibit A.
Under the GSA, Rite Aid had the right to return all unsold product to Be.
for a cash refund.
10. Specifically, the GSA provided:
If at any time Rite Aid determines in its sole discretion that
Vendor's product(s) performance continues to be unacceptable,
Rite Aid will have the right to return at Vendor's expense all
unsold product(s) to Vendor's facility in return for Vendor's cash
payment to Rite Aid for any products for which Rite Aid has paid,
but have not been sold.
See Exhibit A.
11. On August 27, 2007, Rite Aid and Be. also entered into a Rite Aid Returns
Agreement ("Returns Agreement") that provided the manner in which Be.'s products could be
returned to Be.. A true and correct copy of the Returns Agreement, a valid and enforceable
written contract, is attached to this Complaint as Exhibit B.
12. The Returns Agreement permitted Be. to direct how Rite Aid should
handle damaged, defective, outdated and discontinued goods ("unsaleable product"). See Exhibit
B.

13. Be. decided that the unsaleable product should be :scanned and donated,
and Be. agreed to pay a fee for this particular method of disposition. See Exhibit B.
14. Be. also agreed to pay the following processing fees for damaged,
defective, outdated, and discontinued goods: Direct Product Cost - $0.08:5; Post Damage -
$0.111, Ops through Scan - $0.101, all totaling $0.297. See Exhibit B.
15. Be. also entered into Promotional Funding Agreements with Rite Aid
whereby it agreed to fund the marketing and advertising of Be. Products. True and correct
copies of the Promotional Funding Agreements, valid and enforceable written contracts, are
attached to this Complaint as Exhibit C.
16. Pursuant to the Promotional Funding Agreements, Be. agreed to deduct
the marketing costs from the amounts owing by Rite Aid. See Exhibit C.
17. On May 5, 2009, following Be.'s failure to satisfy its obligations under the
Promotional Funding Agreements, Rite Aid agreed to cancel the Promotional Funding
Agreement for Fiscal Year 2010, on a forward-looking basis, so as to prevent future damages. A
true and correct copy of the canceled Promotional Funding Agreement is attached to this
Complaint as Exhibit D.
18. Be. also signed Rite Aid Incremental Investment Agreements whereby it
agreed to fund retail store markdowns, scandowns, fixture displays and manufacturer coupons.
True and correct copies of the Incremental Investment Agreements, valid and enforceable written
contracts, are attached to this Complaint as Exhibit E.
19. Due to the fees and expenses charged pursuant to the agreements listed in
paragraphs 7 through 18 above ("Fees"), as of January 22, 2010, Be.'s account with Rite Aid has

a $568,256.35 negative balance, which is expected to grow after all returns are processed and
other account charge backs are applied.
20. On information and belief, the amount due and owing to Rite Aid will
continue to increase.
21. As of the date of the filing of this Complaint, Be. is in breach of the GSA,
Returns Agreement, Promotional Funding Agreement, Incremental Investment Agreements and
other related account contracts and agreements because it refuses to pay Rite Aid the negative
balance on its account.

BREACH OF CONTRACT
22. Rite Aid incorporates the averments in paragraphs 1 through 21 above as
if fully set forth herein.
23. As noted in paragraphs 7- 18 above, Rite Aid and Be. entered into various
valid and enforceable written agreements under which Be. agreed to pay certain Fees.
24. To date, Be. owes Rite Aid $568,256.35 in Fees. A. statement of the
account of the negative balances and summary sheets reflecting this amount is attached as
Exhibit F.
25. Despite repeated requests, Be. refuses to pay the negative account balance
of $568,256.35 to Rite Aid.
26, Rite Aid has performed all conditions precedent under the GSA, Returns
Agreement, Promotional Funding Agreement, Incremental Investment Agreements and all
related agreements under the account.

27. Be. is in breach of the GSA, Returns Agreement, Promotional Funding
Agreement, Incremental Investment Agreements and all related agreements because it has failed
to pay the negative balance on its account.
28. As of January 25, 2010, Rite Aid has suffered damages in excess of
$568,256.35, an amount that will increase as additional returns and other Fees are processed, due
to the breaches of Be..
WHEREFORE, Rite Aid requests judgment in an amount in excess of
$568,256.35, plus interest, costs and all other amounts deemed appropriate by the Court.
COUNT II
UNJUST ENRICHMENT
29. Rite Aid incorporates the averments in paragraphs 1 through 28 above as
if fully set forth herein.
30. In the event Be. contends no contractual relationship exists, Rite Aid is
entitled to recover the outstanding amounts to prevent Be. from being unjustly enriched.
31. As is customary in the industry, Be. was to pay for certain Fees associated
with the sale of its product.
32. Be. owes Rite Aid $568,256.35 in Fees.
33. Rite Aid has a reasonable expectation to receive the Fees incurred.
34. Be. reasonably should have expected to pay the Fees as such Fees are
custom in the industry.
35. It would be inequitable for Be. to receive the benefit of the $568,25635
still owed to Rite Aid.
36. In the event the contracts are deemed to be unenforceable, Rite Aid has no
adequate remedy at law.

37. Rite Aid is entitled to collect the outstanding balance, plus interest, from
Be. under the doctrine of unjust enrichment.
WHEREFORE, Rite Aid requests that judgment be entered against Be. in the
amount of $568,256.35 plus interest, costs and all other amounts deemed appropriate by the
Court.

RITE AID CORPORATION
GUARANTEED SALES AGREEMENT
Rite Aid will consider Vendor's product(s) for distribution and sale under the terms and
conditions set forth in this Agreement. In consideration of Rite Aid's agreement to review a new
entry into its mix, as well as in consideration of the mutual premises contained herein, the parties
agree as follows:
Vendor will guarantee the sale of Vendor's product(s) to Rite Aid at both Customer
Service Centers (i.e. distribution centers) and retail locations.
2. During the first one hundred twenty (120) days, or such other period as Rite Aid may
determine in its sole discretion (it being understood by Vendor that Rite Aid-may
terminate this Agreement in its sole discretion at any time, for any reason whatsoever)
following the date if the Vendor's first delivery of product(s) to Rite Aid (the "Review
Period"), Vendor's account will be on a review status to permit Rite Aid to assess the
performance of the product(s). During the Review Period, Rite Aid will pay only for
those product(s) that are actually sold, and Rite Aid's payment will be reduced by any and
all cash discounts or other debit amounts (including, but not limited to, advertising,
displays, markdowns and price protection) due to Rite Aid. If at the end of the Review
Period, Rite Aid determines, in its sole discretion, that the Vendor's product(s) is not
selling at an acceptable rate, then kite Aid will have the right to (a) require Vendor to
review and modify Vendor's marketing plan to ensure future success and (b) extend the
due date of the original invoice submitted by Vendor. Rite A id also has the right to
require a cash payment, as described in paragraph (3) below. The foregoing rights are not
exclusive. At the end of the Review Period, Rite Aid may terminate this Agreement, place
the Vendor on Rite Aid's customary payment terms, or extend the Review Period as Rite
Aid, in its sole discretion, so desires.
If at any time Rite Aid determines in its sole discretion that Vendor's product(s)
performance continues to be unacceptable, Rite Aid will have the right to return at
Vendor's expense all unsold product(s) to Vendor's facility in return for Vendor's cash
payment to Rite Aid for any products for which Rite Aid has paid, but have not been sold.
Vendor's payment to Rite Aid shall be made (a) by wire transfer of immediately available
funds or certified check, and (b) no later than fifteen (15) days after Rite Aid has retumed
the product(s). Vendor acknowledges and agrees that in the event that any of Vendor's
allowances are funded with "free product" from Vendor, that "free product" will be
treated identically to product purchased from Vendor by Rite Aid. This includes,but is
not limited to, returns of this product Vendor.
Upon settlement of Vendor's account, all outstanding invoices will be paid promptly, less
any and all cash discounts or other debit amounts due to Rite Aid.

S. The terms and conditions of this Agreement are in addition to, and in no way limit, Rite
Aid's rights and remedies under Rite Aid's Vendor Profile, standard terms and conditions
or purchase orders. In the event of inconsistency between the terms and conditions of the
Agreement and any of the foregoing documents, this Agreement will govern.
6. The parties agree that Pennsylvania law governs this Agreement not withstanding its
conflicts of law provisions. Any lawsuit brought with regard to this Guaranteed Sales
Agreement will be venued in the Court of Common Pleas, Cumberland County,
Pennsylvania.
7. The parties specifically agree that 13 Pa. C.S.A. §2326 & 2327(b) are inapplicable and
that Venda will accept returned goods in their "as-is" condition.
8. All returns are at risk of vendor.
9. Vendor can not assign any product covered by this Agreement to any third party without
the express written consent of a Vice President of Category Management.
Rite Aid is enthusiastic about the opportunity to distribute product(s) into the marketplace. Rite
Aid wishes you every success in your endeavor to provide a product that is unique. Please allow
Rite Aid to assist you in your distribution needs by arranging for a duly authorized officer to sign
and date this Agreement on behalf of your company, and return the executed letter to Rite Aid's
Merchandising Department.
