If more than one endowment fund is held by Manufacturers and Traders Trust Company for the maintenance of Ashland Cemetery in Cazlisle, Pennsylvania, I direct that this bequest be added to the fund which is invested approximately one half in fixed income securities and approximately one half in equities, so that there is a reasonable prospect that the corpus of said fund may grow and at least partially maintain the purchasing power of the income generated from it. 5. Should anyone be entitled to a distribution from this my last will and testament who is less than 35 years of age, the share that he or she would have otherwise received shall be paid to my hereinafter named executor in trust on the following terms: The. net income from his or her trust shall be paid to him or her in quarterly or other convenient installments; b. As much of the principal of his or her trust as my trustee may from time to time think desirable -taking into account funds available from other sources for the welfare, comfort, health, education or other needs of that child or any of his or her descendants either shall be paid to or for the benefit of that person for any of those purposes. In my tnastee's discretion, any of the payments may be treated as advancements under the next paragraph; and c. I hereby nominate, constitute and appoint my sister-in-law, Joan L. Ewing, as Executrix of this my Last Will and Testament, but should she predecease me or fail to qualify or cease serving as such, then in such event I nominate, constitute and appoint my brother's two sons who Steven A. Ewing and Robert L. Ewing, as alternate or successor Executors, and I further direct that none of them shall be required to post any bond to secure the faithful performance of his duties in the Commonwealth of Pennsylvania or in any other jurisdiction. 10. In addition to the powers conferred by law my hereinbefore named Executors and Trustees and their successors are empowered: a. To invest any part of the trust corpus in such securities, investments, or other property as may be deemed advisable and proper, irrespective of whether the same are authorized for the investment of trust funds under the laws of any governing jurisdiction. b. With respect to any corporation, the stocks, bonds, or other securities of which may be held, to vote in person or by proxy on any shazes of stock; to consent to the merger, consolidation or reorganization of such corporations; to consent to the leasing, mortgaging or sale of the property of any such corporations; to make any surrender, exchange or substitution of such stocks, bonds or other securities as an incident to the merger, consolidation or reorganization of such corporations; to pay all assessments, subscriptions and other sums of money which may be deemed wise and expedient for the protection and maintenance of the proportionate interest of the investment in such corporations; to exercise any option or privilege which may be conferred upon the holders of such stocks, bonds, or other secunties of such corporations either for the conversion of the same into other securities or for the purchase of. additional securities, and to make any and all necessary payments which may be required in connection therewith; and generally to have and exercise as to all such stocks, bonds and other securities, the powers of an individual owner who is not under trust obligation. c. To hold the trust corpus in one or more consolidated funds in which separate shares shall have undivided interests. d. To sell at public or private sale for cash or upon credit, or partly for cash and partly on credit, and upon such terms and conditions as shall be deemed proper, any part or parts of the trust estate, and no purchaser at any such sale shall be bound to inquire into the expediency or propriety of any such sale or to see to the application of the purchase moneys arising therefrom. e. To keep on hand and uninvested such money as may be deemed proper and for such period as may be found expedient. f. To compromise, settle or arbitrate any claim or demand in favor of or against. the trust estate. g. And authorized in the discharge of fiduciary duties, to employ counsel and to determine and to pay such counsel reasonable compensation which shall be charged against the principal or income of the trust fund, and shall further be entitled to charge against the principal or income such other reasonable expenses and charges as may be necessary and proper to incur for the proper discharge of fiduciary duties and for the proper management and administration of the trust estate. h. In making any division of property into shares for the purpose of any distribution thereof directed by the provisions of the trust, to make such division or distribution, either in cash or in kind, or partly in cash and partly in kind, as shall be deemed most expedient, and in making any division or distribution in kind may allot any specific security or property or any undivided interest therein to any one or more of such shazes, and to that end may appraise any or all of the property so to be allotted and the judgment as to the propriety of such allotment and as to the relative value for purposes of distribution of the securities or property so allotted shall be fmal and conclusive upon all persons interested in the trust or in the division or distribution thereof. i. To determine from time to time whether all or some portion of realized capital gains shall be treated as ordinary income for distribution to a beneficiary or treated as principal to be retained as part of the corpus, and such designation need not be consistent from one year to another. Ewing each agrees that he will not engage as an owner or employee in the business of a funeral director or mortician anywhere in Cumberland County, Pennsylvania, until January 1, 2009, so long as the Buyer is conducting the business known as Ewing Brothers Funeral Home at 630 South Hanover Street, Carlisle, Pennsylvania, and is not in default of any obligation of Buyer to. Seller entered into in connection with the sale of the business to Buyer and/or the leasing of the premises at 630 South Hanover Street, Carlisle, Pennsylvania, to Buyer. 4. Buyer shall pay to Seller the sum of $300,000.00 for the business referred to in paragraph No. 1 above which sum shall be payable with interest thereon ai: the rate of six (6%) percentum per annum payable monthly on or before the 1st day of each month beginning February 1, 2004, with privilege to prepay the same in whole or in part at any time and interest thereon shall be computed only on the unpaid principal balance, but if not sooner paid the same shall be due and payable in full on January 2, 2009. In addition to said consideration of $300,000.00, the Buyer shall fulfill the responsibility of Seller for payment of any advertising contracted by Seller for Ewing Brothers Funeral Home including telephone directory advertising in both the white pages and the yellow pages, newspaper advertising, and any promotional advertising literature or advertising novelties such as fans, pins, etc., and including advertising or patronage contr7butions to various church activities or publications which have been patronized by the Seller in the past for the benefit of Ewing Brothers Funeral Home. 5. Seller shall lease to Buyer all of the real estate owned by Seller at 630 South Hanover Street, Carlisle, Pennsylvania, which extends westwardly from South Hanover Street along the northern line of Alliance Home to what would be South Pitt Street were it extended southwardly from West Ridge Street. A copy of the lease is attached hereto and marked Exhibit "B" which is a net, net, net lease and which requires the Buyer/Tenant to pay $4,000.00 per month rent in advance beginning January 1, 2004, and thereafter on or before the 1st day of each succeeding month a like sum of $4,000.00 so long as said lease remains in force, which lease shall be subject to the right or option in Steven A. Ewing to purchase said real estate. 6. The time for settlement of the business referred to in paragraph No. 1 above shall be on December 31, 2003, at the office of Robert M. Frey, 5 .South Hanover Street, Carlisle, Pennsylvania. 7. At the time for settlement for sale of the real estate in case of the exercise of the option to purchase by Steven A. Ewing, Seller/Owner shall convey same, joined by their spouses, by deed of Special Warranty conveying a good and marketable title subject only to easements and restrictions, visible or of record. 8. EWING and SEYMOUR A. EWING, brothers, of the Borough of Carlisle and South Middleton Township, respectively, Cumberland County, Pennsylvania, hereinafter whether singular or plural refen-ed to as Optionors, and STEVEN A. EWING, married man, of South Middleton Township, Cumberland County, Pennsylvania, herein referred to as Optionee, WHEREAS, Optionors are the owners of real property, referred herein as "the property", situated in the Borough of Carlisle, Cumberland County, Pennsylvania and having a mailing address of 630 South Hanover Street, more particularly described in Exhibit "A" attached hereto; and WHEREAS, Optionee desire to acquire the exclusive right and option to purchase, without becoming obligated to purchase, the property at an agreed price and under specified terms and conditions; NOW THEREFORE, it is agreed as follows: 1. For the consideration expressed in Paragraph 2 of this Option Contract, Optionors hereby grant to Optionee the exclusive and irrevocable right and option to purchase, during the option period, the property described in Exhibit "A". 2. For the consideration of $500,000.00 at such time as either of said Optionors shall desire convey his interest therein, and if less than a 100% interest is conveyed the purchase price of $00,000.00 shall be adjusted to correspond with the percentage of interest conveyed, with the Optionors, or either of them, to have the right to require purchase of same at any time either of them desires to convey his undivided interest in the real estate, but in any event if neither of the Optionors makes a demand upon Optionee to purchase his interest in the real estate in accordance with this option, then at such time as either of the Optionors becomes deceased, Steven A. Ewing shall have the right to purchase the interest of the deceased Optionor within one (1) year from the date of that person's death. Within sixty (60) days from written notification to Optionee of the desire of either Optianor to convey his interest in the premises or within six (6) months from the date of death of either Optionor, Optionee shall give wntten notice to the Optionor or personal representative of the Optionor of the intention of the Optionee to exercise said option, which shall be exercised and settlement completed within sixty (60) days after notice from either or both of the Optionors or within twelve (12) months from the date of death of either of said Optionor. At time of settlement, Optionee shall pay the purchase price of $00,000.00, with realty transfer taxes paid one-half (1!2) by Grantor and one-half (1/2) by Grantee and payment of same shall be at the option of Optionee either in cash or a purchase money mortgage of $500,000.00 or partly in cash with the balance in a purchase money mortgage, and which purchase money mortgage shall be payable with interest only at the rate of six (6%) percentum per annum until the December 31, 2010, and after that time shall be repayable in equal monthly payments of principal and interest calculated to amortize the principal sum of said purchase money first mortgage together with interest thereon at the rate of six (6%) percentum per annum in sixty (60) equal monthly installments commencing on the later of January 1, 2011, or the date of settlement. If the Optionee fail to exercise the option in accordance with the terms of this Option Contract within the option period or any extension thereof, then the option to purchase granted by this Option Contract, and the rights thereunder of Optionee shall automatically and immediately terminate without notice. ` 4. Time is of the essence with respect to any time fixed for performance of any requirement set forth in this Option Contract. 5. Optionee may not assign this Option. 6. This Option Agreement constitutes the .entire agreement between the parties. Any oral representations or modifications concerning this Option Agreement shall be of no force and effect, and no subsequent modification hereof shall be made except in writing, executed by the party to be charge. 7. Should Optionee exercise his option to purchase pursuant to the terms of this Agreement, and should Optionors fail to convey the. property pursuant to the terms of this Agreement, Optionee may, in their discretion, sue for specific performance under the terms of the Agreement or for the return of ali payments made on the option. Optionors shall be liable therefor plus Optionee' costs and reasonable attorney's fees. 8. This Option Agreement shall bind and inure to the benefit of all the respective heirs, personal representatives, successors, and assigns of the parties hereto except as hereinabove expressly provided. 9. Joan L. Ewing who is the wife of Seymour A. Ewing, joins in the execution of this Agreement for the purpose of indicating her approval and consent to all of the terms and conditions herein set forth.
