The property described on Schedule A-3 attached hereto, which is pursuant to Master
Loan and Security Agreement dated April 28, 2000 between the above named Borrower
as Debtor and Lender as Secured Party, and Promissory Note No. 3 thereto (collectively,
the "Loan"), all replacements, substitutions, additions, attachments, accessions, parts,
fittings and accessories thereto and therefor, whether now owned or hereafter acquired,
and all proceeds (including insurance proceeds and any leases and the rentals and profits
thereon) of and from said property.
The undersigned certifies that: (1) the equipment set forth herein has been acquired
by the Debtor and accepted by the Debtor; (2) the description of the equipment is
true and accurate in all respects; (3) the equipment set forth herein is owned by the
Debtor free and clear of all security interests, liens or encumbrances of any nature
or kind, except in favor of Transamerica Business Credit Corporation; and (4) the
equipment is located at the location set forth on Schedule A-3 attached hereto.
