SOULERET, of Washington County, Pennsylvania, declare this~~~e~ny list ~:;~ -:_~~ w `=. --~ Will and Testament, hereby revoking all Wills and Codicils at any time heretofore r~ede by mo. ~'' FIRST: Tangible Personal Property. A. Distribution. I give my tangible personal property and any insurance on such property, in equal shares, to my children who survive me, to be divided among them as they may agree, or in the absence of such agreement, as my executors shall determine, in such executors' discretion, making such distribution in as nearly equal shares as may be practical. B. Expenses of Storage and Shipment. The expenses of storing, packing, shipping, insuring, and delivering any such property to the beneficiary entitled thereto shall be paid by my executors as an administrative expense of my estate. In addition, to the extent practical in my executors' sole discretion, I give any policies of insurance on such property to the beneficiary entitled to such property. SECOND: Residue If Issue Survive. I give the residue of my estate, in equal shares, to my issue, per stirpes, subject to the provisions of Article THIRD below. THIRD: Younger Beneficiary Trusts. If any person other than a child of mine who is entitled to receive a share of the principal of any trust created hereunder (hereafter referred to as a "beneficiary") has not then attained the age of 25, then my trustees shall retain such share in a separate trust, and shall pay to or for the benefit of such beneficiary so much of the net income and principal of his or her trust as my trustees may deem advisable for such child's health, maintenance, support and complete education through the college level including prepatory and vocational education. On an annual basis, any income not used for such purposes shall be added to principal and invested as such. Upon the twenty-fifth birthday of such beneficiary, the trust shall terminate and the remaining principal shall be distributed to such beneficiary. In the event of the death of such beneficiary before he or she reaches age 25, my trustees shall distribute the principal of the trust to one or more beneficiaries, in such proportions and subject to such trusts and conditions as such beneficiary shall appoint by specific reference to this power in his or her Will, or if such power is not exercised in full, then the unappointed principal shall be distributed to such beneficiary's issue, per stirpes, and in default of such issue, to my issue, per stirpes. Any amount which is so distributable to a person for whom a trust is then held hereunder shall be added to such trust. FOURTH: Ultimate Distribution. If at the time for distribution none of the persons named or described above is living to take all or any part of the principal of my estate or any trust created hereunder, then my executors or trustees, as the case may be, shall pay and distribute the remaining principal to my intestate heirs, determined at the time of my death in accordance with the laws of the Commonwealth of Pennsylvania; provided, however, that no future interest in any trust created herein shall vest in any person unless that person is alive at the time such future becomes a present interest; provided, further, that any amount distributable to a beneficiary for whom a trust is then held hereunder shall be added to such trust. -2- FIFTH: Administrative Provisions. The following provisions shall be applicable to any trust created hereunder, and paragraph A shall also apply to my estate: A. Spendthrift Provision. While in the hands of my executors or my trustees, and until actually paid over or delivered to the persons entitled thereto, the interest of beneficiaries in the income or principal of my estate or in any trust created hereunder shall not be subject to assignment, pledge, attachment, or the claims of creditors. B. Accrued Income. Upon the death of any income beneficiary, any accrued or undistributed income shall be held and accounted for or distributed in the same manner as if it had been received and accrued after the beneficiary's death. C. Power to Terminate Small Trusts. If the principal of any trust created hereunder is or becomes too small in the discretion of my trustees to make the establishment or the continuance of the trust advisable, then my trustees may make immediate distribution of the then-remaining principal and any accrued or undistributed income outright to the current income beneficiary of the trust, or if there is more than one such beneficiary, then in equal shares to such beneficiaries. The receipts and releases of the distributees will terminate absolutely the rights of all persons who might otherwise have a future interest in the trust, whether vested or contingent, without notice to them and without the necessity of filing an account to the court. SIXTH: Powers of Fiduciaries. In addition to the powers conferred by law, my executors with respect to my estate, and my trustees, with respect to any trust created -3- hereunder, shall have the following powers, to be exercised in their absolute discretion, in the capacity to which such powers may be applicable: A. General Powers. 1. To retain for distribution in kind, without duty of diversification, all property owned by me at my death or received in trust; 2. To invest in all forms of property, without restriction to so- called "authorized" or "legal" investments and without regard to diversification; 3. To exercise all rights of security holders; 4. To delegate discretionary powers; 5. To employ investment counsel, custodians of trust property, brokers, agents, accountants, and attorneys and to act without independent investigation upon their recommendations; 6. To deposit securities in a clearing corporation or carry the same in the name of a nominee or in book entry form; 7. To maintain, repair, alter, improve, partition, subdivide, dedicate, and otherwise manage or deal with real estate; 8. To sell, pledge, exchange, lease for any period of time, or mortgage any real or personal property, and to grant options for the sale, exchange, or lease of the same; 9. To borrow money from any source, and to pledge or encumber any property of the estate or trust as security therefor, without liability on the part of the lender to see to the application of such funds; -4- 10. To compromise claims in favor of or against the estate or trust without court approval; 11. To exercise options to subscribe to or purchase securities; 12. To apply all or any part of the income of the estate or any trust created hereunder for the payment in whole or in part of the cost of maintenance, repair, or improvement of any real estate held therein and the taxes, insurance premiums, or other costs and charges due with respect to the same; 13. To decline to accept, disclaim, release, renounce, or abandon any interest in property and any power; 14. To make distributions in cash or in kind at current values, in undivided interests or non-pro rata shares; 15. To nominate themselves or another as Custodian under a Uniform Gifts or Transfers to Minors' Act, and to make transfers of a beneficiary's interest in all or part of the estate or trust to such Custodian to be held for the benefit of such beneficiary; 16. To purchase and sell securities through any broker or brokerage firm they may select. B. Elections. To make elections under the tax laws and to select property, without regard to income tax basis, to be sold to satisfy obligations of my estate or trust estate or to be allocated in kind to any beneficiary, including any trust, and to elect to receive the proceeds of any qualified employee benefit trust or individual retirement account payable to my trustees as a lump sum distribution, an annuity, or any other available form of payment, without reimbursement or equitable adjustment in the relative interests of the -5- beneficiaries affected thereby and without liability therefor. Such actions shall be binding and conclusive on all persons. C. Collection of Proceeds of Life Insurance Policies. To collect the proceeds of any life insurance policies payable to my executors or trustees hereunder from the issuing companies, who shall have no responsibility to see to the application thereof; to bring actions to enforce payment of any policy if the funds held hereunder by my trustees are sufficient to indemnify my trustees against all costs, attorney fees, and other expenses of suit to the satisfaction of my trustees. SEVENTH: Payment of Taxes. All estate, inheritance, and succession taxes, including interest and penalties, payable with respect to property included in my gross estate, including any property not forming part of my testamentary estate, shall be paid from the principal of my residuary estate, at such times and in such manner as my executors deem advisable, without apportionment or right of reimbursement. EIGHTH: Appointment of Executors. I appoint my daughter, JUDY SOULERET, my daughter, JANET GALLAGHER, and my son, LARRY SOULERET, as co-executors of my Will. If my daughter, JUDY SOULERET, my daughter, JANET GALLAGHER, or my son, LARRY SOULERET, does not survive me, or if any one of them is unwilling or unable to act or continue to act as my executor or executors, then the other or others shall serve as my executor or co-executors. If none of my children survive me or if none of my children are willing or able to act or continue to act as my executor or executors, then I appoint my friend, PAT JABLONSKI, to serve as my executor. -6- NINTH: Trustees. I appoint my daughter, JUDY SOULERET, my daughter, JANET GALLAGHER, and my son, LARRY SOULERET to serve as co-trustees of any trust created hereunder. If my daughter, JUDY SOULERET, my daughter, JANET GALLAGHER, or my son, LARRY SOULERET, does not survive me, or if any one of them is unwilling or unable to act or continue as my trustee or trustees, then the other or others shall serve as my trustee or co-trustees. If none of my children survive me or if none of my children is willing or able to act or continue to act as my trustee or trustees, then I appoint my friend, PAT JABLONSKt, to serve as my trustee. TENTH: Disagreement of Executors or Trustees. For purposes of this Will, in the event of a disagreement between or among co-executors or co-trustees, each executor or trustee shall have one vote and the majority of the votes cast shall decide all issues. ELEVENTH: Fiduciary Compensation and Bond. A. Compensation Permitted. Any individual fiduciary serving hereunder shall be entitled to compensation which may be commensurate with his or her services to my estate or to any trust created hereunder. B. Bond not Required For Individual Trustee. Under no circumstances shall any individual executor or trustee appointed hereunder be required to post bond in any jurisdiction. -7- TWELFTH: Miscellaneous. A. Headings. The bold headings used throughout this Will are for convenience only. I do not intend such headings to be used in the construction and interpretation of this Will. B. Number and Gender. Except where the context clearly indicates otherwise, all references to the singular shall include the plural and vice-versa (including but not limited to the term "trustee") and masculine pronouns shall include the feminine and vice-versa.
