Plaintiff RE/MAX Delta Group, Inc. is a duly organized Pennsylvania Corporation with an address of 1909 Ritner Highway, Suite 1, Carlisle, Cumberland County, Pennsylvania 17013. 17015. 2. Defendant Strickland Brothers Construction, LLC. is a duly organized Pennsylvania Limited Liability Company with an address of 623 Creek Road, Carlisle, Cumberland County, Pennsylvania 17013. 3. Plaintiff is successor in interest to RE/MAX Sterling Associates. 4. Plaintiff, in the name of RE/MAX Sterling Associates, entered into a real estate listing agreement with Strickland Brothers Construction for the marketing of 8 Young Drive, Carlisle, Cumberland County, Pennsylvania on November 11, 2007. A copy of the listing agreement is attached hereto, incorporated by reference and marked Exhibit "A". 5. The termination date on the contract is November 11, 2008. 6. Paragraph 7 (A) of the Listing Contract provides that: Seller will pay Broker's Fee if Property, or any ownership interest in it, is sold or exchanged during the term of this Contract by Broker, Broker's Salespersons, Seller, or by any other person or broker, at the listed price or any price acceptable to Seller. 7. Paragraph 7(G) of the Listing Contract provides that: If a sale occurs, Broker's Fee will be paid upon delivery of the deed or other evidence of transfer of title or interest. If the Property is transferred by an installment contract, Broker's Fee will be paid upon the execution of the installment contract. 8. The Listing Contract was modified on May 13, 2008 to reduce the listing price from $254,900 to $244,900. A copy of the modification is attached hereto, incorporated by reference and marked Exhibit "B". 9. The Listing Contract was modified on November 17, 2009 to extend the contract until July 31, 2009 and further reducing the listing price to $229,900. A copy of the modification is attached hereto, incorporated by reference and marked Exhibit "C". 10. An Installment Sales Agreement for 8 Young Drive, Carlisle, Cumberland County, Pennsylvania between Strickland Brothers Construction, LLC , Seller and Darian Shirley and Robyn Barrick, Purchasers was entered into on June 17, 2009 and subsequently recorded in the Office of the Recorder of Deeds in and for Cumberland County, Pennsylvania. A copy of the Installment Sales Agreement is attached hereto, incorporated by reference and marked Exhibit "D53. 11. The purchase price on the Agreement is $227,000.00. 12. Plaintiff has informed Defendant that, under the terms of the listing contract, a 5% commission in the amount of $11,350 is due Plaintiff as a result of the transfer described in Paragraph 10 herein. 13. Defendant has refused to pay the commission as requested despite repeated demands for payment. 14. The amount in controversy is under $50,000. DUTIES OF BROKER AND SELLER 57 A. Broker is acting as a Seller's Agent, as described in the Consumer Notice, to market the Property and to negotiate with poten- 58 tial buyers. Broker will use reasonable efforts to find a buyer for the Property. 59 B. Seller will cooperate with Broker and assist in the sale of the Property as asked by Broker. 60 C. All showings, negotiations and discussions about the sale of the Property will be done by Broker on Seller's behalf. All writ- 61 ten or oral inquiries that Seller receives or learns about regarding the Property, regardless of the source, will be referred to 62 Broker. 63 D. If the Property, or any part of it, is rented, Seller will give any leases to Broker before signing this Contract. If any leases 64 are oral, Seller will provide a written summary of the terms, including amount of rent, ending date, and Tenant's respon- 65 sibilities. 66 E. Seller will not enter into or renew any leases during the term of this Contract without first giving notice to Broker. 67 68 9. BROKER'S SERVICE TO BUYER 69 Broker may provide services to a buyer for which Broker may accept a fee. Such services may include, but are not limited to: 70 deed/document preparation; ordering certifications required for closing; financial services; title transfer and preparation servic- 71 es; ordering insurance, construction, repair, or inspection services. Broker will disclose to Seller if any fees are to be paid by 72 Buyer. 73 74 10. BROKER NOT RESPONSIBLE FOR DAMAGES 75 Seller agrees that Broker and Broker's salespersons are not responsible for any damage to the Property or any loss or theft of per- 76 sonal goods from the Property unless such damage, loss or theft is directly caused by Broker or Broker's salespersons. 77 78 11. DEPOSIT MONEY 79 A. Broker, or any person Seller and the buyer name in the agreement of sale, will keep all deposit monies paid by or for the so buyer in an escrow account until the sale is completed or the agreement of sale is terminated. If held by Broker, this escrow 61 account will be held as required by real estate licensing laws and regulations. Seller agrees that the person keeping the deposit 82 monies may wait to deposit any uncashed checi that is received as deposit money until Seller has accepted an offer. 63 B. If Seller joins Broker or Licensee in a lawsuit for the return of deposit monies, Seller will pay Broker's and Licensee's attor- 64 neys' fees and costs. 85 86 12. OTHER PROPERTIES 87 Seller agrees that Broker may list other properties for sale and that Broker may show other properties to prospective buyers. 86 89 13. CONFLICT OF INTEREST 90 A conflict of interest is when Broker or Licensee has a financial or personal interest where Broker or Licensee cannot put Seller's 91 interests before any other. If Broker, Licensee, or any of Broker's salespeople has a conflict of interest, Broker will notify Seller 92 in a timely manner. 93 94 14. PUBLICATION OF SALE PRICE 95 Seller is aware that the Multiple Listing Service (MLS), newspapers, and other media may publish the final sale price of the 96 Property after settlement. 97 98 15. SELLER WILL REVEAL DEFECTS & ENVIRONMENTAL HAZARDS 99 A. Seller (including Sellers exempt from the Real Estate Seller Disclosure Law) will disclose all known material defects and/or 100 environmental hazards on a separate disclosure statement. A material defect is a problem or condition that: 101 (1) is a possible danger to those living on the Property, or 102 (2) has a significant, adverse effect on the value of the Property. 103 The fact that a structural element, system or subsystem is near, at or beyond the end of the normal useful life of such a struc- 104 tural element, system or subsystem is not by itself a material defect. 105 B. If Seller fails to disclose known material defects and/or environmental hazards: 106 (1) Seller will not hold Broker or Licensee responsible in any way; 107 (2) Seller will protect Broker and Licensee from any claims, lawsuits, and actions that result; 106 (3) Seller will pay all of Broker's and Licensee's costs that result. This includes attorneys' fees and court-ordered payments 109 or settlements (money Broker or Licensee pays to end a lawsuit or claim). IF PROPERTY WAS BUILT BEFORE 1978 111 The Residential Lead-Based Paint Hazard Reduction Act says that any seller of property built before 1978 must give the buyer 112 an EPA pamphlet titled Protect Your Family From Lead in Your Home. The seller also must tell the buyer and the broker what 113 the seller knows about lead-based paint and lead-based paint hazards that are in or on the property being sold. Seller must tell 114 the buyer how the seller knows that lead-based paint and lead-based paint hazards are on the property, where the lead-based paint 115 and lead-based paint hazards are, the condition of the painted surfaces, and any other information seller knows about lead-based 116 paint and lead-based paint hazards on the property. Any seller of a pre-1978 structure must also give the buyer any records and 117 reports that the seller has or can get about lead-based paint or lead-based paint hazards in or around the property being sold, the 118 common areas, or other dwellings in multi-family housing. According to the Act, a seller must give a buyer 10 days (unless sell- 119 er and the buyer agree to a different period of time) from the time an agreement of sale is signed to have a "risk assessment" or 120 inspection for possible lead-based paint hazards done on the property. Buyers may choose not to have the risk assessment or 121 inspection for lead paint hazards done. If the buyer chooses not to have the assessment or inspection, the buyer must inform the 122 seller in writing of the choice. The Act does not require the seller to inspect for lead paint hazards or to correct lead paint haz- 123 ards on the property. The Act does not apply to housing built in 1978 or later. 124 125 17. RECOVERY FUND 126 Pennsylvania has a Real Estate Recovery Fund (the Fund) to repay any person who has received a final court ruling (civil judg- 127 ment) against a Pennsylvania real estate licensee because of fraud, misrepresentation, or deceit in a real estate transaction. The 126 Fund repays persons who have not been able to collect the judgment after trying all lawful ways to do so. NOTICE TO PERSONS OFFERING TO SELL OR RENT HOUSING IN PENNSYLVANIA 132 Federal and state laws make it illegal for a seller, a broker, or anyone to use RACE, COLOR, RELIGION or RELIGIOUS 133 CREED, SEX, DISABILITY (physical or mental), FAMILIAL STATUS (children under 18 years of age), AGE (40 or older), 134 NATIONAL ORIGIN, USE OR HANDLING/TRAINING OF SUPPORT OR GUIDE ANIMALS, or the FACT OF RELA- 135 TIONSHIP OR ASSOCIATION TO AN INDIVIDUAL KNOWN TO HAVE A DISABILITY as reasons for refusing to sell, 136 show, or rent properties, loan money, or set deposit amounts, or as reasons for any decision relating to the sale of property. 137 136 19. Broker will notify Seller immediately in writing if Broker transfers this Contract to another broker when: 146 (1) Broker stops doing business, OR 147 (2) Broker forms a new real. estate business, OR 148 (3) Broker joins his business with another. 149 Seller agrees that Broker may transfer this Contract to another broker. Broker will notify Seller immediately in writing when 150 a transfer occurs or Broker will lose the right to transfer this Contract. Should Seller give or transfer the Property, or an ownership interest in it, to anyone during the term of this Contract, all own- 153 ers will follow the requirements of this Contract. 154 155 21. WITNISSETH: WHEREAS, Seller and Purchaser, in consideration of the mutual covenants herein contained, AND INTENDING TO BE LEGALLY BOUND HERF,BY, agree as follows; I . Premises. Seller hereby agrees to sell to Purchaser and Purchaser agrees to purchase all that certain parcel of land described in the attachment known as Exhibit "A" as follows and known as 8 Young Drive (Red Oak Estates), Carlisle, Cumberland County, Pennsylvania ("Property") 2. Purchase Price. The purchase price of the Property is Two Hundred Twenty-seven "Thousand and XX/100 Dollars ($227,000.00), payable as follows: (a) Down Payment. The sum of Five Thousand and XX/100 Dollars ($5,000.00) (the "Down Payment") shall be paid by Purchaser to Seller and shall be considered Purchaser's down payment upon the execution of this Agreement. (b) Balance. The balance of Two I lundred 't'wenty-two Thousand and XX/100 Dollars ($222,000.00) together with interest thereon at a rate of 5.1 percent, amortized over thirty (30) years shall be paid in regular monthly installments of One Thousand Two Hundred Five and 35/100 Dollars ($1,205.35) commencing on the 1st day of July, 2009 and payable on the I st day of every subsequent month for a total of eighteen (18) months. (c) Any remaining prircipal balance shall be paid in full on or before the 31 st day of December, 2010 (1.5 years) as a balloon payment together with all interest and fees which may be due therewith. (d) The Amortization Schedule attached hereto and made a part hereof as "Exhibit B" sets forth the payment schedule. Proof of payment of all taxes and expenses lienable against the Property shall be delivered to Seller on or before December 31 st of each year, or at Seller's option, within thirty (30) days after the same shalt become due and payable. 4. Insurance. Purchaser agrees to maintain fire, hazard and extended coverage insurance on the Property and shall name Seller as loss payee and name F&M Trust as its interest appear. Said insurance shall be procured through a reputable insurance company, subject to the approval of Seller. The cost of insurance shall be borne by Purchaser. In the event insurance is not maintained, Seller shall insure the Property and shall be reimbursed by Purchaser for the cost. Copies of all insurance policies shall be delivered to Seller. 5. Agent. Seller and Purchaser agree and acknowledge that no broker is involved in this transaction. 6. Realtyransfer 'T'axes. At final settlement, Purchaser shall pay one-half (%2) of the applicable realty transfer taxes and Seller shall pay one-half ('/z) of the applicable realty transfer taxes. 7. Default - Purchaser. Should Purchaser default under any of the terms, covenants or conditions of this Agreement, and said default shall continue for fifteen (15) calendar days after written notice from Seller to Purchaser of such default, Seller may, at Seller's option, pursue such remedy which may be available to Seller at law or in equity. Payment not received by the 15th of each month shall be subject to a late fee of five percent (5%). 8. Default - Seller. If, for any reason, Seller is unable to convey title to the Property at closing in accordance with the requirements of this Agreement or, for any reason, Seller is in default herein and after written notice with fifteen (15) days right to cure, then Purchaser may pursue such remedy available to Purchaser at law or in equity. 9. Title. Title to the Property shall be good and marketable and such as will be insured by a title insurance company at regular rates. The Property shall be conveyed by special warranty deed, free and clear of all liens and encumbrances, except the following. (insert encumbrances off of title search from purchase) 10. Third Party Purchase. In the event that Purchaser intends to transfer the Property to a third party for purposes of a sale, then, in that event, it is understood and agreed that Seller shall cooperate herein so that Seller shall deed the property directly to said third party. However, any amount realized from said third party in excess of the purchase price set forth herein shall be paid to Purchaser. Closing costs therefore shall be equitably adjusted. 11. Consent. Seller shall obtain consent of this transaction from F&M Trust and from all other mortgagees and shall obtain releases therefrom for this transaction. 12. Final Settlement and Possession. Final settlement shall occur on or before December 31, 2010 at which time full payment shall be made hereunder and title shall be conveyed in return for said payment. Possession of the Property shall be given at the time of execution. 13. Assignment. Purchaser shall not sell, assign or transfer, in any manner whatsoever, this Agreement and any right, title or interest herein without first obtaining the prior written consent of Seller, which consent shall not be unreasonably withheld. However, no assignment shall relieve Purchaser of liability hereunder. 14. Mortgage. (a) The Parties acknowledge the mortgages of F&M Trust. (b) Seller further agrees to pay timely all obligations under Seller's existing mortgage. In the event that any lien or encumbrance should attach to the premises subsequent to the date of this Agreement, and Seller fails to remove said lien or encumbrance then after thirty (30) days prior written notice from Purchaser to Seller, Purchaser shall have the right immediately to satisfy in full or make such advances toward the retirement of such lien or encumbrance as he deems advisable to protect his interest in the premises and he shall thereafter be given an appropriate credit against the purchase price and monthly payments required of Seller hereunder. 15. Notices. All notices to be given by either party to the other shall be in writing and shall be served by hand delivery or by overnight courier or by depositing such notice in the United States Mail, certified, return receipt requested; shall be deemed to have been received upon actual receipt or refusal thereof; and shall be addressed and directed to the party to receive the same as follows: As to Seller: Strickland Brothers Construction, LLC Attention: M. Jeffrey Strickland 623 Creek Road Carlisle, PA 17013 As to Purchaser: Mr. Darian Shirley Ms. Robyn Barrick 8 Young Drive Carlisle, PA 17013 16. Binding Effect. This Agreement shall be binding upon and shall inure to the benefit of the Purchaser and Seller and their respective heirs, successors and permitted assignees. 17. Entire Agreement. This is the entire agreement between the parties, and there are no other terms, obligations, covenants, representations, statements or conditions, oral or otherwise, of any kind whatsoever. Any agreement hereafter made shall be ineffective to change, modify or discharge this Agreement in whole or in part, unless such agreement is in writing and signed by the party against whom enforcement of change, modification or discharge is sought. 18. Invalidity of Provisions. In the event any one or more of the provisions contained in this Agreement shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision of this Agreement, but this Agreement shall be construed as if such invalid, illegal or unenforceable provisions had never been contained herein. 19. Gender/Number. Whenever the context herein so requires, the singular number shall include the plural, the plural shall include the singular, and the use of any gender shall be applicable to all genders. 20. Headings. The headings or captions preceding the paragraphs in this Agreement are inserted for convenience of reference only and shall not be construed in interpreting this Agreement. 21. Cooperation. Seller and Purchaser agree to cooperate with each other in any way necessary to effect this Agreement and to execute any and all documents or additional documents as may be necessary in order to effectuate the terms, provisions and intent of this Agreement. 22. Approval Period. This contract is contingent upon approval by attorneys for Seller and Buyer by the third business day following each party's attorney's receipt of a copy of the fully-executed contract (the "Approval Period"). If either party's attorney disapproves this contract before the end of the Approval Period, it is void and the entire deposit shall be returned. 23. Recording. This Agreement shall be recorded in the Office of the Recorder of Deeds in and for Cumberland County, Pennsylvania and the recording fees shall be paid by Purchaser. NOW BE IT SAID, if Purchaser shall pay the purchase price, interest, expenses, utilities and taxes and all other charges set forth in this Agreement as they become due, Seller shall make, execute and deliver to Purchaser a Special Warranty Deed, for the proper conveying and assigning of the Property in fee simple, title to be insurable reputable title insurance company at regular rates excepting encumbrances caused by Purchaser's action or inaction that shall accrue after execution hereof, such conveyance to contain the usual covenants.
