Secured Paxty: Manufacturers and Traders Trust Company, as Trustee, as successor in
interest to Farmers Trust Company
All of Debtor's right, title and interest in and to the follOWing property rights and
interest, which Debtor hereby assigns to Secured party until the debt is paid (as described herein)
for which that certain Loan and Trust Agreement, dated as of March 1, 1994, executed by,
among others, Debtor and Secured Party (hereinafter the "Agreement") has been granted (the
Rea] Estate, as more fully described in Exhibit "B" attached hereto, together with the following
property rights and interests, being hereinafter collectively called the "Mortgaged Property"),
whether as of the date of the Agreement or thereafter acquired in:
(l) all buildings and improvements as of the date of the Agreement or
thereafter erected on the Real Estate (collectively, thc "Improvements");
(2) all fixtures, appliances, machinery, furniture and Equipment of any
nature whatsoever, and other articles of personal property as of the date of the
Agreement or at any time thereafter installed in, attached to or situated in or upon
the Real Estate or Improvements or used or intended to be used in connection
with the Real Estate, or in the operation and maintenance of any hnprovcments,
or any plant or business situate thereon, whether or not thc personal property is
or shall be affixed thereto (collectively, the "Personal Property");
(3) aB buildings materials, fLXtureS, building machinery and building
equipment delivered on site to the Real Estate during the course of, or in
connection with, the construction of, or reconstruction on, or remodeling of any
Improvements from time to time during the term of the Agreement (collectively,
th~ "Building F. quipment");
(4) any and aB tenements, hereditaments and appurtenances belonging
to the Rea/Estate or any part hereby mortgaged or intended so to be, or in any
way appertaining thereto, and aB streets, alleys, passages, ways, water courses,
and all leasehold estates, easements and covenants existing as of the date of the
Agreement or there, after created for the benefit of the Debtor or any subsequent
owner or tenant of the Real Estate over ground adjoining the Real Estate and all
rights to enforce the maintenance thereof, and all other rights, liberties and
privileges of whatsoever kind or character, and the reversions and remainders,
income, rents, issues, and profits arising therefrom, and all the estate, right, title,
interest, property, possession, claim and demand whatsoever, at law or in equity,
of the Debtor in and to the Reai Estate or any part thereof;
(5) all proceeds of the conversion, voluntary or involuntary, of any of
the Real Estate, Improvements, Personal Property or Building Equipment into
cash or liquidated claims, including proceeds of insurance, and any and aB awards
prior to or after the date of the Agreement made to the Debtor by any
· governmental or other lawful authority for the taking or damaging or affecting the
value of any of the Mortgaged Property of any easement therein, including any
award for any change of grade of streets, deprivation of use or access, or inverse
or de facto condemnation, which awards are hereby assigned to Secured Party.

All receipts, revenues, payments, income and other moneys received by or on behaff of
the Debtor from any source, whether or not in connection with the ownership or the operation
of all or any par~ of the Mortgaged Proper~y, including, without limilation, all ]Entrance lees
(~rn~d and unearned), Monthiy Service Fees and all other operating and nonoperating revenues,
and all rights lO receive the same whether in the form of accounts receivable, contract rights,
chattel paper, instruments, general intangibles of the Debtor and the proceeds thereof, the
proceexls of any insurance coverages on and condemnation awards in respect of the Mortgaged
Property or any gain on the sale or other Debtor disposition of property; all of the foregoing,
whether now existing or hereafter coming into existence and whether now owned or held or
hereafter acquired by the Debtor; and including all gifts, grants, bequests, donations and
contributions, except those heretofore or hereafter made, designated at the time of making by
the donor or maker as being for certain specified purposes inconsistent with the application
thereof to the payments due from the Debtor under the Loan and Trust Agreement dated as of
March I, 1994, by and among, among others, the Debtor and Farmers Trust Company, and
except any income derived therefrom to the extent m:luired by such designation or restriction.
