Brackbill, Debtor, to Franchise Partner, Inc., Creditor Debar grants Franchise Partner, Inc. a continuing security interest in the following described property: la) All of Debtor's right, title and interest in and to any and all franchise agreements and other agreements (including any and all amendments thereto) between H&R Block, Inc., a Missouri corporation ("Block"), or any subsidiary or franchisee of Block or any successors or assigns of Block or such subsidiary or franchisee, and Debtor (whether now existing or hereafter entered into) pertaining to Debtor's operation of a business (the "Tax Return Preparation Business") which provides tax return preparation and related and additional services under the name "N&R Block," names similar thereto or derived therefrom and any and all other trade names, Iogos, trademarks, service marks or licensed marks (i) owned or adopted by Block or registered by Block under appropriate service mark or trademark registration laws for use in the business of preparing income tax returns and performing related services and (ii) licensed to Debtor pursuant to those agreements; and lb) all other "general intangibles" (as defined by the Uniform Commercial Code in effect as of the date hereof) now and/or hereafter owned or acquired and used by Debtor in connection with the Tax Return Preparation Business, including (without limitation) all records, customer lists, tax returns and tax return information; and lc) any proceeds received upon the sale or other disposition of any of the items described in la) or lb) above.
