Any items not so disposed of shall be sold by my executrix and the proceeds added to my residuary estate. Marital Trust SECOND: If my wife, BARBARA A. CATLIN, survives me, I give to my trustees hereinafter named, without deduction for estate or inheritance taxes, a fraction of the property of which (a) the numerator is the smallest amount that, if allowed as a federal estate tax marital deduction, would result in the least possible federal estate tax being payable by reason of my death, and (b) the denominator is the value as finally determined for federal estate tax purposes of the property which became, or the proceeds of sale, investment or reinvestment of which became, part of my federal gross estate. The size of this trust shall be determined as though my executors elected to qualify it for the marital deduction in accordance with Section 2056(b)(7) of the Internal Revenue Code or similar provision in effect at my death, regardless of whether my executors in fact so elect. I recognize that, depending upon the amount of other bequests, the amount of my nontestamentary dispositions, the amount of state death taxes, and other factors, the marital trust may be nonexistent, or may amount to the entire balance of my testamentary estate so that my residuary trust is nonexistent. Property not qualified for the marital deduction shall not be allocated to this marital trust. During the lifetime of my wife, trustees shall hold and distribute the marital trust as follows: Trustees shall pay and distribute to her the entire net income from the principal of the marital trust, which payments shall be made to her periodically but not less frequently than quarterly. In addition, trustee shall from time to time pay to my wife, or shall apply directly for her benefit, as much of the principal of the marital trust as (corporate or disinterested) iG trustee, in its absolute discretion, may consider desirable for her health, maintenancE and support, after considering all resources available to her. If my wife and I should die under circumstances which render the order of our deaths uncertain, for the purposes of this gift it shall be conclusively presumed that my wife survived me. In such event, however (in lieu of the amount above specified), this gift shall consist of that amount but no more of the principal held hereunder without deduction for estate or inheritance taxes, which must be added to the value of all other property for which the marital deduction is allowed, in order to give my estate a marital deduction which would result in the lowest total of federal estate tax on my estate and my wife's estate. Such amount shall be determined on the assumption that my wife died after me on the date of my death and that her estate was valued as of the date upon, and in the manner in, which my estate is valued for federal estate tax purposes. If any property that is part of the marital trust shall be or become unproductive of income consistent with its value, my wife may require my trustee to make it productive or convert it within a reasonable time to property that is clearly productive of income consistent with its value. Distribution of Marital Trust Upon Death of Wife THIRD: On the death of my wife, trustee shall deduct and pay to her personal representative, from that portion of the principal of the marital trust, if any, an amount equal to any additional administration expenses and estate and inheritance taxes assessed against her estate by reason of the inclusion therein for tax purposes of the then remaining principal of the marital trust. Such amount shall be determined by my trustee, whose determination shall be conclusive. Any then remaining balance of principal shall be added to and thereafter shall form a part of the principal of the residuary trust, hereinafter created, to be held and distributed as though originally a part thereof. If the residuary trust shall not have been created for any reason or shall have been exhausted, the remaining principal shall be disposed of upon the same terms and conditions hereinafter specified for the remainder of the residuary trust. For the purposes of this provision, non-support purchases include, but are not limited to: dental care; unreimbursable medical expenses not covered by Medicare or Medicaid, including plastic and reconstructive surgery, diagnostic work, and treatment, rehabilitative training and experimental medical services; supplemental nursing care; recreation, cultural experiences, outings, and travel, including payment for others to accompany settlor's said beneficiary; telephone and television, including cable television; reading and educational materials; computer equipment and programs; computer equipment and programs; exercise equipment; and unreimbursed therapy. Trustee's discretion in making distributions authorized under this paragraph is absolute with regard to distributions from the trust estate, and shall be binding on all interested persons. If possible, trustee shall make distributions directly to the service provider and not to the beneficiary. ~, In authorizing any distribution to or for the benefit of ELIZABETH ANN CATLIN, trustee must recognize that any such expenditures are to satisfy only non-support needs and that such contributions, if any, are not intended to displace any source of income otherwise available to ELIZABETH ANN CATLIN for her basic support (such as food and shelter), including any governmental assistance program to which ELIZABETH ANN CATLIN is or may be entitled. No portion of this Trust is intended to be a resource of ELIZABETH ANN CATLIN. This trust is intended to be a discretionary spendthrift trust. Any and all non-support sums distributed which are related to settlors' daughter's medical care or shelter shall only be made directly to the third party provider and not to settlors' daughter. As this trust is specifically not intended to provide basic support and maintenance needs for ELIZABETH ANN CATLIN, if ELIZABETH ANN CATLIN is unable to maintain and support herself from her own resources and sources of income, trustee shall seek such support for ELIZABETH ANN CATLIN from public sources. The trust has specifically not been created to supplant or replace public-assistance benefits. Trustee should, therefore, seek entitlements that are available to members of the community who are experiencing disabilities which are substantially similar to those which ELIZABETH ANN CATLIN experiences. Trustee shall deny any request made by any agency or governmental entity requesting disbursement of trust funds to satisfy ELIZABETH ANN CATLIN's support needs. Trustee shall take whatever legal steps may be necessary to initiate or continue any public-assistance program for which ELIZABETH ANN CATLIN is or may become eligible. Trustee shall bring such action in any court having jurisdiction over the matter, to secure a ruling or order that this trust is not available to ELIZABETH ANN CATLIN for support purposes. Any expenses of the trustee, including reasonable attorney fees, in connection with matters relating to determination of eligibility of ELIZABETH ANN CATLIN for public support, shall be a proper charge to the trust. 2. On the death of ELIZABETH ANN CATLIN, the then remaining principal and any accumulated and undistributed income shall be paid and distributed to PATRICIA NAN CATLIN, or her heirs. Spendthrift Provisions SIXTH: No interest in income or principal shall be assignable by a beneficiary or available to anyone having a claim against a beneficiary before actual payment to the beneficiary. To retain any investments at discretion including stock of any corporate fiduciary hereunder or of a holding company controlling it; B. To invest and reinvest in the executor's,or trustee's discretion as permitted under Act 28 of 1999, the Prudent Investor Act, with the specific right to invest in stocks, bonds and real estate, including non-income producing residential real estate foi the occupancy of any present income beneficiary or beneficiaries, and in such common trust, diversified, money market and mutual funds as my executor and trustee deem appropriate, including any such funds of any corporate fiduciary hereunder or any successor or affiliated corporation or a holding company controlling it; C. To sell, to grant options for the sale of, or otherwise convert any real or personal property or interest therein, at public or private sale, for such prices, at such time, in such manner and upon such terms as they may think proper, and to execute and deliver good and sufficient conveyances, assignments and transfers thereof without liability of any purchaser to see to the application of the purchase money; C. To barrow money and to secure the repayment thereof by mortgage of real or personal property, pledge of investments or otherwise, without liability on the part of the lenders to see to the application thereof; E. To allocate and distribute different kinds or disproportionate shares of property or undivided interests in property among the beneficiaries or trusts, in cash or in kind, or both; G. To join in any recapitalization, merger, reorganization or voting trust plan affecting investments; to deposit securities under agreement; to subscribe for stock and bond privileges; and generally to exercise all rights of security holders; I. To manage, operate, repair, alter or improve real estate or other property, and to lease real estate and other property upon such terms and for such period as my executor and trustee deem advisable even for more than five (5) years and beyond the duration of any trust; J. To deduct administration expenses upon either the estate tax return or fiduciary income tax return, with or without adjustment as between principal and income, as my corporate or disinterested executor shall determine; K. To join with my wife and file any income tax or gift tax returns that may be due on my behalf and to pay so much of such taxes as my corporate or disinterested executor may deem appropriate and to consent to any gifts made by my wife being treated as having been made one-half (1/2) by me; L. To associate with them in the absence of a corporate fiduciary, an investment advisor, accountant, and custodian and other agents and to compensate them out of principal or income or both, as my executor or trustee shall determine, such compensation to be a reduction of the compensation of my executor or trustee; M. To associate with them at any time, in their absolute discretion and of their choice, a corporate fiduciary which shall have the same powers as my executor or trustee, such designation by my executor or trustee and acceptance by a corporate fiduciary to be in writing; N. To delegate to a corporate fiduciary the exercise of any powers, with the same effect as if the executor or trustee delegating such power had joined in the exercise of such power; and to revoke any such power, provided, however, that the revocation of any such delegation shall be in writing delivered to and accepted by the corporate fiduciary; O. To combine, without prior court approval, any trust herein with any other trust with substantially similar provisions, although such other trust may have been created by separate instruments and by different persons, and, if necessary to protect different future interests, to value the assets at the time of such combination and to record the proportionate interest of each separate trust in the combined fund; P. To permit any present beneficiary to occupy any real estate forming part of the trust estate without rent or on such other terms and conditions as the disinterested or corporate fiduciary shall determine; Q. To exercise any stock options which they may receive, including stock from any source as my executor or trustee may deem necessary for the exercise of such options; and to pledge assets as my executor or trustee deems appropriate for this purpose; and R. To disclaim any interest in property without court approval; and S. To do all other acts and things necessary or appropriate in the management, administration and distribution of my estate or trust. Waiver of Bond TENTH: I direct that no fiduciary hereunder shall be required to furnish bond in any jurisdiction. Compensation of Fiduciaries ELEVENTH: Any individual fiduciary serving hereunder without a corporate fiduciary shall be entitled to compensation in accordance with the schedule of compensation of a corporate fiduciary exercising fiduciary powers in the jurisdiction in which I die domiciled, which corporate fiduciary shall be selected by my individual fiduciary.
