COMPLAINT
Plaintiff Rite Aid Hdqtrs. Corp. ("Rite Aid"), by its undersigned attorneys, files
this Complaint alleging as follows:
PARTIES
1. Rite Aid is a Delaware corporation with its principal place of business at
30 Hunter Lane, Camp Hill, Pennsylvania 17011.
2. On information and belief, defendant Hebert Confections, LLC ("Hebert")
is a Delaware corporation with a principal place of business at 575 Hartford Turnpike (Rt. 20),
Shrewsbury, MA 01545.
JURISDICTION AND VENUE
3. This court has jurisdiction pursuant to 42 Pa.C.S. §931(a).
4. Venue in this Court is proper because the cause of action arose in
Cumberland County and a transaction or occurrence took place out of which the cause of action
arose in Cumberland County.
RELEVANT FACTS
5. Rite Aid is a national drug store chain with its principal office in
Cumberland County, Pennsylvania.
6. At all times relevant to this Complaint, Hebert was involved in the
manufacture, sale and distribution of candy products (collectively "Products")
7. Rite Aid and Hebert entered into several agreements regarding the sale of
Hebert Products in Rite Aid's retail drug stores.
On October 29, 2007, Rite Aid and Hebert entered into a Guaranteed Sales
Agreement ("GSA") in which Hebert "guarantee[d] the sale of [Hebert's] product to Rite Aid at
both Customer Service Centers (i.e. distribution centers) and retail locations." A true and correct
copy of the GSA, a valid and enforceable written contract, is attached to this Complaint as
Exhibit A.
9. Under the GSA, Rite Aid had the right to return all unsold product to
Hebert for a cash refund.
10. Specifically, the GSA provided:
If at any time Rite Aid determines in its sole discretion that
Vendor's product(s) performance continues to be unacceptable,
Rite Aid will have the right to return at Vendor's expense all
unsold product(s) to Vendor's facility in return for Vendor's cash
payment to Rite Aid for any products for which Rite Aid has paid,
but have not been sold.
See Exhibit A.
11. On October 29, 2007, Rite Aid and Hebert also entered into a Rite Aid
Returns Agreement ("Returns Agreement") that provided the manner in which Hebert's products
could be returned to Hebert. A true and correct copy of the Returns Agreement, a valid and
enforceable written contract, is attached to this Complaint as Exhibit B.
12. The Returns Agreement permitted Hebert to direct how Rite Aid should
handle damaged, defective, outdated and discontinued goods ("unsaleable product"). See Exhibit
B.

13. Hebert decided that the unsaleable product should be scanned and
disposition then left to the discretion of Rite Aid and Hebert agreed to pay a fee for this
particular method of disposition. See Exhibit B.
14. Hebert also agreed to pay the following processing fees for damaged,
defective, outdated, and discontinued goods: Direct Product Cost - $0.085; Post Damage -
$0.111, Ops through Scan - $0.101, all totaling $0.297. See Exhibit B.
15. On October 6, 2008, Hebert also entered into Promotional Funding
Agreements with Rite Aid whereby it agreed to fund the marketing and advertising of Hebert
Products. True and correct copies of the Promotional Funding Agreements, valid and
enforceable written contracts, are attached to this Complaint as Exhibit C.
16. Pursuant to the Promotional Funding Agreements, Hebert agreed to deduct
the marketing costs from the amounts owing by Rite Aid. See Exhibit C.
17. Hebert also signed Rite Aid Incremental Investment Agreements whereby
it agreed to fund retail store markdowns, scandowns, fixture displays and manufacturer coupons.
True and correct copies of the Incremental Investment Agreements, valid and enforceable written
contracts, are attached to this Complaint as Exhibit D.
18. Due to the fees and expenses charged pursuant to the agreements listed in
paragraphs 7 through 17 above ("Fees"), as of January 22, 2010, Hebert's account with Rite Aid
has a $224,480.44 negative balance, which is expected to grow after all returns are processed and
other account charge backs are applied.
19. On information and belief, the amount due and owing to Rite Aid will
continue to increase.

20. As of the date of the filing of this Complaint, Hebert is in breach of the
GSA, Returns Agreement, Promotional Funding Agreement, Incremental Investment
Agreements and other related account contracts and agreements because it refuses to pay Rite
Aid the negative balance on its account.
COUNTI
BREACH OF CONTRACT
21. Rite Aid incorporates the averments in paragraphs 1 through 20 above as
if fully set forth herein.
22. As noted in paragraphs 7- 17 above, Rite Aid and Hebert entered into
various valid and enforceable written agreements under which Hebert agreed to pay certain Fees.
23. To date, Hebert owes Rite Aid $224,480.44 in Fees. A statement of the
account of the negative balances and summary sheets reflecting this amount is attached as
Exhibit E.
24. Despite repeated requests, Hebert refuses to pay the negative account
balance of $224,480.44 to Rite Aid.
25. Rite Aid has performed all conditions precedent under the GSA, Returns
Agreement, Promotional Funding Agreement, Incremental Investment Agreements and all
related agreements under the account.
26. Hebert is in breach of the GSA, Returns Agreement, Promotional Funding
Agreement, Incremental Investment Agreements and all related agreements because it has failed
to pay the negative balance on its account.
27. As of January 22, 2010, Rite Aid has suffered damages in excess of
$224,480.44, an amount that will increase as additional returns and other Fees are processed, due
to the breaches of Hebert.

WHEREFORE, Rite Aid requests judgment in an amount in excess of
$224,480.44, plus interest, costs and all other amounts deemed appropriate by the Court.
COUNT II
UNJUST ENRICHMENT
28. Rite Aid incorporates the averments in paragraphs 1 through 27 above as
if fully set forth herein.
29. In the event Hebert contends no contractual relationship exists, Rite Aid is
entitled to recover the outstanding amounts to prevent Hebert from being unjustly enriched.
30. As is customary in the industry, Hebert was to pay for certain Fees
associated with the sale of its product.
31. Hebert owes Rite Aid $224,480.44 in Fees.
32. Rite Aid has a reasonable expectation to receive the Fees incurred.
33. Hebert reasonably should have expected to pay the Fees as such Fees are
custom in the industry.
34. It would be inequitable for Hebert to receive the benefit of the
$224,480.44 still owed to Rite Aid.
35. In the event the contracts are deemed to be unenforceable, Rite Aid has no
adequate remedy at law.
36. Rite Aid is entitled to collect the outstanding balance, plus interest, from
Hebert under the doctrine of unjust enrichment.

WHEREFORE, Rite Aid requests that judgment be entered against Hebert in the
amount of $224,480.44 plus interest, costs and all other amounts deemed appropriate by the
Court.

RITE AID CORPORATION
GUARANTEED SALES AGREEMENT
Rite Aid will consider Vendor's product(s) for distribution and sale under the terms and
conditions set forth in this Agre went. In consideration of Rite Aid's agreement to review a new
entry into its mix, as well as in consideration of the mutual premises contained herein, the parties
agree as follows:
I . Vendor will guarantee the sale of Vendor's product(s) to Rite Aid at both Customer
Service Centers (i.e. distribution centers) and retail locations.
2. During the feat one hundred twenty (120) days, or such other period as Rite Aid may
determine in its sole discretion (t being understood by Vendor that Rite Aid may
terminate this Agreement in its sole discretion at any time, for any reason whatsoever)
following the date if the Vendor's first delivery of product(s) to Rite Aid (the "Review
Period"), Vendor's account will be on a review status to permit Rite Aid to assess the
performance of the product(s). During the Review Period, Rite Aid will pay only for
those producgs) that are actually sold, and Rite Aid's payment will be reduced by any and
all cash discounts or other debit amounts (including, but not limited to, advertising,
displays, markdowns and price protection) due to Rite Aid. If at the end of the Review
Period, Rite Aid determines, in its sole discretion, that the Vendor's product(s) is not
selling at an acceptable rate, then Rite Aid will have the right to (a) require Vendor to
review and modify Vendor's marketing plan t0 ensure future success and (b) extend the
due date of the original invoice submitted by Vendor. Rite Aid also has the right to
require a cash payment, as described in paragraph (3) below. The foregoing rights are not
exclusive. At the end of the Review Period, Rite Aid may terminate this AgroeneM, place
the Vendor on Rite Aid's customary payment terms, or extend the Review Period as Rite
Aid, in its sole discretion, so desires.
3. If at any time Rite Aid determines in its sole discretion that Vendor's product(s)
performance continues to be unacceptable, Rite Aid- will have the right to return at
Vendor's expense all unsold product(s) to Vendor's facility in return for Vendor's cash
payment to Rite Aid for any products for which Rite Aid has paid, but have not been sold.
Vendor's payment to Rite Aid shall be made (a) by win transfer of immediately available
funds or certified check, and (b) no later than fifteen (15) days after Rite Aid has returned
the product(s). Vendor acknowledges and agrees that in the event that any of Vendor's
allowances me funded with "free product" from Vendor, that "free product" will'be
treated identically to product purchased from Vendor by Rite Aid. This includes,but is
not limited to, returns of this product Vendor.
4. Upon settlement of Vendor's account, all outstanding invoices will be paid promptly, less
any and all cash discounts or other debit amounts due to Rite Aid.

5. The terms and conditions of this Agreement are in addition to, and in no way limit, Rite
Aid's rigbts and remedies under RimeAid's Vendor Profit, standard terms and conditions
or purchase orders. In the event of inconsistency between tfte terms and conditions of the
Agreement and my of the foregoing documents, this Agreement will govern.
6. The parties agree that Pennsylvania law governs this Agreement not withstanding its
conflicts of law provisions. Any lawsuit brought with regard to this Guaranteed Sales
Agreement will bevenued in the Court of Common Pleas, Cumberland County,
Peiuisylvanis.
The parties specifically agree that 13 Pa. C.S.A. §2326 dt 2327(b) art inapplicable and
that Vendor will accept returned goods in their "as-is" condition.
8. All retuma art at risk of vendor.
9. Vendor can not assign any product covered by this Agreement to any third party without
the express written oonwnt of a Vice President of Category Management.
Rite Aid is enthusiastic about the opportmity to distribute product(s) into the marketplace. Rite
Aid wishes you every success in your endeavor to provide a product that is unique. Please allow
Rite Aid to assist you in your distribution needs by arranging for a duly authorbnad officer to sign
and date Ns Agreement on behalf of your company, and return the executed letter to Rite Aid s
Merchandising Depamdnent.

Supplier) of the Minimum Promotional Funding Commitment will occur in 12 squat instalments on

Hebert Confections, LLC (hereinafter referred to simply as "Hebert"). The
remainder of the averment speaks to the language in the GSA. The GSA being a
document speaks for itself. Any inferences andlor references to enforceability,
terms, language, responsibilities of parties, and the like, represent conclusions of
law to which no response is necessary. To the extent that a further response is

limitations.
48. Plaintiff has failed to mitigate damages in this matter.
49. Plaintiff breached their duty of good faith and fair dealing, a duty which is
inherent in all business relationships.
50. Plaintiff may have purchased products from Defendant after the decision to
terminate the sale of Plaintiffs products had been made.
51. Plaintiff is not entitled to an advertising allowance against products which are
"unsaleable."
52. Plaintiff was lax in getting Defendant's products to the marketplace.
53. Plaintiff may never have released many of the products which Plaintiff claims
were "unsaleable" from Plaintiffs warehouse.
54. Plaintiff may have ordered an over abundance of products which they knew or
should have known where not selling well in Plaintiffs stores.
55. Plaintiff may have contracted with another manufacturer whose products
replaced Defendants.
56. Said other manufacturer may have provided compensation to Plaintiff in the form
of incentives such as free product, cash to replace products, etc., in an effort to
push Defendant's product off of the shelves and out of Plaintiff's stores.
57. Plaintiff failed to adequately inform Defendant of the status of the sale of
Defendant's product through Plaintiffs stores throughout their relationship.
58. Plaintiff may not have given Defendant the proper credits to Defendant's account.
59. Plaintiff may have failed to use best efforts during the course of the parties
relationship together.
60. Plaintiff may have committed waste or allowed waste to be committed.
WHEREFORE, Defendant, Hebert Confections, LLC, respectfully requests that this
Honorable Court dismiss Plaintiffs Amended Complaint and order Plaintiffs to pay
Defendant, Hebert's, costs of defending Plaintiffs Amended Complaint.

1. Your Petitioner is The Dethlefs-Pykosh Law Group, LLC, by Darrell C.

2. On October 21, 2011, Petitioner filed a Petition for Leave to Withdraw
Appearance pursuant to Pa. R.C.P. 1012.
3. On October 30, 2011, this Honorable Court by Order of Judge Masland, issued a
Rule upon Defendant to show cause as to why the relief sought in the
aforementioned Petition should not be granted.
4. Pursuant to the aforementioned Order, the Rule was returnable on or before
November 15, 2011.
5. No response has been fled by either of the Plaintiffs or Defendant to the October
30, 2011 Rule.
6. Based upon all of the foregoing, Your Petitioner respectFully requests that the
Honorable Court order that the Petitioner and all attorneys associated with
Petitioner is formally withdrawn as counsel for Defendant, Hebert Confections,
LLC.
WHEREFORE, Your Petitioner, The Dethlefs-Pykosh Law Group, LLC, respectfully
requests this Honorable Court to make the October 30, 2011 Rule, Absolute and enter

The undersigned counsel for Hebert Confections, LLC, entered an appearance in
this matter on December 15, 2011, and thereafter received a multitude of case materials from the
prior counsel for Hebert Confections, LLC.
2. On November 21, 2011, the Honorable Albert H. Mastand issued an Order
directing Hebert Confections, LLC, to serve its responses to Rite Aid Corporation's Second Set
of Requests for Admissions, Interrogatories and Requests for Production of Documents within
forty-five (45) days from the date of the Order, that date being January 5, 2012-

RITE AID CORPORATION'S UNOPPOSED MOTION FOR ISSUANCE
OF A LETTER ROGATORY TO TAKE A DEPOSITION
AND DISCOVERY OUTSIDE THE COMMONWEALTH
Plaintiff Rite Aid Corporation("Rite Aid"), by its undersigned counsel, hereby
moves this Honorable Court, pursuant to 42 Pa.C.S.A. §5325 and Pa. R.C.P. §4015, to issue a
letter rogatory authorizing an appropriate judicial authority outside the Commonwealth of
Pennsylvania to issue a deposition subpoena to the individual identified herein, who is a
resident of Hampden County, Massachusetts, directing the witness to appear for a deposition and
produce documents. In support, Rite Aid states as follows:
1. Rite Aid commenced this action on April 1, 2010 to recover damages
sustained as a result of Defendant Hebert Confections, LLC's ("Hebert") breach of various
agreements. Hebert denies Rite Aid's allegations and claims, and denies any liability.
2. On June 22, 2010, Rite Aid filed an Amended Complaint.

3. Discovery has revealed that an adult individual, who is a resident of
Massachusetts and is not currently employed by any party to this action, may have personal
knowledge of facts relevant to the matters at issue in the action:

4. Plaintiff wishes to obtain both testimony and documents from Mr.
O'Rourke concerning the facts at issue in this action for both discovery purposes and for
possible use at trial insofar as Mr. O'Rourke is outside the subpoena power of this Court.
5. In order to obtain discovery from Mr. O'Rourke, a letter rogatory should
issue to:
a. John S. Gay, Clerk, the appropriate judicial authority of the
Springfield District Court (Hampden County), Massachusetts, requesting that he issue a
deposition subpoena directed to the respective witness identified hereinabove.
6. A copy of the proposed letter rogatory is attached hereto as Exhibit A.
7. Under the laws of the Commonwealth of Massachusetts, the courts of that
jurisdiction may issue process requiring the attendance of witnesses for deposition ancillary to
civil proceedings in other states. See M.G.L.A. ch. 223A §11, copy attached hereto as Exhibit
B.
8. The interests of justice will be served if this Honorable Court will cause a
letter rogatory in the form attached hereto to be issued and certified, whereupon Plaintiff's
counsel will cause such letter to be presented to the appropriate judicial authority as identified
hereinabove.
9. The officer to be used by Plaintiff, and before whom the deposition is to
be taken, will be a notary public, court reporter or other competent authority authorized to
administer oaths by the laws of the United States or of the Commonwealth of Pennsylvania, or of

the place where the deposition is to be held, and will be competent and qualified to execute a
commission for taking and supervising the oral deposition of Mr. O'Rourke.
10. The oral deposition of Mr. O'Rourke will not be taken before an officer
who is a relative, employee or attorney of any of the parties to this action or who is a relative or
employee of such attorney, or who is financially interested in this action, and will not otherwise
be disqualified under Pennsylvania Rule of Civil Procedure 4015(c).
11. As set forth in the attached certificate, Rite Aid's counsel disclosed the full
text of this motion and the proposed letter rogatory to Defendant's counsel and sought counsel's
concurrence, as required by Local Rule 208.3(a)(9). Defendant does not oppose the motion.
12. The Honorable Albert H. Masland ruled on Rite Aid's Concurred In Motion
for the Issuance of a Commission on April 12, 2012.

WHEREFORE, Plaintiff requests that this Honorable Court issue a letter
rogatory, authorizing the issuance of a subpoena to attend and testify and produce documents,
and authorizing any notary public, court reporter or other competent authority authorized to
administer oaths and take testimony pursuant to Pennsylvania Rule of Civil Procedure 4015 and
42 Pa. C.S.A. §5325, to take the out of state deposition of Thomas M. O'Rourke, in accordance
with the Pennsylvania and other applicable Rules of Civil Procedure and statutes.
