N - t,,., NOW COME the Beneficiaries and Executor of the Estate of Meredith E. Schuibbeo and make and file the instant Family Estate Settlement Agreement. WHEREAS, Meredith E. Schuibbeo (the "Decedent") died testate on November 23, 2008, leaving a Last Will and Testament dated September 20, 2007, which Will was duly probated by and before the Register of Wills of Cumberland County, Pennsylvania, on December 15, 2008; and W((^,~^REAS, the Decedent was survived by his spouse, Angela Roberts Schuibbeo, and a dau hter`Sara Ann Schuibbeo• and g , WHEREAS, Decedent's Last Will and Testament made several specific bequests and bequests of his residuary estate; and WHEREAS, pursuant to Decedent's Last Will and Testament, all property not the subject of a specific bequest was auctioned by an auctioneer chosen by Decedent's surviving spouse and his duly appointed Executor; and WHEREAS, the Decedent made the following specific bequests under his Last Will and Testament: (a) All cash, whether in the form of currency or held in checking or savings accounts, to his wife, Angela Roberts Schuibbeo; and (b) Real Estate located at 353 North 21St Street, Camp Hill, Pennsylvania, to his wife, Angela Roberts Schuibbeo; L--. 1 4 Family Estate Settlement Agreement Estate of Meredith E. Schuibbeo, Deceased Page2of7 (c) All 20th and 21st century items, and twelve (12) pieces of 18th/19th century furniture restored by the decedent, to his wife, Angela Roberts Schuibbeo; and AS h (dj Nissan Quest minivan to his daughter, Sara Ann Schuibbeo; and WHEREAS, the specific bequests made by the Decedent have all been distributed in full to the Beneficiaries named, and the Beneficiaries acknowledge receipt of such respective specific bequests through their execution of this Agreement; and WHEREAS, the remainder of items forming a part of Decedent's probate estate were auctioned in a series of auctions and the net proceeds of the auctions, less administrative costs and expenses, inheritance taxes, debts and deductions, remain available for distribution to Decedent's Beneficiaries in accordance with Item VIII of Decedent's Last Will and Testament; and WHEREAS, the Estate has caused an Inheritance Tax Return to be filed with the Pennsylvania Department of Revenue, a true and correct copy of which is attached to this Family Estate Settlement Agreement as Exhibit "A" to more fully describe the Decedent's assets, debts, expenses, and the disposition of same to his creditors, Beneficiaries, taxing bodies, and administrators; and WHEREAS, the grant of Letters Testamentary has been duly advertised, all creditors have been paid, ail death (inheritance) taxes paid and expenses of administration paid or provided for: and WHEREAS, the Beneficiaries of the Estate are desirous of settling the Estate without the necessity of incurring expenses and delay of preparation and filing of a full First and Final Account of and by the Executor of the Estate; and WHEREAS, the parties hereto, being the Executor of the Estate and the residuary Beneficiaries under the Decedent's Last Will and Testament, respectively, desire that the Family Estate Settlement Agreement Estate of Meredith E. Schuibbeo, Deceased Page 3 of 7 residuary assets of the Estate be distributed to them without the formality of an accounting filed in the Orphans' Court Division in order to save the expense and delay of a Court Accounting, and the Executor is willing to make such distribution and close out the Estate upon execution of this Agreement; and WHEREAS, the undersigned, as aforesaid, include all parties in interest to the residuary of the Decedent's Estate and the Executor of the Estate, respectively; and WHEREAS, the principal amount available for distribution to the Beneficiaries of the Estate amounts to $115,231.32 in cash, and the additional amount of $41.10, representing interest earned by the Estate, is also available for distribution. NOW, THEREFORE, in consideration of the above-premises and other good and valuable consideration, each of the undersigned, intending to be legally bound, hereby: 1) Represents and warrants that each has read and understands this Agreement, and that the facts set forth above herein, or incorporated herein, are true and correct to the best of their knowledge, information or belief. 2) Declares that each is familiar with the transactions occurring in the Estate and its administration and approve the same as if they were contained in a formal accounting which had been confirmed absolutely by the Court having jurisdiction over the Estate. 3) Waive the preparation, filing and auditing of an Account by any Court having jurisdiction over the Estate. 4) Separately and severally acknowledge receipt of advance distributions from the Estate and the Executor in full and complete satisfaction of their interests in specific bequests under the Estate as determined by the provisions of Decedent's Will. 5) Waives the filing and auditing of the Account by any Court having jurisdiction over the Estate and agrees that any Court having jurisdiction may, if presented with the Account, confirm the same, the undersigned hereby waiving any objections which she might have. Schuibbeo, Deceased Page 4 of 7 6) Absolutely and irrevocably releases, remises, quitclaims and discharges the Executor, in his individual and fiduciary capacities, of and from any and alI claims, actions, suits, accounts, reckonings and demands, whatsoever relating in any way to their administration of the Estate. 7) Agrees to indemnify the Executor and hold the Executor harmless from and against any and all claims, losses, liabilities or damages the Executor may suffer or to which the Executor may be subjected by reason of his administration of the Estate, settlement of the Estate and/or distribution of the assets of the Estate without having formal approval of the Court having jurisdiction over the Estate. 8) Release all real estate of the Executor from all liens, claims, actions, suits, payments, accounts and demands whatsoever for or by reason of his actions as Executor, or any other account, matter, cause or thing whatsoever. 9) Absolutely and irrevocably release the Executor from filing any Account, Petition for Distribution or other documents with the Court of Common Pleas of Cumberland County, Pennsylvania, Orphans' Court Division, or in any other jurisdiction in connection with the Estate and the administration thereof. 10) Agree to indemnify the Executor and hold him harmless, to the extent of the Estate assets and distributions made to each of them, from and against any and all claims, loss, liability or damage, including legal fees and costs, which the Executor may suffer or to which the Executor may be subjected by reason of the administration of the Estate without having formal approval of the Court of Common Pleas, Orphans' Court Division, of Dauphin County, Pennsylvania, or any other jurisdiction. 11) Agrees that this Agreement shall be binding on the undersigned and their personal representatives, heirs and assigns and that the Estate administration be closed upon execution and filing of this Agreement. Schuibbeo, Deceased Page 5 of 7 12)Agrees that the principal amount of $115,231.32, and the income amount of $41.10, shall be, upon execution of this Agreement, distributed to the Beneficiaries of the Estate as follows: ~s a. $69,163.45 to Sar~ Ann Schuibbeo, representing sixty (60%) percent of the residuary Estate; and b. $46,108.97 to Angela Roberts Schuibbeo, representing forty (40%) percent of the residuary Estate. 13) Agrees that upon payment of the amounts listed in Paragraph 12(a) and (b), respectively, the Executor shall be released and discharged and that the Estate shall be closed of record. ITEM V : I give and bequeath to my wife, Angela Dee Roberts, a/k/a Angela Roberts Schuibbeo, should she survive me, all twentieth and twenty-first century items situate in or upon my real estate, including, without limitation to all kitchen and dining wares, bedding, bath and laundry items, electronic devices of whatsoever nature, lawn, interior and workshop tools and equipment, 20th and 21st century furnishings and furniture, together with twelve pieces of 18th/19th century furniture pieces restored by me, as listed on Exhibit A attached hereto. Should my wife not survive me, I give all such items to my daughter, Sarah Ann Schuibbeo. ITEM VI: I acknowledge that my wife has acquired and maintained as her sole property certain personal property to which I have no ownership claim or interest. Such property has been itemized on a written list sued by both my wife and myself. ITEM VII: I give and bequeath unto my daughter, Sarah Ann Schuibbeo, my Nissan Quest minivan. Page Z of 7 ITEM VIII: I hereby direct that all of the rest and remainder of my personal property of whatsoever nature, be sold at public sale by an auctioneer to be jointly selected by my wife and my Executor, upon such terms as they shall negotiate and that the net available proceeds of such sale or sales be divided between my wife and my daughter in the following proportions: (a) Forry percent (40%) of such net available proceeds to my wife, Angela Dee Roberts, atk/a Angela Roberts Schuibbeo; and (b) Sixty percent (60%) of such net available proceeds to my daughter, Sarah Ann Schuibbeo, should both my wife and my daughter survive me. Should either my wife or my daughter not survive me, the share that would have otherwise have Qone to that person shall be distributed to the survivor of them. ITEM IX: No interest in income or principal of my estate shall be subject to attachment, levy or seizure by any creditor, spouse, assignee or trustee or receiver in bankruptcy of any beneficiary of my estate prior to the beneficiary's actual receipt thereof. My Executor or Trustee shall pay over the net income and the principal to the beneficiaries herein designated, as their interests may appear, without regard to any attempted anticipation (except as maybe specifically provided herein), pledging or assignment by any beneficiary of my estate and without regard to any claim thereto or attempted levy, attachment, seizure or other process against said beneficiary. ITEM X; Any person, who shall have died at the same time as I or under such circumstances that it is difficult or impossible to determine who shall have died first, shall be deemed to have predeceased me. Page 3 of 7 ITEM XI: In the settlement of my estate, my Executor shall possess, among others, the following powers to be exercised for the best interests of the beneficiaries: (a) To retain any investments I may have at my death so long as my Executor may deem it advisable to my estate so to do. (b) To vary investments, when deemed desirable by my Executor, and to invest in such bonds, stocks, notes, real estate mortgages or other securities or in such other real or personal property as my Executor shall deem wise, without being restricted to so-called "legal investments". y (c) In order to effect a division of the principal of my estate or for any other purpose, including any final distribution of my estate, my Executor is authorized to make said divisions or distributions partly or wholly in kind. If such division or distribution is made in kind, said assets shall be divided or distributed at their respective values on the date or dates of their division or distribution. In making any division or distribution in kind, my Executor shall divide or distribute said assets in a manner which will fairly allocate any unrealized appreciation among the beneficiaries. (d} To sell either at public or private sale and upon such terms and conditions as my Executor may deem advantageous to my estate, any or all real or personal estate or interest therein owned by my estate severally or in conjunction with other persons or acquired afrer my death by my Executor, and to consummate said sale or sales by sufficient deeds or other instruments to the purchaser or purchasers, conveying a fee simple title, free and clear of all trust and without obligation or liability of the purchaser or purchasers to see to the application of the purchase money or to make inquiry into the validity of said sale or sales; also, to make, execute, acknowledge and deliver any and all deeds, assignments, options or other writings which may be necessary or desirable in carrying out any of the powers conferred upon my Executor in this paragraph or elsewhere in this Will. (e) To mortgage real estate and to make leases of real estate for any term. (f) To borrow money from any parry, including my Executor, to pay indebtedness of mine or of my estate, expenses of administration, Death Taxes or other taxes. (h) To vote any shares of stock which form a part of my estate or trust and to otherwise exercise all the powers incident to the ownership of such stock and to actively manage and operate any incorporated or unincorporated business, including any joint ventures and partnerships, and to incorporate any such unincorporated business, with all the rights and powers of any owner thereof. (i) In the discretion of my Executor to unite with any other owners of similar property in carrying out any plans for the reor¢anization of any corporation or company whose securities form a part of my estate. (j) To assign to and hold in my estate an undivided portion of any asset. (k) To hold investments in the name of a nominee. (1) To compromise controversies.
