REVOCATION AND APPOINTMENT OF TRUSTEE _ ~ urn ~ -

WHEREAS, Suzanne B. Bieri as Settlor entered into an Agreement of T~st'with herself :: ~~ ~~Y>
as initial Trustee and Ramsey B. Davenport as Co-Trustee. Said Agreement being restate" as
on the 25th day of May of 2000; and
WHEREAS, Suzanne B. Bieri died on December 19, 2009; whereupon, under the terms
of the Trust, David S. Davenport succeeded Suzanne B. Bieri as an individual co-trustee; and
WHEREAS, under the provisions of the Trust, Dauphin Deposit Bank and Trust
Company was to serve as a corporate Co-Trustee upon the death of Suzanne B. Bieri; and
WHEREAS, under Item Twelfth of the Trust, Ramsey B. Davenport and David S.
Davenport were given the power to revoke the appointment of the then acting corporate Trustee
and substitute a new corporate Trustee; and
WHEREAS, Manufacturers and Traders Trust Company, successor by merger to
Dauphin Deposit Bank and Trust Company, has not elected to serve as a Co-Trustee; and
WHEREAS, Ramsey B. Davenport and David S. Davenport wish to revoke the
appointment of Manufacturers and Traders Trust Company, successor by merger to Dauphin
Deposit Bank and Trust Company and appoint Mid Penn Bank as Trustee;
NOW THEREFORE, incorporating the above by reference, Ramsey B. Davenport and
David S. Davenport do hereby revoke the appointment of Manufacturers and Traders Trust
Company, successor by merger to Dauphin Deposit Bank and Trust Company, as Co-Trustee
under the Trust created by Suzanne 6. Bieri and restated on May 25, 2000, and hereby appoint
Mid Penn Bank to serve as Co-Trustee.
