FIRST: I hereby expressly revoke all Wills, Codicil;; and testamentary writings of whatsoever kind and nature heretofore made by me. SECOND: I hereby direct my Executrix, or her successor, hereinafter named, to pay all of my just debts, expenses of ad- ministration and funeral expenses out of my estate, as soc-n as practicable after my decease. It is my desire that this trust estate herein created by this my Last Will and Testament be administered and used by my said trustee for the best interest of my grandchildren, now living, after born to my daughter, BARBARA M. HILLMAN, or legally adopted by her, to the fullest extent possible in my place as though I were physically present and were administering my own funds for their benefit. (d) Upon any beneficiary hereunder attaining the age of twenty-one (21) years, the trustee shall, in its sole discretion, semi-annually thereafter, determine the amount of net income of this trust which shall be allocated to such beneficiary and shall pay the same to such beneficiary, retaining any balance o:f net income to be distributed and paid in the trustee's discretion to or for the use of the beneficiary or beneficiaries not having attained the age of twen y-one (21) years, or for distribution to such beneficiary or beneficiaries subsequent to their attaining; the age of twenty-one (21) years. (e) Upon any beneficiary attaining the age of twenty-five (25) years, the trustee shall pay and distribute to such beneficiary one-half (2) of the proportionate share to which the said beneficiary shall be entitled, free of trust, and that thereafter, as said beneficiary shall attain the age of thirty (30) years, this trust shall terminate and the remaining one-half (2) proportionate share to which the said beneficiary shall be entitled shall be paid over to him free of trust. (f) It is the true intent and purpose of the Testator herein, and this trust shall be so construed as to effectuate the same, that if there be more than one beneficiary of this t-rust, the trustee making payments to or for the use of the beneficiaries hereunder, shall, in its sole discretion, have full power and authority for any reason which in its judgment shall be sufficient to depart from equality of treatment as among beneficiaries. More particularly, it is my intent herein that the trustee may depart from equality for reasons including, but not limited to, a beneficiary being or becoming pysically or mentally handicapped, requirements for the maintenance and support of their immediate family becoming unusually unbalanced, their differing educational needs, unbalanced gifts previously received from parents, grandparents and others, and any unbalance in the amounts previously received under this trust. - 3 - (g) In .the event that my said grandchild or grandchildren, during the continuance of this trust, shall die leaving a widow or widower and child or children, or widow or widower or child or children, the trustee, in its sole discretion, may allocate and make payments of .principal and/or income to or for the use of such widow or widower and child or children or widow or widower or child or children in the place of such deceased beneficiary and with full discretionary powers in my said trustee to pay nothing on such account. In such event, upon final distribution of the trust by limitation of time as heretofore provided, as to any amount so al- located by my trustee for a widow or widower or child or children not then sui juris, this trust shall. continue as to any amount al- located by the trustee for such widow or widower and child or children until he, she or they shall become sui juris. (i) My trustee, hereinbefore named, shall be vested with reasonable discretionary powers and in all matters not otherwise herein specifically provided, shall exercise its sound judgment and discretion in the performance of its duties hereunder. Its shall not be liable for any error in judgment, provided that such error is honestly made. (j) Without limiting the general powers herein confE~rred, the trustee , in administering this trus t created by my LastWil;l and Testament, shall have the following specific powers: (1) To retain for such time as in its judgment may deem advisable all or any part of my property or assets at any time constituting a part of the trust herein provided for. (2) To sell or exchange, either privately or at public sale and without prior approval of Court, at such time or times and at -such price or prices and on such terms and conditions as my trustee may consider advisable, all or any part of the trust property, real, personal or mixed, and to execute verif ledge and deliver all deeds, bills of sale or other docume~ntskwhich may be necessary or proper in the exercise of such powers without liability on the purchaser or purchasers to look to the application of the purchase price. - 4 - (3) To alter, rep air, maintain or improve any real estate subject to this trust. (4) To lease any real estate subject to this trust for such term or terms, and for such rental or rentals, and under such covenants and agreements as may, in the discretion o:f my said trustee, be for the best interests of this trust estate. The trustee shall recognize existing leases, but shall have the power to agree to modification of, or amendment to, the terms of exist- ing leases, or to extension or renewals thereof. The trustee shall have full authority to acquire by purchase, gift or otherwise, and to resell, receive, hold, manage and control real estate, or any other interest therein, subject to this trust, and to do all things necessary or proper in the performance of such functions. (7) To amortize, accelerate payment of, reduce, extend, modify, or liquidate any liens, encumbrances, mortgages or other charges against any real estate or other property which may be sub- ject to this trust. The trustee shall specifically keep and per- form all of the covenants, terms and conditions of any existing mortgage or mortgages, upon said real estate, on the part of the mortgagor required to be kept and performed, and shall have full power and authority to refund, replace, extend or otherwise amend the same, and to anticipate and accelerate any periodical payment therein required. (8) To subscribe for stock allotments and to exercise all rights and privileges pertaining to securities which ar.e avail- able to the owners thereof. (9) To make distribution of the trust herein created, either in money or in kind, or partly in money and partly i.n kind. The judgment of the trustee as to what shall constitute an equit- able distribution or apportionment shall be binding and conclusive upon the beneficiaries hereof. Nothing herein contained, however, shall empower the trustee to make distribution before the time or times specified herein. - 5 - (10) To pay, collect, compromise, sue for or contest any claim or other matter, directly or indirectly, affecting this trust. (11) To use income and/or principal to maintain in force any policies of life insurance which I may own on the lij=e or lives of other persons and to receive in gift or purchase or maintain previously existing insurance or annuity contracts for the benefit of any beneficiary, primary or contingent, if= the trustee determines that the best interests of my family would be served by purchasing such contracts or by continuing such insurance in force and to exercise all the powers given to the owner of such policies. SEVENTH: The rights, titles, benefits, interests and estates of any beneficiary hereunder, including beneficiaries under the trusts herein created shall not be subject to the rights ur claims of his or her creditors nor subject nor liable to any process of law or court, and all of the income, principal or other bE~nefits from or under any t-rust herein created, shall be payable, and de- liverable only, wholly, exclusively and personally to the designat- ed beneficiaries hereunder at the time the designated benE~ficiaries are entitled to take the same under the terms of this instrument. EIGHTH: I hereby direct that my Executrix, trustee, or any successor, as named by me herein, shall not be required to give bond, or other security, required by law or otherwise, for the faithful performance of their duties , whether as Executrix: or as successor Executor or trustee. NINTH: I hereby give unto my Executrix, or her successor, hereinafter named, and to my trustee, hereinafter named, the fullest power and authority in all matters or questions pertaining to the administration of my estate and trust, executing the provisions of this my Last Will and Testament, including, but not by way of limi- tation, the power and authority to determine all doubtful questions - 6 - which may arise in the construction of this my Last Will and Testament and the trust hereunder; I further hereby authorize and empower my Executrix, or her successor, pending settlement of my estate, to sell, convey, mortgage, lease, exchange, en- cumber or otherwise dispose of any and all of the property, real, personal or mixed, at any time belonging to my estate, either at public ur private sale, without prior approval of any court, and at such times and for such price or prices and in any such case upon such terms as she may think best in her discretion and I authorize and empower my said Executrix to execute, acknowledge and deliver to the purchasers, grantees, mortgagees, vendees, assignees, or other persons, such contracts, deeds, murtga.ges, bills of sale, and all other instruments of writing necessary or~ proper without obligation upon the latter to see to the pruner application of the proceeds. She shall also have the power to compromise or otherwise to settle or adjust any and all claims, charges, debts and demands whatsoever against, or in favor of, my estate as fully as I could do if living. She shall further be empowered to carry on and conduct any business enterprise in which I may be engaged at my death, to retain assets, including stocks or securities which I may own at the time of my death, pending settlement of m;y estate, without regard as to whether or not such assets or securities are legal investments for fiduciaries, and may make distribution in kind to my trustee. Pending settlement of my estate, she ;shall also have the authority in her discretion to convert, sell, exchange or dispose of such assets and securities either for cash o:r for terms satisfactory to her and to acquire other assets without limita- tion ~to securities or investments as may be declared legal for investment of trust funds. She may further be empowered tc~ borrow money, and to pledge assets of my estate as security therefor, for the purpose of paying taxes which may be levied upon or payable by my estate, in accordance with this Will in the event that funds in the hands of my Executrix, or her successor, shall be insuf=ficient to pay such taxes, and if in the opinion of my Executrix, or her successor, it appears that conversion of securities and other assets, real and personal, would then be made at a sacrifice. TENTH: I hereby nominate, constitute and appoint my wife, MARY E. MECK, to be Executrix of this my Last Will and Testament. In the event the said MARY E. MECK renounces this office, refuses this appointment, predeceases me or for any other reason is unable to serve, then and in that event, I do hereby nominate, constitute and appoint the said CCNB BANK, NA, to be successor Executor of this my Last Will and Testament and have all the rights, privileges :and duties conferred and created by reason of said appointment.
