Edward Trevillian, being first duly sworn, deposes and states as follows:
1. The Order and Judgment against Defendant Excel Homes, LLC d/b/a
Excel Homes and Excel Homes, Inc. ("Excel") in the case entitled "Fidelity Construction,
LLC and Fidelity Woodstone, LLC v. Excel Homes, LLC d/b/a Excel Homes and Excel
Homes, Inc. and PFS Corporation," Case No. 08 CVS 16582, in the Court of Superior
Court of Mecklenburg County, North Carolina, entered on April 28, 2010, is a final
judgment with respect to the matters stated therein (the "Final Judgment"), and a certified
true and accurate copy is attached hereto as Exhibit A.
2. The Final Judgment is valid, enforceable, and unsatisfied in whole, and is
due and owing to the Plaintiffs from the Defendant Excel.

This matter came on for hearing before the undersigned Judge presiding at the April 28,
2010 session of Mecklenburg County Superior Court pursuant to Fidelity Construction, LLC
("FCLLC") and Fidelity Woodstone, LLC's ("FWLLC") Motion to Confirm Arbitration Award.
Having reviewed the court file, considered arguments of counsel, the Arbitration Agreement, the
Arbitration Award (Modified), and other matters of record, the Court finds as follows:
1. This litigation was commenced on July 22, 2008 with the filing of a Complaint by
Plaintiffs FCLLC and FWLLC against Defendants Excel Homes Acquisition
Corp. d/b/a Excel Homes and Excel Homes, Inc. and PFS Corporation.
2. On or about September 25, 2008, Excel Homes, LLC filed a Motion to Substitute
Excel Homes, LLC as real party Defendant for Excel Homes Acquisition Corp.
d/b/a Excel Homes and Excel Homes, Inc. and to dismiss Excel Homes
Acquisition Corp. d/b/a Excel Homes and Excel Homes, Inc.
3. On or about April 7, 2009, an Order granting Excel Homes, LLC's Motion to
Substitute was entered ordering the new caption be FCLLC and FWLLC v. Excel
Homes, LLC d/b/a Excel Homes and Excel Homes, Inc. and PFS Corporation.
4. On or about June 30, 2009, the parties entered and agreed to a Consent Order of
Stay in this action pending binding arbitration pursuant to an Arbitration
Agreement executed by the parties on or about June 29, 2009. The Consent Order
ordered that the parties' claims and disputes which were subject to the Arbitration
Agreement be decided by binding arbitration per the parties' Arbitration
Agreement, and staying the litigation pending completion of the arbitration.
5. On or about January 14, 2010, by agreement between all parties, the arbitration of
the claims between Plaintiffs FCLLC and FWLLC and Defendants Excel and PFS
concluded at 7:00 p.m. and the arbitrator issued his award on March 1, 2010.
Pursuant to a motion by FCLLC and FWLLC, the arbitrator issued the Arbitration
Award (Modified) dated April 5, 2010 in favor of FCLLC and FWLLC. A copy
of the Arbitration Award (Modified) is attached hereto as Exhibit A.
6. The Arbitration Award (Modified) should be entered as a Judgment in favor of
FCLLC and FWLLC and against PFS and Excel as follows.
NOW THEREFORE, IT IS ORDER, ADJUDGED, AND DECREED:
1. Fidelity Construction, LLC and Fidelity Woodstone, LLC's Motion to Confirm
Arbitration Award is hereby granted and the Arbitration Award (Modified)
entered on April 5, 2010 is confirmed as a Judgment of this state;
2. Judgment is hereby entered in favor of Fidelity Construction, LLC against Excel
Homes, LLC, in the sum of $77,567.00 plus interest from April 1, 2010 at the
legal rate of eight percent (80/6) per annum until paid;
3. Judgment is hereby entered in favor of Fidelity Construction, LLC against Excel
Homes, LLC and PFS Corporation, jointly and severally, in the sum of
$61,776.00 plus interest at the legal rate of eight percent (8%) per annum until
paid;
4. Judgment is hereby entered in favor of Fidelity Woodstone, LLC against Excel
Homes, LLC, in the sum of $375,399.00 plus interest at the legal rate of eight
percent (8%) per annum until paid;
5. Excel Homes, LLC's Counterclaims, including its claim for lien on real property,
are dismissed with prejudice and Excel shall be awarded nothing; and
6. Excel Homes, LLC's Claim of Lien against Fidelity Woodstone, bearing file
stamp 08-M-2335, was cancelled on March 19, 2008 by a cash bond as evidenced
by the Clerk stamped Claim of Lien attached as Exhibit B. The Clerk of Superior
Court shall immediately distribute all proceeds deposited with the Clerk, plus
interest accrued, to Fidelity Woodstone, LLC and Fidelity Construction, LLC's
attorney of record Hamilton Moon Stephens Steele & Martin, PLLC.

Procedural Background
The undersigned Arbitrator was designated in accordance with the Arbitration
Agreement entered into by the above-named parties on or about June 29, 2009, and in
accordance with the Amendment To Arbitration Agreement entered into by the above-
named parties dated effective September 18, 2009. During a preliminary phone conference
held on October 29, 2009 all the parties and the arbitrator agreed that the following issues
are submitted to final and binding arbitration before the Arbitrator:
a. Breach of contract claims and counterclaims by both FCLLC and Excel;
b. Breach of express and implied warranty claims by FCLLC and Excel;
c. Negligence claims by FWLLC against Excel and PFS;
d. Excel lien enforcement claim; and
e. All claims for attorneys' fees made by the parties.
Status of Hearings, Form of Award and Request for Modification
Preliminary hearings were held, and six (6) days of evidentiary hearings were ' held in
Charlotte, N.C. The parties submitted documentary and testimonial 'evidence during the
hearings for consideration by the-Arbitrator. Each of the parties was represented during the
hearings by highly experienced and effective legal counsel. Each of the parties vigorously
pursued and defended their respective claims, counterclaims and positions throughout. The
Arbitrator considered and analyzed all of the documentation and testimonial evidence. By
agreement between all the parties and the Arbitrator the evidentiary record in this matter
was closed at 7:00 p.m. on January 14, 2010. The parties did not request that the Arbitrator
provide a written explanation of the award. Each FCLLC, FWLLC, Excel and PFS seek

modification of the Award pursuant to N.C. Gen Statute 1=569.20. The requests of FCLLC
and FWLLC to modify the Award are granted. The requests of Excel and PFS to modify the
Award are denied. The Award is modified as follows:
MODIFIED AWARD
The Arbitrator makes the following MODIFIED AWARD:
1. Excel shall pay to FCLLC the sum of $77,567.00 plus interest from April 1, 2010. at
the rate of 8% per annum until paid.
2. In addition to the amount to be paid in accordance with paragraph 1 above, Excel
and PFS, jointly and severally, shall pay to FCLLC the sum of $61,776 plus interest at the
rate of 8% per annum until paid.
3. Excel shall pay to FWLLC the sum of $375,399.00 plus interest at the rate of 8%
per annum until paid. All expenses of the arbitration, including expenses and fees of the
Arbitrator shall be borne equally by the Parties.
4. All claims by Excel are denied.
6. All claims for attorneys' fees are denied.
7. All expenses of the arbitration, including expenses and fees of the Arbitrator shall
be borne equally by the Parties. Each Party shall be responsible for its separate attorneys'
fees and expert/consultant costs and expenses.
8. All sums or corporate surety bonds heretofore deposited with the Clerk of Court
of Mecklenburg County, North Carolina to discharge liens of Excel are to be immediately
relinquished to FCLLC.

9. This Award is in full settlement of all claims and counterclaims submitted to this
Arbitration. All claims and counterclaims by any of the parties not addressed expressly in
this Award are denied.
