CIVIL TERM JUSTIN SCHNARR d/b/a GROFF TIRE, LORI SCHNARR d/b/a GROFF TIRE, and GROFF TIRE CIVIL ACTION - LAW Defendants COMPLAINT AND NOW, comes the Plaintiff, PFB Members Service Corporation, by and through their attorneys, Johnson, Duffie, Stewart & Weidner, P.C., who files this Complaint by respectfully stating the following: 1. Plaintiff, PFB Members Service Corporation (hereinafter "PFB"), is a Pennsylvania corporation having a principal place of business at 510 South 31St Street, P.O. Box 8736, Camp Hill, Cumberland County, Pennsylvania 17001. 2. Defendants Justin Schnarr and Lori Schnarr are believed to be the owners and proprietors of Groff Tire, an unregistered business entity. 3. The name Groff Tire is not registered with the Department of State of the Commonwealth of Pennsylvania. 4. At the time of this pleading, it is unknown whether Groff Tire is a sole proprietorship or partnership between the Schnarrs. 5. However, both Lori Schnarr and Justin Schnarr have represented to the Plaintiff that they are the owners of Groff Tire and it is submitted are personally responsible for the debts of Groff Tire -jointly and severally. Should Groff Tire be a Pennsylvania partnership, Groff Tire and the members of the partnership are liable for the debts discussed herein - jointly and severally. As such, Justin Schnarr, Lori Schnarr and Groff Tire are all parties to this action with monetary judgment demanded against each and all - jointly and severally. 6. Groff Tire has a principal place of business at 3384 Route 49, Westfield, Tioga County, Pennsylvania 16950. 7. In 2009, Justin Schnarr and Lori Schnarr t/d/b/a Groff Tire entered into a Dealer Agreement ("Agreement") whereby Groff Tire was appointed as a Safemark Dealer authorized to sell and distribute farm supplies and equipment provided by PFB to members of PFB. A true and correct copy of that Agreement (with redactions made to protect privacy) is attached hereto as Exhibit A. 8. Pursuant to the Agreement, Defendants agreed to pay interest at a rate of 1.5% per month for all invoices unpaid within 30 days of the net due date. 2 9. The net due date is stated on all PFB invoices sent to Groff Tire and the Schnarrs. 10. In 2009, Schnarrs d/b/a Groff Tire purchased equipment and supplies from PFB which purchases are detailed on the invoice summary attached hereto and incorporated herein as Exhibit B. 11. True and correct copies of the invoices described above are attached hereto collectively as Exhibit C. 12. The prices charged by PFB to Schnarrs d/b/a Groff Tire for the farm supplies and equipment were fair and reasonable. 13. PFB has properly credited the payments made by the Schnarrs d/b/a Groff Tire (the last one being sent in July 2009) from time to time against the unpaid invoices and accruing interest. 14. Despite PFB's demands for payment in full, the Schnarrs d/b/a Groff Tire have refused to pay the principal balance due and owing as of June 29, 2010 in the amount of $61,681.06. 15. Interest, attorney's fees, and costs are also due and owing pursuant to the Dealership Agreement. See, Exhibit A. 3 16. The Defendants have agreed to jurisdiction and venue in the Court of Common Pleas of Cumberland County as set forth in the Dealership Agreement. See, Exhibit A. COUNT I - BREACH OF CONTRACT 17 Plaintiff incorporates herein by reference paragraphs 1 through 16 as if the same were more fully set forth herein. 18 Pursuant to the Agreement, the Schnarrs d/b/a Groff Tire were required to pay for all equipment and supplies they ordered by the due date listed on each invoice. 19. If payment was not made within 30 days from the due date on the invoice, the Schnarrs d/b/a Groff Tire would be responsible for an interest charge of 1.5% per month on the outstanding amount. 20. The Schnarrs d/b/a Groff Tire owe unpaid invoices in the principal amount totaling $61,681.06. 21. The Schnarrs d/b/a Groff Tire are also responsible for interest charges of 1.5% per month on the principal amount outstanding as well as attorney's fees and costs pursuant to the Dealership Agreement. WHEREFORE, the Plaintiff, PFB Members Service Corporation, demands judgment against the Defendants, Justin Schnarr d/b/a Groff Tire, Lori Schnarr d/b/a Groff Tire, and Groff 4 Tire, jointly and severally, in the amount of $61,681.06 plus interest at an amount of 1.5% per month plus costs and attorney's fees and such other relief this Honorable Court deems appropriate. COUNT II - UNJUST ENRICHMENT 22. Plaintiff incorporates herein by reference paragraphs 1 through 21 as if the same were more fully set forth herein. 23. The Schnarrs d/b/a Groff Tire received equipment and supplies they ordered from PFB in 2009 as listed in Exhibits B and C. 24. It is believed and averred that the Schnarrs d/b/a Groff Tire sold the above- referenced equipment and supplies for a profit without making payment for the equipment and supplies to PFB. 25. The Schnarrs d/b/a Groff Tire's failure to make full payment to PFB for the equipment and supplies has unjustly enriched Lori Schnarr and Justin Schnarr d/b/a Groff Tire. 26. The Schnarrs d/b/a Groff Tire have been unjustly enriched at the expense of PFB in the amount of $61,681.06. WHEREFORE, the Plaintiff, PFB Members Service Corporation, demands judgment against the Defendants, Justin Schnarr d/b/a Groff Tire, Lori Schnarr d/b/a Groff Tire and Groff 5 Tire, jointly and severally, in the amount of $61,681.06 plus such other relief this Honorable Court deems appropriate.
