STACKPOLE, INC.
Stackpole, Inc. ("Stackpole" or the "Company") is a Pennsylvania corporation, which
concentrates on book and magazine publishing, and also interact sales of books
(www.stackpolebooks.com). The Company's principal place of business is in Mechardcsburg.
Stackpole's book publishing operation was founded in the 1930%, and continues today
with the publication and interact sales of books in the area of nature, outdoor sports and
adventure, crafts and hobbies, gardening, .American history, Pennsylvania, pets, and military
reference. Stackpole's publishing operation also includes two magazines, "Wildfowl Carving

Stackpole is a closely held corporation with 19 shareholders, and 169,200 shares issued
and outstanding. Members of the Detweiler family of Harrisburg, who are descendants of the
Stackpole family which founded the company, control more than fifty percent (50%) of this stock
through individual ownership and as beneficiaries of trusts which own stock. David Detweiler,
the Chairman of the Board of Directors, is the only family member active in the business.
In establishing the value of the business, an appraiser would consider the Company's
lackluster operating pertbrmance: sales are flat; earnings and cash flow from operations are
erratic; and return on assets and equity is poor, as illustrated by the followinig table:

being one of the beneficiaries under the will of CREIGHTON STACKPOLE,
do hereby acknowledge that I have received all sums of money and
property due me by virtue of the death of CREIGHTON STACKPOLE, in full
satisfaction and settlement of all of my rights and claims under his
estate.
I further declare, intending to be legally bound, that I hereby
walve my right to require the filing of a First and Final Account and
Proposed Schedule of Distribution In any Court of Common Pleas having
jurisdiction over the same, and I acknowledge that I have had an
opportunity to examine copies of the books and records of the said
estate, and I agree to the final distribution of the estate without
further formalities, and with the same force and effect as if a First
and Final Account and Proposed Distribution had been filed in a Court
of Common Pleas of Pennsylvania having jurisdiction over the same and
duly audited and confirmed.
AND THEREFORE, I, BEATRICE L. STACKPOLE, do by these presents,
remise, release, quitclaim and forever discharge the Administratrix, her
heirs, successors and assigns, from the acts of the Administratrix as
