The Company's principal place of business is in Mechardcsburg. David Detweiler, the Chairman of the Board of Directors, is the only family member active in the business. In establishing the value of the business, an appraiser would consider the Company's lackluster operating pertbrmance: sales are flat; earnings and cash flow from operations are erratic; and return on assets and equity is poor, as illustrated by the followinig table: Data from Financial Statements Average 2002 2001 2000 1999 1998 Total Current assets 5,803,273 6,286,661 5,666,536 5,150,586 5,869,320 5,243,264 Total Current iabilities 2,515,899 2,733,081 2,353,832 2,962,473 2,564,447 1,965,664 ~alculated Equity 3,287,374 3,553,580 3,312,704 3,188,113 3,104,573 3,277,60(~ qet Sales 8,805,397 8,988,551 8,048,085 9,868,050 8,826,019 8,296,278 Netlncome 150,161 409,595 67,153 87,470 (89,371) 275,957 Netlncome per share 0.887 2.421 0.397 0.517 -0.528 1.631 Net Cash from Operating 11,441 70,050 106,410 29,778 (209,606) 60,573 Net Cash from Operating per share 0.068 Ratios Profit Margin 1.71% 4.56% 0.83% 0.89% -1.01% 3.33% Return on Equity 4.57% 11.53% 2.03% 2.74% -2.88% 8:42o/, Return on Assets 2.59% 6.52% 1.19% 1.42% -1.58% 5.26o/, Fair market value can be calculated by dividing the weighted average net income of 78.414 by a capitalization rate of 30% (this rate reflecting the usual rate applied to an established business with current profit and future potential for growtht).
