All references hereinafter made to "wife" shall refer to her and no other; and if she is not my legal wife at the time of mq death, then she shall be deemed for the purposes of this, my Last Will and Testament, to have predeceased me. ARTICLE II TAXES AND EXPENSES Section A. Funeral Expenses I direct that such funeral expenses as are not defrayed by the United 1 States Government be paid as soon after my decease as may be practicable as ~ costs of the administration of my estate. ~a ~ Section B . Taxes ~ I hereby direct that all legacy, succession, inheritance, transfer and estate taxes levied or assessed upon or with respect to any property which is included as part of my gross estate for the purpose of any such tax shall be paid by my Executor out of my estate in the same manner as an expense of administration and shall not be prorated, nor apportioned among, nor charged s against respective devisees, legatees, beneficiaries, transferees or other recipients, nor charged against any property passing or which may have passed to any of them, and that any Executor shall not exercise any privilege of `~ reimbursement for any portion of such tax from any person. ARTICLE III BEQUESTS Section A: Toint Interests I leave all interest I may own at the time of my death in and to any property, including bank accounts, standing in the joint names of myself and any other person to such other person if such person survives me. However, in the event that I shall own property with another person as tenant-in-common with such other person, my tenant-in-common interest shall be in accordance with the provisions of this, my Last Will and Testament, herein stated below and not in accordance with the provisions of this paragraph. PAGE 1 OF 4 PAGES ARTICLE IV RESIDUARY ESTATE Section A -Definition The term "my residuary estate" includes all of the rest, residue, and remainder of my estate and property, real, personal, and mixed of whatsoever nature and wheresoever situated, of which I may die seized or possessed, or to which I may be entitled, or of which I may have the right to dispose at the time of my death. Section B - Disposition 1. I leave my residuary estate to my wife, providing she survives me by thirty days. I have complete confidence that she will provide for our children in their best interests. 2. Should my wife predecease me or die on or before the thirtieth day following my death, my residuary estate is to be divided into as many shares as there are children who survive me and children who have predeceased me leaving surviving issue. I leave each of my surviving children one such share of my residuary estate. I leave the remaining portion of my residuary estate to the issue of my predeceased children, such issue to take by representation. ARTICLE V FID U C IA RIE S ~1 ~~~~~ Section A -Appointment of Guardian I appoint my sister, Anna M. Perrone, of Silver Spring, Maryland, guardian of the person and property of our minor children, to serve without bond. I authorize the guardian of our children to pay and apply the income and principal of legacies for the care, maintenance, education and welfare of our children. Section B - Appointment of Executor I appoint my my sister, Anna M. Perrone to be executor of this, my Last Will and Testament. Should my wife die, resign, be disqualified or unable to act in such capacity, then I appoint my sister, Anna M. Perrone, alternate executor of this, my Last Will and Testament. Section C -Powers and Responsibilities of Executor I further direct that my executor shall be relieved of the responsibility of filing any returns or accountings not specifically required by law, and shalt have the fullest power and authority in all matters and questions and to do all acts which I might or could do if living, including but not limited to the complete power and authority to sell (at public or private sale, for cash or credit, with or without security) , mortgage, lease, exchange, invest, manage, and dispose of and distribute in kind, all property, real, persona_t, and mixed at such time and upon such terms and conditions as my executor may determine, all without court order, and shall be held blameless for any and all PAGE 2. OF 4 PAGES losses, resulting from a matter of that person's honest judgment, which was made in good faith. Section D - Waiver of Bond I direct that my executor shall not be required to give bond, surety, or undertaking of any kind for the faithful performance of his duty in any jurisdiction wherein proceedings may be held in connection with my estate. If any law shall require any bond, surety, or undertaking, and the provisions of this Will shall be ineffective to lift such requirement, then my executor shall be required to give only the minimum bond, surety, or undertaking to be paid by my estate. Section E -Powers of Successor Fiduciaries Whenever I name, constitute, and/or appoint a person or individual to assume a fiduciary capacity declared hereinabove, and whenever such person or individual is unable for any reason to assume such fiduciary capacity and a substitute or alternate person or individual is named, constituted, and/or appointed by me herein, such alternate or substitute person or individual shall have all the rights and powers and shall be subject to all the duties, obligations, and liabilities of my originally named, constituted, and/or appointed person or individual; and the term describing the fiduciary capacity with which the person or individual named, constituted, and/or appointed is charged shall refer to the person or individual first named for such fiduciary capacity and to his successor or alternate. ARTICLE VI CONSTRUCTIVE PROVISIONS 'Section A -Executor The term Executor includes the terms "Executors" and "Executrix" wherever the facts and context require. Section B -Miscellaneous Definitions The following terms are defined as provided in this Section B Trustee . 1. Fiduciary: The term "fiduciary" includes executor, guardian and 2. Descendant: The term "descendants" includes legally adopted persons so long as such person was adopted before attaining the age of eighteen . 3. Includes: The term "includes" means includes without limitation, nd by way of illustration. The term "including" shall be similarly interpreted. 4. Representation: The term "representation" means that the property is divided into as many shares as there are surviving issue in the nearest degree of kinship and deceased persons in the same degree who left issue who survives me, each surviving issue in the nearest degree receiving one share and the share of each deceased person in the same degree being divided among his or her issue in the same manner. Section C - Children The terms "child" and "children" mean descendants in the first degree of the designated parent, who are living at the date of execution of this Will, and those who are born thereafter. The terms do not include a stepchild, a foster child or a grandchild or more remote descendant. Section D -Issue The term "issue" means every lineal descendant except a lineal descendant of a living lineal descendant. The term also includes issue of any legally adopted person. Section E -Headings The headings, titles, and subtitles in this Wilt have been inserted solely for convenient reference, and shall be ignored in its construction.
