thereof relating to contracts (the "Contracts") described in the Pooling and Servicing
Agreement, dated as of February I, 2001, by and among the Debtor, the Secured Party

"Equipment" means, with respect to any Contract, the tangible assets constituting
"goods" within the meaning of the Uniform Commercial Code as in effect from time to
time in the State of New York, in each case financed or leased pursuant to a Contract by
the person(s) obligated to make payments with respect to such Contract, or which
otherwise provide security for the payment of amounts payable thereunder.
