thereof relating to contracts (the "Contracts") described in (i) the Amended and Restated
Sale and Contribution Agreement, dated as of March 2, 1999, as amended and restated as
of June 29, 2000, by and among the Debtor, Capita Corporation and the Secured Party,
and (ii) the Non-VFC Purchase and Sale Agreement, dated as of February 1, 2001, by and
between the Debtor and the Secured Party, copies of which are available from NCT

"Equipment" means, with respect to any Contract, the tangible assets constituting
