thereof relating to contracts (the "Contracts") described in (i) the Amended and Restated
Conveyancing Agreement, dated as of March 2, 1999, as amended and restated as of June
29, 2000 by and among CIT Communications Finance Corporation, CIT Technologies
Corporation, CIT Lending Services Corporation, CIT Technology Financing Services,
Inc. and the Secured Party, (ii) the Non-VFC Conveyancing Agreement, dated as of
February 1,200 l, by and among CIT Communications Finance Corporation, CIT
Technology Financing Services, Inc. and the Secured Party, and (iii) the Non~VFC
Assignment, dated March 9, 2001, by and between the Debtor and the Secured Party,

"Equipment" means, with respect to any Contract, the tangible assets constituting
"goods" within the meaning of the Uniform Commercial Code as in effect from time to
time in the State of New York, in each case financed or leased pursuant to a Contract by
the person(s) obligated to make payments with respect to such Contract, or which
otherwise provide security for the payment of amounts payable thereunder.
