COMPLAINT
AND NOW, comes the Plaintiff, William E. Baker, by his attorneys, Nicholas &
Foreman, P.C., and avers as follows:
1. The Plaintiff, William E. Baker, is an adult individual residing at 7814 E. Sunset
Street, Harrisburg, Dauphin County, Pennsylvania 17112.
2. The Defendant, Goldie I. Chestnut, is an adult individual believed to be residing
at 120 Fairview Street, Carlisle, Cumberland County, Pennsylvania 17013.
3. On or about February 22, 2001, Plaintiff and Defendant entered into a written
"Standard Agreement for Sale of Real Estate," whereby Defendant agreed to sell and Plaintiff
agreed to purchase the premises at 120 Fairview Street, South Middleton Township, Cumberland
County, Pennsylvania, for the purchase price of $79,000.00. A tree and correct copy of the said
Agreement is attached hereto as Exhibit "A' and made a part hereof.
4. Plaintiff performed ail obligations under the Agreement, except obtaining a
written approval for a mortgage within the time limit required therein, which obligation was not
met because Defendant failed to ailow and permit Plaintiff and Plaintiff's agents to have
inspections, as authorized by Paragraph 7(A) of the Agreement and by the requirement of good
faith dealing in the contract.
5. Plaintiff has performed ail responsibilities under the Agreement, except the one
aforesaid, due to the fault of Defendant and required repairs not made due to Defendant's refusal
to cooperate.
6. Plaintiff is ready, willing and able to settle on the aforesaid purchase, but
Defendant refuses to do so.
7. Despite repeated demands by Plaintiff for settlement, Defendant has refused and
continues to refuse the same.
8. Plaintiff believes and avers that there is no adequate remedy at law and that,
unless the equitable remedies requested are provided, Plaintiff will suffer irreparable harm.
WHEREFORE, Plaintiff respectfully requests that this Honorable Court specifically
provide the following equitable remedies:
A. Specific performance whereby Defendant be ordered to specifically perform the
written contract between the parties for the sale and purchase of 120 Fairview Street, South
Middleton Township, Cumberland County, Pennsylvania;
B. Payment from Defendant to Plaintiff of all costs incurred by Plaintiff to enforce
the said Agreemem, including reasonable attorney's fees and costs of court;
C. An accounting for all profits made by Defendant in resale of the property beyond
the contract with Plaintiff and an Order that the same be paid over to Plaintiff in the event that
the property is not conveyed to Plaintiff;
D. All other and reasonable and equitable remedies.
