As a general rule, an action must be brought ' ' by and in the name of the real party in interest." Pa. R.C.P. No. 2002(a). 6. A real party in interest is one who can discharge a given right, obligation, or liability and control an action brought to enforce it. 7. Plaintiff alleges in paragraph (3) of its complaint that it is the assignee of the alleged account; however, Plaintiff fails to attach a copy of any assignment or agreement with MARYLAND NATIONAL BANK. 8. Rule 1019(1) of the Pennsylvania Rules of Civil Procedure requires that where a claim or defense is based upon a writing, the pleader shall attach a copy of the writing, or the material part thereof, but if the writing or copy is not accessible to the pleader, it is sufficient so to state, together with the reason, and to set forth the substance in writing. 9. Plaintiff' fails to produce a cardholder agreement and statement of account, as well as evidence of the assignment of the aforesaid account. 10. Plaintiff's complaint is silent about the substance of these writings and whether each writing is accessible. 11. Plaintiff's pleading is insufficient and Plaintiff has not established that it is a real party in interest or that it has capacity to sue in its own name. WHEREFORE, defendant respectfully requests that this Court dismiss plaintiff's complaint. II. PRELIMINARY OBJECTION RAISING FAILURE TO CONFORM TO APPLICABLE RULES OR LAW . 12. Paragraphs 1 through 11 are incorporated by reference as if set forth at length herein. 13. The verification to plaintiff's complaint was not made by one of the plaintiffs, but rather was made by plaintiff's attorney, DAVID J. APOTHAKER, Esq. 14. Pa. R.C.P. 1024(c) requires that: The verification shall be made by one or more of the parties filing the pleading unless all the parties (1) lack sufficient knowledge or information, or (2) are outside the jurisdiction of the court and the verification of none of them can be obtained within the time allowed for filing the pleading. In such cases, the verification may be made by any person having sufficient knowledge or information and belief and shall set forth the source of his information as to matters not stated upon his own knowledge and the reason why the verification is not made by a party. 15. The verification to plaintiff's complaint does not set forth the source of plaintiff's attorney's information as to the matters contained in the complaint. 16. Further, there is no reason given by plaintiff's attorney why the verification could not be taken by the plaintiff. Counsel's claim of expediency fails to explain why verification could not be obtained within the time allowed, in violation of Rule 1024(c). 17. The verification being defective, plaintiff's complaint is not properly verified as required of a pleading under Rule 1024(a), and must be stricken. WHEREFORE, defendant respectfully requests that plaintiffs' complaint be stricken. III. PRELIMINARY OBJECTION RAISING FAILURE TO CONFORM TO APPLICABLE RULES OR LAW . 19. Paragraphs 1 through 11 are incorporated by reference as if set forth at length herein. 20. Plaintiff's Complaint fails to set forth sufficient facts as to time, place and items of special damages with specificity, as required by Pa. R.C.P. 1019(f). 21. Plaintiff alleges in paragraph (3) of its complaint that MARYLAND NATIONAL BANK issued a credit card and/or line of credit, account number ENDING 6207 and that that Plaintiff is assignee of this account; however, Plaintiff fails to attach or to explain the absence of its credit account and the assignment thereof as required by Pa. R.C.P. 1019(h). 22. The Complaint purports to state a claim against Defendant for default under the terms and conditions of a written agreement governing the use of a credit card and/or line of credit; however, instead of attaching the written agreement, Plaintiff attaches a printout prepared for litigation and then merely alleges that Defendant is responsible for an unpaid balance and that demand has been made for $7,194.81. 23. Plaintiff fails to attach a signed contract, the charge slips, the application for the credit card, or any statements of account. Plaintiff fails to attach the assignment or purchase of the account from MARYLAND NATIONAL BANK to Plaintiff. 24. Plaintiff fails to identify those specific dates of use or terms under the contract that substantiate the alleged balance or amount owed. Plaintiff even fails to properly identify itself or provide its place of business. 25. The Complaint does not comply with Pa. R.C.P. 1019(a), which requires that "the material facts on which a cause of action or defense is based shall be stated in a concise and summary form". 26. As a result, plaintiff's complaint is vague and general and does not specifically state the debt incurred or what, if any, payments are due and the nature of the charges included as part of the amount Plaintiff claims to be owed. 27. Under Pa. R.C.P. No. 1028(a)(2), a party may preliminarily object by way of a motion to strike off a pleading because of lack of conformity to law or rule of court. 28. The substance of Plaintiff's Complaint violates the Pennsylvania Rules of Civil Procedure and must be dismissed. WHEREFORE, Defendant respectfully requests that Plaintiffs Complaint against her be dismissed for lack of conformity to the Pennsylvania Rules of Civil Procedure. IV. INSUFFICIENT SPECIFICITY OF A PLEADING. 29. Paragraphs 1 through 28 are incorporated by reference as if set forth at length herein. 30. Plaintiff's complaint lacks sufficient specificity to apprise defendant of the issues to be litigated or to allow her to adequately prepare and assert defenses to plaintiff's allegations. 31. Additionally, Defendant is entitled to more specific information to be able to answer intelligently and determine if she is even obligated for such credit card and what items she can admit and what she must contest. 32. The Complaint generally asserts a breach of contract and other failures of performance against Defendant, contrary to Rule 1019(f). 33. The Complaint fails to state any facts upon which the amount of damages may be calculated, in violation of Pennsylvania Rule of Civil Procedure 1019(a), which requires that "the material facts on which a cause of action or defense is based shall be stated in a concise and summary form." WHEREFORE, Defendant respectfully requests this Court to require that Plaintiff plead more specifically the averments of its complaint relating to damages and the nature of the default or dismiss this claim against the Defendant completely. Defendant is ELAINE D CONNOLLY ("Defendant"), an adult individual residing at 55 W MAIN ST NEW KINGSTOWN, PA 17072. 3. Defendant applied for, received and used a credit account issued by MARYLAND NATIONAL BANK / FIA CARD SERVICES, NA, account number ending in 6207 ("Account"), pursuant to a written agreement in effect at all times relevant herein. 4. Attached hereto and incorporated by reference herein are credit card statements for the Account. 5. The cardmember agreement and application are not accessible to Plaintiff at this time due to the age of the Account, opened in 1992. 6. Under the terms of the agreement, Defendant was given the right to use the Account to make purchases, cash advances, and/or balance transfers. 7. Defendant, in return, promised to timely pay the principal balance accumulated plus interest, fees and penalties where applicable. 8. Defendant's use of the Account in the manner described above constituted acceptance of the terms of the agreement. 9. Defendant defaulted under the terms of the agreement by failing and refusing to make timely payments on the Account, although demand was made for same. 10. The Account was opened on or about November 23, 1992. 11. The last payment on the Account totaled $135.00 and was recorded on or about December 06, 2006. 12. The attached credit card statement for December 2006 evidences the last payment on the Account. 13. The Account was charged off on or about June 29, 2007 with an outstanding balance of $6,522.61. 14. The attached credit card statement for June 2007 evidences the charge-off balance for the Account. 15. The balance on the Account increased since charge-off due to the accrual of contractual and/or statutory interest. 16. Plaintiff purchased the Account and presently owns and holds the Account. 17. Plaintiff has suffered monetary damages in the amount of $7,194.81. WHEREFORE, Plaintiff demands judgment in favor of Plaintiff and against Defendant(s) for the sum of $7,194.81 and requests this Court award costs to the extent permitted by applicable law. SECOND COUNT - QUANTUM MERUIT The averments contained in the First Count of Plaintiffs Amended Complaint are incorporated as though fully set forth herein: 18. Defendant opened an account with MARYLAND NATIONAL BANK, account number ending in 6207 19. Defendant used, accepted and benefitted from the Account to MARYLAND NATIONAL BANK's detriment. 20. Defendant was aware that MARYLAND NATIONAL BANK provided these benefits and expected to be paid in return. f 21. Under the circumstances, it is inequitable for defendant to retain the benefits of use of the Account without payment of value. 22. Plaintiff purchased the account and presently owns and holds the Account. 23. Plaintiff has suffered monetary damages in the amount of $7,194.81. WHEREFORE, Plaintiff demands judgment in favor of Plaintiff and against Defendant(s) for the sum of $7,194.81 and requests this Court award costs to the extent permitted by applicable law. Facts and Procedural Back around Plaintiff, PORTFOLIO RECOVERY ASSOCIATES, LLC, filed a Complaint against defendant seeking damages based on defendant's default on a credit card account. Defendant applied for and received a credit card from MARYLAND NATIONAL BANK upon which defendant accrued an outstanding balance in the amount of $7,194.81. Legal Argument Preliminary objections are the appropriate method by which to challenge the legal sufficiency of the allegations a petitioner raises as a basis for relief. In re Adoption of S.P. T., 783 A.2d 779 (Pa. Super. 2001). In ruling on preliminary objections, the Court must accept as true all well-pleaded facts which are material and relevant. Erie Cry. League of Women's Voters v. Dept. of Environmental Resources, 525 A.2d 1290 (Pa. Cmwlth. 1987). When ruling on preliminary objections, the Court should resolve any doubt against the objecting party. Koken v. Steinberg, 825 A.2d 723, 726 (Pa. Cmwlth. 2003). Pa.R.C.P. No. 1019(1), Pa.R.C.P. No. 1019(h) Pa.R.C.P. No. 1019(h) requires that a Complainant in a breach of contract action specify whether the action is based on an oral or written contract. Plaintiff's cause of action is based on a breach of a written agreement. Pa.R.C.P. No. 1019(i) states "When any claim or defense is based upon a writing, the pleader shall attach a copy of the writing, or the material part thereof, but if the writing or copy is not accessible to the pleader, it is sufficient so to state, together with the reason, and to set forth the substance in writing." The cardmember agreement is not accessible to Plaintiff at this time. The material terms thereof were set forth in Plaintiff's Amended Complaint. Lancaster County President Judge Madenspacher recently dealt with a similar issue in Cach, LLC v. Bracken, CI-09-17841 (C.P. Lancaster, 2010). In that matter, the Court found that, "Although there is no signed agreement attached it is disingenuous for the Defendant to use the credit card and then complain that she did not agree to the terms and condition of its use." Lancaster County Judge Farina, in Capital One Bank (USA), N.A. v. Shirk, CI-09-01499 (C.P. Lancaster 2010), followed Judge Madenspacher's holding, overruling Preliminary Objections for failure to attach a signed contract, stating "Defendant's use of the credit card account constitutes acceptance of the terms of the account and creates the contract between Plaintiff and Defendant." Case law unambiguously states that no signature is required to form a contract and that use of a credit card constitutes acceptance of the terms of the agreement. Defendant agreed to the terms of the credit card agreement and entered into a legally enforceable contract by using the card. Use of the card is evidenced by the balance that defendant accrued. The credit card statements provided evidence the accrual of this balance. The statements show the defendant's name, address, account number, account type, account balance, interest rate and statement date. Based on the provided documents, it is clear the defendant entered into a legally enforceable contract. Pa.R.C.P. No. 1019(1), Pa.R.C.P. No. 2002 - Chain of Title The Court, in the often cited case of Worldwide Asset Purchasing v. Stern, 173 P.L.J. 111 (C.P. Allegheny 2004), held that an assignee-creditor-plaintiff must attach to its Complaint the documents establishing chain of title, reasoning that this is required by Pa.R.C.P. No. 1019(i). The Court based its reasoning on the holding of Atlantic Credit and Finance, Inc. v. Giuliana, 829 A.2d 340 (Pa.Super.2003), wherein the Court decided that the preliminary objections attached to a petition to open a default judgment established a "meritorious defense". However, the Court in Commonwealth Financial Systems, Inc. v. Reeping, 288 CIVIL 2009 (C.P. Somerset 2009), in ruling on preliminary objections based on an alleged failure to attach assignment documentation, bluntly rejected the holding of the often cited Worldwide Asset case. The Court reasoned that 1) Giuliana does not require the assignment to be attached to the Complaint, and, 2) Rule 2002, "Prosecutions of Actions by Real Parties in Interest," is the rule that controls whether the assignment contracts need to be attached to the complaint, not rule 1019. The Court noted that Pa.R.C.P. No. 2002 provides that "all actions shall be prosecuted by and in the name of the real party in interest." Pa.R.C.P. No. 2002. The Court then looked to our Superior Court's analysis of Rule 2002 in Brown v. Esposito, 42 A.2d 93 (Pa. Super. 1945) for guidance. In Brown, the Superior Court held that the plaintiff was not required to set out the assignment verbatim or attach a copy of the assignment as an exhibit to the pleadings, but was simply required to make an affirmative allegation of fact in a pleading. The court even provided an example of a sufficient affirmative allegation of fact; a statement of the fact that the account was assigned, the date of the assignment and the parties thereto. Id. at 94. Plaintiff, in the case at bar, pleaded in its Amended Complaint the fact that the account was purchased. Plaintiff also set forth the purchase date and identified the parties involved. Therefore, Plaintiff has fulfilled the requirement of Pa.R.C.P. No. 2002 to plead an affirmative allegation of fact evidencing Plaintiff's status as the real party in interest. Plaintiff has similarly complied with the requirements as set forth in Commonwealth Financial Systems. Alternatively, if this Court finds that Rule 1019, rather than Rule 2002, is controlling, Defendant's objection must still be denied. Rule 1019(i) requires that a party basing a claim upon an agreement attach a copy of the agreement upon which the claim is based. The rule sets forth no requirement, however, for a parry to attach the agreements upon which the derivation of the title to the claim is based. Commonwealth Financial Systems at 9 (quoting Brown at 94). Moreover, it is well established law that Pennsylvania utilizes a fact-pleading scheme. Gates v. Gates, 9671 A.2d 1024, 1030-31 (Pa.Super. 2009). Requiring Plaintiff to prove, rather than allege as a fact in a pleading, the derivation of the cause of action from the assignor to Plaintiff goes beyond the requirements of "fact-pleading." In contemplation that this Court may still require Plaintiff to provide documentation evidencing the chain of title, Plaintiff attached to its Amended Complaint the Bill of Sale for defendant's account. The Bill of Sale evidences the sale, transfer and assignment of defendant's account from the original creditor, FIA Card Services, N.A., to Plaintiff, Portfolio Recovery Associates, LLC. Moreover, the Affidavit of Sale and Certification of Debt attached hereto further evidences the chain of title for defendant's account. Lack of Capacity to Sue The Pennsylvania Business Corporation Law of 1988 provides in 15 Pa. C.S.A. §4121 that a foreign business corporation must register before doing business in Pennsylvania. Defendant alleges that Plaintiff is not in compliance with this Law. However, defendant overlooks an exception to the registration requirement, set forth at 15 Pa.C.S.A. §4122(a), which states in relevant part, "A foreign business corporation shall not be considered to be doing business in this Commonwealth for the purposes of this subchapter by reason of carrying on in this Commonwealth any one or more of the following acts:... (8) Securing or collecting debts or enforcing any rights in property securing them." The Committee Comment to the statute indicates that, "A corporation is not `doing business' solely because it resorts to the courts of this Commonwealth to recover an indebtedness, [or] enforce an obligation..." Here, Plaintiff seeks to recover a debt due and owing. Plaintiff is not required to produce a certificate of authority because collection of a debt is an excluded activity under the Business Corporation Law. Pennsylvania Courts addressing this issue in cases where the Plaintiff was collecting a debt have routinely held that the Plaintiff is exempt from the requirement to produce a certificate of authority. See American Express Bank, FSB v. Stauffer, C-0048-CV-2010-821 (C.P. Northampton 2010); Portfolio Recovery Associates, LLC v. Behrens, 1579 CIVIL 2006 (C.P.
