CLINE, as Administrator and Trustee of the Estate of M. ARLENE MCCARTHY, Deceased and KENNETH L. McCARTHY, CAROLYN L. BISHOP, DIANE L. CLINE and MARILYN L. McCARTHY- WADLINGER, as heirs and beneficiaries. WHEREAS, M. ARLENE MCCARTHY, late of Silver Spring Township, Cumberland County, Pennsylvania, died intestate on May 9, 2008; WHEREAS, DIANE L. CLINE was duly appointed as Administrator of the Estate of M. Arlene McCarthy, Deceased, by the Register of Wills of Cumberland County on May 15, 2008, to File No. 2008-00536; WHEREAS, M. ARLENE MCCARTHY is survived by children KENNETH L. McCARTHY, CAROLYN L. BISHOP, DIANE L. CLINE and MARILYN L. McCARTHY-WADLINGER WHEREAS the children of M. ARLENE MCCARTHY are decedent's heirs pursuant to the Pennsylvania rules of intestacy (20 Pa. C.S.A. §2101); WHEREAS, M. ARLENE MCCARTHY during her lifetime entered into THE M. ARLENE MCCARTHY LIVING TRUST dated March 20, 2008; WHEREAS, DIANE L. CLINE was duly appointed as Trustee of THE M. ARLENE MCCARTHY LIVING TRUST dated March 20, 2008; Page 1 of 7 \~ WHEREAS, pursuant to IRS Section 645, the Trustee will elect to have this Living Trust be treated and taxed (for income tax purposes) as an estate during the election period; WHEREAS, the terms trust and estate will be used interchangeably throughout this document; WHEREAS, the parties in interest under the trust estate are: 1. Kenneth L. McCarthy, son 2. Carolyn L. Bishop, daughter 3. Diane L. Cline, daughter 4. Marilyn L. McCarthy-Wadlinger, daughter WHEREAS, KENNETH L. McCARTHY, CAROLYN L. BISHOP, DIANE L. CLINE and MARILYN L. McCARTHY-WADLINGER are each entitled to twenty-five percent (25%) of the residuary estate; WHEREAS, each of the parties to this Agreement have been furnished with a complete list of the estate assets, receipts and disbursements as set forth on the Statement of Account as attached hereto and marked as Exhibit A; WHEREAS, it is the desire of the parties to this Agreement that administration of this estate be completed and accomplished without a formal accounting to the Orphans' Court Division of the Court of Common Pleas of Cumberland County, it being the desire of the parties to avoid the expense, delay and publicity of a formal accounting; NOW, THEREFORE, WITNESSETH, in consideration of the mutual promises, covenants and agreements recited herein, the parties do agree as follows: 1. DIANE L. CLINE, Administrator and Trustee, does hereby state that she has fully and faithfully discharged the duties of her office, and the Statement of Account (Exhibit A) is true and correct and fully discloses all significant transactions during the accounting period. Page 2 of 7 She further states that all known claims against the Estate have been paid in full, and to the best of her knowledge there are no claims outstanding against the Estate, and all taxes presently due from the Estate have been paid. 2. Each of the parties to this Agreement does hereby release and forever discharge the said Administrator/Trustee, DIANE L. CLINE, her heirs, executors, administrators and assigns, JAN L. BROWN & ASSOCIATES, attorneys at law, and JAN L. BROWN, ESQUIRE from any and all liability which may from time to time arise in connection with their service as Administrator, Trustee and Attorneys of the Estate of M. Arlene McCarthy, Deceased. The parties do further agree to indemnify and hold them harmless from any and all liability which may arise against the estate from creditors or claimants. 3. Each of the parties does hereby acknowledge receipt of the assets described on the distribution schedule contained in the Statement of Account. 4. Each of the parties acknowledges that this Agreement shall be indexed and recorded in the estate proceedings and that the terms hereof shall be binding upon their respective heirs, successors, administrators and assigns. 5. Each of the parties do further agree with each other and the aforesaid Administrator/Trustee that should any liability come due to the estate of the said decedent after the signing of this Agreement, each will contribute pro rata his/her share of the estate to satisfy any and all claims, demands, suits or causes of action which maybe successfully prosecuted against the said estate or the aforesaid Administrator/Trustee after the signing, sealing and delivery of this Agreement. 6. The estate is a separate taxable entity, and income is subject to income tax. A Form 1041, Schedule K-1 will be provided to each beneficiary. Halkias ("Buyer") entered into an Agreement of Sale with Diane L. Cline, Trustee of the M. Arlene McCarthy Living Trust ("Seller"), for the sale of 60 Glendale Drive, Silver Spring Township. As a result of Buyer's default and pursuant to the terms of the Agreement of Sale, $5,000 was retained by the Seller as consideration for the execution of the contract and as agreed liquidated damages. 3The security deposit and rental income totaling $1,200 and due to M. Arlene McCarthy was collected and retained by decedent's son, Kenneth L. McCarthy. Said amount is shown as rental income and is being credited against Kenneth L. McCarthy's distributive share as shown on Schedule G.
