BUENGER I, IRENE Y. BUENGER, of Upper Allen Township, Cumberland County, Pennsylvania, do hereby make this my Last Will and Testament, revoking any former Wills and Codicils made by me. FIRST: I direct that my Executor hereinafter named pay all my just debts and funeral expenses, and all expenses of adminis- tration of my estate. I further direct my Executor to pay out of my estate, as expenses of administration thereof, all inheri- tance, succession and estate taxes that may be levied by reason of my death upon the inheritance of, succession to, or transfer of any and all property that may be included in my estate or in the list of property used in the tax computation under the terms of any inheritance, succession or estate tax law, together with any interest on any such taxes, except as hereinafter provided in Item FIFTH of this Will. My Executor shall not charge any part thereof against the share of any beneficiary under this Will, and shall not look to any person or fund for reimbursement for all or any part of any such tax or interest except as hereinafter provided in Item FIFTH of this Will. SECOND: I give and bequeath to my stepdaughter, Anne Buenger Bloomfield, should she survive me, my ladies diamond watch having six diamonds in a fourteen carat white gold case, seventeen jewel movement (#195725593) and a watch attachment -1- having thirty-four full-cut diamonds weighing .93 karats in fourteen carat white gold (Stock #D14-165), and I give and bequeath to my stepdaughter, Louise Buenger Robbert, should she survive me, my ladies diamond ring with one marquise diamond weighing 1.36 carats, six baguette diamonds and two round full- cut diamonds in a platinum setting and my ladies diamond wedding ring with two tapered baguette diamonds weighing .22 carats and also with two full-cut diamonds weighing .06 carats in a platinum setting. I give and bequeath to my stepdaughters, Anne Buenger Bloomfield and Louise Buenger Robbert, in equal shares, and if either is deceased, then to her issue, per stirpes, if any, and, if none, then to the survivor of said stepdaughters or her issue, any household furnishings and other purely personal items which may have been bequeathed to me by my deceased husband, Albert Buenger, and are still owned by me at the time of my death. I give and bequeath all the rest of my household furnishings and purely personal items owned by me at the time of my death, including but not limited to, all my books, automobiles, remain- ing jewelry, china, silver and clothing, in equal shares, to my brothers and sisters, and if any is deceased, to his or her issue, per stirpes, if any, and if none, then to the survivors of my brothers and sisters and their issue. I am confident that they will honor any written instructions that I may prepare from time to time. In the event of the failure of my stepdaughters -2- and my brothers and sisters, or their issue, to agree as between themselves as to the division of such items, then I authorize and direct that distribution and division of such items shall be made by my Executor in such manner as it shall deem equitable and in accordance with my wishes as herein expressed. THIRD: I give, devise and bequeath all the rest and residue of my estate in six (6) equal shares as follows: To the issue of my late brother, Russell (a) Yeagley; (b) (c) (d) (e) (f) To my brother, Harold Yeagley; To the issue of my late sister, Esther Yost; To my sister, Mildred Stineman; To my sister, Elizabeth Schaeffer; To the issue of the late brother of William Harry Hartman, Lloyd Hartman; the issue of the late brother of William Harry Hartman, Earl Hartman; and the sister of William Harry Hartman, namely, Verna Pugh, or her issue, said two sets of issue and Verna Pugh to each receive one-third (1/3) of said share. If any of them is deceased, then his or her share shall be distributed to his or her issue, per stirpes, if any, and if none, then the effective gifts shall proportionately increase. -3- FOURTH: Whenever "issue" is referred to in this Will, I mean to include adopted children and grandchildren and stepchil- dren and stepgrandchildren whether or not legally adopted. FIFTH: Whereas, by the terms of the Will of my deceased husband, Albert Buenger, I am given a general power of appoint- ment over the assets of a trust therein set aside as Part A for my benefit, now therefore, I hereby state that it is my intention not to exercise said power of appointment and the residuary clause of this Will shall not be deemed to be an exercise thereof except to the following extent: There shall be paid out of the principal of said trust over which I have such power of appoint- ment an amount equal to the additional federal estate and/or state inheritance or succession taxes, if any, imposed on my estate or on the beneficiaries thereof by reason of the superim- posing on my estate for tax purposes of all or part of the assets in said trust over which I have such power of appointment. SIXTH: I constitute and appoint CCNB Bank, N.A., 2101 Mar- ket Street, Camp Hill, Cumberland County, Pennsylvania, or any company which may succeed to its trust business, as my Executor. My Executor shall not be required to give any bond for the performance of its duties. SEVENTH: I give to any Executor or Executors and to any Trustee or Trustees named in this Will or any Codicil hereto all of the powers now applicable by law to fiduciaries in the -4- Commonwealth of Pennsylvania and in particular, through the Probate, Estates and Fiduciaries Code, as effective and as in effect on the date hereof, during the administration and until the completion of the distribution of my estate, and until the termination of all trusts created hereunder and until the comple- tion of the distribution of the assets of such trusts, including the power to hold and to invest in any corporate fiduciary's stock, notes, certificates of deposit, and common funds, and the power to register securities in the name of a nominee. EIGHTH: If any beneficiary under this Last Will and Testa- ment is under twenty-one (21) years of age, I direct that his or her interest be held in trust by CCNB Bank, N.A., hereinafter called Trustee, until such beneficiary reaches twenty-one (21) years of age. My Trustee shall apply such amounts of income and principal as it, in its sole discretion, deems proper for the support, education and welfare of such beneficiary, and may accumulate any unexpended balance of income to the extent per- mitted by law. Such amounts may be applied directly or may be paid to the beneficiary or to the person with whom such beneficiary resides or who has the care and control of such beneficiary, without the intervention of a guardian. My Trustee shall not be obliged to supervise or inquire into the application of such amounts by such person, and the receipt of such person shall be a complete release of my Trustee. Should the share of a -5- beneficiary, in the sole opinion of my Trustee, be or become too small to warrant continuing such fund in trust, or should its administration be or become impractical for any other reason, my Trustee, in its sole discretion, may pay such share, absolutely, to the beneficiary, or may deposit such share in the benefici- ary's name in a savings account in a savings institution of its choosing, payable to the beneficiary at majority, which I define as twenty-one (21) years.
