Hassan, by and through his attorneys, The Shagin Law Group, LLC, and respectfully aver as follows: 1. Petitioner Soliman B. Hassan ("Petitioner") is an adult individual and resident of the Commonwealth of Pennsylvania, and resides at 4 West Beale Avenue, Apartment 3, Enola, Pennsylvania 17025. 2. Respondent Whalid Khalil ("Defendant") is an adult individual and resident of the Commonwealth of Pennsylvania, and resides at 1125 Slate Hill Road, Camp Hill, Pennsylvania 17011. 3. Petitioner is the owner of Happy Days 50s Diner, LLC ("Diner') located at 4729 Old Gettysburg Road, Mechanicsburg, Pennsylvania, 17055. 4. Diner is a registered Pennsylvania limited liability company registered solely in the Petitioners name. (Attachment A) • 5. Petitioner and Respondent signed a series of agreements called "management agreements" on or about July 30, 2010. (Attachment B) 6. The management agreements were prepared by Defendant's counsel. 7. These documents on their face provide that Petitioner is now the owner of Diner. 8. The documents provide on its face that Respondent was a consultant for the Diner. 9~; The premises of the Diner are leased and, although Respondent is obligated to notify the landlord and provide a copy of the lease to Petitioner, the Respondent has refused to do so. 10. Petitioner invested over $25,000 into renovating the leased premises. (Attachment C) 11. The Diner opened for business to the public on or about September 23, 2010. 12. Respondent was present in the Diner's premises in his consulting capacity. 13. Petitioner is concerned Respondent is converting business assets for his personal use by removing cash out of the business without accounting for the same. 14. Petitioner alone has signatory authority for the Diner's bank accounts. (Attachment D) • • 15. Respondent has not made any deposits into the Diner's bank accounts and is presumably keeping all cash for his own benefit. 16. The only money deposited into the Diner's bank accounts is from Petitioner's personal assets and credit card deposits of the customers of the Diner. 17. Petitioner alone has signatory authority for the Diner's credit card merchant accounts. (Attachment E) 18. The Petitioner has information and belief that the Respondent is not using or has canceled the Diner's credit card merchant accounts. 19. Petitioner has terminated the consulting services of Defendant. 20. The Respondent has keys to the leased premises. 21. Petitioner alone has signatory authority on all of the Diner's vendor accounts. 22. Petitioner alone is the signatory authority on all of the Diner's utility accounts. 23. All of the diner's tax accounts are in the Petitioner's name. (Exhibit F) 24. Respondent is refusing to leave the Diner's premises and is interfering with Petitioner's management of Diner. 25. Defendants refusal to leave the Diner is prohibiting Petitioner from continuing his business. 26. Petitioner is concerned that business transactions conducted by Respondent at the Diner including but not limited to making payments in cash instead of in a recordable payment method are causing the Diner irreparable harm. 27. Petitioner is not able to enter the Diner's premises for fear of physical retaliation by the Defendant. WHEREFORE, Petitioner demands: 1. This court issue an order precluding Respondent from entering the Diner premises, making any agreements on behalf of the Diner, and from making any payments to anyone including Respondent from the Diner's assets. 2. This court order Respondent to make an immediate complete accounting of all revenues and expenditures of the Diner from September 23, 2010 until the date of the order. 3. This court order the Respondent to return Diner's keys to the Petitioner and not have any contact with vendors, employees and customers of the Diner. 4. However, if the real estate {ease is not extended, Khalil will be due a final payment of $50,000 to terminate this agreement as set forth in the Terminatan Section. C. F. ~e Law This agreement shall be governed by the laws of the Commonwealth of Pennsylvania and shall be the appli~ble law governing any dispute. tf any dispute arises, the matter shall be submitted first to arbitration in Cumberland County, Pennsylvania. Any appeals can be taken to the Cumberland County Court of Common Pleas. Each party is to bear their own costs. G. Whole Agreement This agreement is the whole agreement between these parties. Corporation will pay the rent as set forth in the Lease directly to Business to be forwarded to the Landbrd. Business will notify the Landlord of the change in operators and new business to be conducted at the premises. Business will notify the Landlord of proposed cosmetic changes also and will notify Corporation if consent is not given by the Landlord. Corporation will pay the monthly rent plus all charges due under the premises leases including but not limited to the property taxes, utilities or others set forth. Corporation will also pay any reM increases called for in the lease that are currently the ob#igation of Business. C. RESPONSIBILITY T-OR VENDORS AND SVPPLtERS As of the date of signing of the Agreement, Corporation will assume all responsibility for current vendors of the Business if it chooses to continue with them. A list of aii known vendors is hereby attached as Schedule A and notification will be given to all vendors by Business. As of the date of signing of the Agreement, Corporation will maintain control of the premises subject to Landlord approval and will satisfy the Insurance requirements called for in the lease. Corporation will provide a copy of the Insurance Certificate required under the lease and will place the Business as a named insured on each certificate and renewal certificate for the duration of the lease. Corporation will be responsible for all conditions of the Lease, attached hereto as Schedule B. D. LISE OF FIXTURES, FURI~7URE AND fQl11PMENT Business shaft lease to Corporation all the naming rights, existing paid for fixtures, furniture and equipment to the extent owned by the Business as of the date of signing of the Agreement. e • E. Payment • Corporation shall pay to Business $50,000 at the time of signing of the business. Business agrees that at least $25,000 of that money will be spent to cosmetically improve the premises including but not Limited to signage and flooring. Improvements will be mutually approved by Business and Corporation up to the amount of $25,000. Any additional spending will be solely determined by Business at its discretion. F. ' Paragraphs 1 through2 7 are set forth herein as if fuNy set forth above. 291 Respondent asserts this matter should be referred to Cumberland County arbitratiorh as set forth in the Management Agreements signed by the parties and asks this Court to order any dispute to Arbitration (Exhibit B). 30. Respondent asserts the affirmative defense of failure of consideration as Petitioner failed to pay the $25,000 cash due at the signing of the Management Agreements and the $2,000 consulting fee due October 1, 2010 as set forth in the Management Agreements. 31. Respondent asserts the affirmative defense of fraud as Petitioner lied to induce Respondent to enter into the Management Agreements and then Petitioner promptly performed no obligations under the Management Agreements including failure to pay Respondent his $2,000 fee by October 1, 2010 and failure to pay the Mechanicsburg Diner $25,000 at the signing of the documents. 32. Petitioner failed to pay any rent under the Management Agreement between I~lechanicsburg Diner and Respondent's LLC. 33. Petitioner failed to provide evidence of insurance on the property as required byr the Management Agreements. 34. Petitioner has damaged the goodwill of the business by either writing bad checks to vendors, suppliers and workman or failing to pay them entirely. (Exhibit C) 35. Petitioner failed to obtain any necessary government licenses and permits in ~ s corporation's name as required by law. ~i ~I 36. ~~, Petitioner has failed to demonstrated any irreparable harm. 37~ All of Petitioner's alleged claims can be adjudicated by arbitration as agreed tc~ by the parties in the Management Agreements. 38. Petitioner's alleged claims are purported contract claims which can be resolved with money and possess no special elements to demonstrate irreparable harm. 39. Petitioner has filed to allege any legal basis for a temporary restraining order. 40. As the Commonwealth Court stated in Reed v. Harrisburg City Council, 927 A.2d 698,; 2007 Pa. Commw. LEXIS 339, ""698, *; 2007 Pa. Commw. LEXIS 339: a party seeking a preliminary injunction must show that an injunction is necessary! to prevent immediate and irreparable harm that cannot be adequately compensated by damages. 41. Second, the party must show that greater injury would result from refusing an injunction than from granting it, and, concomitantly, that issuance of an injunction will not substantially harm other interested parties in the proceedings. 42. Third, the party must show that a preliminary injunction will properly restore the.. parties to their status as it existed immediately prior to the alleged wrongful conduct. 43 Fourth, the party seeking an injunction must show that the activity it seeks to restrain is actionable, that its right to relief is clear, and that the wrong is manifest, off, in other words, must show that it is likely to prevail on the merits. 44. ~ Fifth, the party must show that the injunction it seeks is reasonably suited to a I to the offending activity. ~~ 45~. Petitioner paid more than $25,000 in renovations to the restaurant. Petitioner paid additional costs towards the set up of the business. In the alternative, Respondent and Petitioner agreed to a lesser amount of money at the signing of the agreement as evidenced by the signing of the agreement and both parties moving forward with the agreement. Furthermore, Respondent paid himself any consulting fees as he was controlling all cash receipts of the business. 31. Denied. Petitioner was the victim of fraud not the perpetrator. 32. Denied. Petitioner gave Respondent cash for the rent of the restaurant. Additionally, the Respondent controlled all cash receipts from the time the restaurant opened. 33. Admitted. This was an oversight on the part of Petitioner. After it was brought to Petitioners attention he was unable to remedy it because he was being obstructed from his business and the cash receipts of the business. 34. Denied. Respondent controlled all cash receipts from the time the restaurant opened resulting in Petitioner failing to make deposits into the business accounts. 35. Denied. To the best of Petitioners knowledge he has obtained the necessary government licenses and permits. 36. Denied. Respondent's present operation of the business and diverting of cash is an irreparable harm, for instance, nonpayment of taxes and compliance of labor laws all of which are under the Petitioner's name. 37.
