AND NOW, this 24th day of July, 2001, GLENN L. BAER, of 11 Center Road,
Newville, Pennsylvania, 17241, hereinafter called BORROWER
AND
DIANE WILLIS, of P. O. Box 352, Stanley, Idaho 83278, hereinafter called the
LENDER
INTENDING to be legally bound, the parties agree as follows:
GLENN L. BAER, the BORROWER agrees to pay the LENDER, DIANE
WILLIS, the sum of Fifiy-Five Thousand and no/100 ($55,000.00) Dollars, consisting of
Twenty Thousand and no/100 ($20,000.00) Dollars previously borrowed and Thirty-Five
Thousand to be paid by the LENDER to the BORROWER upon the execution of this
Note and Agreement.

The BORROWER will repay the LENDER upon the first of the following
events:
a. Upon the sale of the farm located at 11 Center Road, Newville,
Pennsylvania
b. On December 31, 2008, or
c. When the BORROWER receives his retirement from his past ABF
employer when he attains the age of fifty-seven (57) years of age.
The parties authorize and employ any attorney of any Court of Record of
Pennsylvania, or elsewhere, to appear for and to enter judgment against the
BORROWER, GLENN L. BAER, for the sum of Fifty-Five Thousand and no/100
($55,000.00) Dollars. The BORROWER, GLENN L. BAER, does also waive and
release all relief from any and all appraisement, stay or exemption laws of any state now
in force or hereafter to be passed.

This Loan Agreement and Note will be binding upon the parties, their heirs and
assigns. This Loan Agreement and Note will not be effected by the remarriage or
cohabitation of the BORROWER, GLENN L. BAER. No third party may interfere
with the payment of this debt by the BORROWER to the LENDER.
The LENDER reserves the right to cancel this debt if she determines that the
health of the BORROWER prohibits the repayment of this debt.
AND NOW, intending to be legally bound, the parties enter their hands and seals
the date first set forth above.
