I, Pearl M. Fanus, of Carlisle, Cumberland County, Pennsylvania, declare this to be my last will
and revoke any will previously made by me.
ITEM ONE: I direct that all my debts and funeral expenses, including my gravemarker shall be
paid from my residuary estate as soon as practicable after my decease as a part of the expense of
the administration of my estate.
ITEM TWO: I make the following specific bequests as set tbrth on Attachment "A'.
ITEM THREE: I give, devise and bequeath the rest, residue and remainder of my estate to my
three children, Irwin E. Fanus, Jack Richard Fanus and Patricia Sue Fanus Stibitz, share and
share alike per stirpes.
ITEM FOUR: I appoint Patricia Sue Fanus Stibitz, Executrix of this my last will.
ITEM FIVE: In writing this my Last Will and Testament, it has been my desire to treat each of
my children fairly with my material possessions and equally with my love. It is my hope and
desire that the love and joy which we have shared together will continue in my absence and that
you will be as close and loved by each other as you have been to me. May God richly bless each
of you.
ITEM SIX: All estate, inheritance, succession and other taxes, imposed or payable by reason of
my death, and interest and penalties thereon, with respect to all property comprising my gross
estate for tax purposes, whether or not such property passes under this will, shall be paid out of
the principal of my residuary estate, without apportionment or right of reimbursement.
ITEM SEVEN: I direct that my personal representative o.r guardian shall not be required to give
bond for the faithful performance of their duties in any jurisdiction.

Dear Patty, Irv and Jack:
We have been going back and forth on the sale of the house, and I have advised all of you
that it is not prudent to distribute all of the monies to each of you at the time of the sale
of the house. Jack is now indicating he will not purchase the house unless he gets a credit
for his 1/3 interest on the sale of the real estate. Irv has indicated to me that he will also
not agree to the early distributions unless he receives his full 1/3 from the sale of the
house.
I have advised that there are simply not sufficient funds in the account to handle
distribution along the lines Jack and Irv propose at this particular time.
At this time, I want to give you some preliminary information relative to available cash in
the Estate account. Along these lines, I again enclose a copy of the Inheritance Tax
Return. I also enclose a copy of the check ledger from the Estate account.
The original check ledger shows an opening balance of $6,847.26. That deposit came
from 3 sources:

The M&T Account of $1,194.95 (Item 1 on Schedule E of the Inheritance
Tax Return).
The Waypoint Savings Account of $4,015.41 (Item 2A on Schedule F of the
Inheritance Tax Return).

The balance remaining in the checking account of $1,603.43 - the checking
account is shown as Item lA on Schedule F and lists a value of $3,188.23
which was the amount in the account at the time of your mother's death. I
enclose the account ledger for that account that shows the bills Patty paid
after you mother died that brought the balance down to $1,603.43.)
The ledger for the Estate account shows deposits of $20,008.16 which was for the M&T
CD, $420.75 which was monies received from Jackson Insurance on an annuity, $144.07
which was another insurance refund, $572.41 which was the redemption of the bonds
your mother owned, $288.75 which was payment from Jackson to M&T and a $700
payment from Patty for purchase of items of personal property.
The account shows all of the other expenditures Patty has made from the Estate account
since that time which includes Real Estate Taxes, Inheritance Taxes and other obligations.
In my view, ali of these expenses appear to be quite legitimate and not subject to
challenge. There was a few checks cut to Patty, and I will address those checks as
follows:
Check Number 111 was for $5,438.85. This was money Patty paid for
improvements to the house while she was living there or before she was
living there. Copies of invoices for improvements and these expenses are
enclosed.

Check Number 104 was for $600.00. Patty cut this to herself, used it to
purchase cleaning supplies and also pay Lisa and Laurie for assistance in
cleaning. This was $500.00 in cash that she paid.
Check Number 125 was a payment to Patty but was a reimbursement to her
for a payment she made for the tombstone engraving.
The account now shows a balance of $11,472.82.
The Estate proposes to sell the real estate to Jack for $97,000.00. Because real estate
taxes have already been paid, the Estate will receive a credit on those taxes, the amount to
be dependent upon the exact date of settlement and how the proration works out. The
Estate will also pay $970.00 in Transfer Tax. I believe it is safe to assume the tax
proration in favor of the Estate will be less than the $970.00 obligation for Transfer Tax.
Accordingly, the Estate will be netting somethi~g less than $97,000.00 from the sale of the
real estate. Assuming Jack goes through with the transaction, the Estate would also net

approximately $2,800~00 for Jack's purchase of the personal property. This would result
in an approximately $99,000.00 credit to the Estate.
Jack and Irv have suggested that the only way they will agree to the transaction at this
time is for each of them to receive their 1/3 interest at the real estate at the time of sale.
A 1/3 interest between everyone on $97,000.00 equals $32,333.00. If $32,333.00 was
distributed to Irv and Patty at time of settlement and Jack received his credit of
$32,333.00 by virtue of the purchase of the real estate, when the dust settles the Estate
account would still have approximately $12,000.00 in it. The following issues would still
remain:
Our office has not been paid any legal fees or reimbursement for costs
advanced. The costs we have advanced are listed as Items 7 through 12 of
Schedule H and themselves total in the neighborhood of $500.00. I am also
enclosing our bill for services rendered to date based upon an hourly rate,
and you can see that our current bill is close to $4,000.00. Be assured that
the continued inability of all three of you to sit down and resolve these
issues has caused continued additional work on my part and on Bridget's
part and fees will only increase as we move further in this case.
There is an issue with respect to whether Patty is going to take her
Executor's fee and, if so, the amount of the fee.

Based upon what comments have been made to date, I suspect there may be
a suggestion that some of the expenses that Patty reimbursed herself for
relative to the house may be claimed to be not legitimate expenses of the
Estate, and we will have to sort out those issues.

I remind you that Patty has also suggested in the past that she may seek
reimbursement for some expenses she paid for your mother prior to her
death. Whether there is an agreement on that and whether Patty can
legitimately assert that claim remains to be seen.
Most importantly, in the event there is a suggestion that Patty inappropriately paid some
bills, there needs to be the ability to deduct those bills from a share going to Patty rather
than having Patty have received her money and then expect her to repay it to the Estate.
In other ~vot-ds, we should not distribute Estate assets if there are still outstanding claims
and disag~-eements between the parties.

I trust the above gives you sufficient information for you to at least understand why I am
very hesitant and unwilling to proceed with the sale of the real estate and each of you get
a credit of $32,333.00. We need to ensure there is sufficient monies kept in the Estate to
resolve all of the issues I have set forth above, and to resolve any other issues that may
arise in the meantime. I suggested that a compromise of $20,000.00 or $25,000.00. If
Jack received a credit of $25,000.00 on his purchase of the real estate based upon his
Estate interest and Irv and Patty received checks for $25,000.00 upon the sale of the real
estate, we would still have an Estate account balance of about $33,000.00. I am not
completely happy reserving only those monies, but I think it would be a prudent number
to hold back at this particular time. That money would be held in the Estate account and
we could then try to sort out the issues as set forth above.
If you think we can sort out ALL of the issues set forth above and ALL THREE OF YOU
CAN AGREE in writing how to proceed on each and every issue, we can do an Estate
settlement agreement in conjunction with sale of the real estate. Under that scenario, I
would only suggest we reserve monies to pay any accounting fees that would be necessary
relative to the filing of a final Income Tax Return. However, absent a full and final
agreement at this time, we need to withhold sufficient monies to address all of the
outstanding issues.
It is important for you to understand that Patty, in her capacity as Executrix, has the
ability to merely sell the property. Accordingly, we do not need Irv's written agreement
on anything. However, I will require a written agreement from everyone if we are going
to give Jack any credit right off the bat when the property is sold. Absent an agreement
from everyone, the options at this time are quite simple:

Jack purchase the property for $97,000.00. He would pay the full amount,
and that money would be paid in the Estate account. The Estate would be
distributed at a later date after either an agreement is reached or after an
accounting is approved by the court.

Patty will proceed immediately with a sale to a third party. Patty will
immediately list the property with a realtor. As I am sure you know, this
will essentially cost the Estate 6% on the sale price and there is no guarantee
that we will get someone to buy the property for $97,000.00. Furthermore,
while the property stays on the market, the Estate continues to incur
expenses.

Accordingly, everyone needs to make a decision at this point. We need Irv and Jack's
position on this matter as soon as possible. If a resolution is not achieved by Monday,
November 24, 2003, Patty will secure a realtor and list the property for sale. At that
time, anyone can buy the property, including Irv, Jack or Patty and the Estate will be
subject to paying real estate commissions, transfer tax and some other expenses that may
be involved in the transaction.

ITEM SIX: All estate, inheritance, succession and other taxes, imposed or payable by reason of

DISCOUNT: If any tax due is paid within three (3) calendar months after the decedent's death, a five percent CS%) discount of
the tax paid is allowed.
PENALTY: The 15% tax amnesty non-participation penalty is computed an the total of the tax and interest assessed, and not
paid before January 18, 1996, the first day after the end of the tax amnesty period. This non-participation
penalty is appealable in the same manner and in the the same time period as you would appeal the tax and interest
that has been assessed as indicated on this notice.
INTEREST: Interest is charged beginning with first day of delinquency, or nine (9) months and one (1) day from the date of
death, to the date of payment. Taxes which became delinquent before January 1, 1982 bear interest at the rate of

THIS AGREEMENT made this ~ day of December, 2003, between PATRICIA S.
STIBITZ (referred to herein as the "Executrix" or as "Patty"), JACK R. FANUS
(referred to herein as "Jack"), IRWIN E. FANUS (referred to herein as "Irv") and
PATRICIA S. STIBITZ, Executrix of the Estate of Pearl M. Fanus.
WITNESSETH
WHEREAS, Pearl M. Fanus (Decedent) died on July 10, 2002; and
WHEREAS, pursuant to the Will of the Decedent dated January 7, 2002, Patricia S.
Stibitz was appointed as Executrix of the Decedent's Estate by the Cumberland County
Register of Wills by appropriate action of the Register of Wills on August 14, 2002 and
Docketed at Number 21-02-0728; and
WHEREAS, the Executrix has truly and appropriately administered the Estate of the
Decedent; and
WHEREAS, the Executrix has filed a Pennsylvania Inheritance Tax Return with the
Pennsylvania Department of Revenue, said Return being attached hereto and marked
Exhibit "A", and said Return including as attached to it a copy of the above mentioned
Will of the Decedent; and
WHEREAS, the Executrix has accomplished the payment of all Inheritance Taxes owing
on the Estate of the Decedent and has accomplished the payment of all obligations owing
on the Decedent's Estate except for miscellaneous obligations as set forth below; and
WHEREAS, the Executrix and legal counsel for the Estate have provided to Patty, Jack
and Irv (collectively referred to herein as the "Beneficiaries") all information relating to
the Executrix's handling of the Decedent's Estate and, more specifically, a letter dated
November 13, 2003 which set forth an accounting of monies administered by the
Executrix through that date, said letter being attached hereto and marked Exhibit "B";
and

WHEREAS, Patty, Jack and Irv are the sole surviving children of the Decedent and,
pursuant to the Will of the Decedent, are three equal beneficiaries of the Decedent's
Estate; and
WHEREAS, since November 13, 2003, the Executrix has made various payments from
the Estate assets on various obligations leaving a balance in the Estate account of
$10,968.23; and
WHEREAS, the sole remaining asset of the Estate is real estate owned by the Decedent
located at 231 West Willow Street, Carlisle, Pennsylvania (hereinafter referred to as the
"Real Estate"); and
WHEREAS, Jack proposes to purchase the Real Estate at a price of $97,000.00 and all
parties to this Agreement agree that said price is an appropriate and fair price for the sale
of the Real Estate; and
WHEREAS, settlement on the sale of the Real Estate from t:he Estate of the Decedent to
Jack is scheduled to take place on December 17, 2003, with aHud-1 Settlement Sheet
(hereinafter referred to as the "Hud-1") prepared for that transaction and attached as
Exhibit "C"; and
WHEREAS pursuant to the Hud-1, Jack will receive a credit on his 1/3 distribution from
the Estate pursuant to the $97,000.00 contract sale price, said credit being $32,333.33;
and
WHEREAS, in conjunction with Jack's purchase of the Real Estate, Jack will be
purchasing personal property as set forth in the attached Exhibit "D" for a total purchase
price of $2,840.00 which will be additional monies the Estate will receive; and
WHEREAS, the parties desire to proceed with the sate of the Real Estate and, at the same
time, afford a payment to Irv and Patty consistent with the credit Jack is receiving in the
nature of $32,333.33; and
WHEREAS, the parties desire to achieve a full and complete settlement of all matters
relating to the Estate, but the parties recognize that there must be some reserve
maintained for purposes of paying any miscellaneous bills and handling Income Taxes for
the year 2003; and
WHEREAS, the Executrix is prepared to achieve the final distribution of the Decedent's
Estate subject to the reserve as set forth below; and
WHEREAS, all parties acknowledge that they have been provided an opportunity to
examine all records of the Decedent in the possession of the I~xecutrix and to examine all
records of the Estate; and
WHEREAS, the Executrix and all Beneficiaries desire that the administration of the
Estate of Pearl M. Fanus be terminated without the expense and delay of a court
accounting and the parties are willing to enter into this Estate Settlement Agreement in
order to expedite the conclusion of the Estate; and
WHEREAS, each party individually acknowledges that he and/or she have carefully
examined this document and have had the opportunity to review this document with legal
counsel if they so desired; and
WHEREAS, All parties to this Agreement acknowledge ghat the firm of Broujos &
Gilroy, P.C. has been retained as legal counsel for the Estate in this matter; and
WHEREAS, in an effort to obtain a prompt resolution of the Estate and to conclude this
matter, the Executrix is waiving all claims, if any, she may have against the Estate for
monies paid on behalf of the Decedent prior to the Decedent's death; and
WHEREAS, in an effort to obtain a prompt resolution of the Estate and to conclude this
matter, the law firm of Broujos & Gilroy, P.C. is willing t:o reduce its legal fee in this
matter to the sum of $5,000.00 plus the reimbursement of costs advanced out of pocket by
the firm of Broujos & Gilroy, P.C. in connection with the administration of the Estate;
and
WHEREAS, in an effort to obtain a prompt resolution of the Estate and to conclude this
matter, Irv and Jack are willing to waive all claims, if any, they may assert against the
Executrix relative to her occupancy of the Real Estate and funds she spent in connection
with repair of the Real Estate; and
WHEREAS, the parties desire to set forth herein their agreement relative to how the
Estate is to be concluded.
NOW, THEREFORE, the parties in consideration of the mutual covenants herein
expressed and intending to be legally bound hereby, agree as follows:

The above named Beneficiaries hereby waive the filing of a formal accounting and
schedule of distribution in the Estate of Pearl M. Fanus.

The Executrix is authorized to proceed with sale of the Real Estate from the Estate to
Jack in accordance with the figures as set forth in the Hud-1 and, in connection with said
sale, Jack is to receive a credit for Estate distribution equal to $32,333.33.

Simultaneous with the sale of the Real Estate to Jack, the Estate shall make a distribution
to Irv in the amount of $32,333.33 and a distribution to Patty in the amount of
$32,333.33.

Also simultaneous with the sale of the Real Estate, the Estate shall pay the following
obligations:
Broujos & Gilroy, P.C. -reimbursement of
costs advanced pursuant to listing of costs
as set forth on attached Exhibit "E" $ 461.39
Register of Wills -filing fee for Family
Settlement Agreement $ 17.00
Broujos & Gilroy, P.C. -attorney's fees for
handling of Estate $5,000.00

Also simultaneous with the sale of the Real Estate, Jack shall purchase the items of
personal property as set forth in the attached Exhibit "D" for the price of $2,840.00, with
transfer of title of those items of personal property to be by virtue of a bill of sale from
the Estate to Jack.

All parties agree that with the receipt of funds as set forth above and the payment of the
bills as set forth above, monies remaining in the Estate shall equal approximately
$2,900.00 (hereinafter referred to as "Escrow Monies"). The parties agree that the
Escrow Monies shall be held by the Executrix for the payment of the following
obligations:
• Income Tax for 2003
• Accounting fees in connection with preparation of all Income Tax Returns
• Any other bills that accrue to the Estate after settlement of the Real Estate.

The parties agree that upon completion of the filing of the a final Income Tax Return for
the Estate upon the Executrix's payment of all outstanding obligations of the Estate, the
Executrix may proceed with distributing any balance remaining in the Escrow Monies to
Patty, Jack and Irv in equal shares, which distribution shall constitute a final distribution
of the Estate.

The parties acknowledge that there are some miscellaneous items of personal property of
the Estate still to be distributed, and the parties agree that those items may be distributed

demands, actions or causes of action, legal or equitable, absolute or contingent, which any
of them may have against any other party hereto or against the Estate of Pearl M. Fanus
or against the Estate's Executrix, Patricia S. Stibitz, by reason of any matter, cause or
thing, growing out of or relating to any property or assets of said Estate, or growing out
of or relating to any act of the Executrix in her administration of the Estate. This Release
shall release the Executrix from all liabilities, whether due to her negligence or otherwise,
which she may have by reason of her administration of the Estate of Pearl M. Fanus.
This Release shall not release the Executrix from any claims relating to fraud or claims
relating to any willful action on behalf of the Executrix in failing to disclose or account for
any assets of the Estate which the Executrix may have received.

The parties acknowledge that in the event there are legitimate claims filed against the
Estate which exceed Escrow Monies, each of the three Beneficiaries will in that event be
liable to the Estate for one third of the claim and each Beneficiary agrees to reimburse to
the Estate such monies as may be required in the event of a claim being filed against the
Estate and exceeding monies held in the escrow account.

Each party hereby acknowledges that they have had the opportunity to present this
Agreement to their own private legal counsel for legal advice if such party desires such
individual legal advice.

The parties agree that this instrument shall be binding upon themselves, their successors,
assigns and personal representatives.

ITEM ONE: I direct that all my debts and funeral expenses, including my gravemarker shall be
paid from my residuary estate as soon as practicable after my decease as a part of the expense of
the administration of my estate.
ITEM TWO: I make the following specific bequests as set forth on Attachment "A".
ITEM THREE: I give, devise and bequeath the rest, residue and remainder of my estate to my
three children, Irwin E. Fanus, Jack Richard Fanus and Patricia. Sue Fanus Stibitz, share and
share alike per stirpes.
ITEM FOUR: I appoint Patricia Sue Fanus Stibitz, Executrix of this my last will.
ITEM FIVE: In writing this my Last Will and Testament, it has been my desire to treat each of
my children fairly with my material possessions and equally with my love. It is my hope and
desire that the love and joy which we have shared together will continue in my absence and that
you will be as close and loved by each other as you have been to me. May God richly bless each
of you.
ITEM SIX: All estate, inheritance, succession and other taxes, imposed or payable by reason of
my death, and interest and penalties thereon, with respect to all property comprising my gross
estate for tax purposes, whether or not such property passes under this will, shall be paid out of
the principal of my residuary estate, without apportionment or right of reimbursement.

We have been going back and forth on the sale of the house, and I have advised atl of you
that it is not prudent to distribute al! of the monies to each of you at the time of the sale
of the house. Jack is now indicating he will not purchase the house unless he gets a credit
for his 1/3 interest on the sale of the real estate. Irv has indicated to me that he will also
not agree to the early distributions unless he receives his full 1/3 from the sale of the
house.
I have advised that there are sirnpiy not sufficient funds in the account to handle
distribution along the tines Jack and Irv propose at this particular time.
At this time, I want to give you some preliminary information relative to available cash in
the Estate account. Along these lines, I again enclose a copy of the Inheritance Tax
Return. 1 also enclose a copy of the check ledger from the Estate account.
The original check ledger shows an opening balance of $6,847.26. That deposit came
from 3 sources:
A. The M&T Account of $1,194.95 (Item 1 on Schedule E of the Inheritance
Tax Return).
B. The Waypoint Savings Account of $4,015.41 (Item 2A on Schedule F of the
Inheritance Tax Return).

C. The balance remaining in the checking account of $1,603.43 -the checking
account is shown as Item lA on Schedule F and lists a value of $3,188.23
which was the amount in the account at the time of your mother's death. I
enclose the account ledger for that account that shows the bills Patty paid
after you mother died that brought the balance down to $1,603.43.)
The ledger for the Estate account shows deposits of $20,008.16 which was for the M&T
CD, $420.75 which was monies received from Jackson Insurance on an annuity, $144.07
which was another insurance refund, $572.41 which was the redemption of the bonds
your mother owned, $288.75 which was payment from Jackson to M&T and a $700
payment from Patty for purchase of items of personal property.
The account shows all of the other expenditures Patty has made from the Estate account
since that time which includes Real Estate Taxes, Inheritance Taxes and other obligations.
In my view, alt of these expenses appear to be quite legitimate and not subject to
challenge. There was a few checks cut to Patty, and I will address those checks as
follows:
1. Check Number 111 was for $5,438.85. This was money Patty paid for
improvements to the house while she was living there or before she was
living there. Copies of invoices for improvements and these expenses are
enclosed.
2. Check Number 104 was for $600.00. Patty cut this to herself, used it to
purchase cleaning supplies and also pay Lisa and Laurie for assistance in
cleaning. This was $500.00 in cash that she paid.
3. Check Number 125 was a payment to Patty but was a reimbursement to her
for a payment she made for the tombstone engraving.
The account now shows a balance of $11,472.82.
The Estate proposes to sell the real estate to Jack for $97,000.00. Because real estate
taxes have already been paid, the Estate will receive a credit on those taxes, the amount to
be dependent upon the exact date of settlement and how the proration works out. The
Estate will also pay $970.00 in Transfer Tax. I believe it is safe to assume the tax
proration in favor of the Estate will be less than the $970.00 obligation for Transfer Tax.
Accordingly , the Estate will he netting something less than $97,000.00 from the sale of the
real estate. Assuming Jack goes through with the transaction, the Estate would also net

approximately $2,800.00 for Jack's purchase of the personal property. This would result
in an approximately $99,000.00 credit to the Estate.
Jack and Irv have suggested that the only way they will agree to the transaction at this
time is for each of them to receive their 1/3 interest at the real estate at the time of sale.
A 1/3 interest between everyone on $97,000.00 equals $32,333.00. If $32,333.00 was
distributed to Irv and Patty at time of settlement and Jack received his credit of
$32,333.00 by virtue of the purchase of the real estate, when the dust settles the Estate
account would still have approximately $12,000.00 in it. The following issues would still
remain:
A. Our office has not been paid any legal fees or reimbursement for costs
advanced. The costs we have advanced are listed as Items 7 through 12 of
Schedule H and themselves total in the neighborhood of $500.00. I am also
enclosing our bill for services rendered to date based upon an hourly rate,
and you can see that our current bill is close to $4,000.00. Be assured that
the continued inability of all three of you to sit down and resolve these
issues has caused continued additional work on my part and on Bridget's
part and fees will only increase as we move further in this case.
B. There is an issue with respect to whether Patty is going to take her

C. Based upon what comments have been made to date, I suspect there may be
a suggestion that some of the expenses that fatty reimbursed herself for
relative to the house may be claimed to be not legitimate expenses of the
Estate, and we will have to sort out those issues.
D. I remind you that Patty has also suggested in the past that she may seek
reimbursement for some expenses she paid for your mother prior to her
death. Whether there is an agreement on that and whether Patty can
legitimately assert that claim remains to be seen.
Most importantly, in the event there is a suggestion that Patty inappropriately paid some
bills, there needs to be the ability to deduct those bills from a share going to Patty rather
than having Patty have received her money and then expect her to repay it to the Estate.
[n other cords, we should not distribute Estate assets if there are still outstanding claims
and disagreements between the parties.

I trust the above gives you sufficient information for you to at least understand why I am
very hesitant and unwilling to proceed with the sale of the real estate and each of you get
a credit of $32,333.00. We need to ensure there is sufficient monies kept in the Estate to
resolve all of the issues I have set forth above, and to resolve any other issues that may
arise in the meantime. I suggested that a compromise of $20,000.00 or $25,000.00. If
Jack received a credit of $25,000.00 on his purchase of the real estate based upon his
Estate interest and Irv and Patty received checks for $25,000.00 upon the sale of the real
estate, we would still have an Estate account balance of about $33,000.00. I am not
completely happy reserving only those monies, but I think it would be a prudent number
to hold back at this particular time. That money would be held in the Estate account and
we could then try to sort out the issues as set forth above.
If you think we can sort out ALL of the issues set forth above and ALL THREE OF YOU
CAN AGREE in writing how to proceed on each and every issue, we can do an Estate
settlement agreement in conjunction with sale of the real estate. Under that scenario, I
would only suggest we reserve monies to pay any accounting fees that would be necessary
relative to the filing of a final Income Tax Return. However, absent a full and final
agreement at this time, we need to withhold sufficient monies to address all of the
outstanding issues.
It is important for you to understand that Patty, in her capacity as Executrix, has the
ability to merely sell the property. Accordingly, we do not need Irv's written agreement
on anything. However, I will require a written agreement from everyone if we are going
to give Jack any credit right off the bat when the property is sold. Absent an agreement
from everyone, the options at this time are quite simple:
A. Jack purchase the property for $97,000.00. He would pay the full amount,
and that money would be paid in the Estate account. The Estate would be
distributed at a later date after either an agreement is reached or after an
accounting is approved by the court.
B. If Jack does not want to purchase the property under these arrangements,
Patty wilt proceed immediately with a sale to a third party. Patty will
immediately list the property with a realtor. As I am sure you know, this
will essentially cost the Estate 6% on the sale price and there is no guarantee
that we will get someone to buy the property for $97,000.00. Furthermore,
while the property stays on the market, the Estate contin~-es to incur
expenses.

Accordingly, everyone needs to make a decision at this point. We need Irv and Jack's
position on this matter as soon as possible. If a resolution is not achieved by Monday,
November 24, 2003, Patty will secure a realtor and list the property for sale. At that
time, anyone can buy the property, including Irv, Jack or Patty and the Estate will be
subject to paying real estate commissions, transfer tax and some other expenses that may
be involved in the transaction.

THIS AGREEMENT made this ~ day of December, 2003, between PATRICIA S.
STIBITZ (referred to herein as the "Executrix" or as "Patty"), JACK R. FANUS
(referred to herein as "Jack"), IRWIN E. FANUS (referred to herein as "Irv") and
PATRICIA S. STIBITZ, Executrix of the Estate of Pearl M. Fanus.
WITNESSETH
WHEREAS, Pearl M. Fanus (Decedent) died on July 10, 2002; and
WHEREAS, pursuant to the Will of the Decedent dated January 7, 2002, Patricia S.
Stibitz was appointed as Executrix of the Decedent's Estate by the Cumberland County
Register of Wills by appropriate action of the Register of Wills on August 14, 2002 and
Docketed at Number 21-02-0728; and
WHEREAS, the Executrix has truly and appropriately administered the Estate of the
Decedent; and
WHEREAS, the Executrix has filed a Pennsylvania Inheritance Tax Return with the
Pennsylvania Department of Revenue, said Return being attached hereto and marked
Exhibit "A", and said Return including as attached to it a copy of the above mentioned
Will of the Decedent; and
WHEREAS, the Executrix has accomplished the payment of all Inheritance Taxes owing
on the Estate of the Decedent and has accomplished the payment of all obligations owing
on the Decedent's Estate except for miscellaneous obligations as set forth below; and
WHEREAS, the Executrix and legal counsel for the Estate have provided to Patty, Jack
and Irv (collectively referred to herein as the "Beneficiaries") all information relating to
the Executrix's handling of the Decedent's Estate and, more specifically, a letter dated
November 13, 2003 which set forth an accounting of monies administered by the
Executrix through that date, said letter being attached hereto and marked Exhibit "B";
and
WHEREAS, Patty, Jack and Irv are the sole surviving children of the Decedent and,
pursuant to the Will of the Decedent, are three equal beneficiaries of the Decedent's
Estate; and
` WHEREAS, since November 13, 2003, the Executrix has made various payments from
the Estate assets on various obligations leaving a balance in the Estate account of
$10,968.23; and
WHEREAS, the sole remaining asset of the Estate is real estate owned by the Decedent
located at 231 West Willow Street, Carlisle, Pennsylvania (hereinafter referred to as the
"Real Estate"); and
WHEREAS, Jack proposes to purchase the Real Estate at a price of $97,000.00 and all
parties to this Agreement agree that said price is an appropriate and fair price for the sale
of the Real Estate; and
WHEREAS, settlement on the sale of the Real Estate from the Estate of the Decedent to
Jack is scheduled to take place on December 17, 2003, with aHud-1 Settlement Sheet
(hereinafter referred to as the "Hud-1") prepared for that transaction and attached as
Exhibit "C"; and
WHEREAS pursuant to the Hud-1, Jack will receive a credit on his 1/3 distribution from
the Estate pursuant to the $97,000.00 contract sale price, said credit being $32,333.33;
and
WHEREAS, in conjunction with Jack's purchase of the :Real Estate, Jack will be
purchasing personal progerty as set forth in the attached Exhibit "D" for a total purchase
price of $2,840.00 which will be additional monies the Estate will receive; and
WHEREAS, the parties desire to proceed with the sale of the Real Estate and, at the same
time, afford a payment to Irv and Patty consistent with the credit Jack is receiving in the
nature of $32,333.33; and
WHEREAS, the parties desire to achieve a full and complete settlement of all matters
relating to the Estate, but the parties recognize that there must be some reserve
maintained for purposes of paying any miscellaneous bills and handling Income Taxes for
the year 2003; and
WHEREAS, the Executrix is prepared to achieve the final distribution of the Decedent's
Estate subject to the reserve as set forth below; and
WHEREAS, all parties acknowledge that they have been provided an opportunity to
examine all records of the Decedent in the possession of the Executrix and to examine all
records of the Estate; and
WHEREAS, the Executrix and all Beneficiaries desire that the administration of the
Estate of Pearl M. Fanus be terminated without the expense and delay of a court
accounting and the parties are willing to enter into this Estate Settlement Agreement in
order to expedite the conclusion of the Estate; and
WHEREAS, each party individually acknowledges that he andJor she have carefully
examined this document and have had the opportunity to review this document with legal
counsel if they so desired; and
WHEREAS, All parties to this Agreement acknowledge that the firm of Broujos &
Gilroy, P.C. has been retained as legal counsel for the Estate in this matter; and
WHEREAS, in an effort to obtain a prompt resolution of the Estate and to conclude this
matter, the Executrix is waiving all claims, if any, she may have against the Estate for
monies paid on behalf of the Decedent prior to the Decedent's death; and
WHEREAS, in an effort to obtain a prompt resolution of the Estate and to conclude this
matter, the law firm of Broujos & Gilroy, P.C. is willing to reduce its legal fee in this
matter to the sum of $5,000.00 plus the reimbursement of cost's advanced out of pocket by
the firm of Broujos & Gilroy, P.C. in connection with the administration of the Estate;
and
WHEREAS, in an effort to obtain a prompt resolution of the Estate and to conclude this
matter, Irv and Jack are willing to waive all claims, if any, they may assert against the
Executrix relative to her occupancy of the Real Estate and funds she spent in connection
with repair of the Real Estate; and
WHEREAS, the parties desire to set forth herein their agreement relative to how the
Estate is to be concluded.
NOW, THEREFORE, the parties in consideration of the mutual covenants herein
expressed and intending to be legally bound hereby, agree as follows:

The above named Beneficiaries hereby waive the filing of a formal accounting and
schedule of distribution in the Estate of Pearl M. Fanus.

The Executrix is authorized to proceed with sale of the Real. Estate from the Estate to
Jack in accordance with the figures as set forth in the Hud-1 and, in connection with said
sale, Jack is to receive a credit for Estate distribution equal to $32,333.33.

Simultaneous with the sale of the Real Estate to Jack, the Estate shall make a distribution
to Irv in the amount of $32,333.33 and a distribution to Patty in the amount of
$32,333.33.

Also simultaneous with the sale of the Real Estate, the Estate shall pay the following

Also simultaneous with the sale of the Real Estate, Sack shall purchase the items of
personal property as set forth in the attached Exhibit "D" for the price of $2,840.00, with
transfer of title of those items of personal property to be by virtue of a bill of sale from
the Estate to Jack.

All parties agree that with the receipt of funds as set forth above and the payment of the
bills as set forth above, monies remaining in the Estate shall equal approximately
$2,900.00 (hereinafter referred to as "Escrow Monies"). 'The parties agree that the
Escrow Monies shall be held by the Executrix for the payment of the following
obligations:
• Income Tax for 2003
• Accounting fees in connection with preparation of all Income Tax Returns
• Any other bills that accrue to the Estate after settlement of the Real Estate.

The parties agree that upon completion of the filing of the a final Income Tax Return for
the Estate upon the Executrix's payment of all outstanding obligations of the Estate, the
Executrix may proceed with distributing any balance remaining in the Escrow Monies to
Patty, Jack and Irv in equal shares, which distribution shall constitute a final distribution
of the Estate.

The parties hereby forever release, compromise, settle and discharge any and all claims,
demands, actions or causes of action, legal or equitable, absolute or contingent, which any
of them may have against any other party hereto or against the Estate of Pearl M. Fanus
or against the Estate's Executrix, Patricia S. Stibitz, by reason of any matter, cause or
thing, growing out of or relating to any property or assets of said Estate, or growing out
of or relating to any act of the Executrix in her administration of the Estate. This Release
shall release the Executrix from all liabilities, whether due to her negligence or otherwise,
which she may have by reason of her administration of the Estate of Pearl M. Fanus.
This Release shall not release the Executrix from any claims relating to fraud or claims
relating to any willful action on behalf of the Executrix in failing to disclose or account for
any assets of the Estate which the Executrix may have received.

The parties acknowledge that in the event there are legitimate claims filed against the
Estate which exceed Escrow Monies, each of the three Beneficiaries will in that event be
liable to the Estate for one third of the claim and each Beneficiary agrees to reimburse to
the Estate such monies as may be required in the event of a claim being filed against the
Estate and exceeding monies held in the escrow account.

Each party hereby acknowledges that they have had the opportunity to present this
Agreement to their own private legal counsel for legal advice if such party desires such
individual legal advice.

The parties agree that this instrument shall be binding upon themselves, their successors,
assigns and personal representatives.

and revoke any will previously made by me.
ITEM ONE: I direct that all my debts and funeral expenses, including my gravemarker shall be
paid from my residuary estate as soon as practicable after my decease as a part of the expense of
the administration of my estate.
ITEM TWO: I make the following specific bequests as set forth on Attachment "A".
ITEM THREE: I give, devise and bequeath the rest, residue and remainder of my estate to my
three children, Irwin E. Fanus, Sack Richard Fanus and Patricia Sue Fanus Stibitz, share and

ITEM FOUR: I appoint Patricia Sue Fanus Stibitz, Executrix of this my last will.
ITEM FIVE: In writing this my Last Will and Testament, it has been my desire to treat each of
my children fairly with my material possessions and equally with my love. It is my hope and
desire that the love and joy which we have shared together will continue in my absence and that
you will be as close and loved by each other as you have been to me. May God richly bless each
of you.

We have been going back and forth on the sale of the house, and I have advised all of you
that it is not prudent to distribute all of the monies to each of you at the time of the sale
of the house. Jack is now indicating he will not purchase the house unless he gets a credit
for his 1/3 interest on the sale of the real estate. Irv has indicated to me that he will also
not agree to the early distributions unless he receives his full 1/3 from the sale of the
house.
I have advised that there are simply not sufficient funds in the account to handle
distribution along the lines Jack and Irv propose at this particular time.
At this time, I want to give you some preliminary information relative to available cash in
the Estate account. Along these tines, I again enclose a copy of the Inheritance Tax
Return. I also enclose a copy of the check ledger from the Estate account.
The original check ledger shows an opening balance of $6,847.26. That deposit came
from 3 sources:
A. The M&T Account of $1,194.95 (Item 1 on Schedule E of the Inheritance
Tax Return).
B. The Waypoint Savings Account of $4,015.41 (Item 2A on Schedule F of the
Inheritance Tax Return).

C. The balance remaining in the checking account of $1,603.43 -the checking
account is shown as Item lA on Schedule F and lists a value of $3,188.23
which was the amount in the account at the time of your mother's death. I
enclose the account ledger for that account that shows the bills Patty paid
after you mother died that brought the balance down to $1,603.43.)
The ledger for the Estate account shows deposits of $20,008.16 which was for the M&T
CD, $420.75 which was monies received from Jackson Insurance on an annuity, $144.07
which was another insurance refund, $572.41 which was the redemption of the bonds
your mother owned, $288.75 which was payment from Jackson to M&T and a $700
payment from Patty for purchase of items of personal property.
The account shows all of the other expenditures Patty has made from the Estate account
since that time which includes Real Estate Taxes, Inheritance Taxes and other obligations.
In my view, all of these expenses appear to be quite legitimate and not subject to
challenge. There was a few checks cut to Patty, and I will address those checks as
follows:
1. Check Number 111 was for $5,438.85. This was money Patty paid for
improvements to the house while she was living there or before she was
living there. Copies of invoices for improvements and these expenses are
enclosed.
2. Check Number 104 was for $600.00. Patty cut this to herself, used it to
purchase cleaning supplies and also pay Lisa and Laurie for assistance in
cleaning. This was $500.00 in cash that she paid.
3. Check Number 125 was a payment to Patty but 'was a reimbursement to her
for a payment she made for the tombstone engraving.
The account now shows a balance of $11,472.82.
The Estate proposes to sell the real estate to Jack for $97,000.00. Because real estate
taxes have already been paid, the Estate will receive a credit on those taxes, the amount to
be dependent upon the exact date of settlement and how the proration works out. The
Estate will also pay $970.00 in Transfer Tax. I believe it is safe to assume the tax
proration in favor of the Estate will be less than the $970.00 obligation for Transfer Tax.
Accordingly , the Estate will be netting something less than $97,000.00 from the sale of the
real estate. Assuming Jack goes through with the transaction, the Estate would also net

approximately $2,800.00 for Jack's purchase of the personal property. This would result
in an approximately $99,000.00 credit to the Estate.
Jack and Irv have suggested that the only way they wilt agree to the transaction at this
time is for each of them to receive their 1/3 interest at the real estate at the time of sale.
A 1/3 interest between everyone on $97,000.00 equals $32,333.00. If $32,333.00 was
distributed to Irv and Patty at time of settlement and Jack received his credit of
$32,333.00 by virtue of the purchase of the real estate, when the dust settles the Estate
account would still have approximately $12,000.00 in it. The following issues would still
remain:
A. Our office has not been paid any legal fees or reimbursement for costs
advanced. The costs we have advanced are listed as Items 7 through 12 of
Schedule H and themselves total in the neighborhood of $500.00. I am also
enclosing our bill for services rendered to date based upon an hourly rate,
and you can see that our current bill is close to $4,000.00. Be assured that
the continued inability of all three of you to sit down and resolve these
issues has caused continued additional work on my part and on Bridget's
part and fees will only increase as we move further in this case.
B. There is an issue with respect to whether Patty is going to take her
Executor's fee and, if so, the amount of the fee.
C. Based upon what comments have been made to elate, I suspect there may be
a suggestion that some of the expenses that Patty reimbursed herself for
relative to the house may be claimed to be not legitimate expenses of the
Estate, and we will have to sort out those issues.
D. I remind you that Patty has also suggested in the past that she may seek
reimbursement for some expenses she paid for your mother prior to her
death. Whether there is an agreement on that and whether Patty can
legitimately assert that claim remains to be seen.
Most importantly, in the event there is a suggestion that Patty inappropriately paid some
bills, there needs to be the ability to deduct those bills from a share going to Patty rather
than having Patty have received her money and then expect her to repay it to the Estate.
In other words, we should not distribute Estate assets if there are still outstanding claims
and disagreements between the parties.

I trust the above gives you sufficient information for you to at least understand why I am
very hesitant and unwilling to proceed with the sale of the real estate and each of you get
a credit of $32,333.00. We need to ensure there is sufficient monies kept in the Estate to
resolve all of the issues I have set forth above, and to resolve any other issues that may
arise in the meantime. I suggested that a compromise of $20,000.00 or $25,000.00. If
Jack received a credit of $25,000.00 on his purchase of the real estate based upon his
Estate interest and Irv and Patty received checks for $25,000.00 upon the sale of the real
estate, we would still have an Estate account balance of about $33,000.00. I am not
completely happy reserving only those monies, but I think it would be a prudent number
to hold back at this particular time. That money would be held in the Estate account and
we could then try to sort out the issues as set forth above.
If you think we can sort out ALL of the issues set forth above and ALL THREE OF YOU
CAN AGREE in writing how to proceed on each and every issue, we can do an Estate
settlement agreement in conjunction with sale of the real estate. Under that scenario, I
would only suggest we reserve monies to pay any accounting fees that would be necessary
relative to the filing of a final Income Tax Return. However, absent a full and final
agreement at this time, we need to withhold sufficient monies to address all of the
outstanding issues.
It is important for you to understand that Patty, in her capacity as Executrix, has the
ability to merely sell the property. Accordingly, we do not need Irv's written agreement
on anything. However, I will require a written agreement from everyone if we are going
to give Jack any credit right off the bat when the property is sold. Absent an agreement
from everyone, the options at this time are quite simple:
A. Jack purchase the property for $97,000.00. He would pay the full amount,
and that money would be paid in the Estate account. The Estate would be
distributed at a later date after either an agreement is reached or after an
accounting is approved by the court.
B. If Jack does not want to purchase the property under these arrangements,
Patty will proceed immediately with a sale to a third party. Patty wilt
immediately list the property with a realtor. As I am sure you know, this
will essentially cost the Estate 6°Io on the sale price and there is no guarantee
that we will get someone to buy the property for $97,000.00. Furthermore,
while the property stays on the market, the Estate continues to incur
expenses.

Accordingly, everyone needs to make a decision at this point. We need Irv and Jack's
position on this matter as soon as possible. If a resolution is not achieved by Monday,
November 24, 2003, Patty will secure a realtor and list the property for sale. At that
time, anyone can buy the property, including Irv, Jack or Patty and the Estate will be
subject to paying real estate commissions, transfer tax and some other expenses that may
be involved in the transaction.
