EY, presently of Camp Hill Borough, ~~ County of Cumberland, Commonwealth of Pennsylvania, being of L i~ sound mind and disposing memory, realizing the un~^ertainty of this life, do hereb make, ublish and declare this to be m Y P Y ,' Last Will and Testament, revoking any and all previous Wills and Codicils, and hereby will and dispose of all of the proper- i 1;' ty which I own at my death in the following manner: { I. As Executrix (herein referred to as "Executor") of this my Will I name and nominate my daughter, HELEN E. SHUMAN; f if she shall for any reason fail or be unable to serve as ,, j Executor, either before or during her service as Executor, then I name my son, WILLIAM H. EY, as Executor. II. I direct that my debts and the expenses of my last illness and funeral shall be paid by my Executor as soon after my decease as may be convenient. III. All of my household and personal effects and other ~~ tangible personalty of like nature, together with insurance 1 thereon, I give to my daughter, ~iELEN E. All the rest, residue and remainder of my estate, real and personal and mixed, including any property over which I may have any power of appointment, I devise and bequeath unto my three children, HELEN E. SHUMAN, WILLIAM H. EY, and THOMAS P. EY, equally. V. If any of my children shall predecease mE., the share that otherwise would be distributed to the predeceased child of mine shall pass instead to the lawful issue (born in wed- lock) of the predeceased child who survive me, per stirpes, and not per capita. VI. If a child of mine predeceases me leaving no said lawful issue or if no such issue of such child survive me, the share which would be otherwise distributed to such child or such child's issue shall instead be distributed to my surviv- ing children, in equal shares, share and share alike.. VII. I direct that all estate, inheritance and succession taxes, and interest and penalties thereon, which may be due and payable by reason of my death with respect to any property included in my gross estate for tax purposes, whetYier or not passing under this Will and any Codicil hereto shall be borne 2 . I further authorize my Executor to prepay taxes on future and remainder interests if deemed advisable. VIII. I give to my Executor the following powers, in addi- !t tion to and not in limitation of common law and statutory powers ;; i~ `~ A ~ '' i ,~ ~; To retain any property, real or personal which Execu- tor may receive as Executor, even though ;such proper- ty (by reason of its character, amount, proportion to the total estate or otherwise) would not be con- sidered appropriate for a fiduciary apart from this provision. B. To sell, exchange, give options upon, partition or otherwise dispose of any property which Executor may hold from time to time, at public or private sale or otherwise, for cash or other consideration or on credit, and upon such terms and such considerations as Trustee shall see fit. C. To invest and reinvest the estate from time to time in any property, real or personal, including securi- ties of domestic and foreign corporations and invest- ment trusts, bonds, preferred stocks, connmoil stocks (whether fiduciary or non-fiduciary), mortgages, mortgage participations, even though such investment (by reason of its character, amount, proportion to the total trust estate, or otherwise) would not be considered appropriate for a fiduciary apart from this provision. D. In dividing into separate shares or in distributing same, to divide or distribute in cash, _i.n kind or partly in cash and partly in kind, a:7 Executor thinks fit. For purposes of division or distribu- tion, to value the estate and any party thereof, reasonably and in good faith, and such valuation shall be conclusive upon all parties.
