DEFENDANT'S PRELIMINARY OBJECTION'S TO PLAINTIFF'S COMPLAINT
COUNT I - INSUFFICIENT SPECIFICITY OF A PLEADING PURSUANT
TO PA.R.CIV.P. 1028(a)(3)
In its Complaint, Plaintiff avers that it is an assignee of Capital One with respect
to what appears to be a credit card balance, although Plaintiff does not specify that.
2. In very conclusery fashion, Plaintiff states that all credits have been given and
that a balance is due.
3. The Complaint is extremely vague; in fact, it is vague to the point that Defendant
cannot properly defend herself against it.
4. As such, the Complaint violates Pennsylvania pleading rules in that it is not
sufficiently specific.
5. Because of the circumstances described above, Defendant believes that the
Complaint should be dismissed.
WHEREFORE, Defendant requests this Honorable Court to enter an order
dismissing Plaintiff's Complaint, and to provide any other relief the Court deems
appropriate.

AMENDED COMPLAINT
FIRST COUNT
1. Plaintiff is PORTFOLIO RECOVERY ASSOCIATES, LLC ("Plaintiff'), 140 CORPORATE
BOULEVARD, NORFOLK, VA 23502.
2. Defendant is MICHELLE J SULLIVAN ("Defendant"), an adult individual residing at 100
MAINSVILLE RD SHIPPENSBURG, PA 17257.
3. Defendant applied for, received and used a credit account issued by CAPITAL ONE BANK (USA)
NA, account number ending in 0465 ("Account"), pursuant to a written agreement in effect at all times relevant
herein.
4. Attached hereto and incorporated by reference herein are the Cardmember Agreement and a Capital
One Cycle Facsimile Report for the Account.
5. Under the terms of the agreement, Defendant was given the right to use the Account to make purchases,
cash advances, and/or balance transfers.
6. Defendant, in return, promised to timely pay the principal balance accumulated plus interest, fees and
penalties where applicable.
7. Defendant's use of the Account in the manner described above constituted acceptance of the terms of
the agreement.
8. Defendant defaulted under the terms of the agreement by failing and refusing to make timely payments
on the Account, although demand was made for same.
9. The Account was opened on or about December 14, 2006.
10. The last payment on the Account was recorded on or about May 18, 2007.
11. The Account was charged off on or about January 16, 2008 with an outstanding balance of $1,013.60.
12. Plaintiff purchased the Account and presently owns and holds the Account.
13. Plaintiff has suffered monetary damages in the amount of $1,013.60.
WHEREFORE, Plaintiff demands judgment in favor of Plaintiff and against Defendant(s) for the sum of
$1,013.60 and requests this Court award costs to the extent permitted by applicable law.
SECOND COUNT - QUANTUM MERUIT
The averments contained in the First Count of Plaintiff's Amended Complaint are incorporated as
though fully set forth herein:
14. Defendant opened an account with CAPITAL ONE BANK (USA) NA, account number ending in
0465.
15. Defendant used, accepted and benefitted from the Account to CAPITAL ONE BANK (USA) NA's
detriment.
16. Defendant was aware that CAPITAL ONE BANK (USA) NA provided these benefits and expected to
be paid in return.
17. Under the circumstances, it is inequitable for defendant to retain the benefits of use of the Account
without payment of value.
18. Plaintiff purchased the account and presently owns and holds the Account.
19. Plaintiff has suffered monetary damages in the amount of $1,013.60.
WHEREFORE, Plaintiff demands judgment in favor of Plaintiff and against Defendant(s) for the sum of
$1,013.60 and requests this Court award costs to the extent permitted by applicable law.

1 Defendant filed and served preliminary objections to Plaintiffs initial complaint on
or about November 9, 2010; as those preliminary objections disclosed, service was made
on Plaintiffs counsel by first class mail, postage prepaid.
2. On or about December 30, 2010, Plaintiff purported to amend its complaint by filing
and serving an "amended complaint."
3. Pa.R.Civ.P. 1028(c)(1) provides: "a party may file an amended pleading as of
course within 20 days after service of a copy of preliminary objections. If a party has filed
an amended pleading as of course, the preliminary objections to the original pleading shall
be deemed moot."
4. Pa.R.Civ.P. 1033 allows a party to amend the pleading either upon stipulation with
the opposing party or with leave of court.
5. Plaintiff did not file an amended complaint in response to the preliminary objections
to the original complaint within 20 days, nor does the record disclose that Plaintiff either
obtained a stipulation for amendment (Plaintiff did not) or obtained leave of court for
amendment of its complaint.
6. As such, the "amended complaint" violates the Pennsylvania Rules of Civil
Procedure cited above and should therefore be stricken pursuant to Pa.R.Civ.P.
1028(a)(2).
WHEREFORE, Defendant requests this Honorable Court to enter an order
striking Plaintiff's "amended complaint," and providing any other relief the Court deems
appropriate.

Plaintiff, PORTFOLIO RECOVERY ASSOCIATES, LLC, by and through its attorneys,
Apothaker & Associates, P.C., submits its brief in support of its response to defendant's
Preliminary Objections as follows.
Facts and Procedural Background
Plaintiff, PORTFOLIO RECOVERY ASSOCIATES, LLC, filed a Complaint against
defendant seeking damages based on defendant's default on a credit card account. Defendant
applied for and received a credit card from CAPITAL ONE BANK (USA) NA upon which
defendant accrued an outstanding balance in the amount of $1,013.60.

Preliminary objections are the appropriate method by which to challenge the legal

sufficiency of the allegations a petitioner raises as a basis for relief. In re Adoption of S.P. T., 783
A.2d 779 (Pa. Super. 2001). In ruling on preliminary objections, the Court must accept as true all
well-pleaded facts which are material and relevant. Erie Cty. League of Women's Voters v. Dept.
of Environmental Resources, 525 A.2d 1290 (Pa. Cmwlth. 1987). When ruling on preliminary
objections, the Court should resolve any doubt against the objecting party. Koken v. Steinberg,
825 A.2d 723, 726 (Pa. Cmwlth. 2003).
Leave to Amend Complaint
Leave to Amend a Complaint is discretionary with trial court pursuant to Pa.R.C.P. No.
1033. Amendments to pleadings are to be liberally permitted, except where surprise or prejudice
to the other party will result, or where the amendment is against a positive rule of law. Miller v.
Stroud Tp., 804 A.2d 749, Cmwlth.2002. The rules shall be liberally construed to secure the just,
speedy and inexpensive determination of every action or proceeding to which they are
applicable. The court at every stage of any such action or proceeding may disregard any error or
defect of procedure which does not affect the substantial rights of the parties. Pa.R.C.P. No. 126.
Pennsylvania courts generally avoid dismissing a Complaint with prejudice based on
minor procedural defects. The court in Goehring v. Harleysville Mut. Cas. Co., 73 Pa. D. & C.2d
784 (1976) treated an Amended Complaint filed by Plaintiff beyond the provided time period as
filed nunc pro tune with leave. Similarly, in Lebowitz v. Sun Drug Co., Inc., 118 Pitts. L.J. 170
(1970), the court looked to the liberal construction policy of Pa.R.C.P. No. 126 and granted leave
nunc pro tune to file Plaintiff's Amended Complaint, dismissing defendants preliminary
objections. Even in Pitts v. Sommers, 25 Monroe 84 (1967), the court preferred to rest its
decision upon grounds more intimately related to the development of the basic issues than
merely striking off the amended complaint.
In the matter at bar Plaintiff has filed its Amended Complaint just beyond the time limit
provided. Pursuant to the policy of liberal construction and application of rules provided for by
Pa.R.C.P. No. 126 Plaintiff asks that this Court ignore this minor procedural defect as it does not
affect the substantial rights of the defendant.
WHEREFORE, Plaintiff respectfully requests that this court enter an ORDER
overruling defendant's Preliminary Objections and directing the defendant to file an Answer
within twenty days.
