EXHIBIT "A"
1. A security interest in all of the following:
(a) All right, title and interest of the Debtor in and to the Loan Agreement
(which capitalized term, and all capitalized terms used herein, are defined in the Trust
Indenture, dated as of March 1, 2001 (the "Indenture"), by and between the Debtor and First
Union National Bank, as trustee) and the security granted thereunder and under the Bond
Documents, including, but not limited to (i) the obligation of the Debtor under Article III of
the Loan Agreement to make payments at such times and in such amounts as are necessary
to pay the principal of, Purchase Price, interest and redemption premium, if any, on the
Bonds, (ii) tile present and continuing right to make claim for, collect, receive and receipt
for any of the sums, amounts, income, revenues, issues and profits and any other sums of
money payable or receivable under the Loan Agreement or the Bond Documents (except for
the Unassigned Authority's Rights), (iii) to bring actions and proceedings thereunder or for
the enforcement thereof, and (iv) to do any and all things which the Debtor is or may
become entitled to do under the Loan Agreement and the other Bond Documents.
(b) All right, title and interest of the Debtor in and to all moneys and securities
from time to time held by the Trustee under the terms of the Indenture; provided, however,
that the rights of the Secured Party therein are subject and subordinate to the rights of the
Trustee so long as any amount due in respect to the Bonds remains unpaid.
(c) Any and all other property rights and interest of every kind and nature from
time to time hereafter by delivery or by writing of any kind granted, bargained, sold,
alienated, demised, released, conveyed, assigned, transferred, mortgaged, pledged,
hypothecated or otherwise subjected to the lien of the Indenture, as and for additional
security therewith, by the Debtor or any other person on his behalf or with his consent, or
by the Debtor or any other person on his behalf or with his written consent, including
without limitation the lease rentals and other sums due and payable to the Debtor under that
certain Lease, dated as of March 1, 2001, between the Debtor, as lessor, and Industrial
Harness Company, Inc., as lessee, with respect to certain property in Shippensburg
Township, Cumberland County, Pennsylvania.
2. Cumberland County Industrial Development Authority is the Debtor and First
Union National Bank is the Secured Party in the Financing Statement to which this Exhibit "A" is
attached.
