I. THE CIRCUMSTANCES leading up to the execution of this Agr e~ nt ar8=ia

1. Josephine M. Weiss (the "Decedent") died testate on July 24.'2009, a
domiciliary of Cumberland County, Pennsylvania.

2. The Decedent's Last Will and Testament dated July 14, 200; (the "Will")
was sumitted to the Register of Wills of Cumberland County, Pennsylvani~~the
"Register") for Probate. The Register appointed the Decedent's daughter,', eborah J.
Krick, as the Executrix of the Decedent's Probate Estate. A true and corr~~t copy of the
Will is attached hereto as Exhibit "A," and is incorporated herein by referefi~e.
3. Pursuant to Item 4 of the Will, the Decedent bequeathed herf met residuary
estate as follows: 30% to her son, Robert J. Weiss, and 70% to her dau;gf~t~r, Deborah
J. Krick. Robert J. Weiss and Deborah J. Krick are collectively referred h~r~inafter as
the "Beneficiaries."
4. The Decedent's gross Probate Estate (that property which isj administered
and distributed in accordance with the Decedent's Will) consists entirely o~ the
Decedent's residence (commonly known as 14 Ardmore Circle, New Cum~~rland,
Cumberland County, Pennsylvania) and a $1,125 Federal individual inconh~ tax refund.
A true and correct copy of the Inventory is attached hereto as Exhibit "B" ~~hd is
incorporated herein by reference.
5. The Executrix immediately listed the Decedent's residence f n sale but
was unable to sell the property until recently, after having made several n~~ded
repairs/improvements to the property. ,A true and correct copy of the Settl~~nent Sheet,

dated October 14, 2010, is attached hereto as Exhibit "C," and is incorporated herein by
reference.
6. In and around April 2010, the Executrix requested a 6 month ~e~xtension of
time to file the Pennsylvania Inheritance Tax Return, as the Decedent's re i~ence had
not yet been sold. Deborah J. Krick, personally paid $5,352.83 of inherita ~ tax while
Robert J. Weiss paid $2,219.24 of inheritance tax. On October 18, 2010, h Executrix
filed the Pennsylvania Inheritance Tax Return and Inventory with the Regi t r,
requesting a $1,479.73 refund for the overpayment of Inheritance Tax, $1, 5.81 of
which is owed to Deborah J. Krick and $443.92 of which is owed to Robert .~. Weiss. A
true and correct copy of the Pennsylvania Inheritance Tax Return is attach~~e~d hereto as
Exhibit "D," and is incorporated herein by reference.
7. The Executrix does not anticipate that the Commonwealth ofl
Pennsylvania will issue its Appraisement and Assessment of Pennsylvanian Mnheritance
Tax before February 2011.
8. The Executrix has prepared and attached an informal First a ~ Final
Accounting of her administration of the Decedent's Probate Estate, stat~d~f om July 24,
2009 to October 19, 2010 (the "Account"). A copy of the Account is attacheld as Exhibit
"E," and is incorporated herein by reference.
9. The Beneficiaries wish to forever settle and com romise an nd all
claims and rights which they may possess, now or hereafter, in the Deced~~t's Probate
Estate without the cost and delay of a court adjudication and confirmation b~ an
accounting, and prior to receiving the Commonwealth's Appraisement/Ass~e~sment of
Inheritance.
10. The Executrix is willing to so terminate the estate administra icon and
distribute the remaining net Probate Estate to the Beneficiaries in accorda with the
Decedent's Will (70% to Deborah J. Krick and 30% to Robert J. Weiss) if t
Beneficiaries provide her with satisfactory release, refunding and indemni .elation
protections, which is the purpose of this Agreement.
II. RECEIPT, RELEASE, REFUNDING, AND INDEMNIFICATI~~I
AGREEMENT:
NOW THEREFORE, in consideration of the foregoing, and intending'to be
legally bound, the Beneficiaries, for themselves, their heirs, personal representatives,
successors, and assigns, hereby do as follows, to wit:
A. Represent, warrant and agree that they:

(i) Have read and understand this Agreement and confinirr the facts
set forth above are true, correct and complete to the bust of their
knowledge, information and belief, and hereby approv~a the same
for all purposes and incorporate them herein by refere~r~ce.
(ii) Acknowledge that they have sought advice of an at#o~njey, prior to
executing this Agreement or have voluntarily chosen cat to consult
with an attorney; and,
(iii) Have entered into this Agreement of their own free w~l~nd choice
without any compulsion, duress or undue influence'fr anyone.
B. Declare that they have had the opportunity to examine the A unt as
defined above, and based upon such examination (or their d ision not to
make such an examination), they are satisfied they have su i ient
information to make an informed waiver of their right to a fb al court
accounting and do hereby waive the filing and audit of the s~nhe and
approve the Account.
C. Acknowledge that, at present, the Estate has not yet receive the
requested $1,479.73 inheritance tax refund, $1,035.81 of wh~ h is owed to
Deborah J. Krick and $443.92 of which is owed to Robert J. eiss.
D. Approve the various maintenance, repairs and improvemeint~ jcosts the
Executrix incurred in connection with Decedent's residence, ~s; set forth in
the Account.
E. Approve and direct the Executrix to pay $7,300 of commissi~r~s to herself
as compensation for services rendered to the Estate (the co (missions
are set forth as a reserve in the Account).
F. Approve and direct the Executrix to pay Keefer Wood Allen ~ Rahal, LLP
the attorney fees and out-of-pocket expenses as set forth in hr~e Account.
G. Approve and direct the Executrix to divide and distribute the lance of
the Decedent's Net Residual Probate Estate as set forth oin h~e Proposed
Distribution Schedule which is attached hereto as Exhibit "F,~' Jand is
incorporated herein by reference.
H. Agree to refund on demand, all or any part of the above des abed
distributions, which the Executrix or any court of competent j~u ~isdiction
determines to have been improperly made.

concerning the administration and distribution of the Decede~ 's Probate
Estate.
To the extent of the above described distributions, agree tp i emnify and
hold harmless DEBORAH H. KRICK, individually, and in her fi~uciary
capacity set forth above, with respect to any and all matters ~ liabilities
which she may be subjected by reason of joining in this Agr~e~ment, and in
carrying out the provision hereof.
Agree this Agreement is intended to compromise and settlie i~puted
claims, including, without limitations, claims and defenses asserted in
Decedent's Probate Estate.
L. Agree that this Agreement constitutes the entire understandi between
the Executrix and the Beneficiaries (individually and collectiv ~y, the
"Parties") concerning the subject matter hereof, and supers es any and
all prior written agreements and any and all prior or contemp ~aneous oral
agreements or understanding relating to the subject matter reof.
M. Agree that this Agreement may not be amended, modified'„ s
canceled, renewed or extended, nor may any term or con~iti
waived, except by a written instrument or document signed k

charged therewith. No waiver by any party of the breach of a

O. Agree that this Agreement shall be governed by and constru~p in
accordance with the laws of the Commonwealth of Pennsylv~~hia, without
regard to choice-of--law provisions. The Court shall have exalt~sive
jurisdiction over any action to enforce or interpret the terms ~f,this
Agreement. The Executrix and Beneficiaries hereby consen ~o the Court
exercising personal jurisdiction over each of them in any actioh or suit
arising out of the enforcement of this Agreement.
P. Agree that any references to person or things shall be deem~~ to refer to
such persons or things in the singular or plural and in them s~uline,
feminine or neuter gender as the context shall require.
Q. Agree that this Agreement shall be deemed to be severable, 'o that if any
provision hereof shall be determined by a court of compet~n~ ursdiction
to be invalid or unenforceable, the remaining provisions h~re~ f shall
continue to remain valid and enforceable in accordance with,their terms.

Cumberland County, Pennsylvania, being of sound and disposing mind, memory
and understanding, do hereby make, publish and declare this my Last Will and
Testament, hereby revoking and making void any and all prior Willis by me at any
time heretofore made.
I direct the payment of all my just debts and funeral expenses as soon after
my decease as the same can conveniently be done.

I direct that there shall be paid out of my residuary estate all estate,
inheritance and like taxes together with any interest or penalty thereon imposed by
the Government of the United States, or any state or territory thereof, or by any

This is in response to your request for an extension of time to file the Inheritance Tax Return for the above
estate.
In accordance with Section 2136 (d) of the Inheritance and Estate Tax Act of 1995, the tihle for filing the return
is extended for an additional period of six months. This extension will avoid the imposition of a penalty for
failure to make a timely return. However, it does not prevent interest from accruing on arty tax remaining
unpaid after the delinquent date.
The return must be filed with the Register of Wills on or before 10/24/2010. Because Section 2136 (d) of the
1995 Act allows for only one extra period of six (6) months, no additional extension(s) will be granted that
would exceed the maximum time permitted.
