JURASITS, Defendants IN THE COURT OF COMMON PLEAS OF CUMBERLAND COUNTY, PENNSYLVANIA No. 10-7286 Civil Term CONFESSION OF JUDGMENT PETITION TO OPEN OR STRIKE CONFESSED JUDGMENT NOW COME Defendants, by and through counsel, METTE, EVANS & WOODSIDE, and file the within Petition to Open or Strike Confessed Judgment, in support whereof Defendants aver as follows: Background 1. On November 19, 2010, Plaintiff confessed judgment against Defendants based on warrants of attorney contained in a July 16, 2010 Promissory Note ("Note") and two Commercial Guaranties (the "Guaranties"), which documents are attached to the Complaint in Confessed Judgment ("Complaint") as Exhibits A and B, respectively. 2. MJ Trust Properties LLC ("MY') and Plaintiff executed the Note in connection with MJ's acquisition of real property located at 1841 North Third Street, Harrisburg, Pennsylvania (the "Real Property"). MJ acquired the Real Property from Plaintiff, and at all relevant times Plaintiff was aware that the Real Property was in a significant state of disrepair and was intended by MJ to be renovated for use as a residential investment property. 4. Plaintiff was further aware that renovation of the Real Property was necessary before MJ would begin to receive any revenue stream therefrom. 5. Renovation of the Real Property has taken longer than MJ anticipated, and the Real Property is not yet producing a revenue stream for MJ. 6. Upon realizing that MJ would have difficulty meeting its payment obligations under the Note, MJ's principals notified Plaintiff of the same. 7. MJ's principals indicated a desire to work with Plaintiff in modifying the Note for the benefit of all involved. Notwithstanding, Plaintiff initiated the present action and entered a Judgment by Confession against Defendants. Petition to Open or Strike Confessed Judement 9. The above Paragraphs are incorporated herein by reference. 10. The Disclosures for Confession of Judgment executed by Defendants Cory Jurasits and Adam Miller (the "Individual Defendants") state that Defendants have only guaranteed TWO HUNDRED AND TWENTY THOUSAND DOLLARS ($220,000.00). The confessed judgment against the Individual Defendants exceeds this amount. 11. The Disclosure for Confession of Judgment executed by Adam Miller, and attached to the Complaint as part of Exhibit B, incorrectly states that Mr. Miller was represented by independent legal counsel in connection with the Commercial Guaranty executed by Mr. Miller. 12. The attorney fees commission of $22,409.39 contained in the judgment is grossly excessive and unreasonable. 13. The Notice Under Rule 2958.1 of Judgment and Execution Thereon filed by Plaintiffs fails to conform to the requirements of Pennsylvania Rule of Civil Procedure 2964 because the Notice states that judgment is "based on a confession of judgment contained in a written agreement or other paper already signed by you," instead of "allegedly signed by you," as required by Rule 2964. Compare 2958.1 Notice to Pa. R.C.P. 2964. 14. The Notice Under Rule 2958.1 of Judgment and Execution Thereon filed and served by Plaintiff was not properly served on Defendant Cory Jurasits. Mr. Jurasits, an out of state resident, is a defendant to the judgment who has not entered an appearance and has not been properly served under Pennsylvania Rules of Civil Procedure 402 or 403. 15. No judge has ruled on any other or petition in this or any related matter. WHEREFORE, Defendants respectfully request that this Court issue a Rule upon the Plaintiff to show cause why the Entry of Judgment by Confession in the above action should not be stricken and/or opened, and thereafter issue an Order striking and/or opening said judgment. CIVIL ACTION - LAW INTEGRITY BANK'S MOTION FOR A PROTECTIVE ORDER Integrity Bank ("Integrity"), by and through its counsel, files this Motion for Protective Order and in support thereof avers the following: Procedural Background 1. On November 19, 2010, Integrity Bank confessed judgment against MJ Trust Properties, LLC, Adam J. Miller and Cory J. Jurasits (the "Defendants") in the above captioned case in the amount of $246,630.79 (the "Confessed Judgment") which is itemized as follows: Principal $219,329.48 Interest $ 4,685.98 Late Fees $ 78.44 Attorney's Commission -10% $ 22,409.39 Filing Fee $ 27.50 Sheriff's Service Fee $ 100.00 2. The Confessed Judgment was entered against MJ Trust Properties, LLC as a maker under a note and against Adam J. Miller and Cory J. Jurasits (the "Individual Defendants") under two commercial guaranty agreements. 3. On December 27, 2010, the Defendants filed a Petition to Open or Strike the Confessed Judgment (the "Petition to Open") and alleged the Confessed Judgment should be stricken or opened because: (a) the disclosures for confession of judgment executed by the Individual Defendants state the Individual Defendants only guaranteed $220,000 and the Confessed Judgment exceeds this amount (Petition to Open at ¶ 10), (b) the disclosure for confession of judgment for Adam J. Miller incorrect states Mr. Miller was represented by independent legal counsel (Petition to Open at ¶ 11), (c) the attorney's fee commission of $22,409.39 is grossly excessive and unreasonable (Petition to Open at ¶ 12), (d) the notice under Pa.R.C.P. No. 2958.1 provided by Integrity was incorrect under Pa.R.C.P. No. 2964 (Petition to Open at ¶ 13), and (e) the notice under Pa.R.C.P. No. 2958.1 was not properly served upon Cory J. Jurasits (Petition to Open at ¶ 14). 4. On December 30, 2010, this Court issued a rule to show cause setting forth various deadlines and setting oral argument on March 3, 2011 for the Petition to Open. 5. On January 20, 2011, Integrity filed a response to the Petition to Open. 6. On February 1, 2011, the Defendants filed Motion for Extension of Time and Motion to Amend the Petition to Open or Strike the Confessed Judgment. 7. The Defendants have attached a proposed Amended Petition to Open or Strike the Confessed Judgment (the "Amended Petition to Open") and now assert the Confessed Judgment should be opened or stricken because: (a) Integrity allegedly misrepresented and/or concealed its knowledge regarding the condition of certain real property that was purchased by MJ Trust 2 Properties, LLC through a loan which gave rise to the Confessed Judgment (Amended Petition to Open ¶ 13), (b) the disclosure for confession of judgment for Adam J. Miller incorrect states Mr. Miller was represented by independent legal counsel (Amended Petition to Open at 114), and (c) the attorney's fee commission of $22,409.39 is grossly excessive and unreasonable, Le al Back ound 10. A petition to strike a confessed judgment should be granted where there is a defect in the judgment that is apparent on the face of the record. Davis v. Woxall Hotel, Inc., 577 A.2d 636, 638 (Pa. Super. 1990). 11. A petition to open a confessed judgment is an offer to show that the defendant can prove a defense to all or part of the plaintiff s claim. Allied Bldg. Prods. Corp. v. Delco Roofing Co., 951 F. Supp. 1183, 1188 (E.D. Pa. 1996) at (quoting 7 GOODRICH AMRAM 2d § 2959(a):2). 12. To open a confessed judgment, a defendant must meet three criteria: (1) he must act promptly; (2) he must present a prima facie showing of a meritorious defense; and (3) if the plaintiff denies the factual averments of the petition to open, the defendant must support his defense with clear and convincing evidence. Id., 951 F. Supp. at 1191, 1193 (citations omitted). 13. The defendant must plead that defense in "'precise, specific, clear and unmistakable terms' to open a confessed judgment." Stush v. Ciliberto, 71 D. &C.2d 175, 178 (C.P. Luzerne 1975) (quoting Brown & Bigelow, Inc. v. Borish, 165 Pa. Super. 308, 310, 67 A.2d 823, 825 (1949)). Petition to Open Defective As A Matter of Law 14. The Petition to Open does not state any defect in the Confessed Judgment that would cause it to be stricken. 3 Disclosure & 2958.1 Notice 15. The Defendants assertion the "disclosures for confession of judgment" and notices under Pa.R.C.P. No. 2958.1 were improper or improperly served are not defenses to open or strike a confessed judgment. In fact, the notice under Pa.C.R..P. No. 29581. is provided after a party has confessed judgment and cannot logically relate to whether a judgment was properly confessed. 16. Integrity did not confess judgment under a "disclosure for confession of judgment," rather, Integrity confessed judgment under a note and two guarantee agreements (the "Loan Documents"). 17. The Defendants have not made any claims, nor can they, relating to any defects in the Loan Documents upon which the Confessed Judgment was entered. Attorney's Fee Commission 18. Pennsylvania courts have repeatedly upheld 10% attorneys' commissions, and even greater amounts. Citicorp Mortgage, Inc., 662 A.2d at 1123 (affirming award of attorneys' fees constituting 10% of the claim); Dollar Bank, Federal Savings Bank v. Northwood Cheese Co., Inc., 637 A.2d 309, 314 (Pa. Super. 1994) (declining to strike confessed judgment that included attorneys' fees of 15% of the total); Federal Land Bank: of Baltimore v. Fetner, 410 A.2d 344, 347 (Pa. Super. 1980) (finding counsel fees of 10% was reasonable). 19. The attorney's fees provision contained in the Confessed Judgment is reasonable and the amount of the attorney's fee provision in this case cannot legally cause the Confessed Judgment to be stricken or opened. 20. Integrity will only seek its reasonable attorney's fees as part of its collection efforts and is not looking for a windfall. 4 Misrepresentation Counterclaim 21. The Petition to Open and the Amended Petition to Open are defective on their face and fail to state any legal grounds that would justify opening the Confessed Judgment. 22. The Defendants are attempting to assert a counterclaim for "misrepresentation" as a result of Integrity Bank alleging advising the Defendants they did not have certain documentation regarding the real property that was sold even though the Defendants allege Integrity did have such documentation. 25. An unliquidated counterclaim or set-off is not a ground for opening a confessed judgment. Hopewell Estates, Inc. v. Kent, 435 Pa. Super. 471, 477, 646 A.2d 1192, 1195 (1994) (citations omitted). 26. Integrity owed no duty to the Defendants to disclose any information it had in its possession regarding the commercial real property that was sold by it to the Defendants. 27. Caveat emptor is the general rule in commercial real estate transactions and there is nothing that prevented the Defendants from conducting their own clue diligence regarding the real property in question. Youndt v. First National Bank of Port Allegany, 868 A.2d 539, 552 (Pa. Super. 2005). 28. To state a claim for fraudulent or negligent misrepresentation, a misrepresentation must be made with the intention to induce the recipient to rely on that misrepresentation and that the recipient justifiably relied on the misrepresentation. Elia v. Erie Ins. Exchange, 581 A.2d 209, 211-12 (Pa. Super. 1990) (sustaining defendant's preliminary objections to fraud claim where plaintiff failed to allege that defendant communicated any misrepresentation to plaintiff). 29. Assuming the Integrity made the alleged denial in the Petition to Open and the Amended Petition to Open with the intent for the Defendant to rely on their alleged denial, there can be no justifiable reliance by the Defendants in relying upon the denial because the 5 Defendants could have inspected the real property in question and conducted their own analysis regarding its worth, condition or commercial viability. Request for Relief 30. Integrity incorporates paragraphs 1 through 29 herein. 31. A party does not have an absolute right to depose another party in an action and a court may grant a motion for protective order to prevent the taking of a deposition where the deposition would cause unreasonable annoyance, burden, or expense. Pa.R.C.P. No. 4011(b) and (c). See also Dettinger v. Fry Communications, 49 D&C.3d 106,112 (Cumberland 1988) (granting motion for protective order to prevent the deposition of plaintiff at attorney's office in Philadelphia because travel from Cumberland County would cause plaintiff unreasonable inconvenience); Snyder v. Snyder, 41 D&C.2d 547 (granting plaintiffs motion for protective order to prevent defendant from taking deposition to obtain information that could reasonable be obtained through use of other discovery procedures); Davis v. The Defendants are attempting to depose or seek other discovery from Integrity and its former employees regarding the merits of their "misrepresentation" claim or defense to the Confessed Judgment. 33. Jurasits (the "Defendants") in the above captioned case in the amount of $246,630.79 (the "Confessed Judgment") which is itemized as follows: Principal $219,329.48 Interest $ 4,685.98 Late Fees $ 78.44 Attorney's Commission -10% $ 22,409.39 Filing Fee $ 27.50 Sheriff's Service Fee $ 100.00 2. The Confessed Judgment was entered against MJ '.Crust Properties, LLC as a maker under a note and against Adam J. Miller and Cory J. Jurasits (the "Individual Defendants") under two commercial guaranty agreements. On December 27, 2010, the Defendants filed a Petition to Open or Strike the Confessed Judgment (the "Petition to Open") and alleged the Confessed Judgment should be stricken or opened because: (a) the disclosures for confession of judgment executed by the Individual Defendants state the Individual Defendants only guaranteed $220,000 and the Confessed Judgment exceeds this amount (Petition to Open at ¶ 10), (b) the disclosure for confession of judgment for Adam J. Miller incorrect states Mr. Miller was represented by independent legal counsel (Petition to Open at ¶ 11), (c) the attorney's fee commission of $22,409.39 is grossly excessive and unreasonable (Petition to Open at ¶ 12), (d) the notice under Pa.R.C.P. No. 2958.1 provided by Integrity was incorrect under Pa.R.C.P. No. 2964 (Petition to Open at ¶ 13), and (e) the notice under Pa.R.C.P. No. 2958.1 was not properly served upon Cory J. On December 30, 2010, this Court issued a rule to show cause setting forth various deadlines and setting oral argument on March 3, 2011 for the Petition to Open. 5. On January 20, 2011, Integrity filed a response to the Petition to Open. 6. On February 1, 2011, the Defendants filed Motion for Extension of Time and Motion to Amend the Petition to Open or Strike the Confessed Judgment. 7. The Defendants have attached a proposed Amended Petition to Open or Strike the Confessed Judgment (the "Amended Petition to Open") and now assert the Confessed Judgment should be opened or stricken because: (a) Integrity allegedly misrepresented and/or concealed its knowledge regarding the condition of certain real property that was purchased by MJ Trust 2 Properties, LLC through a loan which gave rise to the Confessed Judgment (Amended Petition to Open ¶ 13), (b) the disclosure for confession of judgment for Adam J. Miller incorrect states Mr. Miller was represented by independent legal counsel (Amended Petition to Open at ¶ 14), and (c) the attorney's fee commission of $22,409.39 is grossly excessive and unreasonable, Legal Background 10. A petition to strike a confessed judgment should be granted where there is a defect in the judgment that is apparent on the face of the record. Davis v. Woxall Hotel, Inc., 577 A.2d 636, 638 (Pa. Super. 1990). 11. A petition to open a confessed judgment is an offer to show that the defendant can prove a defense to all or part of the plaintiffs claim. Allied Bldg. Prods. Corp. v. Delco Roofing Co., 951 F. Supp. 1183, 1188 (E.D. Pa. 1996) at (quoting 7 GOODRICH ANIRAm 2d § 2959(a):2). 12. To open a confessed judgment, a defendant must meet three criteria: (1) he must act promptly; (2) he must present a prima facie showing of a meritorious defense; and (3) if the plaintiff denies the factual averments of the petition to open, the defendant must support his defense with clear and convincing evidence. Id., 951 F. Supp. at 1191, 1193 (citations omitted). 13. The defendant must plead that defense in "'precise, specific, clear and unmistakable terms' to open a confessed judgment." Stush v. Ciliberto, 71 D. &C.2d 175, 178 (C.P. Luzerne 1975) (quoting Brown & Bigelow, Inc. v. Borish, 165 Pa. Super. 308, 310, 67 A.2d 823, 825 (1949)). 3 Objection 14. Integrity incorporates herein by reference paragraphs 1 through 13 above. 15. The Petition to Open does not state any defect in the Confessed Judgment that would cause it to be stricken. Disclosure & 2958.1 Notice 16. The Defendants assertion the "disclosures for confession of judgment" and notices under Pa.R.C.P. No. 2958.1 were improper or improperly served are not defenses to open or strike a confessed judgment. In fact, the notice under Pa.C.R.P. No. 29581. is provided after a party has confessed judgment and cannot logically relate to whether a judgment was properly confessed. 17. Integrity did not confess judgment under a "disclosure for confession of judgment," rather, Integrity confessed judgment under a note and two guarantee agreements (the "Loan Documents"). 18. The Defendants have not made any claims, nor can they, relating to any defects in the Loan Documents upon which the Confessed Judgment was entered. Attorney's Fee Commission 19. Pennsylvania courts have repeatedly upheld 10% attorneys' commissions, and even greater amounts.
