LONG, pres- ently residing at 819 Country Club Road, Camp Hill, Cumberland County, Pennsylvania, being in good health and of sound and disposing memory, do hereby make, declare, and publish trtis a.s my Last Will and Testament, hereby revoking all former wills and codicils heretofore made by me at any time. PAYMENT OF EXPENSES I. Payment of Expenses: I direct that my Executors, hereinaf- ter named, shall have the power, but not the duty, to pay all my just debts, expenses of my last illness and funeral expenses from my estate as soon after my decease as shall be found convenient. GIFTS II. Personal and Household Effects: I give. to my children, P. THOMAS LONG, LAURA MCHENRY, KATHLEEN J. RUSSELL, FATRICIA BRINJAC, ROBERT A. LONG and PAUL V. If a child of mine predecE~ases me but leaves issue surviving me, that child's share of my tangible personal property shall be divided among his or her issue, per stirpes. If a child predeceases me without leaving issue surviv- ing me, that child's share of my tangible property shall be given to my surviving children. Any such property to which a minor would otherwise be- come entitled but which the Executors think unsuitable i~or such minor may be sold. Any such property or proceeds from sale thereof to which a minor thus becomes entitled may be delivered to the person with whom such minor resides ar who has the custody of such minor, without bond, and the receipt of such person shall be a complete release of the Executors. RESIDUARY ESTATE - 2 - r ! ! ti ~ t III. Residuary Estate: I give the rest, residue, and remainder of my estate, real and personal, wherever situated, (residuary estate) to the Trustee under that certain Trust Agreement= for the Angela R. Long Trust, dated this date, IN TRUST to treat 'it as an addition to the principal subject to that trust agreement as it exists at my death. In the event that the said Angela R. Long Trust is not in existence at the time of my death, then my residuary estate shall be distributed to my said children, in equal shares. If any child of mine should predecease me or die prior to the dis- tribution of his or her share, said child's share shall be paid to his or her issue, per stirpes, if any, and in default of any such issue then living, such share shall be added to th.e shares for my other children. If any such issue is a minor, the co-Executors may deliver said minor's share to the person with whom said minor resides or who has custody of said minor, without bond, and the receipt of such person shall be a complete release of the co-Executors. In the event, however, that the co-Executors, in their sole dis- cretion, should be of the opinion that to so deliver the minor's share to the person with whom the minor resides or has custody, the co-Executors may petition any court of competent jurisdiction r ,. ;, ~ - l ,' - 3 - for the appointment of a guardian to receive and administer the funds for the benefit of said minor. ADMINISTRATIVE PROVISIONS IV. Adopted Persons: Persons adopted during minority shall be considered as children of their adoptive parents, and they and their descendants shall be considered as descendants of their adoptive parents. JACQUELINE HALL, stepdaughter of my sc>n ROBERT A. LONG, even though not legally adopted by ROBERT, shall be considered as a descendant or issue of ROBERT as though she had been legally adopted, and shall be entitled to inherit hereunder in the same manner as my other grandchildren and shall be treated equally as a grandchild and as my issue. V. Protective Provision: To the greatest extent permitted by law, before actual payment to a beneficiary no interest i.n income or principal shall be ( i_) assignable by a beneficiary or ( ii) available to anyone having a claim against a beneficiary. VI. Death Taxes: Except as may otherwise be provided in~. a trust agreement or in any other trust, all federal, state a:r~d other death taxes payable because of my death on the property forming t ~ ,~ ~ ; ~: - 4 - - 11 r ~ +( ~ my gross estate for tax purposes, whether or not it passes under this will, may, at the discretion of my Executors, be paid out of the principal of my probate estate so that the burden falls on my residuary estate, and none of those taxes shall be char~P~l against any beneficiary. The provision concerning pa~,~ment of taxes shall not apply to generation-skipping taxes and an.y prop- erty over which I have a general power of appointment for federal estate purposes. VII. Tax Options: I authorize my Executors to exercise any options available in determining and paying death taxes in my estate, and to allocate my generation-skipping tax exemption. VIII. Management Provisions: My Executors shall have, :in addi- tion to the powers and authority conferred upon them by law, the following additional powers and authority: A. Sell/Lease: To sell at public or private sale, exchange, lease, mortgage or pledge any property, real or personal, at any time, and upon such terms and conditions as they shall deem wise. B. Retain/Invest: To retain and to invest in all forms of real and personal property, including - 5 - common trust funds, mutual funds and money marl~.et deposit accounts regardless of any limitations imposed by law on investments by executors, or any principle of law concerning investment diversii=ication. C. Title to Property: To cause any security or other property which may constitute a portion of my estate to be issued, held or registered in the executors' names, or in the name of a nominee, or in such form that title will pass by delivery. D. Capital Changes: To consent to the reorganization, consolidation, readjustment of the financial structure, or sale of the assets of any corporation or other organization, the securities of which constitute a portion of my estate, and to take any action with reference to such securities which in the opinion of the Executors is necessary to obtain the benefit of any such reorganization, consolidation, readjustment or sale; to exercise any conversion privilege or subscription right given. to them as the owner of any securities constituting, a portion of my estate; to accept and hold as a portion of my estate securities resulting from any reorgani- ,.~, _.., ~- .. r `• ~ .r' - 6 - nation, consolidation, readjustment, sale, con,ver- ', sion or subscription. E. Expense of Estate: To pay all costs, taxes, charges and expenses in connection with the administration of my estate. F. Allocate: To determine what is "income" and what is "principal" hereunder, and their decision thereon shall be final; and to purchase securities at a pre- mium or discount, and to apply or charge said premium or discount against income or principal as the Executors may determine. G. Borrow: To borrow money from any person, firm or corporation, including any corporation acting as an executor hereunder, for the purpose of protecting and preserving or improving my estate hereunder; to execute promissory notes or other obligations for amounts so borrowed. H. Compromise: To compromise claims and to abandon any property which, in my Executors' opinion, is of little or no value. ~; ~~~' ~ z ~-~-- _ 7 _ I. Distribute: To distribute in kind and to allocate specific assets among the beneficiaries in such proportions as my Executor may think best, so long as the total market value of any bene- f iciary's share is not affected by such allocation. J. To Employ Professionals: To employ legal counsel, accountants, brokers, investment advisors, custodians, managers and other agents and employees and to :pay them reasonable compensation out of the trust or out of any fund held hereunder to which said compensation is attributable. K. Com ensation of Executors : Any bank or financ:i.al institution acting as a corporate Executor of i~his will shall be entitled to compensation in accordancE~ with its standard schedule of fees in effect from time to time over the period during which services are performed. Any person acting as an individual Executor or co-Executor, also shall be entitled to reasonable compensation. :, ;. ,, _ g ~ + IX. Executor: I hereby nominate, constitute and appoint CoreStates Hamilton Bank, N.A. or any successor bank, whether by sale, purchase, merger or consolidation, (sometimes heY-ein "the corporate Executor") and Joseph G. Skelly, Esq.. (current:y of New Cumberland, Pennsylvania, and my attorney) (sometimes herein "the individual Executor") as Co-Executors of this Last 'Will and Testament. In the event that the said Joseph G. Skelly, Esq., has predeceased me or is unable or unwilling to act,, then I appoint Richard E. Connell, Esq., (currently of Mechanicsburg, Pennsylvania and Mr. Skelly's partner) as co-Executor with CoreStates Hamilton Bank. In the event that the said Richard E. Connell, Esq. is not living or is unable or unwilling to act, the corporate Executor shall act as the sole Executor. All references herein to "Executor" shall apply to my co-Executors. LONG, of 819 Country Club Road, Camp Hill, Cumberland County, Pennsylvania, being of sound and disposing mind, memory and understanding, do hereby make, publish and declare this to be the Third Codicil to my Last Will and Testament, dated July 20, 1994. FIRST: The Second Codicil to the Last Will and Testament of Angela R. Long, dated May 29, 2002, is hereby revoked in its entirety. SECOND: Article ll, Personal and Household Effects, on page 1 of my said Last Will and Testament, is hereby amended as follows: My son P. Thomas Long having predeceased me, the provision in Article 1 with respect to Thomas and his issue is deleted, and the share of my personal and household effects that would have been distributed to Thomas or his issue, had Thomas survived me, shall be distributed to my remaining five children, if living, or if deceased, to their issue in accordance with said Article II. THIRD: Article 111, Residuary Estate, on page 3 of my said Last Will and Testament is hereby amended as follows: 1. The sum of FIFTY THOUSAND ($50,000) Dollars shall be paid to my friend, Richard C. Kochenour, absolutely. 2. With respect to the share of my residuary estate that would have been paid to my son, P. Thomas Long, had he survived me, . ~~ _~ , ANGELA R. LONG 1 a. One Thousand Dollars ($1,000) shall be paid to each of Thomas' four sons, Alec, Ethan, Ashley and Matthew. In the event that any said son should be deceased at the time of distribution of his respective share, his share shall be divided among, and paid to, Thomas' surviving sons. b. The remaining balance of my residuary estate shall be paid to my five children, Laura, Kathleen, Patricia, Robert and Paul, in equal shares, if living, or to their issue, if deceasedl, in accordance with Article III of my Last Will and Testament. FOURTH: Article IV, Adopted Persons, on page 4 of my Last Will and Testament is hereby amended as follows: That provision providing for Jacqueline Hall to be treated .as a descendant or issue or adopted person entitled to inherit, is hereby revoked and the said Jacqueline Hall shall be not be entitled to any distribution or inheritance upon my death. FIFTH: In all other respects, I hereby ratify, confirm and republish my Last Will and Testament which now consists of the original instrument dated July 20, 1904, the First Codicil, dated April 27, 2001, and this Third Codicil.
