I, JAMES D. HEGARTY, of Mechanicsburg, Cumberland .C~unty, Pennsylvania,
declare this to be the sole Codicil to my Last Will and Testament dalte~i (February 17, 1998.
ITEM I. I hereby revoke Item VIII Idf my Last Will and
Testament and in lieu thereof provide as follows:
ITEM VIII. In the event my wife prede~~ases me, I appoint
my wife's sister and. her husband, Christine Tyndall and William Tyndall, to be and
act as guardian of the person of any of my children who many hl~ minors at the time
of my death. In the event my wife's sister and her husband canlnpt act as guardians
for any reason whatsoever, I appoint my brother and his wlif~„ ~Michaei and Rose
Hegarty, to be and act as guardians of the person of my minor (children.
ITEM II. In all other respects, I here~y~ ratify, confirm and
republish my Last Will and Testament dated February 17, 1998.

IN WITNESS WHEREOF, I have hereunto set my hand and ~s~a~ this ~ ~ day

I, JAMES D. HEGARTY, of Mechanicsburg, Cumberland County, i
Pennsylvania, being of sound mind, memory and understanding, do
make and publish this my Last Will and Testament, hereby revoking
and making void all former Wills by me at any time heretofore made.
ITEM I.
I direct that a]1 my just debts
and funeral expenses be fully paid and satisfied as soon as
conveniently may be after my decease.
ITEM II.
For purposes of information, I
jdeclare that all household goods and furnishings. are held as
',tenants by the entireties with my wife, Jeanmarie'Hegarty, and the
same shall pass to her absolutely.
ITEM III.
I give unto my wife, Jeanmarie
~Hegarty, all items of tangible personal property, including any
automobiles that I own at the time of my death Tong with any
insurance thereon, provided she survives me. In the event my wife,
Jeanmarie Hegarty, does not survive my death, all items of tangible

personal property shall be distributed among our children in such
manner as they shall select and determine. Any taingible personal
property not so selected by our children shall be converted to cash
and distributed as part of my residuary estate. ,
ITEM IV. I give all the rest, residue and
remainder of my estate unto Dauphin Deposit Bank and Trust Company,
Trustee of a Revocable Inter Vivos Trust Agreement Created the 17th
day of February, 1998.
ITEM V. In addition to the powers given
by law, I authorize my Executor or Trustee, hereinafter named, to ~~
have the following powers:
A. To retain any or all of the assets which it may receive
from my probate estate, if any, without regard to amy principle of
diversification, risk or productivity.
B. To invest in all forms of property without restrictions
Ito investments authorized for any type of fiduciary.
C. To compromise any claim or controversy..

D. To borrow money from any person, including the Trustee,
and to mortgage or pledge any real or personal property.
E. To sell at public or private sale, to 'exchange or to
lease for any period of time, any real or personal, property, and to
give options for sales, exchanges or leases all for such prices and
upon such terms and conditions as it deems proper.
F. To repair, alter or improve any reajl or personal
property.
G. To distribute in cash or in kind or p~~tly in each at
valuations fixed by it.
H. To purchase investments at premiums' and to charge
premiums to income or principal or partly to each.
I. To subscribe for or to exercise options fob stocks, bonds
or other investments; to join in any plan of le~~e, mortgage,
merger, consolidation, reorganization, foreclosure, ~r voting trust
and to deposit securities thereunder; and to generally exercise all
the right of security holders or employees of any c~o~rporation.

J. To employ attorneys, accountants, engineers and such
other persons, professional or otherwise, as may ~e necessary for
the proper administration of this estate, arnd to pay their
compensation from my estate.
K. To carry on any business awned or contrblled by me at my
death for whatever period of time the Executor sh~l~1 think proper,
and the Executor shall have the power to do any ~.nd all things he
or she deems necessary or appropriate, including the power to
incorporate the business, the power to borrow and tb pledge assets
contained in my estate as security for such borrowing, and the
power to close out, liquidate, or sell the busin~sls at such time
and upon such terms as the Executor shall deem best.
ITEM VI. It is hereby ~i~ected that my

~iExecutor, hereinafter named, shall pay all inhor}fiance, state,
succession and legacy taxes to which my estate or~t~he transfer of
any property hereunder may be subject. and to charge such tax as
part of the administration, payable out of my res~.d~ary estate.

ITEM VII. If my wife, J~aln;marie Hegarty,
land I shall die under such circumstances that the order of our
(deaths cannot be established, it shall be conclusw~ly presumed for

fall purposes of this Will that my wife survived my',death.
ITEM VIII.
In the event m~ wife predeceases
me, I appoint my wife's sister and her husband, Mary and Carmen
DiGiandomenico, to be and act as guardian of the'p~rson of any of
my children who may be minors at the time of mx r3eath. In the
event my wife's sister and her husband cannot act',a~ guardians for
lany reason whatsoever, I appoint my brother and his wife, Michael
sand Rose Hegarty, to be and act as guardians of the person of my
minor children.
ITEM IX. I nominate, constitu~ejand appoint my
wife, Jeanmarie Hegarty, to be and act as my sole ~x~~utrix of this
my Last Will and Testament. In the event of renunciation, death,
resignation or inability to act for any reason w~h~tsoever of my
wife, Jeanmarie Hegarty, I nominate, constitute and~,a~ppoint Dauphin
Deposit Bank and Trust Company, of Harrisburg, Plernnsylvania, as

Executor of this my Last Will and Testament., No personal
representative or fiduciary appointed herein shall be required to
post bond or give any security.
