All right, title and interest of Primus Telecommunications, Inc. ("Primus"), whether now owned or existing or hereafter acquired or arising, in, to and under (a) the IRU Agreements, (b) the Indefeasible Right of Use and other rights granted by Qwest Communications Corporation ("Qwest") to Primus in, to and of the digital transmission capability of and in the fiber optic telecommunications network operated by Qwest (the "Network"), as more fully set forth in the IRU Agreements, (c) the fiber associated with the digital transmission capability of the Network granted under the IRU Agreement for each User Route identified in the IRU Agreements and (d) any and all income, proceeds, products and profits of any of the foregoing, all payments thereon and any and all additions thereto. "IRU Agreements" mean that certain IRU Agreement dated as of September 30, 1999, and that certain IRU Agreement dated as of December 30, 1999, in each case between Qwest and Primus, as amended and supplemented from time to time. "User Route" means the route on the Network along which each digital private line circuit between the applicable Qwest terminal facilities is placed by Qwest. This financing statement is filed as a precautionary filing under the Uniform Commercial Code.
