F N `'~ G.~ LAST WILL AND TESTAMENT OF JOYCE N. BURWELL Dated: October 14, 1994 LAST WILL AND TESTAMENT OF JOYCE N. BURWELL I, JOYCE N. BURWELL, a resident of and domiciled in the State of Florida, make, publish and declare this to be my Last Will and Testament, revoking all wills and codicils at any time hereto- fore made by me. First, I commit myself to God's care, secure in His love for me and trusting in the salvation purchased for me through Christ's suffering and death. I leave those who survive me the comfort of knowing that I have died in this faith and have now joined my Lord in eternal glory. Second, I commend my loved ones to the protecting arm of God, knowing that He will continue to provide for them despite my absence; and I encourage them to place their faith and trust in Him alone. FIRST: I direct that the expenses of my last illness and funeral, the expenses of the administration of my estate, and all estate, inheritance and similar taxes payable with respect to prop- erty included in my estate, whether or not passing under this will, and any interest or penalties thereon, shall be paid out of my residuary estate, without apportionment. SECOND: I give all tangible personal property owned by me at the time of my death (except cash), including without limita- tion personal effects, clothing, jewelry, furniture, furnishings, household goods, automobiles and other vehicles, together with all insurance policies relating thereto, to my husband, STANLEY J. BURWELL, if he survives me. In the event STANLEY J. BURWELL shall not survive me, then in accordance with a written memorandum. Anything not delineated in the written memorandum shall be distributed to the Personal Representative, to do what the Personal Representative, in his sole discretion, shall determine. THIRD: I give all the rest, residue and remainder of my property and estate, both real and personal, of every kind and wherever located, to which I shall be in any manner entitled at the time of my death (collectively referred to as my "resid.uary es- tate"), to the trustee under the following trust to be held and disposed of in accordance with the terms, covenants and conditions of such trust: STANLEY J. BURWELL shall fail to qualify for any reason as my personal representative, or having qualified shall die, resign or cease to act for any reason as my personal representative, I appoint RONALD J. BURWELL as my personal representative. If RONALD J. BURWELL shall fail to qualify for any reason as my personal representative, or having qualified shall die, resign or cease to act for any reason as my personal representative, I appoint KATHRYN A. MELVILLE as my personal representative. I direct that no personal representative shall be required to file or furnish any bond, surety or other security in any jurisdiction. FIFTH: I grant to my personal representative all powers conferred upon personal representatives and executors wherever my personal representative may act. I also grant to my personal re- presentative power to retain, sell at public or private sale, ex- change, grant options on, invest and reinvest, and otherwise deal with any kind of property for cash or on credit; to borrow money and encumber or pledge any property to secure loans; to divide and distribute property in cash or in kind; to exercise all powers of an absolute owner of property; to compromise and release claims with or without consideration; and to employ attorneys, accoun- tants and other persons for services or advice. SIXTH: If any beneficiary under this will and I die in a common accident or under circumstances in which it is difficult or impractical to determine who survived the other, such benefici- ary shall be deemed to have predeceased me.
