SECOND: I give to MARK E. BISHOP of Cerlisle, Pennsylvenie, in Trust,
nevertheless, e sum equel to the rex credit equivelent for Federal Estete Tex purposes,
which sum is, es of the dete of this Will, Six Hundred Seventy Five Thousend ($675,000)
Dollers. The Trustee shell invest end reinvest the principel end pey ell of the income to
my wife, MARIA G. BISHOP, in querterly or other convenient instellments, es long es she
mey live.

A. Should Federal Estate Tax laws enacted subsequent to the date of this
Will, and prior to my death, either increase or decrease the amount of the tax credit
equivalent, it is my intent that the funds constituting the principal of the Trust be
such greater or lesser amount, in lieu of the above stated Six Hundred Seventy
Five Thousand ($675,000.00) Dollars;
B. Should there be insufficient assets to fully fund this Trust, it shall be
funded to the maximum extent possible;
C. Should the income, when taken together with other income that my wife
may have from other sources, prove insufficient to provide properly for her welfare,
comfort and support, then Trustee may, in his sole discretion, pay to her whatever
sums he deems necessary and appropriate out of the principal of this Trust, as
well as the income, to permit her to maintain a standard of living similar to that
enjoyed by her during her lifetime.
D. The Trustee, on behalf of the beneficiary, may make payments to other
for her use and benefit, to assure her welfare, comfort and maintenance.
E. Upon the death of my wife the Trust shall terminate and all of the assets
of the Trust shall be distributed as follows:
1. One half to my son, MARK E. BISHOP, which one half shall to
the extent possible include any then existing shares of Genie Trucking Line, Inc.
2. One quarter to my daughter, MARGOT A. GRAHAM.
3. One quarter to my son, MARK E. BISHOP, as Trustee of a Trust

created by my wife, MARIA G. BISHOP, for the benefit of my grandson, ROSS W.

F. In addition to the fiduciary powers given by law, Trustee shall have the
following powers:
1. To appoint others to act as deputies under him or to surrender his
authority to act s Trustee to any bonded person or corporation licensed to act as
investment counselor:
2. To allocate any receipts and/or expenses to principal or income
as he may deem proper in his sole discretion.
3. To sell any real or personal property for such prices and upon
such terms as he may deem appropriate and to invest such property or securities
as he may deem appropriate without restrictions to such investments authorized
for Pennsylvania fiduciaries.
THIRD: Should my wife, MARIA G. BISHOP, fail to survive me, then I
direct that my residuary estate be distributed among my children and grandchild as
set out in Paragraph Second, Sub-paragraph E above.
LASTLY: I nominate, constitute and appoint my wife, MARIA G.
BISHOP, to the Executrix of this my Last Will and Testament. Should my wife
MARIA G. BISHOP, be unable to act as such Executrix for any reason, I appoint
my son, MARK E. BISHOP, to act as Executor in her place and stead.

This Agreement made this 3rt day of October, 2005, between Mark E. Bishop; in

his individual capacity and in his capacity as Executor in the Estate of G~ Kenneth
Bishop (hereinafter referred to as "Mark" or "Executor"), Maria G. BiskOp
(Maria) and Margot A. Graham (Margot).
WITNESSETH
WHEREAS, G. Kenneth Bishop died on November 15, 2002, and the Cumberland
County Register of Wills at Docket No. 21-03-0070 appointed Mark E. Bishop as
Executor of the G. Kenneth Bishop Estate in accordance with the Last Will and
Testament of G. Kenneth Bishop dated October 16, 2000 (a copy the Certificate of
Grant of Letters issued by the Cumberland County Register of Wills and a copy of
the mentioned Will is attached hereto and marked Exhibit "A"); and.
WHEREAS, Mark has appropriately administered the Estate of G. Kenneth
Bishop, collected all assets and paid all bills; and
WHEREAS, the Executor desires to conclude the handling of the Estate and has
made arrangements to create the Trust pursuant to paragraph 2 of the Will; and
WHEREAS, the parties desire to conclude the handling of the G. Kenneth Bishop
Estate without the expense and delay of filing a formal Accounting and Schedule
Distribution.
NOW THEREFORE, for and in consideration of the mutual covenants herein
contained, and intending to be legally bound hereby, the parties hereto mutually
agree as follows:

All parties acknowledge that the Executor may proceed with the conclusion of the
handling of the G. Kenneth Bishop Estate by the filing of this Family Settlement
Agreement with the Cumberland County Register of Wills.

Maria and Margot acknowledge that the Executor has kept them advised with
respect to all matters relating to the Estate and has provided access to any and all
documentation relating to the Estate.

The parties agree that the Executor shall use all remaining assets of the Estate to
create a Trust pursuant to Item 2 of the Will with Mark acting as Trustee in
accordance with said Item 2.

Maria and Margot hereby release and discharge Mark from any further obligation
in connection with the administration of the G. Kenneth Bishop Estate.

I, G. KENNETH BISHOP, of Carlisle, Cumberland County, Pennsylvania, being of
sound and disposing mind, memory and understanding, do make, publish and declare
this as and for my Last Will and Testament, hereby revoking and making void any and all
former Wills, Codicils, or writings in the nature thereof, by me at any time heretofore
made.
FIRST: I hereby order and direct my Executrix hereinafter named, to pay all
my just debts, funeral expenses, testamentary expenses and all Inheritance, Estate,
Transfer and Succession Taxes, as soon as may be conveniently done after my death,
out of my residuary estate.
SECOND: I give to MARK E. BISHOP of Carlisle, Pennsylvania, in Trust,
nevertheless, a sum equal to the tax credit equivalent for Federal Estate Tax purposes,
which sum is, as of the date of this Will, Six Hundred Seventy Five Thousand ($675,000)
Dollars. The Trustee shall invest and reinvest the principal and pay all of the income to
my wife, MARIA G. BISHOP, in quarterly or other convenient installments, as long as she
may live.
