THOMPSON, of the same place, herein sometimes called the "Trustee", WITNESSETH: WHEREAS, the Settlor, pursuant to a Durable General Power of Attorney dated July 20, 1999, and recorded December 18, 2001, in Cumberland County, Pennsylvania Miscellaneous Book 683, page 751, granted her said Attorney-in-fact the specific power to create a trust for her benefit. NOW, THEREFORE, in consideration of the mutual promises, covenants anal undertakings herein contained, this Trust Agreement is entered into as follows: I. TRUST PROPERTY The Settlor hereby assigns, transfers and delivers the property listed in the Schedule(s) attached hereto and made a part hereof, to have and to hold such property and any other property of any kind which the Trustee may, pursuant to any of the provisions hereof, at any time hereafter hold ~`~:~~ or acquire. Assets which may be transferred to the Trustee shall include, without limitation: (1) ;;:..: , =~ property, real or personal, owned jointly by the Settlor with her husband, DAVID I. 'THOMPSON, . - `'y herein sometimes called the "Husband", in which event the joint tenancy of such assets shall be :. _, severed with one-half of such assets contributed to this Trust and the remaining one-half thereof retained by the Husband; and (2) life insurance policies or individual retirement accounts, if any, by designating the Trust as beneficiary thereof, in which event the proceeds of such policies and/or accounts shall be subject to the provisions hereof. II. TRUST ESTATE All such property so contributed or designated and made payable or transferred to the Trustee as herein provided shall be held by the Trustee, IN TRUST, to be known as the "Mary Jane Thompson Trust", for and upon the following trusts, uses and purposes and shall be administered and disposed of in accordance with the terms and conditions hereinafter set forth. III. LIFETIME TRUST During the lifetime of the Settlor, the Trustee shall pay so much of the net income from the Trust Estate in convenient installments and such part of the principal of the Trust Estate to the Settlor, the Husband, or otherwise, as the Settlor or her said Attorney-in-fact may from time to time request. If a successor Trustee shall be appointed as hereinafter provided in Article XII hereof, such successor Trustee shall have the sole discretion to use so much of the net income and such part of the principal of the Trust Estate as such Trustee shall deem necessary or advisable from time to time for the support, health and medical care, and maintenance in reasonable comfort of the Settlor, or Page -1- the Husband, taking into consideration all other income and other resources available to them, or either of them, for such purposes from all sources known to such Trustee. Any income not so paid or expended shall be accumulated and added to the principal of the Trust Estate. IV. DISPOSITIVE PROVISIONS Upon the death of the Settlor, the then remaining principal of the Trust Estate and any ' accrued or undistributed income therefrom shall beheld, administered and disposed of as follows: A. In the event the Husband shall predecease the Settlor, the sum of Ten Thousand Dollars ($10,000.00) shall be distributed, discharged of the trust, to each of the Settlor's grandchildren, the child or children of any deceased grandchild taking or sharing in the amount their parent would have received, if then living. Should any grandchild be under the age of twenty-one (21) years, his or her share shall be held, IN FURTHER TRUST, by the Trustee, who shall accumulate the income of each such share and shall pay and distribute said share and the accumulated income therefrom to said grandchild, or his or her issue, per stirpes, as he or she in turn attains the age o ftwenty-one (21) years. B. If the Husband shall survive the Settlor by thirty (30) days, then the balance of the Trust Estate, including any accrued or undistributed income therefrom, shall be paid over and distributed, discharged of the trust, to the Husband, absolutely. If the Husband does not so survive the Settlor or in the event he shall disclaim all or any portion thereof, then the amount otherwise payable and distributable to him shall beheld, administered and disposed of in accordance with the provisions of this Trust Agreement governing the "Residuary and Disclaimer Trust" under Article V hereof. For purposes of the Trust established under Article V hereof, the Husband shall not be deemed to have predeceased the Settlor by virtue of his exercise of the right to disclaim set forth herein. V. RESIDUARY AND DISCLAIMER TRUST The assets, if any, received by the Trustee under Article IV(B) hereof shall be held, administered and disposed of for the following purposes: A. The Trustee shall pay the net income therefrom, at least quarter-annually, to the Husband during his lifetime. In addition, the Trustee shall have the sole discretion during his lifetime to pay to him or to expend for his benefit so much of the principal of this Trust as the Trustee shall deem necessary or advisable from time to time for the support, health and medical care, and maintenance in reasonable comfort of the Husband, taking into consideration alit other income and other resources available to hirn for such purposes from all sources known to the Trustee. B. In addition, the Trustee shall pay to the Husband, annually, such sum from the principal of this Trust as he may request in writing; provided, however, that said sum may not exceed the greater of Five Thousand Dollars ($5,000.00) or five percent (5%) of the aggregate value, at the time of said request, of the principal of this Trust. Upon the death of the Husband, or upon the Settlor's death if he shall not survive the Settlor by thirty (30) days, this Trust shall terminate, and the then remaining principal and any accrued or undistributed income therefrom shall be paid over, conveyed and distributed, discharged of the trust, in equal shares to the Settlor's children, DAVID R. THOMPSON, SUSAN CAMPBELL, THOMAS G. THOMPSON and DANIEL THOMPSON, provided that the share of any child who shall not be then living shall be held, administered and disposed of as follows: (1) The shares for DAVID R. THOMPSON and DANIEL THOMPSON shall be held, IN FURTHER TRUST, for his then living issue, per stirpes, and in default of any such then living issue, such share or shares shall be added to the shares for the Settlor's other children; (2) Thirty-one (31 %) percent of the share for SUSAN CAMPBELL shall be distributed to her then living spouse, discharged of the trust, and sixty-nine (69%) of such share, or all thereof if there is no then living spouse, shall be held, IN FURTHER TRUST, for her then living issue, per stirpes, and in default of any such then living spouse and/or issue, such share or the balance thereof shall be added to the shares for the Settlor's other children; and (3) The share for THOMAS G. THOMPSON shall be distributed to his then living spouse, discharged of the trust, and if there is no then living spouse, such share shall be held, IN FURTHER TRUST, for his then living issue, per stirpes, if any, otherwise such share shall be added to the shares for the Settlor's other children. D. The shares for any of the Settlor's grandchildren under the age oftwenty-one (2 I) years shall be retained by the Trustee who shall expend on each such grandchild, for his or her support, health and medical care, and education so much of the income and principal of each retained share as the Trustee shall deem best, and shall accumulate any income not so expended and add such income to the principal of each share, until each such grandchild, in turn, attains the age of twenty-one (21) years, at which time the then remaining principal balance and accumulated income therefrom shall be paid and distributed to him or to her, discharged of the trust. VI. PROVISIONS RELATING TO TRUST ESTATE The following provisions shall apply to the Trust Estate, all Trusts created hereunder, and to each share thereof: A. PAYMENTS TO DISABLED BENEFICIARY. In case any income or principal becomes payable to a minor, or to a person under legal disability or to a person not adjudicated incompetent, but who, by reason of illness or mental or physical disability, is in the opinion of the Trustee unable properly to administer such amounts, then such amounts shall be paid out by the Trustee in such of the following ways as he shall deem best: Page -3- (1) Directly to such beneficiary; (2) To the legally appointed guardian or trustee of such beneficiary; (3) To some relative or friend for the support, health and medical care, education, and maintenance in reasonable comfort of such beneficiary; or (4) By the Trustee, using such amounts directly for such beneficiary's support, health and medical care, education, and maintenance in reasonable comfort. B. SPENDTHRIFT PROVISION. No beneficial interest hereunder, whether in income or principal, shall be subject to anticipation, assignment, pledge, sale or transfer in any manner, nor shall any beneficiary have the power to anticipate, encumber or charge such interest, nor shall such interest, while in the possession of the Trustee, be liable for or subject to the debts, contracts, obligations, liabilities or torts of any beneficiary. C. COMMON FUND. For•convenience of administration and investment, the Trustee is authorized to hold the several Trusts as a common fund, dividing the income proportionately among them, to assign undivided interests to the several shares and to make joint investments of the funds belonging to the Trustee. For such purposes and insofar as may be practicable, the Trustee may consolidate any separate Trust with any other trust or trusts created by the Settlor or any member of her family by will or agreement, and may hold, administer and invest the several trusts as one or more common fund or funds and make joint or several distributions of income and principal therefrom, whichever the Trustee shall deem advisable. VII. ADMINISTRATIVE AND TAX PROVISIONS The Trustee shall have the power, but not the duty, to make such expenditures out of the Trust Estate as he, in his uncontrolled discretion, may consider necessary or desirable in order to facilitate the settlement of the 5ettlor's estate. In exercising such power, the Trustee may pay, in whole or in part, any or all bequests, claims, taxes and expenses in connection with the settlement of the estate of the Settlor, including but not limited to the expenses of her last illness and burial, her legally enforceable debts, her income taxes, and the death taxes on any or all property included in her gross estate for tax purposes. Any such items may be paid directly by the Trustee or the funds for their payment may be transferred by the Trustee to the personal representative(s) ofthe Settlor; and neither such personal representative(s) nor any beneficiary of the estate of the Settlor shall be required to reimburse the Trustee for any funds so paid or transferred. VIII. TRUSTEE'S POWERS The Trustee shall have the following powers in addition to those vested in him by common law, by statute or by the other provisions hereof, all of which shall be exercised in a fiduciary capacity, primarily in the interests of the beneficiaries, applicable to all property, including property Page -4- held for minors, whether principal or income, exercisable without court approval and effective until actual distribution of all property: A. To retain and to hold any securities or other property, real, personal or mixed, received from the Settlor, the Settlor's estate or any person without regard to any principle of diversification or risk. B . To invest and reinvest in all forms of property, including stocks, bonds, funds, endowment, insurance or annuity policies on the lives of beneficiaries of any Trust created hereunder and other securities, without restriction to investments authorized for Pennsylvania fiduciaries, as the Trustee shall deem proper without regard to any principle of diversification or risk. C. To sell at public or private sale, to exchange, to partition, or to lease for any period of time or the duration of any Trust created hereunder any real or personal property, and to give options for sales, exchanges or leases for such prices and upon such terms or conditions as the Trustee shall deem proper. D. To continue in any partnership, joint venture, joint ownership or other business enterprise of which the Settlor is a part. E. To hold property in the name of the Trust Estate, or in the name of the Trustee without designation of any fiduciary capacity, or in the name of a nominee or unregistered. F. To pay out of any funds belonging to the Trust Estate all ordinary and necessary expenses incurred in connection with the conduct, operation and administration of this Trust; to pay all taxes, insurance premiums, other legal assessments, debts, claims or charges which at any time may be due and owing by, or which may exist against, the Trust Estate; and to allocate receipts and expenses to principal or income, or partly to each, as the Trustee from time to time, in his sole discretion, shall think proper, except that: (1 }premiums paid on the purchase of bonds or other obligations for the payment of money shall be amortized out of income; (2) capital gains and losses shall be allocated to principal; and (3) current expenses shall be paid out of income. G. To vote in person or by proxy all securities belonging to the Trust Estate, and to become a party to any stockholders' agreements deemed advisable by the Trustee in connection with such securities. H. To borrow money from any person or institution for any purpose of this Trust, or incidental to the administration thereof, upon the bond or promissory note of the Trustee, and to secure the repayment thereof my mortgaging, creating a security interest in, pledging or otherwise encumbering any part or all of the Trust Estate without regard to the dispositive provisions of this Trust Agreement; and with respect to the purchase of any property and as part of the consideration given therefor, to assume a liability of the transferor or to acquire such property subject to a liability. I. To make any divisions or distributions of the Trust Estate required hereunder, wholly or in part, in kind or in cash, and to make non-prorata distributions of assets in kind. Page -5- J. To exercise any election or privilege given by the Federal tax and other tax laws, including without limiting the foregoing, the election of the alternate valuation for Federal Estate tax purposes and the election to claim items of deduction for estate tax or for income tax purposes, and to make or not to make equitable adjustments or apportionments for the exercise or nonexercise of any such election or privilege. K. Only after the death of the Settlor and the Husband and should the principal of any of the Trusts created hereunder be or become too small so as to make establishment or continuance thereof inadvisable, the Trustee, in his sole discretion, may make immediate distribution of the then remaining balance of the principal and accumulated income of any beneficiary's share to the legally appointed trustee of such beneficiary under Article VI(A)(2) hereof, or may appoint and pay such share to a custodian for such beneficiary under the Uniform Transfers to Minors Act of any state, without further obligation or responsibility for such distribution so paid. Upon such termination, the rights of all persons who might otherwise have a successive interest therein shall cease. L. To compromise, settle, arbitrate or defend any claim or demand in favor of or against the Trust Estate; to enforce any bonds, mortgages, security agreements or other obligations or liens held hereunder; and to enter into such contracts and agreements and to make such compromises or settlements of debts, claims or controversies as the Trustee shall deem necessary or advisable. IX. ADDITIONAL PROPERTY The Settlor or any person shall have the right at any time and from time to time, with the consent of the Trustee, to assign, transfer and deliver any other property of any kind to the Trustee, and such other property shall be held, administered and disposed of by the Trustee in accordance with the terms and provisions of this Trust Agreement without the execution of any further instrument or declaration. X. ACCOUNTING BY TRUSTEE The Trustee shall render annually, or at such other intervals as the Settlor, each income beneficiary and the Trustee may from time to time agree, statements of account showing in detail receipts, disbursements and distributions of both principal and income from the Trust Estate, and all investment transactions, except during such times as any beneficiary hereunder and the Trustee waive such accounting in writing. The written approval of an income beneficiary shall be final, binding and conclusive upon all persons then or thereafter interested in this 7.,rust for such beneficiary. While any income beneficiary is a minor or an incompetent, such beneficiary's parent, legally appointed guardian or trustee, other than any Trustee hereunder, or guardian of the person of such beneficiary for whose estate no guardian or trustee has been appointed shall receive such statements of account, and may otherwise act for and on behalf of such beneficiary with respect to Page -6- this Trust. The Trustee shall be protected in relying upon all such actions taken for and on behalf of such beneficiary. XI. COMPENSATION OF TRUSTEE AND EMPLOYMENT OF OTHERS The Husband while acting as Trustee hereunder shall not receive any compensation for the performance of his services as Trustee. Any successor Trustee may elect to receive a fair and reasonable compensation for services performed hereunder, which compensation shall not be greater than the standard fees charged for the performance of similar services by corporate banking fiduciaries with offices in Carlisle, Pennsylvania, in effect from time to time during the period over which such services are performed. The Trustee and any successor Trustee shall be reimbursed for all necessary and reasonable expenses incurred by them in the management and protection of the Trust Estate, and may retain and employ the services of others as accountants, counsel, agents and advisors for investments, or otherwise, and may act through attorneys-in-fact, with the reasonable expenses, compensation and fees therefor to be paid from the Trust Estate in addition to the compensation to which any successor Trustee maybe entitled hereunder. There shall be no further compensation due any successor Trustee at the termination of this Trust. XII. RESIGNATION AND APPOINTMENT OF SUCCESSOR TRUSTEES The Trustee or any successor Trustee may resign at any time upon written notice given to the Settlor, and after her death upon written notice give to the then current income beneficiaries hereunder. In the event the Husband fails to qualify or ceases to act as Trustee for any reason, the Settlor's said son, DAVID R. THOMPSON, shall be appointed successor Trustee. In the event he shall fail to qualify or cease to act as Trustee for any reason, the Settlor's said son, THOMAS G. THOMPSON, shall be appointed successor Trustee. In the event he shall fail to qualify or cease to act as Trustee for any reason, the Settlor's said daughter, SUSAN CAMPBELL, shall be appointed successor Trustee. In the event she shall fail to qualify or cease to act as Trustee for any reason, the Settlor's said son, DANIEL THOMPSON, shall be appointed successor Trustee. :[n the event the Husband and all of the Settlor's said children fail to qualify or cease to act as Trustee hereunder for any reason, a successor Trustee maybe appointed by any court having jurisdiction over this Trust. No successor Trustee shall be liable or responsible in any way for the acts or defaults of any predecessor Trustee or for any loss or expense caused by anything done or neglected to be done by any predecessor Trustee, but such successor Trustee shall be liable only for his or her own acts and defaults with respect to the Trust Estate actually received by him or her as successor. Trustee. Each successor Trustee shall succeed to all the duties and to all the powers, including discretionary powers, herein granted to the Trustee. The appointment of a successor Trustee may be evidenced by a duly acknowledged instrument delivered to the Settlor, if living, to the then current income beneficiaries and to the person, if any, then acting as Trustee hereunder, without the necessity of any other conveyance or transfer. BOND AND LIABILITY OF TRUSTEES Neither the Trustee nor any successor Trustee shall be required to give bond or other security for the faithful performance of their duties in this or any other jurisdiction. Neither the Trustee nor any successor Trustee shall be liable for any mistake or error of judgment in the administration of the Trust Estate resulting in loss to this Trust by reason of investments, or otherwise, except for willful misconduct or fraud. XIV. POWER OF AMENDMENT AND REVOCATION The Settlor shall have the right at any time and from time to time during her lifetime by instrument in writing delivered to the Trustee to alter, amend or revoke this Trust Agreement, either in whole or in part; provided, however, that if altered or amended, the duties, powers and responsibilities of the Trustee shall not be substantially changed without his consent. In case of revocation, the Trust Estate, or that part thereof as to which this Agreement may be revoked, shall be redelivered by the Trustee to the Settlor or in accordance with her written directions. XV. SITUS AND POWER TO CHANGE The Situs of the Trust Estate for administrative and accounting purposes shall be Cumberland County, Pennsylvania, and all questions concerning the validity, construction and administration of this Trust Agreerent shall be determined under the laws of the Commonwealth of Pennsylvania. The Trustee or any successor Trustee may change the situs of the Trust Estate from the county and/or state in which it is then being administered to a new county and/or state. Such action shall be accomplished by a writing signed by the Trustee or successor Trustee, which shall be filed with the court then having jurisdiction over the Trust Estate. ITEM ONE I direct that all my legally enforceable debts, funeral expenses, testamentary expenses and all inheritance taxes shall be paid to the extent possible from the assets held or passing under ITEM SIX hereof as soon as practicable after my decease and as part of the administration of my estate. ITEM TWO In the event my wife, MARY JANE THOMPSON, shall predecease or fail to survive me by thirty (30) days, then I give such items of personalty as are itemized in a certain list attached hereto to the persons named thereon, which list is signed and dated by me at the end thereof. ITEM THREE In the event my wife, MARY JANE THOMPSON, predeceases me, I give the sum of Ten Thousand Dollars ($10,000.00) unto each of my grandchildren, the child or children of any deceased r`~-~~ grandchild taking or sharing in the amount their parent would have received, if living. Should any grandchild be under the age oftwenty-one (21) years, his or her share shall be held in trust by my ~' ~~ Trustee, who shall accumulate the income of each shaze and pay the said share and the accumulated ~~:r...! income therefrom to said grandchild, or his or her issue if deceased, as he or she attains the age of twenty-one (21) years. ITEM FOUR Ifmy wife, MARY JANE THOMPSON, is living thirty (30) days after my death, then I give, devise and bequeath all of my estate, both real and personal property, unto my wife, MARY JANE THOMPSON, absolutely. If my said wife does not so survive me, then I give, devise and bequeath all the rest, residue and remainder of my estate, both real and personal property, unto my Trustee to be held or distributed by such Trustee under ITEM SIX hereof. ITEM FIVE In the event my said wife shall disclaim all or any portion of any devise or bequest made to my said wife under the foregoing ITEM FOUR, then the amount otherwise payable shall be held by my Trustee under ITEM SIX hereof. For purposes of the Trust established under ITEM SIX hereof, my said wife shalt not be deemed tb have predeceased me by virtue of my wife's exercise of the right to disclaim set forth herein. -Jl/'' ~T. Page 1 of 7 Pages ITEM SIX RESIDUARY AND DISCLAIMER TRUST My Trustee shall hold the assets received under ITEMS FOUR and FIVE hereof, if any, for the following purposes: A. My Trustee shall pay the net income, at least quarter-annually, to my wife, MARY JANE THOMPSON, for life. In addition, my Trustee in my Trustee's sole discretion, may invade the principal of the Trust for the proper and adequate support of my said wife. B. My Trustee shall furtherpay to mywife, MARY JANE THOMPSON, annually, such sum from the principal of the Trust as my said wife may request in writing, provided, however, that said sum may not exceed the greater of Five Thousand Dollars ($5,000,00) or five percent (5%) of the aggregate value, at the time of said request, of the principal of the Trust hereunder. C. Upon the death of my wife, MARY JANE THOMPSON, or upon my death if she shall not survive me by thirty (30) days, my Trustee shall distribute the principal of the Trust, in equal shares, to my children, DAVID R. THOMPSON, SUSAN CAMPBELL, 'THOMAS G. THOMPSON, and DANIEL THOMPSON, absolutely. D. In the event that any of my said children shall fail to survive my wife and me, but shall leave a spouse andJor issue surviving, then such deceased child's share shall be held by my Trustee and administered and disposed of as follows: (1) The shares for DAVID R. THOMPSON and DANIEL THOMPSON shall be held, IN FURTHER TRUST, for his then living issue, per stirpes, and in default of any such then living issue, such share or shares shall be added to the shares for my other children; (2) Thirty-one (31 %) percent of the share for SUSAN CAMPBELL shall be distributed to her then living spouse, absolutely, and sixty-nine (69%) of such share, or all thereof if there is no then living spouse, shall be held, IN FURTHER TRUST, for her then living issue, per stirpes, and in default of any such then living spouse and/or issue, such share or the balance thereof shall be added to the shares for my other children; and (3) The share for THOMAS G. THOMPSON shall be distributed to his then living spouse, absolutely, and if there is no then living spouse, such share shall be held, IN FURTHER TRUST, for his then living issue, per stirpes, if any, otherwise such share shall be added to the shares for my other children. The net income therefrom shall be used by my Trustee for the support, maintenance and education of the issue of such deceased child or children. In addition, my Trustee shall use as much of the principal therefrom as he shall deem desirable for said purposes. My Trustee shall distribute absolutely to the issue, per stirpes, of such deceased child or children the principal of his or her share as each, in turn, shall attain the age of twenty-one (21) years. f Page 2 of 7 Pages ITEM SEVEN POWERS OF EXECUTOR AND TRUSTEE In addition to the powers conferred by case law, by statute, and by other provisions hereof, my Executor and Trustee and their successors, shall have the following discretionary powers applicable to all property held by them which powers shall be effective without order of any court and shall exist until final distribution. A. To retain any property of any nature received by them for whatever period they shall deem advisable; B. To invest and reinvest all or any part of said property in such stocks, bonds, common trust funds, securities, accounts, certificates of deposit (including, but not limited to, stocks, bonds, common trust funds, securities, accounts or certificates of deposit of the Trustee) or other property, real or personal, as in their discretion they shall deem proper, without regard to statutes limiting the property which a fiduciary may purchase; C. To sell, transfer, exchange or otherwise dispose of, any part of said property, for cash or on terms, publicly or privately, or to lease, even for a term exceeding five (5) years or the duration of any trust herein, without liability on the purchasers or lessees to see to the application of the proceeds, and to give options for these purchases without the obligation to repudiate them in favor of a higher offer; D. To execute and deliver any deeds, leases, assignments or other instruments as may be necessary to carry out the provisions of any trust hereunder; E. To borrow money, including the right to borrow money from any bank and to mortgage or pledge any asset of the estate as security; F. To assume continuance of the status of any beneficiary with regard to death, marriage, divorce, illness, incapacity and the like in the absence of information deemed reliable without liability for disbursements made on such assumption; G. To pay from the trust, or the income therefrom, all debts or claims against my estate, or any taxes or similar charges on my estate; H. To make any distribution hereunder either in kind or in money, or partially in kind and partially in money. Distribution in kind shall be made at the market value of the property distributed, and my Trustee, in my Trustee's absolute discretion, may cause the share distributed to any distributee to be composed of property similar to or different from that distributed to any other distributee; I. To exercise any subscription right in connection with any security held hereunder, to consent to or participate in any recapitalization, reorganization, consolidation or merger of any D.I.T. Page 3 of 7 Pages corporation, company or association, the securities of which may be held hereunder, to delegate authority with respect thereto, to deposit investments under agreements, to pay assessments, and generally to exercise all rights of investors; J. To invest in endowment, insurance or annuity policies on the lives of beneficiaries of any trust hereunder; K. To continue in any partnership, joint venture, joint ownership or other business enterprise of which I am a part at the time of my death; L. To compromise claims; M. To continue for whatever period of time as they shall deem necessary any ownership as a tenant in common or as a partner, in real estate or other property and to act as I could have done had I been living; N. To lend money to my estate or to any trust created hereunder or to purchase from the estate or from any trust created hereunder, at the market value thereof at the time of purchase, any securities or other property tendered to them by my estate or any trust created hereunder at any time and from time to time within a period of nine (9) months after my death; O. In the event that any amounts are payable hereunder or under any trust created hereunder to a minor, or to a person otherwise under legal disability, or to a person not adjudicated to be an incapacitated person, but who, by reason of illness or mental or physical disability is, in the opinion of the fiduciary(ies) hereunder, unable to properly administer such amounts, such amounts may be paid by the fiduciary(ies) hereunder in his, her or their sole discretion in any of the following ways as he, she or they may deem best: 1. Directly to such beneficiary; 2. To a legally appointed guardian of such beneficiary for the benefit of such beneficiary; 3. To a person having custody of such beneficiary for the benefit of such beneficiary; 4. By the fiduciary(ies) hereunder using such amounts directly to the benefit of such beneficiary. Evidence of the application of payment of an amount in such a manner shall be a full and complete discharge of the fiduciary(ies) hereunder to the extent of such payment or application. This paragraph shall be applicable to payments of income as well as principal. P. To employ agents, attorneys and proxies and to delegate to them such power as my personal representatives and Trustee consider desirable and to pay reasonable compensation for such services as maybe rendered by such agents, attorneys and proxies; ice" D.I.T. Page 4 of 7 Pages Q. To conduct an inventory of any safe deposit box necessary to the administration of my estate. R. To do all other acts in their judgment necessary or desirable for the proper management, investment and distribution of my Estate. ITEM EIGHT PROTECTIVE PROVISIONS All income or principal held for the use and benefit of the beneficiaries of any trust hereunder shall not be in any way or manner subject to anticipation, assignment, pledge, sale or transfer, nor shall any such interest, while in the possession of my Trustee, be liable for or subject to the debts, contracts, obligations, liabilities or torts of any beneficiary, or to attachments, executions or sequestrations under process of law. ITEM NINE APPOINTMENT OF EXECUTOR AND TRUSTEE I nominate, constitute and appoint my son, DAVID R. THOMPSON, as Executor of my estate. In the event that my said son shall predecease me or fail to act or continue to act as Executor, then I appoint my son, THOMAS G. THOMPSON, as Executor of my estate. In the event that my said son shall predecease me or fail to act or continue to act as Executor, then I appoint my daughter, SUSAN CAMPBELL, as Executrix of my estate. In the event my said daughter shall predecease me or fail to act or continue to act as Executor, then I appoint my son, DANIEL THOMPSON, as Executor of my estate. I nominate, constitute and appoint my son, DAVID R. THOMPSON, as Trustee of any trust created hereunder. In the event that my said son shall predecease me or fail to act or continue to act as Trustee, then I appoint my son, THOMAS G. THOMPSON, as successor Trustee. In the event that my said son shall predecease me or fail to act or continue to act as Trustee, then I appoint my daughter, SUSAN CAMPBELL, as successor Trustee. In the event my said daughter shall predecease me or fail to act or continue to act as Trustee, then I appoint my son, DANIEL THOMPSON, as successor Trustee. ITEM TEN COMPENSATION OF EXECUTOR AND TRUSTEE My Executor and my Trustee, as well as their successors, may elect to receive a fair and reasonable compensation for the performance of their respective services hereunder, which compensation shall not be greater than the standard fees charged for the performance of similar services by corporate banking fiduciaries with offices in Carlisle, Pennsylvania, in effect from time to time during the period over which such services are performed. ~~ D.I.T.
