FLOYD, of the Borough of Camp Hill, Cumberland County, Commonwealth of Pennsylvania, do hereby make, publish and declare this to be my Last Will and Testament. I hereby revoke any and all Wills or Codicils heretofore made by me. FIRST: I direct my Executrix hereinafter named to pay all my just debts and funeral expenses out of my estate as soon as convenient after my demise. SECOND: I give, devise and bequeath the sum of $5,000 to each of my six (6) grandchildren: ALAN SCOTT FANNING, JOHN DAVID FANNING, AMY LYNN HUFF, CYNTHIA HOFFMAN MAGNUM, SHARON HOFFMAN EAKIN and CATHERINE HOFFMAN LUTHER. THIRD: I give, devise and bequeath all of the remainder of my estate, real, personal and mixed, of whatsoever nature and kind, and wheresoever located, in equal shares to my two daughters, MARY ELLEN FANNING and DONNA MAE HOFFMAN, per stirpes. FOURTH: All principal and income shall, until actual distribution to the legatee, devisee or beneficiary be free of debts, contracts, alienations and anticipations of the legatee, devisee or beneficiary, the same shall not be liable to any levy, attachment, execution or sequestration while in the possession of any fiduciary. FIFTH: I nominate, constitute and appoint my daughter, MARY ELLEN FANNING as Executrix of this my Last Will and Testament. In the event she shall be unable or unwilling to act in such capacity, then I appoint my grandson, ALAN SCOTT FANNING, as Executor. None of the persons named herein in whatever capacity shall be required to enter security in this or any other jurisdiction in which they may be required to act. SIXTH: In addition to such powers as may be conferred by law upon my personal representative, alternate or successor executors, each is authorized and empowered to: (a) Retain any securities and other property which I may own, for such time as he or she may deem proper, or to sell or otherwise dispose thereof at such times, at such prices, and to such persons as the fiduciary may deem appropriate, and to execute and deliver any deeds, assignments or other instruments to consummate such disposition; (b) Invest and reinvest in any securities or other property without being confined to legal investments; (c) Sell, lease, mortgage, improve any of my real estate, with authority to sell the same in public or private sale for such price and upon such terms as to cash and credit as they may deem best, and to grant and convey good and sufficient title, without liability on the part of the purchasers to see to the application of the purchase or consideration monies; (d) Compromise and adjust claims, purchase securities at a premium and to exercise any option to subscribe to stocks, bonds, or other investments; to grant options and proxys; to issue and deliver letters of investment, and to enter into voting trust agreements affecting any estate investments; (e) Receive directly property not passing under this, my Will, payable to the estate or payable to a minor, including the proceeds of any policies of life insurance, without the intervention of a guardian or the approval of any Court.
