JOAN M. STONER
I, JOAN M. STONER, of Lower Allen Township, Cumberland County, Pennsylvania,
declare this to be my last will and revoke any will previously made by me.
ITEMI. I direct that all my just debts and funeral expenses, including my
gravemarker and all expenses of my last illness, and any and all taxes and assessments
;reposed by any governmental body as a result of my death, ,.v'.~ether on propert_y passi~,,:j
under this will or otherwise, shall be paid from my residuary estate as soon as practicable
after my decease as a part of the expense of the administration of my estate.
ITEMIh I bequeath all of my jewelry and other personal effects, household furniture
and furnishings and other tangible property of like nature (not including cash, securities or
any vehicles I may own at the time of my death) in equal shares unto my children, Jennifer
L. Stoner and Sarah C. Stoner shall survive me by thirty (30) days. If either of my
daughters shall not have attained the age of eighteen (18) years, I designate my hereinafter
named Trustees, or their successor, as guardians of such property until such child's
eighteenth birthday. Iris my desire that such Trustees preserve in kind so much of my said
tangible personal property as may be practical for eventual distribution in kind to my
daughters. In determining the practicability of maintaining particular property in kind, my
Trustees shall be guided by the desires of my daughters and my Trustees' determinations
what items may have special significance to my daughters, keeping and preserving such
items, if possible. Such property may be kept in the possession of my children. Any such
property converted to cash shall be maintained in an interest bearing bank account or
certificate of deposit for each child until her 18th birthday.
ITEM II1: I devise and bequeath the rest, residue and remainder of my estate of
every nature and wherever situate, whether passing under this Will or otherwise, to my
Trustees hereinafter named, IN TRUST, for the following uses and purposes and subject to
the terms and conditions hereinafter set forth.
A. My Trustees shall expend upon my children, Jennifer L. and Sarah
C. Stoner, as shall then be living for their medical care, support, welfare and
education (including post high school training and/or college education both
undergraduate and graduate) and for such other purposes for their benefit as
the Trustee shall consider desirable, so much of the principal and income of
the trust as the Trustees deem best, not necessarily equally between them but
for each according to her needs as may be determined by the Trustee until the
youngest of my living children attains the age of twenty-five (25) years. Any
expenditure of principal for the benefit of my children under any of the
provisions hereof shall not be treated as an advancement and shall not
diminish the proportionate share or shares of the trust to which such child
may eventually become entitled. In determining the desirability of any
expenditures of income and principal under the provisions hereof, the Trustees
shall bear in mind that it is my primary desire that, to the extent feasible, the
trust shall provide for the medical care, support, welfare and education of any
beneficiaries hereof, who shall be under the age of twenty-five (25) years, the
utilization of such funds for the benefit of beneficiaries who have attained the
age of twenty-five (25) years to be a secondary purpose and shall depend
upon the total resources available for any beneficiaries less than twenty-five
(25) years of age. My Trustees shall have sole and absolute discretion in
determining whether such expenditures are necessary for these purposes. In
making such distributions of income or principal, my Trustees shall take into
consideration all other income and resources including federal, state and local
government benefits of all types available to each child.
B. It is my desire, but not my direction, that my home at 1807
Creekview Court, New Cumberland, Pennsylvania 17070, be maintained as an
asset of this Trust so that my children or either of them may continue to
reside there if they wish. The costs of maintaining, insuring, repairing,

rebuilding or obtaining a replacement residence shall be considered appropriate
costs to be paid by my Trustees and shall be allocated to income and/or
principal in accordance with the character of the costs paid as my Trustees in
their discretion shall determine. Should my children, who are over age 18, be
residing on a permanent basis (temporary absences for vacations and the like
not considered) in such residence, Trustee shall consult with my adult children
residing therein prior to sale or other disposition of such residential real estate,
and shall not dispose of such residential real estate without the consent of my
adult children residing therein or his or her agreement concerning a substitute
or replacement residence. The Trustees are authorized to execute and deliver
such Deeds, assignments or other documents as may be necessary and
desirable to effectuate the transfer of ownership of any interest in any real
estate.
C. When there are no longer any of my living children under the age of
twenty-five (25) years, my Trustee shall divide the Trust as then constituted
into equal shares so as to provide one share for each of my then living children
and one share for the then living issue, per stirpes, of each of my deceased
children. Upon division of the Trust into shares under the provisions hereof,
my Trustee shall payover, transfer, convey and distribute to each such
beneficiary the then remaining principal and accumulated income of his or her
share of the Trust, discharged of Trust. Provided, however, if at the time my
youngest child reaches age twenty-five (25) years there are continuing
distributions to the Trust from any Qualified Retirement Plan, Qualified
Retirement Annuity or Individual Retirement Account, then this Trust shall not
terminate but rather my Trustee shall continue to receive such distributions
and shall distribute them to the beneficiaries hereunder.
D. The shares of all minor issue of a deceased child or children of mine
shall vest in such issue as hereinbefore provided, but shall be retained by the

Trustee, which shall expend upon the minor beneficiaries, for their medical
care, support, welfare and education and for such other purposes for their
benefit as the Trustee, in its discretion, from time to time, shall consider
desirable, so much of the income and principal of their respective shares, or
portions thereof, as the Trustee deems best, and shall accumulate any income
not so expended and add such income to the principal of their respective
shares, or portions thereof, until each such minor beneficiary, in turn, shall
attain the age of twenty-one (2I) years at which time the principal and
accumulated income of each beneficiary's share or portion thereof, shall be
paid over, transferred, conveyed and distributed to them discharged of trust.
E. If any child of mine shall die during the continuation of the Trust for
her benefit, the Trustees, in their sole discretion, may pay out of the principal
and/or income of the trust estate such portion of reasonable funeral and burial
expenses of such child as the child's estate shall be inadequate to pay. The
Trustees shall have absolute discretion in determining what constitutes
reasonable expenses and the adequacy of such child's estate for payment of
such expenses.
F. If upon the happening of some event during the continuation of the
trusts held hereunder, my Trustees shall hold some portion of the trusts which
is not effectively disposed of under the foregoincj provisions, then the Trustees
shall distribute such portion, discharged of trust, in equal shares unto my
brother and sisters, per stirpes.
ITEM IV: The following provisions shall apply to the Trust created under item III
hereof and to each share thereof:
A. In case the income or any discretionary payments of principal
become payable to a minor, or to a person under legal disability or to a person
not adjudicated incompetent, but who, by reason of illness or mental or
physical disability, is in the opinion of my Trustee unable properly to

administer such amounts, then such amounts shall be paid out by my Trustees
in such of the following ways as my Trustees shall deem best:
(1) Directly to such beneficiary;
(2) To the legally appointed guardian or trustees of such
beneficiary;
(3) To some relative or friend for the support, health and
medical care, and education of such beneficiary; or
(4) By my Trustee, using such amounts directly for such
beneficiary's support, health and medical care, and education.
B. No beneficial interest under the Trusts, whether in income or
principal, shall be subject to anticipation, assignment, pledge, sale or transfer
in any manner, nor shall any beneficiary have the power to anticipate,
encumber or charge such interest, nor shall such interest, while in the
possession of my Trustees, be liable for or subject to the debts, contracts,
obligations, liabilities or torts of any beneficiary.
C. Any income, accrued or undistributed at the termination of any
estate or interest, shall be paid by my Trustees as income to the persons
entitled to the next successive interest in the same proportions in which they
take such interest.
D. For convenience of administration and investment, my Trustee are
authorized to hold the several Trusts as a common fund, dividing the income
proportionately among them, and to make joint investments of the funds
belonging to my Trustees. For such purposes and insofar as may be
practicable, my Trustee may consolidate any separate Trust with any other
trust or trusts created by me or any member of my family by will or
agreement, and may hold, administer and invest the several trusts as one or
more common fund or funds and make joint or several distributions of income
and principal therefrom, whichever my Trustees shall deem advisable.

E. I authorize my Trustees to treat distributions from any Qualified
Retirement Plan as defined in I.R.C. §404(a), any Qualified Retirement Annuity
as defined in I.R.C. §403(a) or §403(b) or any Individual Retirement Account as
defined in I.R.C. §408(a) as the income of the Trust to the extent that the
distribution represents income generated or deemed to be generated by such
Plan, annuity, or individual retirement account, notwithstanding the treatment
of such portion of the distribution under any law concerning the determination
of income and principal for Trust accounting purposes, and i authorize my
Trustees to allocate expenses to income and non-income portions of the
distribution as the Trustees in their discretion shall determine is reasonable and
appropriate. In addition, my Trustees shall have the right in its sole discretion
to withdraw any part or all of the remaining qualified plan benefit, annuity or
individual retirement account or to designate a beneficiary of the Trust to
receive any remaining payments directly and/or to have the right to withdraw
at any time all or part of the remaining benefit, annuity or individual retirement
account.
ITEMV: All fiduciaries acting under this Will, whether or not named herein, shall
have the following powers in addition to those vested in them by the common law, by
statute or by the other provisions hereof, all of which shall be exercised in a fiduciary
capacity, primarily in the interests of the beneficiaries, applicable to all property, including
property held for minors, whether principal or income, exercisable without court approval
and effective until actual distribution of all property:
A. To retain and to hold any securities or other property, real, personal
or mixed, received from my estate without regard to any principle of
diversification or risk.
B. To invest and reinvest in all forms of property, including stocks,
bonds, funds and other securities, whether operated by my Trustee, an
affiliate or others, without restriction to investments authorized for

Pennsylvania fiduciaries, as they shall deem proper without regard to any
principle of diversification or risk.
C. To sell at public or private sale, to exchange, or to lease for any
period of time any real or personal property, and to give options for sales,
exchanges or leases for such prices and upon such terms and conditions as
they shall deem proper.
D. To hold property in the name of any of the Trusts created
hereunder, or in the name of my Trustee without designation of any fiduciary
capacity, or in the name of a nominee or unregistered.
E. To allocate receipts and expenses to principal or income, or partly to
each, as they from time to time, in their sole discretion, shall think proper.
F. To vote in person or by proxy all securities, and to become a party
to any stockholders' agreements deemed advisable by them in connection
with such securities.
G. To borrow money from any person or institution, including my
Trustees or an affiliate, upon their bond or promissory note, and to secure the
repayment thereof by mortgaging, creating a security interest in, pledging or
otherwise encumbering any or all real or personal property as they, in their
sole discretion, shall choose without regard to the dispositive provisions of
this Will.
H. To make any divisions or distributions required hereunder, wholly or
in part, in kind or in cash, and to make non-prorata distributions of assets in
kind.
I. To exercise any election or privilege given by the Federal tax and
other tax laws, including without limiting the foregoing, the joinder with my
said wife in filing income tax returns, the election of the alternate valuation for
Federal Estate tax purposes, the election to claim items of deduction for estate
tax or for income tax purposes, and to make or not to make equitable

adjustments or apportionments for the exercise or nonexeroise of any such
election or privilege.
J. Should the principal of any of the Trusts created hereunder be or
become too small so as to make establishment or continuance thereof
inadvisable, my Trustees, in their sole discretion, may make immediate
distribution of the then remaining balance of the principal and accumulated
income of any beneficiary's share to the legally appointed trustee of such
beneficiary under Item IV(A)(2) hereof, or may appoint and pay such share to
a custodian for such beneficiary under the Uniform Gifts to Minors Act of any
state, without further obligation or responsibility for such distribution so paid.
Upon such termination, the rights of all persons who might otherwise have a
successive interest therein shall cease.
K. To compromise any claim or controversy.
L. To advance funds and incur and pay reasonable expenses which may
be involved in any litigation with my former husband, Max E. Stoner, involving
the custody of my children, their education, and their living arrangements, to
include their attendance at any private boarding school or elsewhere. I
specifically authorize all fiduciaries acting under this Will to engage and pay a
guardian ad litem for my children in any such litigation.
M. I direct that all fiduciaries acting under this Will not make any
payments to my former husband, Max E. Stoner, even if he has custody of the
children. Any payments or distributions for the benefit of my children shall be
made directly to the children or to a third party other than Max E. Stoner,
providing care or services to them.
ITEM VI: I appoint my sister, Carol A. Essig, of Phoenixsville, Pennsylvania, and my
friend, Dale F. Shughart, Jr., of Carlisle, Pennsylvania, Trustees of the Trusts created under
Item Ill hereof. I direct that the situs of said Trusts for administrative and accounting
purposes shall be Cumberland County, Pennsylvania, and all questions concerning the

validity, construction and administration of said Trusts shall be determined under the laws
of the Commonwealth of Pennsylvania, Should either of my individual Trustees resign or
otherwise be unable or unwilling to continue to act as co-Trustee, the remaining Trustee
shall have the power to continue to act as sole Trustee, and in addition, shall have the
power in writing to designate a successor qualified corporate co-Trustee as he or she in his
or her discretion shall determine. Any such successor corporate co-Trustee shall have all of
the power of the Trustees under this Will and shall not be liable for acts or omissions of
prior Trustees. Should both of my individuaI Trustees resign or otherwise be unable or
unwilling to continue to act as Trustee, my successor corporate co-Trustee shall continue
to act as sole Trustee. Should both of my individual Trustees die, resign or otherwise be
unable or unwilling to continue to act as Trustee and should both of them fail or neglect to
designate a successor corporate Trustee, then and in that event my daughters, Jennifer L.
Stoner and Sarah C. Stoner, shall have the power to designate a successor corporate
Trustee. Any successor corporate Trustee shall be entitled to compensation for the
performance of its services hereunder in accordance with its standard schedule of fees in
effect from time to time during the period over which its services are rendered.
ITEM VII: I appoint my sister, Carol A. Essig, and my friend, Dale F. Shughart, Jr.,
co-Executors of this my Last Will and Testament. Should either my said sister or my said
friend, fail to qualify or cease to act as co-Executor, I appoint my attorney, Samuel L.
Andes, as replacement co-Executor of this my Last Will and Testament.
ITEM VIII. I direct that my personal representatives and fiduciaries shall not be
required to give bond for the faithful performance of their duties in any jurisdiction.

ITEM I. I hereby revokc Item VI of my will dated Novcmber 4. 2002. and substitute the

I hereby certify that, upon the request for the estate appraisal of the personal property of

I, JOAN M. STONER, of Lower Allen Township, Cumberland County, Pennsylvania,
declare this to be my last will and revoke any will previously made by me.
ITEM I. I direct that all my just debts and funeral expenses, including my
gravemarker and all expenses of my last illness, and any and all taxes and assessments
imposed by any governmental body as a result of my death, whether on property passing
under this will or otherwise, shall be paid from my residuary estate as soon as practicable
after my decease as a part of the expense of the administration of my estate.
ITEM II: I bequeath all of my jewelry and other personal effects, household furniture
and furnishings and other tangible property of like nature (not including cash, securities or
any vehicles I may own at the time of my death) in equal shares unto my children, Jennifer
L. Stoner and Sarah C. Stoner shall survive me by thirty (30) days. If either of my
daughters shall not have attained the age of eighteen (18) years, I designate my hereinafter
named Trustees, or their successor, as guardians of such property until such child's
eighteenth birthday. It is my desire that such Trustees preserve in kind so much of my said
tangible personal property as may be practical for eventual distribution in kind to my
daughters. In determining the practicability of maintaining particular property in kind, my
Trustees shall be guided by the desires of my daughters and my Trustees' determinations
what items may have special significance to my daughters, keeping and preserving such
items, if possible. Such property may be kept in the possession of my children. Any such
property converted to cash shall be maintained in an interest bearing bank account or
certificate of deposit for each child until her 18th birthday.
ITEM III: I devise and bequeath the rest, residue and remainder of my estate of
every nature and wherever situate, whether passing under this Will or otherwise, to my
Trustees hereinafter named, IN TRUST, for the following uses and purposes and subject to
the terms and conditions hereinafter set forth.

A. My Trustees shall expend upon my children, Jennifer L. and Sarah
C. Stoner, as shall then be living for their medical care, support, welfare and
education (including post high school training and/or college education both
undergraduate and graduate) and for such other purposes for their benefit as
the Trustee shall consider desirable, so much of the principal and income of
the trust as the Trustees deem best, not necessarily equally between them but
for each according to her needs as may be determined by the Trustee until the
youngest of my living children attains the age of twenty-five (25) years. Any
expenditure of principal for the benefit of my children under any of the
provisions hereof shall not be treated as an advancement and shall not
diminish the proportionate share or shares of the trust to which such child
may eventually become entitled. In determining the desirability of any
expenditures of income and principal under the provisions hereof, the Trustees
shall bear in mind that it is my primary desire that, to the extent feasible, the
trust shall provide for the medical care, support, welfare and education of any
beneficiaries hereof. who shall be under the age of twenty-five (25) years, the
utilization of such funds for the benefit of beneficiaries who have attained the
age of twenty-five (25) years to be a secondary purpose and shall depend
upon the total resources available for any beneficiaries less than twenty-five
(25) years of age. My Trustees shall have sole and absolute discretion in
determining whether such expenditures are necessary for these purposes. In
making such distributions of income or principal, my Trustees shall take into
consideration all other income and resources including federal, state and local
government benefits of all types available to each child.
B. It is my desire, but not my direction, that my home at 1807
Creekview Court, New Cumberland, Pennsylvania 17070, be maintained as an .
asset of this Trust so that my children or either of them may continue to
reside there if they wish. The costs of maintaining, insuring, repairing,

rebuilding or obtaining a replacement residence shall be considered appropriate
costs to be paid by my Trustees and shall be allocated to income and/or
principal in accordance with the character of the costs paid as my Trustees in
their discretion shall determine. Should my children, who are over age 18, be
residing on a permanent basis (temporary absences for vacations and the like
not considered) in such residence, Trustee shall consult with my adult children
residing therein prior to sale or other disposition of such residential real estate,
and shall not dispose of such residential real estate without the consent of my
adult children residing therein or his or her agreement concerning a substitute
or replacement residence. The Trustees are authorized to execute and deliver
such Deeds, assignments or other documents as may be necessary and
desirable to effectuate the transfer of ownership of any interest in any real
estate.

C. When there are no longer any of my living children under the age of
twenty-five (25) years, my Trustee shall divide the Trust as then constituted
into equal shares so as to provide one share for each of my then living children
and one share for the then living issue, per stirpes, of each of my deceased
children. Upon division of the Trust into shares under the provisions hereof,
my Trustee shall payover, transfer, convey and distribute to each such
beneficiary the then remaining principal and accumulated income of his or her
share of the Trust, discharged of Trust. Provided, however, if at the time my
youngest child reaches age twenty-five (25) years there are continuing
distributions to the Trust from any Qualified Retirement Plan, Qualified
Retirement Annuity or Individual Retirement Account, then this Trust shall not
terminate but rather my Trustee shall continue to receive such distributions
and shall distribute them to the beneficiaries hereunder.
D. The shares of all minor issue of a deceased child or children of mine
shall vest in such issue as hereinbefore provided, but shall be retained by the

Trustee, which shall expend upon the minor beneficiaries, for their medical
care, support, welfare and education and for such other purposes for their
benefit as the Trustee, in its discretion, from time to time, shall consider
desirable, so much of the income and principal of their respective shares, or
portions thereof, as the Trustee deems best, and shall accumulate any income
not so expended and add such income to the principal of their respective
shares, or portions thereof, until each such minor beneficiary, in turn, shall
attain the age of twenty-one (21) years at which time the principal and
accumulated income of each beneficiary's share or portion thereof, shall be
paid over, transferred, conveyed and distributed to them discharged of trust.
E. If any child of mine shall die during the continuation of the Trust for
her benefit, the Trustees, in their sole discretion, may payout of the principal
and/or income of the trust estate such portion of reasonable funeral and burial
expenses of such child as the child's estate shall be inadequate to pay. The
Trustees shall have absolute discretion in determining what constitutes
reasonable expenses and the adequacy of such child's estate for payment of
such expenses.
F. If upon the happening of some event during the continuation of the
trusts held hereunder, my Trustees shall hold some portion of the trusts which
is not effectively disposed of under the foregoing provisions, then the Trustees
shall distribute such portion, discharged of trust, in equal shares unto my
brother and sisters, per stirpes.
ITEM IV: The following provisions shall apply to the Trust created under Item III
hereof and to each share thereof:
A. In case the income or any discretionary payments 01 principal
become payable to a minor, or to a person under legal disability or to a person
not adjudicated incompetent, but who, by reason 01 illness or mental or
physical disability, is in the opinion of my Trustee unable properly to

administer such amounts, then such amounts shall be paid out by my Trustees
in such of the following ways as my Trustees shall deem best:
(1) Directly to such beneficiary;
(2) To the legally appointed guardian or trustees of such
beneficiary;
(3) To some relative or friend for the support, health and
medical care, and education of such beneficiary; or
(4) By my Trustee, using such amounts directly for such
beneficiary's support, health and medical care, and education.
B. No beneficial interest under the Trusts, whether in income or
principal, shall be subject to anticipation, assignment, pledge, sale or transfer
in any manner, nor shall any beneficiary have the power to anticipate,
encumber or charge such interest, nor shall such interest, while in the
possession of my Trustees, be liable for or subject to the debts, contracts,
obligations, liabilities or torts of any beneficiary.
C. Any income, accrued or undistributed at the termination of any
estate or interest, shall be paid by my Trustees as income to the persons
entitled to the next successive interest in the same proportions in which they
take such interest.
D. For convenience of administration and investment, my Trustee are
authorized to hold the several Trusts as a common fund, dividing the income
proportionately among them, and to make joint investments of the funds
belonging to my Trustees. For such purposes and insofar as may be
practicable, my Trustee may consolidate any separate Trust with any other
trust or trusts created by me or any member of my family by will or
agreement, and may hold, administer and invest the several trusts as one or
more common fund or funds and make joint or several distributions of income
and principal therefrom, whichever my Trustees shall deem advisable.

E. I authorize my Trustees to treat distributions from any Qualified
Retirement Plan as defined in LR.C. 9404(a), any Qualified Retirement Annuity
as defined in LR.C. ~403(a) or ~403(b) or any Individual Retirement Account as
defined in LR.C. 9408(a) as the income of the Trust to the extent that the
distribution represents income generated or deemed to be generated by such
Plan, annuity, or individual retirement account, notwithstanding the treatment
of such portion of the distribution under any law concerning the determination
of income and principal for Trust accounting purposes, and I authorize my
Trustees to allocate expenses to income and non-income portions of the
distribution as the Trustees in their discretion shall determine is reasonable and
appropriate. In addition, my Trustees shall have the right in its sole discretion
to withdraw any part or all of the remaining qualified plan benefit, annuity or
individual retirement account or to designate a beneficiary of the Trust to
receive any remaining payments directly and/or to have the right to withdraw
at any time all or part of the remaining benefit, annuity or individual retirement
account.
ITEM V: All fiduciaries acting under this Will, whether or not named herein, shall
have the following powers in addition to those vested in them by the common law, by
statute or by the other provisions hereof, all of which shall be exercised in a fiduciary
capacity, primarily in the interests of the beneficiaries, applicable to all property, including
property held for minors, whether principal or income, exercisable without court approval
and effective until actual distribution of all property:
A. To retain and to hold any securities or other property, real, personal
or mixed, received from my estate without regard to any principle of
diversification or risk.
B. To invest and reinvest in all forms of property, including stocks,
bonds, funds and other securities, whether operated by my Trustee, an
affiliate or others, without restriction to investments authorized for

Pennsylvania fiduciaries, as they shall deem proper without regard to any
principle of diversification or risk.
C. To sell at public or private sale,. to exchange, or to lease for any
period of time any real or personal property, and to give options for sales,
exchanges or leases for such prices and upon such terms and conditions as
they shall deem proper.
D. To hold property in the name of any of the Trusts created
hereunder, or in the name of my Trustee without designation of any fiduciary
capacity, or in the name of a nominee or unregistered.
E. To allocate receipts and expenses to principal or income, or partly to
each, as they from time to time, in their sole discretion, shall think proper.
F. To vote in person or by proxy all securities, and to become a party
to any stockholders' agreements deemed advisable by them in connection
with such securities.
G. To borrow money from any person or institution, including my
Trustees or an affiliate, upon their bond or promissory note, and to secure the
repayment thereof by mortgaging, creating a security interest in, pledging or
otherwise encumbering any or all real or personal property as they, in their
sole discretion, shall choose without regard to the dispositive provisions of
this Will.
H. To make any divisions or distributions required hereunder, wholly or
in part, in kind or in cash, and to make non-prorata distributions of assets in
kind.
I. To exercise any election or privilege given by the Federal tax and
other tax laws, including without limiting the foregoing, the joinder with my
said wife in filing income tax returns, the election of the alternate valuation for
Federal Estate tax purposes, the election to claim items of deduction for estate
tax or for income tax purposes, and to make or not to make equitable

adjustments or apportionments for the exercise or nonexercise of any such
election or privilege.
J. Should the principal of any of the Trusts' created hereunder be or
become too small so as to make establishment 'or continuance thereof
inadvisable, my Trustees, in their sol.e discretion, may make immediate
distribution of the then remaining balance of the principal and accumulated
income of any beneficiary's share to the legally appointed trustee of such
beneficiary under Item IV(A)(2)hereof,or may appoint and pay such share to
a custodian for such beneficiary under the Uniform Gifts to Minors Act of any
state, without further obligation or responsibility for such distribution so paid.
Upon such termination, the rights of all persons who might otherwise have a
successive interest therein shall cease.
K. To compromise any claim or controversy.
L. To advance funds and incur and pay reasonable expenses which may
be involved in any litigation with my former husband, Max E. Stoner, involving
the custody of my children, their education, and their living arrangements, to
include their attendance at any private boarding school or elsewhere. I
specifically authorize all fiduciaries acting under this Will to engage and pay a
guardian ad litem for my children in any such litigation.
M. I direct that all fiduciaries acting under this Will not make any
payments to my former husband, Max E. Stoner, even if he has custody of the
children. Any payments or distributions for the benefit of my children shall be
made directly to the children or to a third party other than Max E. Stoner,
providing care or services to them.
~ ITEM VI: I appoint my sister, Carol A. Essig, of Phoenixsville, Pennsylvania, and my

, friend, Dale F. Shughart, Jr., of Carlisle, Pennsylvania, Trustees of the Trusts created under
Item III hereof. I direct that the situs of said Trusts for administrative and accounting
purposes shall be Cumberland County, Pennsylvania, and all questions concerning the

validity, construction and administration of said Trusts shall be determined under the laws
of the Commonwealth of Pennsylvania. Should either of my individual Trustees resign or
otherwise be unable or unwilling to continue to act as co-Trustee, the remaining Trustee
shall have the power to continue to act as sole Trustee, and in addition, shall have the
power in writing to designate a successor qualified corporate co-Trustee as he or she in his
or her discretion shall determine. Any such successor corporate co-Trustee shall have all of
the power of the Trustees under this Will and shall not be liable for acts or omissions of
prior Trustees. Should both of my individual Trustees resign or otherwise be unable or
unwilling to continue to act as Trustee, my successor corporate co-Trustee shall continue
to act as sole Trustee. Should both of my individual Trustees die, resign or otherwise be
unable or unwilling to continue to act as Trustee and should both of them fail or neglect to
designate a successor corporate Trustee, then and in that event my daughters, Jennifer L.
Stoner and Sarah C. Stoner, shall have the power to designate a successor corporate
. Trustee. Any successor corporate Trustee shall be entitled to compensation for the
performance of its services hereunder in accordance with its standard schedule of fees in
effect from time to time during the period over which its services are rendered.
ITEM VII: I appoint my sister, Carol A. Essig, and my friend, Dale F. Shughart, Jr.,
co-Executors of this my Last Will and Testament. Should either my said sister or my said
friend, fail to qualify or cease to act as co-Executor, I appoint my attorney, Samuel L.
Andes, as replacement co-Executor of this my Last Will and Testament.
ITEM VIII. I direct that my personal representatives and fiduciaries shall not be
required to give bond for the faithful performance of their duties in any jurisdiction.

I, JOAN M. STONER, of Lower Allen Township, Cumberland County, Pennsylvania, declare
this to be the first codicil to my will dated November 4, 2002.
ITEM I. I hereby revoke Item VI of my will dated November 4,2002, and substitute the
following:
ITEM VI: I appoint my friend, DALE F. SHUGHART, JR., of Carlisle,
Pennsylvania, and my attorney, SAMUEL 1. ANDES, of New Cumberland, Pennsylvania,
Co-Trustees of the Trusts created under Item ill hereof. I direct that the situs of said Trusts
