Miller, Deceased, late of Silver Spring, Cumberland County, Pennsylvania, party of the first part, hereinafter called" Administrator"; AND MARY J. MILLER, an individual, of 163 East 99th Street, #12 A, New York, New York, party of the second part, hereinafter called "Jones": WITNESSETH: WHEREAS, Mary G. Miller ("Decedent") died on September 9, 2000, leaving her Last Will and Testament which was duly probated in the Office of the Register of Wills, in and for Cumberland County, Pennsylvania, in proceedings docketed to 2001 - 00063, and Letters of Administration C.T.A. were issued to Administrator by said Register of Wills on January 16, 2001; and WHEREAS, Administrator has entered upon and completed his duties of administering Decedent's Estate and is about to file his First and Final Account with Statement of Proposed Distribution (collectively called "Account"); and WHEREAS, the beneficiaries of said Estate pursuant to Decedent's Will are her children, namely, Laird T. Jones promises to pay the sum of $25,660.97 to Laird and the sum of$26,263.62 to Connie in cash or other guaranteed funds within sixty (60) calendar days after the date ofthe Court's decree awarding the Real Estate to Jones, time being of the essence of this agreement. 4. It is agreed that Jones' obligation in paragraph 3 above shall be included in the decree awarding Real Estate, which obligation shall be a charge and lien on said Real Estate until the obligation is paid in full. The decree shall refer to this agreement and incorporate therein the terms hereof by such reference. The charge shall be a first lien on said Real Estate and equivalent in status to a purchase money mortgage. 5. It is understood and agreed that Laird and Connie, individually, are deemed to be third party beneficiaries of this agreement with full power and authority to enforce it whether jointly or severally. 6. In the event Jones should fail, neglect or refuse to pay said obligation as aforesaid, the following terms and remedies shall apply: a. The obligation shaH bear interest at the rate of six per centum (6%) per annum from and after the sixty-first (61 S') day subsequent to the date of the decree awarding the Real Estate. b. Laird and Connie shall have all the remedies of mortgagees of a purchase money mortgage at law or in equity under the laws of the Commonwealth of Pennsylvania and shall be governed by the Rules of Civil Procedure in an action of mortgage foreclosure (Pa. R.C.P. 1141, et seq.). c. Laird and Connie shaH be entitled to be reimbursed all costs and expenses incurred in enforcing said charge and lien including, but not limited to their reasonable attorney's fees, which costs and expenses shall bear the same interest as provided in subparagraph a. hereinabove. 7. Jones agrees that she shall not have the right to sell, transfer, assign, convey, pledge or otherwise transfer her interest in the Real Estate until the charge aforesaid is paid in full. Any such attempted disposition shall be void. This covenant shall not prevent Jones from using the Real Estate as collateral for a loan whereby the obligations to Laird and Connie are satisfied simultaneously from the proceeds of such loan. 8. This agreement shall be filed with the Register of Wills and Clerk of Orphans' Court of Cumberland County, Pennsylvania, contemporaneously with the filing of the Account. 9. This agreement shall be binding upon the parties hereto, their heirs, personal representatives and assigns, and shall inure to the benefit of the heirs, personal representatives and assigns of Laird and Connie. 3 10. This agreement shall be interpreted and enforced in accordance with the laws of the Commonwealth of Pennsylvania.
