Birch, by and through her pow=of attorney, Jacqueline Williams, and by and through her attorneys, Saidis Sullivan & Rogers files this petition and respectfully avers as follows: 1. Petitioner is Alexandra B. Birch, who is an adult individual who currently resides at the assisted living residences at Bethany Village in Mechanicsburg, Pennsylvania. 2. Jacqueline Williams is the sister of Alexandra B. Birch and the Power of Attorney for Alexandra B. Birch. A true and accurate copy of the Power of Attorney dated December 4, 2001 is attached as Exhibit "A". A true and accurate copy of the most recent Power of Attorney dated June 19, 2010 is attached as Exhibit "B". 3. Jacqueline Williams has managed the financial affairs of Alexandra B. Birch and has served as the Power of Attorney for Alexandra B. Birch for the last ten (10) years. 4. The beneficiary of the trust is Alexandra B. Birch. 5. Your Honorable Court has jurisdiction with respect to this Petition by reason of Section 711(3) of the Pennsylvania, Probate, Estates and Fiduciaries Code, 20 Pa.C.S.A. § 711(3), relating to inter vivos trust. Venu is proper in the Orphans' Court Division of the Court of Common Pleas of Cumberland County under Section 722 of the Pennsylvania Probate, Estates and Fiduciaries Code, 20 Pa.C.S.A. § 722, because the situs of the Trust is located in Cumberland County. 6. Pursuant to a deed dated April 29, 1971 and recorded on April 30, 1971 in Deed Book B24 Page 352 in the Cumberland County Recorder of Deeds, a living trust was created when property was acquired in the name of "John Baum, Trustee for Timothy Birch and Alexandra B. Birch, of 8408 Skyview Drive, Alexandria, Virginia, Grantee and Party" (hereinafter referred to as "Trust Deed"). A true and accurate copy of the aforementioned deed is attached as Exhibit "C." 7. Page 2 of the Trust Deed outlines the trust agreement. 8. The property subject to the Trust Deed is located at 1301 Kelton Road, Camp Hill, Lower Allen Township, Cumberland County, Pennsylvania (hereinafter "subject property"). 9. Paragraph 5 of the Trust .Deed states that the trustee, John Baum, has the power to "execute and deliver to the Harris Savings Association a purchase money mortgage in the amount of $14,500.00 with interest at a rate of 7'/Z ..." This mortgage was satisfied on April 14, 1993 and a true and accurate copy of the satisfaction piece filed on April 27, 1993 and recorded in Misc. Book 442 Page 623 in the Cumberland County Recorder of Deeds is attached as Exhibit ~,D „ 10.A divorce decree was entered on June 3, 1981 between Timothy C. Birch and Alexandra B. Birch in the Court of Common Pleas of Cumberland County at docket number 404 Civil, 1981. A true and accurate copy of the Divorce Decree is attached as Exhibit "E." 11. Subsequent to the divorce, Timothy C. Birch executed an Assignment and Release, where he irrevocably assigned unto Alexandra B. Birch, all of his right, title and interest in any trusts, accounts or other property of whatsoever nature which exists or have existed for the benefit of Alexandra B. Birch alone or Alexandra B. Birch and himself including the Trust which holds title to that improved real estate known and number as 1301 Kelton Road, Camp Hill, Pennsylvania and has more fully described in the Deed Trust. A true and accurate copy of the Assignment and Release dated February 15, 1981 and accepted by Paul Scherer, successor trustee on February 25, 1983 and by Alexandra B. Birch on February 24, 1983 and recorded on June 4, 1984 in Misc. Book 295 Page 1119 in the Recorder of Deeds in Cumberland County is attached as Exhibit "F". 12. The existence, location and whereabouts of the named successor trustee in 1983, Paul Scherer, is unknown. 13. Paragraph 7 of the Deed Trust states that "in the event of the demise of the said Trustee, his successor shall be appointed by the then President of The Harris Savings Association which shall be signified in writing in recordable form and recorded in the Recorder of Deeds Office of Cumberland County, Pennsylvania." 14. The Harris Savings Association is no longer in existence, as it is now part of Sovereign Bank. 15. Senior legal counsel at Sovereign Bank has advised that it would not appoint a successor trustee, as Sovereign Bank had no knowledge of the property or the trust. A true and accurate copy of the email from Sovereign Bank is attached as Exhibit "G". 16. It is believed and therefore averred that there is a vacancy in the trusteeship. 17. Pursuant to 20 Pa.C.S.A. § 7764(c), Vacancy in trusteeship; appointment of successor, provides that a vacancy in a trusteeship of a noncharitable trust that is required to be filled shall be filled in the following order of priority: (1) by a person designated in or pursuant to the provisions of the trust instrument to act as successor trustee; (2) by a person by unamimous written agreement of the qualified beneficiaries; or (by a person appointed by the court. 18. Alexandra Birch is the current beneficiary of the trust. 19. Alexandra B. Birch, by and through her power of attorney, Jacqueline Williams, consents to the appointment of Jodi Diego, as the successor trustee. A true and accurate copy of the consent is attached as Exhibit "H". 20. Jodi Diego has accepted the right to be appointed the successor trustee. A true and accurate copy of her acceptance is attached as Exhibit "I". 21.The subject property is under an Agreement of Sale, and it will be sold for the benefit of Alexandra B. Birch, as soon as a successor trustee is appointed to sign the deed. A true and accurate copy of the Agreement of Sale is attached as Exhibit "J". 22. Provided the circumstances, the appointed successor trustee shall not be required to post bond in this or any jurisdiction. WHEREFORE, Petitioner respectfully requests that this Honorable Court appoint Jodi Diego, as successor trustee of the trust created in the deed dated April 29, 1971, and as more fully described in Deed Book B24 Page 352 in the Cumberland County Recorder of Deed and modified by the Assignment and Release dated February 15, 1981 and recorded on June 4, 1984 in Misc. Book 295 Page 1119 in the Recorder of Deeds in Cumberland County and that the trustee shall not give a bond to secure performance pursuant to 20 Pa.C.S.A. §7762. To arrange for my removal from any medical or nursing facility; and 7. To grant, in conjunction with any instructions given under this power, releases to hospital staff, physicians, nurses and other medical and hospital administration personnel who act in reliance on instructions given by my agent or who render written opinions to my agent in connection with any matter described in this power from all liability for damages suffered or to be suffered by me; to sign documents titled or purporting to be a "Refusal to Permit Treatment" and "Leaving Hospital Against Medical Advice," as well as any necessary waivers of or releases from liability required by any hospital or physician to implement my wishes regarding medical treatment or non-treatment. This Power of Attorney shall not be affected by any disability on my behalf, including the event that I become incompetent to handle my affairs. Elective Share. To claim an elective share of the estate of my deceased spouse, and to seek court approval if required by law. 5. Disclaimers. To disclaim or release any interest in property on my behalf, and to seek court approval if required bylaw. b. Fiduciary Positions. To renounce fiduciary positions. 7. Real Property Transactions. To engage in real property transactions, including, but not limited to, the power to manage, lease, repair, improve, maintain, mortgage, sell or transfer any real estate or interest therein belonging to me, and to purchase real estate, upon such terms and for such prices as my agent deems advisable. 8. Tangible Personal Property Transactions. To engage in tangible personal property transactions, including, but not limited to, the power to make application for registration of any automobile that I own, and to purchase in my name insurance covering the ownership and operation of any automobile. -2- 9. Business Powers and Securities Transactions. To engage in stock; bond and other securities transactions, including, but not limited to, the power to invest, reinvest and keep invested or uninvested without liability moneys and assets belonging to me in such stocks, bonds and other instruments of indebtedness and investment, and to vote, appoint or revoke proxies, execute any waiver of consent, attend any meeting, and otherwise to act without restriction on my behalf in connection with any stock, security, membership, proprietary, or other rights which I may have in any corporation, association, partnership, business trust, joint venture or other entity. 10. Commodity and Option Transactions. To engage in commodity and option transactions. 11. Banking and Financial Transactions. To draw checks against any bank account in my name; to make deposits or withdrawals and to transfer funds from one account to another; to open and close bank accounts and to sign signature cards and any other documents required for such purposes; to pay my bills and other financial obligations and to collect moneys owed to me; and otherwise to engage in all banking and financial transactions. 12. Borrowing and Lending. To borrow money forme for any purpose, or to lend my money, on such terms and with such security, if any, as my agent determines. 13. Safe Deposit Boxes. To enter safe deposit boxes and remove the contents thereof. 14. Insurance. To engage in insurance transactions, including, but not limited to, the right to cancel and/or surrender a policy and to receive the cash value, the right to borrow all or part of the cash value, the right to convert a policy to paid-up status, the right to exercise any settlement options, and generally the right to exercise all powers with respect to insurance that I could if present, including the power to designate a beneficiary (including the agent) as a beneficiary of a life insurance policy. 15. Retirement Assets. To engage in retirement plan transactions, including, but not limited to, the right to withdraw and deposit funds, make contributions, select and change payment options, and make rollover contributions from any retirement plan to other retirement plans, and generally the power to exercise all powers with respect to retirement plans (which include, but are not limited to, any tax qualified or non-qualified pension, profit sharing, stock -3- bonus, employee savings and retirement plan, deferred compensation plan or individual retirement account) that I could if present, including the power to designate a beneficiary (including the agent) as a beneficiary of a retirement plan. 16. Claims and Litigation. To pursue claims and litigation, including, but not limited to, the power to commence, prosecute, defend, settle or compromise any claim, suit, action, or other proceeding at law or in equity and, for these purposes, to employ counsel. 17. Government Benefits. To receive government benefits. 18. Tax Matters. To pursue tax matters, including, but not limited to, the power to appear forme and to execute powers of attorney for others to appear forme before the Treasury Department of the United States and any state or municipal authorities, in all matters pertaining to federal, state or local taxes; to examine records and receive confidential information and communications with reference to such taxes; to execute income, gift and other tax returns and declazations of estimated tax, waivers, claims for refund, agreements of settlement or compromise, and consents extending the statutory.period for assessment or collection of taxes; to make any and all elections afforded a taxpayer with respect to the filing of returns; and for these purposes to employ counsel and accountants. 19. Joint Property. To retain the interest in any property I own jointly with any other person, including the agent. I do not require that my interest in joint property be held separately by my agent. 20. Execution of Contracts and Leg~a1 Documents. To enter into, perform, modify, extend, cancel, compromise, enforce, or otherwise act with respect to any contract and to execute, deliver, file for record, cancel, modify, endorse, acquire or dispose of legal documents. 21. Investments and Unregistered Property. To invest in all forms of real and personal property without any restrictions whatsoever as to the kind of investment, and to hold property unregistered or in the name of a nominee. 22. Employment of Others. To employ accountants, attorneys-at-law, investment counsel, agents, domestic employees, and others, and to remove them and to appoint others in their places, and to pay them such remuneration as my agent determines. -4- 23. Guardian. I hereby nominate my agent to serve as guazdian of my estate in the event that a court determines that it is necessary to appoint such a guazdian forme and on my behalf. 24. Password Provision. To obtain from any third party any password, username or pin number that I may have established, and to establish new passwords, usernames and pin numbers on my behalf. No third party who discloses a username, password or pin number to my agent hereunder in reliance on this power of attorney shall incur any liability so long as the third party acts in good faith. 25. General Powers. To exercise any power or take any action on my behalf, as fully and completely as I could do myself, which my agent in my agent's sole discretion believes to be in my best interest, except as specifically limited herein. I hereby revoke all powers of attorney which I may have previously granted, except (i) limited powers authorizing my lawyer or certified public accountant to act on my behalf in any matter relating to federal taxes, provided that the power is signed by me on a form authorized by the Internal Revenue Service; (ii) limited powers over any bank, brokerage or mutual fund account or safe deposit box, provided that the power is signed by me on a form authorized or supplied by the institution involved; and (iii) any advance directive for health care, health Gaze power of attorney, or similaz document. I grant my agent hereunder the power to revoke any limited powers under clauses (i) and (ii) of this pazagraph, and to execute any new powers of attorney for such purposes. For our purposes, paragraph 7 is the most relevant. The original trustee was an attorney, who it is now my understanding is deceased. Paragraph 7 indicates that of the demise of the trustee, the President of Harris Savings Association shall appoint a successor trustee. Now, the property is currently under an agreement of sale with settlement to occur by the end of March. It was our hope that Sovereign Bank would agree that the realtor involved in the transaction could be appointed successor trustee and to sign the deed.
