I, MAURICE M. SULLIVAN, of Carlisle, Pennsylvania, revoke all my prior Wills and
declare this to be my Last Will and Testament.
ITEM I. I direct that my just debts, the expenses of my last illness, funeral and burial,
shall be paid from my estate as soon as practicable after my death.

ITEM II. To those of my grandchildren, John Michael, Jason Lee and Megan Anne,
and my great-grandchild, Brooke Morgan, who survive me by thirty (30) days, I give each of them
the sum of $10,000.00.
ITEM III. I give IN TRUST the residue of my estate, real and personal, to the Trustee
under that certain Trust Agreement signed by me on June 30, 1998, to be managed and invested
under the terms of said Trust Agreement and all valid amendments thereto, to be added to the trust
estate held under that Trust Agreement as in effect at my death.

ITEM IV.
L I?eath Taxes. Except as otherwise may be provided in my wife's wll or trust, or in
any other trust, all federal, state, and other death taxes payable because of my death on the property
forming my gross estate for tax purposes, whether or not it passes under this Will, shall be paid out
of the principal of my probate estate so that the burden falls on my residuary estate, and none of
those taxes shall be charged against any beneficiary. The provisions concerning payment of taxes
shall not apply to any property over which I have a general power of appointment for federal estate
purposes.
2. T~~tions. I hereby authorize my Executor, in my Executor's sole discretion, in
whole or in part, to elect to treat as qualified, terminable interest property for the purpose of
qualifying for the marital deduction, any property passing under my Will, said Agreement of Trust,
or otherwise in which my wife has a qualified income interest for life. My Executor shall be without
liability to anyone for making or failing to make such election.
3. I hereby authorize my Executor, in my Executor's sole discretion, to make an
election, in whole or in part, to cause the Pennsylvania Inheritance Tax to be payable by my estate
on property passing to or for the benefit of my spouse, or to defer Pennsylvania Inheritance Taxes
on such property. My Executor shall be without liability to anyone for making or failing to make
such election.
4. I hereby authorize my Executor and my Trustee under the Trust Agreement dated
June 30, 1998, to exercise any options available in determining and paying any taxes in my estate,

and to allocate my generation-skipping tax exemption. These decisions may, including income and
gift taxes, be made without requiring adjustments between income and principal. The decision of
my Executor or my Trustee shall be conclusive upon all persons concerned.
ITEM V. Any property passing under this Will to a person under twenty-five (25) years
of age shall be paid to his or her parent as custodian for that beneficiary under the Uniform Transfer
to Minors Act of Pennsylvania. If his or her parent for any reason fails to qualify or ceases to act
as custodian, my Executor shall appoint the custodian in his or her place.
ITEM VI. To the greatest extent permitted by law, before actual payment to a beneficiary
or to his or her account, no interest in income or principal shall be assignable by a beneficiary or
available to anyone having a claim against a beneficiary.
ITEM VII. I authorize my Executor to:
(1) Retain/Invest: Retain and invest in any form of real or personal property anywhere
which, in my Executor's opinion, is appropriate for my estate, without being required
to diversify;

(2) Compromise: Compromise claims and abandon any property which, in my
Executor's opinion, is of little or no value;
(3) Borrow: Borrow from anyone and pledge property as security for repayment of any
funds borrowed;
(4) Sell/Lease: Sell at public or private sale, exchange, lease or lend for any period of
time any real or personal property, and give options for sales or leases;
(5) ~ita1 Chances: Join in any merger, reorganization, voting trust plan, or other
concerted action of security holders and delegate discretionary duties with respect to
these powers;
(6) Distribute: Distribute in cash or in kind, and allocate specific assets among the
beneficiary (including any custodianship) in such proportions as my Executor may
think best, so long as the total market value of any beneficiary's share is not affected
by such allocations.
The powers, authorities and discretion given under my Will shall be in addition to those
granted by law, shall continue until the distribution of the property, and shall be exercisable without
court authorization.
ITEM VIII. I hereby appoint my son, Jerry J. Sullivan, as Executor of my Will. If he fails
to qualify or ceases to act, I hereby appoint my daughter-in-law, Rose C. Sullivan, as Successor
Executrix. I direct that:

(1) Conflicts of Interest: My Executor/Executrix may use any aspect of the investment
or banking business operated by an entity in which any Executor/Executrix has an
interest, and may pay such entity its customary fees, regardless of any rule regarding
conflicts of interest. However, any income beneficiary of my above-mentioned Trust
or his or her legal representative, at any time, may cancel this authorization by
writing delivered to my corporate Executor.
(2) Resienation: Any Executor/Executrixrnay resign at any time without court approval.
(3) Bond: No Executor/Executrix shall be required to give bond or security in any
jurisdiction.
