COMPLAINT
Plaintiff, Henry 0, Train, MD" by his attorneys, Jeffrey E, Piccola, Esquire, and
Boswell, Tintner, Piccola & Alford and presents his complaint against Defendant,
Said is, Shuff, Flower & Lindsay, as follows:
1, Plaintiff, Henry D. Train, M,D" is an adult individual, with his address at
1465 Colonial Road, Harrisburg, Dauphin County, Pennsylvania 17112.
2, Defendant, Said is, Shuff, Flower and Lindsay, is a Pennsylvania
corporation, with its principal place of business located at 26 W, High Street, Carlisle,
Cumberland County, Pennsylvania 17013,
3. On or about November 16,1993, Plaintiff and Defendant (then known as
Saidis, Guido & Masland) entered into a three year Rental Agreement for the rental of
property, known as Office 104 (Formerly "Esther's Beauty Salon) 32 W, High Street,
Carlisle, Cumberland County, Pennsylvania 17013, A copy of Rental Agreement is
attached hereto and identified as Exhibit "A",
4, The terms of the rental agreement were for monthly payments to be made
to Plaintiff in the amount of $100,00 per month for the first year; $110,00 per month for
the second year; and $115,00 per month for the third year. Thereafter, pursuant to the
terms of the agreement, rental payments continue on a month-to-month basis until
terminated,
5. Defendant continues to occupy the premises,
6, The last payment made to Plaintiff by Defendant was on or about June 1,
2001,
7, As of August 1, 2004, the Defendant is 38 months in arrears under the
terms of the Rental Agreement, totaling $4,370,00,
8, Despite Plaintiffs numerous attempts to collect this amount, Defendant
has continuously refused to make payment to Plaintiff for the balance due,
9, The monthly rentals owed to Plaintiff continue to accrue each month and
a claim is made for that amount due or what may be due and owing under the Rental
Agreement.
WHEREFORE, Plaintiff demands judgment in an amount not in excess of
$25,000,00, which amount requires submission of this matter to compulsory arbitration,
plus interest and costs of suit.

The Defendant, Saidis, Shuff, Flower & Lindsay, presents
this Complaint against additional defendant, Richard P.
Mislitsky, as follows:
1. Defendant Saidis, Shuff, Flower & Lindsay, Defendant
in the original Complaint is hereby referred to as "SSFL,"
2, Additional Defendant is Richard P. Mislitsky, Esq.
with an office address of One West High Street, Carlisle,
Pennsylvania 17013, herein after "Mislitsky."
3, Plaintiff instituted this action against Defendant
SSF&L, alleging failure to make rental payments pursuant to a
rental agreement. A copy of the Plaintiff's complaint is
attached hereto, made a part hereof and marked Exhibit "A."
4. Mislitsky was employed as an attorney at SSFL's

predecessor, Saidis, Shuff & Masland, by reason of an agreement
dated December 27, 1995.
5, In the fall of 2000, Mislitsky left the employment of
Saidis, Shuff & Masland,
6. On December 21, 2000, SSF&L and Mislitsky entered into
a final settlement agreement of matters arising by reason of
Mislitsky's employment. The pertinent portions of the final
settlement agreement provides as follows:
6 (b). All closed files of l>'lislitsky in the
possession of SSF&L shall be made available
to him by SSF&L at no cost. Mislitsky shall
take possession of such files, if any, at a
mutually agreeable day and time.
10. The parties agree to act in good faith
to conclude and document appropriately any
additional steps necessary to implement the
agreement expressed and intended hereby and
shall execute and deliver such documents as
are reasonably required to do so.
7, In the spring of 2001, SSFI.L contacted Mislitsky to
make arrangements for the removal of his files, Despite
numerous attempts to accommodate Mislitsky's schedule, the files
were not removed,
8, Mislitsky, through his secretary, on two occasions
that he could meet to obtain his files. On both occasions,
Mislitsky's secretary later canceled the times previously
scheduled.

9. After July 9, 2001, SSF&L had no files stored on the
premises. The only files stored on the premises were those of
Mislitsky.
10. On June 7, 2001, SSF&L sent Mislitsky a letter
advising him that SSF&L would not be responsible after July 9,
2001, a copy of which is attached hereto, made a part hereof and
marked Exhibit "B.n
11. On June 11, June 14, June 26 and August 13, 2001,
Mislitsky's secretary had conversations with the law firm
administrator of SSF&L concerning the removal of his files,
12. SSF&L advised plaintiff on various occasions that
Mislitsky was responsible for the files.
13. SSF&L believes, and therefore avers, that Mislitsky
and the Plaintiff were in contact concerning the removal of
Mislitsky's files,
14, Mislitsky owed a duty of good faith and fair dealing
to SSF&L.
15, SSF&L believes, and therefore avers, that Mislitsky
advised Plaintiff not to destroy or remove his files and thereby
assumed responsibility for the files and cost of storage.
16, After July 9, 2001, Mislitsky has breached his duty to
SSF&L, pursuant to paragraph 10 of Exhibit "B," by not removing
his files for more than 3 years and 9 months.

17. Responsibility for the payment of the storage fees,
which were incurred solely for storage of Mislitsky's files from
July 9, 2001 forward, are the responsibility of Mislitsky.
WHEREFORE, Defendant Saidis, Shuff, Flower & Lindsay
requests the following:
1. Judgment in its favor, together with costs;
2. Judgment that, if there is any liability to Plaintiff,
Additional Defendant Richard P. Mislitsky, Esq. is solely liable
to Plaintiff;
3, In the event that a verdict is recovered by Plaintiff
against Defendant, that Defendant may have judgment over and
against Additional Defendant Richard p, Mislitsky, Esq, by way
of indemnification and/or contribution for the amount recovered

Saidis, Shuff, Flower & Lindsay, as follows:
1, Plaintiff, Henry 0, Train, M,D" is an adult individual, with his address at
1465 Colonial Road, Harrisburg, Dauphin County, Pennsylvania 17112,
2, Defendant, Said is, Shuff, Flower and Lindsay, is a Pennsylvania
corporation, with its principal place of business located at 26 W, High Street, Carlisle,
Cumberland County, Pennsylvania 17013,
3, On or about November 16, 1993, Plaintiff and Defendant (then known as
Saidis, Guido & Masland) entered into a three year Rental Agreement for the rental of
property, known as Office 104 (Formerly "Esther's Beauty Salon) 32 W, High Street,
Carlisle, Cumberland County, Pennsylvania 17013, A copy of Rental Agreement is
attached hereto and identified as Exhibit "A",
4, The terms of the rental agreement were for monthly payments to be made
to Plaintiff in the amount of $1 00,00 per month for the first year; $110,00 per month for
the second year; and $115,00 per month for the third year. Thereafter, pursuant to the
terms of the agreement, rental payments continue on a month-to-month basis until
terminated,
5, Defendant continues to occupy the premises,
6, The last payment made to Plaintiff by Defendant was on or about June 1,
2001,
7, As of August 1,2004, the Defendant is 38 months in arrears under the
terms of the Rental Agreement, totaling $4,370,00.
8. Despite Plaintiffs numerous attempts to collect this amount, Defendant
has continuously refused to make payment to Plaintiff for the balance due,

AND NOW, comes the Additional Defendant, Richard P. Mislitsky ("Mislitsky") and
files the following answer and new matter to the joinder complaint of the Defendant Saidis,
Shuff, Flower & Lindsay ("SSFL") as follows:
1. Admitted.
2. Admitted the law office of Mislitsky is One West High Street, P.O. Box 1290, Carlisle,
PA 17013.
3. Admitted that Exhibit A to the Joinder Complaint is a Complaint entitled Henry D. Train,
M.D., v. Saidis, Shuff, Flower & Lindsay, and said document speaks for itself. All
remaining averments are denied.
4. Admitted, with the exception that it is believed the date of the agreement was December
22, 1995.
5. Admitted, except it is believed that the approximate time when Mislitsky left the firm
was in May 2000.
6. Admitted that a Final Settlement Agreement was entered. into in December 2000,
between SSF&L and Mislitsky, the terms of which speak for themselves. All remaining
averments are denied.
7. Admitted that there was communication between Mislitsky and SSF&L about the files.
Mislitsky attempted numerous times to arrange for retrieval of the files, but was informed
that storage fees had to be paid to the Plaintiff before the:y could be removed. All such
fees were the responsibility of the defendant. All remaining averments are denied in that
after reasonable investigation Mislitsky is without sufficient information to form a belief
as to the truth of these averments and therefore strict proof thereof is demanded at time of
trial.

though they were set forth herein at length.
19. Defendant has failed to state any cause of action against Mislitsky.
20. The disputed files at all times were the property of SSFL, and as such it was the legal
responsibility of SSFL to account for and store the files.
21. At no time did Mislitsky authorize the storage of the disputed files at his expense.
22. At all times material hereto, it was the legal and contractual responsibility of SSF&L to
store and pay for the storage of the disputed files.
23. It was the sole responsibility ofSSFL to retain and store the disputed files, and to make
them available to Mislitsky at no cost pursuant to paragraph 6(b) of the Final Settlement
Agreement between SSF&L and Mislitsky.
24. If Mislitsky owed any contractual duty to SSFL with res.pect to the files, that duty was
frustrated by the actions of SSFL and therefore, relieved. Mislitsky of any duty or
responsibility for the files.
25. Any duty owed by Mislitsky was made impossible by the actions of SSF&L.
26. SSF&L cannot state any contractual claim against Mislitsky because it was responsible
for any alleged breach by Mislitsky, any such breach being specifically denied by
Mislitsky.
27. Upon information and belief, it is averred no amounts are due Plaintiff for file storage, as
the space where the files were located were rented to another tenant who paid rent to the
Plaintiff for the storage space the Plaintiff now claims nmt for.
28. Defendant has otherwise breached it duty of good faith and fair dealing to Mislitsky.
29. Some or all of the asserted causes of action are barred by the Statute of Frauds.
