To use the income and as much of the principal as my trustee may deem proper for the creation, incorporation, and maintenance of an animal shelter to serve the needs of the ShippE=nsburg, Pennsylvania, area; 2. I request the animal shelter be named the Bullseye Animal Shelter after my residence at 225 WE~st King Street, Shippensburg, Pennsylvania; 3. A board of governors shall be established to manage and operate this animal shelter. This animal shelter shall be operated as an incorporated, individual entity and shall not be operated by, or in concert with, any other organization, either public or private, or with a governmental entity. The board of governors shall request tYiat the United States Internal Revenue Service grant charitable status to the established corporation. The animal shelter may accept public or private charitable contributions. Page 3 3 4. It must accept any animal deemed reasonable by the board of governors from the Shippensburg and immediate surrounding area. All animals shall be maintained in good health, in acceptable stalls or pens for a reasonable period of time, but: not less than six weeks. No animal accepted by this animal shelter shall be used for experimental purposes or for vivisection. A reasonable effort sha:11. be made to find homes for all animals accepted by this animal shelter. Euthanasia shall be used only if no person or persons can be found who wi.l:1 accept the responsibility of caring for that animal. 5. In the event my trustee in consultation with my executor hereinafter named determines w.it:hin six months following my or my surviving spouse' ~s death, that the purpose of this trust is impos~;ible of fulfillment within two years of such demi~;e, then I direct that this bequest shall be void and in lieu thereof my trustee shall hold, invest and reinvest in perpetual trust the residue of my estate for the benefit of the charitable organizations :Listed on Addendum A herein as follows: a. My trustee shall pay the distribution. amount set forth below to or for the benefit of said charitable organization at least as often as quarter-annually. Page 4 b. The trustee shall pay to said charitable organizations in each tax year of t:his trust an amount (herein the "Distribution Amount") equal to f ive ( 5 0 ) percent of the average of the fair market values of the asset~~ of the trust as of the close of the last bu~~iness day of the trust's three previous tax years (or such lesser number of tax years as are available for the first three tax years of the trust) In the case of a short tax yE~ar, t:he distribution shall be calculated as sE=_t forth in subparagraph c. below. In the case of contributions to or distributions from the trust, including initial funding, the Distribution Amount shall be determined as set forth in subparagraph d. below. c. For a short tax year, the Distribution Amount shall be based upon a prorated portion of the Distribution Amount set forth above comparing the number of days in the short tax: year to the number of days in the calendar :year in which the short tax year is a part. d. In a tax year in which assets are added to or distributed from the trust (other than the Distribution Amount) (hereinafter "Adjustment Year"), the Distribution Amount ~~hall be Page 5 increased (in the case of a contribution) or decreased (in the case of a distribution) by an amount equal to five ( 5 0 ) percent t. imes the fair market value of the assets contributed or distributed (as of the date or dates of the contribution or distribution), multiplied by a fraction, the numerator of which is t:he number of days from the contribution or distribution to the end of the tax year and the denominator of which is the days in the t.a:x year. Further, the year-end values for the two tax years preceding the Adjustment Year ~>hall be increased by the amount of such addition, or decreased by the amount of such distribution, for purposes of computing the average values used in determining the Distribution Amount for years following the Adjustment Year. e. All computations of the trust's assE~ts' fair market value, or the value of any contributions or distributions as se1~ forth above, shall include accounting income and " principal, but no accruals shall be required. If the trust includes assets for whi.c]h there is not a ready market, the trustee shall adopt such method of valuation as trustee deems reasonable in trustee's discretion under the Page 6 circumstances. f. In addition to the Distribution .Amount as determined above, the net accounting income earned in my estate and allocable to the residue shall be paid to the trust, and distributed to said charitable organizations in addition to the Distribution Amount set forth above. g. The Distribution Amounts from the tru:~t shall be paid first from net accounting income, next from net realized short term capit<~1 gains, then from net realized long term. capital gains, and as necessary from the pri:nc:ipal of the trust. IV. 3 I give the following instructions to my executor: A. My real estate located in Southampton Township, Franklin County, Pennsylvania, shall be disposed of in a manner determined by my executor and added to the residue of my estate. B. Satisfactory homes shall be found for all animals owned by me . Assurances shall be obtained from the prospective homes that the animals shall be kept in a manner to which they are accustomed. No further distribution of this Page 7 C. D. estate shall take place until this condition. has been satisfied. All items associated with W . Edward Goodhart' s collection of model trains, including locomotives, engines, cars, controls, track, transformers, accessories, and memorabilia shall be offered at public auction at an auction house that specializes in such auctions>, such as Gateway Gallery, or an internet auction as determined by my executor. The executor may choose to list the collection of model trains on an internet auction site themselves for which they may be paid ten percent= of the returned auction price. The monies and payments remaining from the public auction shall be addE=al to the residue of my estate. All motor vehicles, tractors, lawn mowers, silvE~z• coins, and other items which have not been bequeathed in other parts of this will, those items of personal property determined by my executor to be not easily divisible which have not been bequeathed in other parts of this will, those items refused by the named beneficiary i.n other parts of this will, those items not selected in kind by the individuals named in each individual paragraph in paragraph III B of this will, acid those items selected by my executor for those individuals refusing to participate in the selection procE~ss in paragraph III B of this will, shall be offered air public Page 8 auction. The monies and payments remaining from the public auction shall be given to my trustee under the same conditions stated in paragraph III D of this will. E. Interment shall be in the C. Anson Goodhart p]_ot of the Spring Hill Cemetery, Shippensburg, Pennsylvania. It is my desire to be interred next to my wife, :E1_va Jane Goodhart. V. Any fiduciary under this will shall have the followi:nq powers in addition to those vested in them by law and by other p:rc-visions of my will applicable to all property whether principal o.r income, including property held for minors, exercisable without; Court approval, and effective until actual distribution of all property: A. To retain any and all of the assets of my estate,, real or personal, without regard to any principle of diversification of risk. B. To invest in all forms of property including stock, common trust funds and mortgage investment funds without restriction to investments authorized for Pennsylvania. fiduciaries as they deem proper, without regard to any principle of diversification of risk. C. To sell at public or private sale, to exchange or to lease for any period of time any real or personal property and to give options for sales, exchanges or Page 9 D. E. F. I direct that all taxes that may be assessed in consequence of my death of whatever nature and by whatever jurisdiction imposed, shall be paid from my residuary estate as a part of the expense of the administration of my estate.
